Notwithstanding the foregoing, if coverage is to be suspended, voided, or cancelled because of Contractor’ s failure to pay the insurance premium, the notice provided by the insurer to City shall be by not less than ten (10) calendar days prior written notice. (A statement that notice will be provided " in accordance with the policy terms" or words to that effect is inadequate to meet the requirements of this section.)

5.7 Requirements Not Limiting. Requirement of specific coverage or minimum limits contained in this section are not intended as a limitation on coverage, limits, or other requirements, or a waiver of any coverage normally provided by any insurance. Nothing in this section shall be construed as limiting in any way the indemnification provision contained in this Agreement, or the extent to which Contractor may be held responsible for payments of damages to persons or property.

5.8 Enforcement of Agreement ( Non-Estoppel). Contractor acknowledges and agrees that actual or alleged failure on the part of the City to inform Contractor of any noncompliance with any of the insurance requirements set forth in this section imposes no additional obligation on the City nor does it waive any rights hereunder.

5.9 Insurance for Subconsultants. Contractor shall either: ( 1) include all subconsultants or subcontractors engaged in the performance of Project Services on behalf of Contractor as additional named insureds under the Contractor’ s insurance policies; or ( 2) Contractor shall be responsible for causing its subconsultants or subcontractors to procure and maintain the appropriate insurance in compliance with the terms of the insurance requirements set forth in this section, including adding the City, its officials, officers, employees, agents and volunteers, as additional insureds to their respective policies. 5.10.2 All insurance coverage and limits provided by Contractor and available or applicable to this Agreement are intended to apply to each insured, including additional insureds, against whom a claim is made or suit is brought to the full extent of the policies. Nothing contained in this Agreement or any other agreement relating to the City or its operations shall limit the application of such insurance coverage.

5.10.3 None of the insurance coverages required herein will be in compliance with the requirements of this section if they include any limiting endorsement which substantially impairs the coverages set forth herein ( e.g., elimination of contractual liability or reduction of discovery period), unless the endorsement has first been submitted to the City and approved in DocuSign Envelope ID: A4DD09AB- D957-486D-93D0-DBECB2FD8F01

5.10.4 Certificates of insurance will not be accepted in lieu of required endorsements, and submittal of certificates without required endorsements may delay commencement of the Project. It is Contractor’ s obligation to ensure timely compliance with all insurance submittal requirements as provided herein.

5.10.5 Contractor agrees to ensure that subconsultants and subcontractors, if any, and any other parties involved with the Project who are brought onto or involved in the Project by Contractor, provide the same minimum insurance coverage required of Contractor. Contractor agrees to monitor and review all such coverage and assumes all responsibility for ensuring that such coverage is provided in conformity with the requirements of this section. Contractor agrees that upon request, all agreements with subcontractors and others engaged in the provision of Project Services will be submitted to the City for review.

5.10.6 Contractor agrees to provide immediate written notice to City of any claim, demand or loss against Contractor arising out of the work or Project Services performed under this Agreement and for any other claim, demand or loss which may reduce the insurance available to pay claims, demands or losses arising out of this Agreement.

6. INDEMNIFICATION
To the fullest extent permitted by law, Contractor shall defend ( at Contractor’ s sole cost and expense with legal counsel reasonably acceptable to City), indemnify and hold the City, its officials, officers, employees, agents and volunteers, free and harmless from any and all claims, demands, orders, causes of action, costs, expenses, liabilities, losses, penalties, judgments, arbitration awards, settlements, damages or injuries of any kind, in law or in equity, including but not limited to property or persons, including wrongful death, ( collectively “ Claims”) in any manner arising out of, pertaining to, related to, or incident to any alleged acts, errors or omissions, or willful misconduct of Contractor, its officers, directors, employees, subconsultants, subcontractors, agents or invitees in connection with performance under this Agreement, or in any manner arising out of, pertaining to, related to, or incident to an alleged breach of this Agreement, including without limitation the payment of all consequential damages, expert witness fees and attorneys’ fees and other related costs and expenses.

Notwithstanding the foregoing, and only to the extent that the Project Services performed by Contractor are subject to California Civil Code Section 2782.8, the above indemnity shall be limited, to the extent required by Civil Code Section 2782.8, to claims that arise out of, pertain to, or relate to the negligence, recklessness, or willful misconduct of the Contractor.

Under no circumstances shall the insurance requirements and limits set forth in this Agreement be construed to limit Contractor’ s indemnification obligation or other liability hereunder. Notwithstanding the foregoing, such obligation to defend, hold harmless and indemnify the City, its officials, officers, employees, agents and volunteers, shall not apply to the extent that such Claims are caused by the sole negligence or willful misconduct of that indemnified party.

8.3 Rights and Remedies Cumulative. Except with respect to rights and remedies expressly declared to be exclusive in this Agreement, the rights and remedies of the Parties are cumulative and the exercise by either Party of one or more of such rights or remedies shall not preclude the exercise by it, at the same or different times, of any other rights or remedies for the same default or any other default by the other Party.

8.6.2 If the Contract Officer determines that Contractor is in default in the performance of any of the terms or conditions of this Agreement, he/she shall notify Contractor in writing of such default. If such default is capable of being cured, Contractor shall have ten ( 10) calendar days, or such longer period as City may designate, to cure the default by rendering satisfactory performance. In the event Contractor fails to cure its default within such period of time, or if such default is not capable of being cured, City shall have the right, notwithstanding any other provision of this Agreement, to terminate this Agreement without further notice and without prejudice of any remedy to which City may be entitled at law, in equity, or under this Agreement. Contractor shall be liable for any and all reasonable costs incurred by City as a result of such default. Compliance with the provisions of this section shall not constitute a waiver of any City right to take legal action in the event that the dispute is not cured, provided that nothing herein shall limit City’ s right to terminate this Agreement without cause pursuant to Section 8.5.

8.6.3 If termination is due to the failure of Contractor to fulfill its obligations under this Agreement, City may, after compliance with the provisions of Section 8.6.2, take over the Project Services and prosecute the same to completion by contract or otherwise, and Contractor shall be liable to the extent that the total direct and indirect costs for completion of the Project Services required hereunder exceeds the Maximum Contract Amount, and City may withhold any payments to Contractor for the purpose of set-off toward the cost of completion of the Project Services. The withholding or failure to withhold payments to Contractor shall not limit Contractor’ s liability for completion of the Project Services as provided herein.

CITY COUNCIL AGENDA REPORT
MEETING DATE: May 26, 2026 ITEM NUMBER: 11H
To: Mayor Tanya Doby & Members of the City Council
Presented By: Ron Noda, Assistant City Manager/Development Services Director Britney Ramirez, Senior Management Analyst
Subject:

Amendment No. 1 to Professional Services Agreement (PSA) with Willdan Engineering for City Engineering and Traffic Engineering Services

SUMMARY
The existing Professional Services Agreement (PSA) with Willdan Engineering for City Engineering and Traffic Engineering services expires on June 30, 2026. The agreement includes provisions for term extensions, as previously authorized by the City Council. This item requests City Council approval of Amendment No. 1 to extend the term of the agreement for an additional two (2) years and approve a 4% increase to the fee schedule of hourly rates, while the scope of services remains unchanged.

RECOMMENDATION
Authorize the Mayor to execute Amendment No. 1 to the Professional Services Agreement (PSA) with Willdan Engineering to extend the term of the agreement through June 30, 2028.

BACKGROUND
The City maintains a Professional Services Agreement with Willdan Engineering to provide City Engineering and Traffic Engineering services. These services include consultation on City utilities and facilities, review and coordination of development projects and permits, management of the City’s Capital Improvement Program (CIP), permit review and inspection services, and technical support related to traffic signals, street lighting, traffic control devices, and the issuance of encroachment and oversized load permits. On March 20, 2023, the City Council awarded the agreement following a competitive Request for Proposals (RFP No. 2022- 05) process. The agreement established an initial three-year term with two (2) optional twoyear extensions.

DISCUSSION

Page 211 of 469 ends

The current Professional Services Agreement expires on June 30, 2026. The agreement includes provisions for up to two (2) additional two-year extensions, subject to City Council approval.

Continuation of the Willdan City Engineering and Traffic Engineering services and assistance is an important part of the ongoing operations, regulatory requirements, and the delivery of capital improvement projects. The consultant offers the technical knowledge, professional engineering licenses, and expertise needed to perform services and meet expectations at a high level. Additionally, Willdan can provide the institutional knowledge and familiarity with the City’s standards, systems, and active projects. Extending the agreement will ensure continuity of services and support the efficient delivery of ongoing operations and projects.

Amendment No. 1 will extend the agreement's term for 2 years, through June 30, 2028, with no changes to the scope of services. The firm has maintained its billing rates for the past three years without any increases; however, at this time, Willdan is requesting a 4% adjustment to the approved fee schedule to account for rising labor and operating costs. This 4% increase is a one-time rate adjustment applied with the approval of this amendment and is not an annual increase. The updated fee schedule reflecting this single adjustment is included as an attachment to the amendment.

FISCAL IMPACT
Services will continue to be funded through the Development Services Department for each fiscal year, including the funds already programmed in the Fiscal Year 2026–27 Development Services budget. Funding for these services is supported not only by General Fund allocations but also by transportation and capital improvement project sources. The approved budget is not expected to increase as a result of this amendment. However, the one-time 4% adjustment to the fee schedule may affect total expenditures, depending on the volume of services used.

Nothing contained in this Agreement or any other agreement relating to the City or its operations shall limit the application of such insurance coverage.

5.10.3 None of the insurance coverages required herein will be in compliance with the requirements of this section if they include any limiting endorsement which substantially impairs the coverages set forth herein ( e.g., elimination of contractual liability or reduction of discovery period), unless the endorsement has first been submitted to the City and approved in writing.

Under no circumstances shall the insurance requirements and limits set forth in this Agreement be construed to limit Contractor’ s indemnification obligation or other liability hereunder.

8.6.3 If termination is due to the failure of Contractor to fulfill its obligations under this Agreement, City may, after compliance with the provisions of Section 8.6.2, take over the Project Services and prosecute the same to completion by contract or otherwise, and Contractor shall be liable to the extent that the total direct and indirect costs for completion of the Project Services required hereunder exceeds the Maximum Contract Amount, and City may withhold any payments to Contractor for the purpose of set-off toward the cost of completion of the Project Services. appropriately to City staff input and/ or concerns, as well as complete ongoing projects with no downtime or transition period needed.

Willdan Understanding and Approach
Willdan is providing City Engineering and Traffic Engineering as outlined in the City’ s Request for Proposals RFP) on a contract basis to over 50 California cities currently and is prepared to meet all the conditions specified. Willdan is well qualified to continue providing the requested services by the City of Los Alamitos.

Since 1964, Willdan has provided consulting services to hundreds of public agencies in the western United States.

Our depth of experience and broad range of capabilities allow Willdan to offer comprehensive resources for efficient and convenient service. In addition, our expertise in the engineering and planning fields ensures innovative and effective solutions will be applied to all projects undertaken by Willdan. Many of our specialists have a strong background and an intimate understanding of diverse programs for public agencies. This expertise provides the foundation for planning, design, inspection, and administration under agency programs, and offers added value with our unique familiarity with state and federally funded programs. We also place strong emphasis on communication and maintaining personal interaction with the community at large.

One key benefit of selecting Willdan for your City and Traffic Engineer roles is enabling direct access to Willdan’ s extensive design staff and experts in selected fields. This direct access approach allows for a streamlined planning process for projects from inception to construction. Project related questions and needs can be answered on the spot and project details can be worked out from a simple email, phone conversation, video conference or one on one discussion as our primary office is in Orange County, minutes from City Hall. Willdan utilizes a management approach, whereby each assignment is undertaken by a project team. Each project is assigned to a senior member of our staff with the background, experience, and availability best suited for the assignment. Our approach to serve the City on this contract is based on our 58 year history of serving public agencies.

For this assignment, Willdan’ s City Engineer Mr. Chris Kelley, PE, QSD/ P, will be the single point of contact for the City’s staff and will convey all important matters to the project team as appropriate. Mr. Kelley will serve the City at City Hall for approximately 30 40 hours per week as specified in the RFP.

Willdan has designated a city engineering team to provide as needed support to the City for specific project/ task work orders. The fundamental goal of Willdan' s team is to provide the City with the highest level of support in completing the as needed special tasks. This will require close personal coordination between Willdan and the City.

To accomplish this, we will conduct interactive meetings with City staff throughout the course of each assignment to ensure all issues are addressed. Our team has a broad variety of talent and experience in city engineering; development review; public works permitting and inspection; capital improvement project design, inspection, and contract administration; facilities maintenance and repair; surveying; and soils investigation. Combined with our understanding of the desired services and our experience with the City of Los Alamitos, Willdan can assist the City with successful completion of all city engineering matters.

Willdan will commit the appropriate staff to ensure specific projects, as well as the overall contract, are successful.

Our intended approach is to fully understand each project requested by the City, to review the scope of work for each project in detail with the City, agree on the course or extent of the best suited action, and proceed accordingly.

Having successfully completed many other assignments of this type for the City of Los Alamitos and other agencies in Orange and Los Angeles Counties, Willdan' s proposed team understands City processes and possesses the technical and communication skills that are vital to ensuring each task receives the necessary attention, objectives are met, schedules are adhered to, and each task stays on budget. Willdan' s management approach has been proven on past assignments for the City to be effective in delivering services on time, within budget, and to the City’s satisfaction.

Methodology
Willdan' s methodology focuses heavily on client service and communications. As a firm with a strong public agency orientation, many of our client relationships are long term and ones in which our staff develops intimate familiarity with City staff since we very often serve as an extension of City staff. As such, it is extremely important that our presence on each assignment is seamless.

Willdan' s staff assigned as extension of city staff, such as City Engineer, on a routine or on call contract basis, most often work independently of the project team, since they are generally working directly for and with City staff as city staff. In this instance, the project team’ s role is subservient to the primary assignment and only comes into play on a support basis or on a project specific basis, such as for additional services for capital improvement project design, reviewing tract and parcel maps, inspection services, construction management, and traffic engineering studies.

Technical Approach
Upon commencement of this assignment, Willdan’ s City Engineer, Mr. Chris Kelley, PE, QSD/ P, will meet with City staff to discuss the project assignment in more detail. Based upon the City’ s needs, the routine hours at the City for Mr. Kelley are flexible and can be adjusted to various combinations to balance coverage of work as well as budgetary considerations. For this contract, the City Engineer will report to the Director of Public Works. Mr. Kelley’ s approach to the assignment will depend largely upon the specific needs of the City at any given time; however, he will generally start each day with a review of ongoing work efforts, new work efforts that have been assigned, and discussion with City staff. Since he is accustomed to city engineer assignments, many of these efforts will be self directed, except as otherwise given general or specific direction from the City, as deemed appropriate.

For work efforts while at the City, such as project management, technical advice, and preparation of City Council agenda items, Mr. Kelley will work closely with City staff to coordinate specific tasks and to provide appropriate input when needed. He will make necessary contacts with private developers, other public agencies, and other City departments on an as needed basis. To understand all issues relating more fully to specific projects, Mr. Kelley will research available records at the City, make field reviews as appropriate, and hold discussions with City staff. At the end of each day, he will review the events of the day, schedule any remaining needed efforts by City staff, and establish a preliminary list of efforts for his next regularly scheduled day at the City.

From time to time, the city engineer duties may require Mr. Kelley to be contacted while not at the City. In such cases he will routinely check for messages, both at the City and at Willdan, to keep current with ongoing issues and to formulate and deliver timely responses. This may require him to coordinate with or assign work efforts to City or Willdan staff. Whenever feasible, he will also be available for direct communication while he is away from the City' s office.

Our project approach begins with designating a complete project management team. If selected by the City, and upon written request from the City Project Administrator, Willdan will provide a letter proposal to the City for the specific services requested by the City for each assignment. Each project management team will be led by a principal representative with full authority to direct operations and commit resources. In addition to the principal representative, the management team will include expert staff specializing in the type of service requested. Our array of in house experts allows Willdan to develop a specialized management team for each requested project. In addition, Willdan’ s size gives us the flexibility to undertake large projects and projects on a compressed time schedule. If a project arises that requires immediate or extra attention, Willdan’ s flexibility allows tasks to be rapidly delegated to an expanded team of staff members. This ensures that the project will receive appropriate attention to detail and be completed in a timely fashion.

The first task of Willdan’ s delegated project management team will be to establish a course of action. This task will begin by coordinating with the City to identify specific project objectives. With these objectives in mind, Willdan’ s experienced professionals will actively identify areas of need and design solutions to address these needs. policy of open and often client coordination will ensure the established course of action and will be consistent with the City’s goals.

Once the course of action is established, Willdan will develop a project schedule. Each project schedule will be developed with the City’s project completion date in mind and will include a critical path and measurable milestones to ensure the project completion date is met. In accordance with Willdan' s Quality Assurance/ Control Manual, Mr. Adel Freij, PE will serve as the Quality Assurance Advisor. Project specific quality assurance activities will be planned at the beginning of the project. Typical QA/ QC activities include assigning the appropriate technical staff to the project, selecting the proper project technical approach, establishing a project schedule that meets internal Willdan and City deadlines, and determining the proper level of QA/ QC review.

There are four review levels for project deliverables:

Level 1 Peer review only
Level 2 Peer review and editorial review documents)
Level 3 Peer review, editorial review, and engineer review Level 4 All elements of Level 3 plus additional reviews by specific technical experts The two major components of the quality assurance review are technical and communication reviews. A Level 3 review will be performed on engineering design plans, specifications, and cost estimate to ensure the design is sound, constructible, and appropriate for the intended use and to confirm deliverables meet the scope of work requirements. This process involves reviews by independent designers and the Project Manager prior to submittal for formal review under the agreed upon project specific quality assurance plan. Project documents, including letters and correspondence, are subject to a Level 2.

Project Controls
Willdan’ s project control system is designed to provide a coordinated effort between all task facets of a project in the framework of the pre established master schedule, budget controls, and reporting system. The project control system provides an objective measure of performance integrating the following functions:

The work breakdown structure subdivides the work into
manageable segments and is the basis for our project
managers’ project control plan. The work breakdown
structure is tailored to specific project needs, but generally has typical elements, including codes to identify work
segments and engineering disciplines, weekly reports, and project resources schedule.

To monitor labor costs, each person performing work on a project completes a weekly timecard that identifies the project, segment of work, and engineering discipline by code. Man hour summary reports are developed weekly from the timecards and are issued to our project manager for review. Each project manager then updates the schedule. This simple system provides accountability for Willdan’ s payroll, billings, and progress reporting and serves as the basis for all cost related project management data.

Cost Controls
The budget control system is prepared in accordance with the work breakdown structure. The budget becomes the control against which performance is measured. The budget is time phased by combining project master scheduling data with budget data. Actual costs are compared with budgeted costs and variances analyzed. Deviations between planned and actual cost can then be evaluated to forecast and control future work.

Beginning with electronic timekeeping, project hours are assigned to the appropriate tasks and subtasks and booked as work in process. Pre bill reports are generated that identify the hours to be billed along with any other direct charges to the project. This is the information used to determine each month' s invoicing. Once hours and charges are billed, they are shifted from Work in Process to Accounts Receivable to ensure that billed hours are inactivated. Monitoring is easily accomplished through team member progress updates and comparisons between the scope of work, schedule, and budget.

Schedule Controls
A critical path method master schedule will be prepared following the notice to proceed. The schedule will identify major items of work and will be the vehicle for monitoring, controlling, and tracking progress. The schedule will be updated monthly to reflect actual and forecasted completions. This allows our project managers to anticipate and forecast potential issues and develop an advanced strategy to proactively mitigate problems before they impact the schedule.

If it is determined that a project is falling behind schedule, project managers meet with the respective team members, identify the problem, and ensure that extra support and effort are expended to bring the project back on schedule. Willdan will keep City staff informed of the overall schedule, including advanced notification of any necessary adjustments or actions to remain on track. Project managers monitor all progress on a weekly basis.

The amendment also provides that the City may exercise, at its sole discretion, an option to extend the Agreement for one (1) additional one (1)-year term to June 30, 2028.

Staff recommends approval of Amendment No. 2 to ensure continuity of Information Technology staffing and management services.
