CITY COUNCIL STAFF REPORT
DATE: SEPTEMBER 25, 2025 BUSINESS & LEGISLATIVE
SUBJECT: APPROVE EXHIBIT E (I NCENTIVES) AND EXHIBIT G (COMMUNITY
NON-PROFIT USE) TO THE PALM SPRINGS CONVENTI ON CENTER
OPERATION AND MANAGEMENT AGREEMENT NO. 25P206
FROM: Scott C. Stiles, City Manager
BY: Wayne Olson, Chief Economic Development Officer
SUMMARY:
The new Palm Springs Convention Center (PSCC) Operation and Management (O&M) contract was executed in August of 2025 with OVG360 (OVG, sometimes Contractor) .
The City Council requested two exhibits be brought back for with additional detail. This report presents the two exhibits to that contract and seeks approval of the policies therein.
The report also briefly summarizes the transfer activity as the new operator takes over by September 28, 2025.
RECOMMENDATIONS:
1) Approve Exhibit E to the PSCC Management Services Agreement – Incentives – found as Attachment A to this report;
2) Approve Exhibit G to the PSCC Management Services Agreement – Community Non-Profit Use Policy – found as Attachment B to this report.
BUSINESS PRINCIPAL DISCLOSURE:
None required.
BACKGROUND:
Over the past several months, the City’s PSCC management company OVG360 has been busy with transitioning management services from the ASM Global team to the OVG team. Several updates relevant to that topic are summarized in this report. At its July 21, 2025 meeting where Council approved the Oper ation and Management Agreement (the “Agreement”), staff was directed to further develop two contract exhibits based on input received at that meeting. This report also seeks approval of the two exhibits which include the incentive structure payable to OVG (Agreement Exhibit E – See Attachment A) and 3A - Page 1
City Council Staff Report
September 25, 2025 -- Page 2
Convention Center Management Services Agreement 25P206 Exhibits E & G
the use of the PSCC by community non-profits (Agreement Exhibit G – See Attachment B).
The Council directed staff to add a “room night” component to Exhibit E and seek input from the hospitality community on its development. Staff has worked with Visit Greater Palm Springs and consultants from Conventional Wisdom and the City’s Attorney’s office to develop what is presented in this report. The Council also requested that Exhibit G, the Community Non-Profit Use policy, be updated and provided for review by Council. Both of these exhibits are offered in more detail below.
STAFF ANALYSIS:
O&M Agreement and Transition Updates
Exhibits and management transition activities are summarized below:
Exhibit E – Incentives
At its July 21, 2025 meeting of the City Council, City staff was directed to negotiate Exhibit E further with Oak View Group and to develop an incentive mechanism that added room nights to the originally proposed incentive package. Updated Exhibit E is included as Attachment A, for Council’s consideration.
The primary change to Exhibit E is reflected under Quantitative incentives. (Quantitative metrics use an explicit metric as the basis for award determination .) The room night calculation awards the management team for the booking of hotel room nights . An ancillary recommendation was that staff seek hospitality feedback on the incentives. Staff sought input from several members of the hospitality industry who have endorsed the concepts included within Exhibit E . The primary component of the room night data is booking data provided by the Contractor as well as Visit Greater Palm Springs. Staff recommends approval of Exhibit E.
Exhibit G – Community Non-Profit Use of PSCC
At its July 21, 2025 meeting of the City Council , staff was directed to develop Exhibit G with more definition and present the updates to the Council for approval. Updated Exhibit G is included as Attachment B for Council’s consideration. Staff recommends approval of Exhibit G.
The definition of this class of users was refined and includes several conditions of use.
Some highlights of the program guidelines include:
• Non-Profit organizations must be headquartered in the city of Palm Springs. • Only one date hold is allowed at a time by each organization. • Events must occur within 12 months of the initial request. • PSCC reserves the right to relocate any community non-profit event to another 3A - Page 2

location in the facility or to another date up to 3 mont hs before its schedule date in order to contract with a PSCC event that aligns with its priority booking guidelines.
• Discounted insurance will be offered to all non -profit events through an OVG corporate event umbrella policy.
For the full policy guidelines, please refer to Attachment B.
Bureau of Tourism
Visit Palm Springs, the City’s tourism bureau, is a joint effort between Visit Greater Palm Springs and the PSCC Manager (i.e., OVG). The position of Tourism Director has been vacant for several months in deference to the City’s management company RFP. Now that the RFP has concluded, Gary Forsyth has been appointed as the new Director of Visit Palm Springs, as of September 2nd. The selection process for the new Director was conducted by Visit Greater Palm Springs and included representatives from the City. Mr.
Forsyth will be introduced to the public at the September 25, 2025 meeting of the Council.
The O&M contract obligates the Director of Tourism to establish a Tourism Advisory Committee. The Director, along with Visit Greater Palm Springs, will begin the process of forming the Committee and identifying partic ipants in the month of October. As per the 2026/2027 budget, the City contributes $ 2.4M in support of staffing, operations and expenses associated with marketing the City as a tourism destination . The Director of Tourism is contracted by the Contractor from Visit Greater Palm Springs . Reporting on the use of the funds has traditionally been pr ovided to the City Manager as part of a monthly report from the Bureau of Tourism.
Other Facilities
Operation and management of the Palm Springs Visitor Center and the Welwood Memorial Library are the responsibility of OVG, except for staffing of the library which is conducted by the City’s Library Department. Programming of each facility is a cooperative effort with the Library (Welwood) and the Tribe (Palm Springs Visitor Center). Currently the Visitor Center includes mer chandise for purchase. Tickets to the tram are not available at the Visitor Center. Other materials such as maps, guides and information are provided as well at both facilities.
Work has begun on the oversight of those buildings which includes inventoryi ng, assessing capital needs and reviewing programming plans.
Workforce and Labor
As part of its transition services, OVG has worked closely with ASM Global management to ensure a smooth process for rehiring nearly the entire workforce at the PSCC. As of the writing of this report , all current ASM employees have received offers, and either accepted or rejected them, and have been through the OVG onboarding process. The 3A - Page 3
City Council Staff Report
September 25, 2025 -- Page 4
Convention Center Management Services Agreement 25P206 Exhibits E & G
hiring of the PSCC General Manager is a separate, broadly advertised process.
Vendor Contracts
Staff previously reported that a ll vendor contracts between ASM Global and the vendor would be assigned to the City during the transition, and negotiated as contracts of the City, or in cooperation with the Contractor acting as the City’s agent . Upon further legal analyses, it was determined that most vendor contracts would be assigned directly from ASM Global to OVG. As of the writing of this report, ASM Global and OVG are working in cooperation to finalize the assignments.
ENVIRONMENTAL ASSESSMENT:
The proposed approval of Attachments A and B ( Exhibits E & G ) to the previously approved Agreement for Tourism and Management Services of the Palm Springs Convention Center has been reviewed in accordance with the California Environmental Quality Act (CEQA). This approval is categorically exempt from further review under the State CEQA Guidelines, Section 15301 Class 1 (Existing Facilities) and there is no substantial evidence demonstrating that an exception to a categorical exemption pursuant to CEQA Guidelines, Section 15300.2 applies. The Class 1 Categorical Exemption allows for the operation, repair, maintenance, permitting, leasing, licensing, or minor alteration of existing public or private structures, facilities, mechanical equipment, or topographical features, involving negligible or no expansion of use.
ALIGNMENT WITH STRATEGIC PLANNING:
Approval of this action supports City Council priority for Economic Development to support a vibrant economy, including tourism.
FISCAL IMPACT:
Management Agreement
Capital Contributions
OVG has agreed, as part of its Management Agreement, to provide the City $1,800,000 toward the Convention Center, with up to $300,000 dedicated to transition services and $1,700,000 toward future capital improvements and maintenance. The timing of the payments is as follows:
Table 2 – Capital Contributions
Amount Timing
$1M Within 15 days of O&M contract start (Sep 29 + 15 = Oct 14) $300,000 Transition; any remaining post-transition dollars returned to reserves $500,000 Within one year of the date of contract start (Sep 29, 2026) $1.8M Total (Complete contribution by Sep 29, 2026)
3A - Page 4
City Council Staff Report

Convention Center Management Services Agreement 25P206 Exhibits E & G
In addition, there is approximately $3M in current capital reserves held by ASM Global , which will be transferred from an ASM Global managed account to an OVG managed account upon their transfer at the end of September. These funds are planned for PSCC capital improvement reserves at this time.
Management Fees
While the base fee from the original approved contract hasn’t changed, nor has the ability for OVG to earn up to 150% of that base fee ($250,000), the allocation of the incentives has changed. As a result, the only change to the fiscal impact is in percentage distribution of incentives , not the total to be potentially earned by the Contractor (i.e., inc entives capped at $375,000).
SUMMARY:
This report summarizes the various activities that are transpiring due to the transition of management at the PSCC from ASM Global to OVG360. Th e final transfer will occur at midnight September 27, 2025, when the ASM Global contract expires.

Local and Community Non-Profit Event Use Policy
PSCC Community Non-Profit Event Use Policy
The Palm Springs Convention Center CNP Policy offers opportunities for locally based community and non-profit groups to host special events and meetings within the facility during non-peak times of the year at a reduced rental cost.
The PSCC is also an important community asset which prides itself on hosting community events of all types and sizes throughout the year.
The primary objectives of the PSCC and this policy is to:
(1) drive room nights to the hotels;
(2) generate revenue to the facility;
(3) generate economic impact to the business community
This policy recognizes local non-profit organizations by assisting them with various facility related discounts when possible, with a special focus on hosting these types of events during non-peak dates on the PSCC calendar.
Community and Non-Profit Definition
A community non-profit organization is an entity in good standing and established to pursue a social cause or public benefit rather than to generate profit for its owners or members and headquartered in the City (“CNP”).
CNP Policy Guidelines
• Only one date hold is allowed at a time by each organization.
• Each organization must complete the CNP application and submit to PSCC for review prior to any hold dates.
• Hold dates up to 12 months from event but subject to loss of date or relocation within the facility for confirmed and paid events until 3 months ahead of hold date at which time the non-profit event shall be confirmed.
• Events must use any PSCC service provider that is deemed exclusive at the facility, such as Food and Beverage, Rigging and Technology Services.
• An event is not considered to be definite until the CNP has fully executed the PSCC license agreement and paid the initial deposit.
• PSCC management reserves the right to decline a CNP date request if the specific date is considered dark at the venue
3A - Page 7
CNP Policy Rate Structure
• Based on Size of Event on case-by-case basis with approval by the PSCC General Manager:
o PSCC Rental rate and in house staffing, services and equipment discount levels are based on when the event actually occurs (peak vs non-peak).
o CNP discounts do not apply to PSCC third party vendors such as Food and Beverage, Audio Visual, Rigging, Security and Technology Services, unless the non-profit organization negotiates the reduced rate directly with the specific third party entity.
o Discounted insurance will be offered to all non-profit events through an OVG corporate event umbrella policy.

Contractor could earn up to $375,000 in incentive fees in addition to the Base Fee of $250,000, for a total all-in fee of $625,000 annually. In future years, the Base Fee will inflate by $19,250 and the subsequent values of the incentives will increase accordingly.
The annual Base Fee will be paid monthly from the City General Fund, and incentive fees will be calculated annually and paid annually at the end of the agreed upon performance year. There are stipulations in the contract that detail what would occur in the event the Contractor and the City disagree on incentive performance.
If the expansion project is not substantially completed by the start of Year 3, then the parties agree to a meet and confer to re-establish the incentive criteria to better reflect operation of the building during construction and partial closure upon mutual agreement.
Quantitative Rating Factors:
1a Room Night Goal Achievement (Worth up to 15% of Base Fee)
At the end of each Fiscal Year during the Term of this Agreement, Contractor will receive a total of $1.00 for each room night generated by events held at the Convention Center during the preceding Fiscal Year, on the condition that at least a minimum of 50,000 room nights are generated.
