OFFICE OF THE CITY MANAGER/EXECUTIVE DIRECTOR
65 Civic Avenue
Pittsburg, CA 94565

TO: Mayor and Council Members

FROM: Darin Gale - City Manager

SUBJECT: Adoption of a City Council Resolution Authorizing the City Manager to Negotiate and Execute the First Amendment to the Secured Promissory Note and the Cooperation
Arrangement Between the City of Pittsburg and Pittsburg Land Holdings, LLC

MEETING DATE: December 15, 2025

EXECUTIVE SUMMARY

The City and Pittsburg Land Holdings, LLC (“PLH”) seek to amend the existing Secured Promissory Note (executed September 30, 2022) and implement a related Cooperation Arrangement or similar agreement to advance the development of the Pittsburg Technology Park Project. The amendments reflect: (1) the transfer of deed-restricted acreage back to the City; (2) a reduction in loan principal corresponding to that transfer and PLH’s existing right to forego purchase of any portion(s) of the real property; (3) adjustments to interest accrual and the deferral period generally corresponding the delays resulting from state approval processing and settlement agreement negotiations; and (4) clarifications regarding the reconveyance (“Put Right”) process. Adoption of the resolution will authorize the City Manager to negotiate and execute the First Amendment to the Promissory Note and the Cooperation Arrangement.

FISCAL IMPACT

The City will reduce its outstanding loan principal by $6,242,163.41, reflecting the fair value of the land returned to City ownership at the price equivalent to the sale. No additional General Fund or other funds are required as part of these amendments. The reduction in principal aligns with the City’s regained ownership of the Released Land.

The suspension of interest accrual for calendar year 2025 delays, but does not

eliminate, future interest revenues.

RECOMMENDATION

Adopt the attached resolution authorizing the City Manager to negotiate and execute the First Amendment to the Secured Promissory Note and the Cooperation Arrangement or similar agreement with Pittsburg Land Holdings, LLC, and to execute all related documents necessary to implement the amendments.

BACKGROUND

In 2019, the City, Pittsburg Power Company, and Energy Delivery Solutions, LLC (“EDS”) executed a Project Development Agreement for the development of data centers in Pittsburg. That agreement was novated and amended in 2022 to include Pittsburg Data Hub, LLC (“PDH”), EDS, and the Pittsburg Power Company (collectively, “Project Entities”).

To support site acquisition and development activities, the City issued a loan to PLH in the amount of $16,779,327.41, secured by a Secured Promissory Note and a Deed of Trust, Assignment of Rents, Security Agreement, and Fixture Filing recorded on November 23, 2022 (Instrument No. 2022-0177216) encumbering the “Original Land.”

As the project advanced, it became necessary, at the direction of the U.S. General Services Administration (GSA), for PLH to transfer approximately 25 acres of deed- restricted land (“Released Land”) back to the City. The City concurs with this requirement.

SUBCOMMITTEE FINDINGS

This item was not presented to a Subcommittee.

STAFF ANALYSIS

As contemplated, PLH will convey approximately 25 acres of deed-restricted property back to the City via Quitclaim Deed, as required by the GSA. This transfer triggers several associated amendments to the Note and Deed of Trust and requires execution of a Cooperation Arrangement that outlines the transfer, recording requirements, and other terms.

After transfer of the Released Land, the outstanding principal will be reduced from $16,779,327.41 to $10,537,164.00, representing the appraised value of the land returned to the City.

The following amendments are also proposed, subject to negotiation by the City Manager:

Page 692 of 695 ends

1. Interest Accrual Suspension for calendar year 2025. No interest will accrue between January 1, 2025 and December 31, 2025, recognizing project delays outside the Developer’s control.

2. Extended Deferral Period. The original 42-month deferral period is extended to 66 months following the Note’s effective date. This is being contemplated should further delays arise. However, staff and the developer anticipate closing of the property within the 2026 calendar year, at which time, the principal will be due in full.

3. Extended Maturity Date. The Maturity Date of the Promissory Note would be extended for up to six months.

4. Establishment of a “Put Right” (Reconveyance Mechanism). A new Section 5.2 permits PLH, prior to the loan’s maturity date, to require the City to re-acquire specific portions of the property. Importantly, this process requires no cash payment by the City. Only property still subject to the Deed of Trust, and not sold or paid for by AVAIO may be included. This process was contemplated in the original Purchase and Sale Agreement and is now clarified.

The amendments are necessary to complete the land transfer required by the GSA, to adjust the promissory note consistent with that transfer, and to update loan terms reflective of project schedule changes. Staff recommends authorizing the City Manager to negotiate and execute all documents necessary to finalize the First Amendment to the Secured Promissory Note and the Cooperation Arrangement.
