Contractor acknowledges that the services which Contractor shall provide under this Contract are unique, personal services which, except as otherwise provided herein, Contractor shall not assign or sublet to any other party without the prior written approval of City, which approval may be withheld in City's sole and absolute discretion. In the event that City, in writing, approves any assignment or subletting of this Contract or the retention of subcontractors by Contractor, Contractor shall provide to City upon request copies of each and every subcontract contract prior to the execution thereof by Contractor and subcontractor. Any assignment by Contractor of any or all of its rights under this Contract without first obtaining City's prior written consent shall be a default under this Contract.
The sale, assignment, transfer or other disposition of any of the issued and outstanding capital stock of Contractor (if applicable), or of the interest of any general partner or joint venturer or syndicate member if Contractor is a partnership or joint-venture or syndicate, which shall result in a change of control of Contractor, shall be deemed an assignment. For this purpose, control shall mean fifty percent or more of the voting power or twenty-five percent or more of the assets of the corporation, partnership or joint-venture.

In the event of a conflict between the terms and conditions of any two or more Exhibits or attachments hereto, those prepared by City shall prevail over those prepared by the Contractor, and the terms and conditions preferred by the City shall prevail over those preferred by the Contractor.
24. Non-exclusivity. Notwithstanding any provision herein to the contrary, the services provided by Contractor hereunder shall be non-exclusive, and

All Exhibits hereto are made a part hereof and incorporated herein by reference; provided, however, that any language in Exhibit A which does not pertain to the project description, proposal, scope of services, or method of compensation (as applicable) , or any corresponding responsibilities of City, shall be deemed extraneous to, and not a part of, this Contract.
26. Force Majeure. Neither party hereto shall be considered in default in the performance of its obligations hereunder to the extent that the performance of such an obligation is prevented or delayed by reason of acts of God, strikes, boycotts, lock-outs, inability to procure materials not related to the price thereof, failure of power, restrictive governmental laws and regulations enacted after the date of this Contract, riots, civil unrest, acts of terrorism, insurrection, war, declaration of a state or national emergency or other reasons of a like nature not within the reasonable control of such party.
27. Time of the Essence. Time is of the essence of this Contract. Contractor and City agree that any time period set forth in Exhibit A represents their best estimates with respect to completion dates and both Contractor and City acknowledge that departures from the schedule may occur.
Therefore, both Contractor and City will use reasonable efforts to notify one another of changes to the schedule. Contractor shall not be responsible for performance delays caused by others, or delays beyond Contractor's control, and such delays shall extend the times for performance of Contractor's work.
28. Confidentiality. Contractor agrees to comply with, and to require its employees, agents and partners to comply with, all applicable State or Federal statutes or regulations respecting confidentially, including but not limited to, the identity of persons served under this Contract, their records, or services provided them, and assures that:
All applications and records concerning any individual made or kept by Contractor or any public officer or agency in connection with the administration of or relating to services provided under this Contract will be confidential, and will not be open to examination for any purposes not directly connected with the administration of such service.

5. What is your public art concept?
(What message are you seeking to
portray?)
I was inspired by Florence Randall’s story about her parents, Charlie Reid and Beryl Reid. She spoke lovingly about her father’s career as a pitcher for the Pierce Giants, and her mother’s career as a welder in the shipyards. This really resonated with me.
Organized sports played an important role in my formative years and helped shape my character. Through them I learned how to work hard to realize my dreams, how to succeed in the face of adversity, and how to remain resilient in the face of disappointment. I have no doubt that Charlie and Beryl Reid also embraced these lessons. I would have loved to talk shop with Beryl Reid.
For the Shields-Reid Park project (Site 5), I’m envisioning activating the space with a series of sports-themed sculptures that pay homage to Charlie Reid and celebrates organized sport as a tool for cultivating and promoting community spirit.
My particular style of sculpture combines figurative and abstract elements. It's this combination, together with themes that are community-specific, that enable the artwork to be accessible and appreciated by viewers - no matter their age, background or gender.
6. Please give as much detail as
possible including medium,
dimensions, title, etc.
The RFQ states that the park is currently being viewed as a "blank canvas". This was the lens through which I viewed the site during my recent walkthrough of the park. I'd work with the project's stakeholders to determine the ideal scale and scope of the artwork. The number of individual pieces would be between 3-5, and the overall height would be between 6.5 and 12'. On the surface this may sound like a wide range, but I'm allowing for the possibilities that might arise from the community engagement process. The sculptures are designed so they can be grouped or distanced from one another which allows a great deal of flexibility when it comes to placing the work
Each work would have a brushed finish with color added to the face using a highgrade automotive paint sealed with an automotive clear coat. This approach has proven to be highly durable while requiring virtually no maintenance. The materials selection anticipates occasional graffiti. Should this occur, over-the-counter materials for cleaning are available at most hardware stores.
7. Please upload a proposed concept

8. Which public art site(s)? Select all
that apply.

9. How will you engage members of
the North Richmond community in
your project?
As I'm sure you're aware, community engagement in a public art project can be tricky. Everyone has preferences and opinions that matter to them, and strong public art doesn't happen by committee. Still, it's important to cultivate 'buy-in' by the community.
To achieve this, I'd create the opportunity for the community to meet with me (in person if possible) to view 3D models of the proposed artwork and hear about the inspiration for the work. For example, I'd share with them how Charlie and Beryl Reid's lives helped inspire the artwork - through his career and work in sports, and through her career as a welder.

11. How long will it take to create and
install your work of art?
4-6 months from receipt of initial payment.
12. What resources would you need
to implement this project? Please be
as specific as possible.
Aside from a City of Richmond business license, I would need to know what (if any) permits, approvals, etc. the City requires for the sculptures. Often these can be covered within the scope of the construction documents for park renovation, but sometimes not. Beyond that, I maintain a fully equipped metal sculpture studio with all the material, tools and supplies required to complete this project.

resume along with resumes of your
team members. Please merge all
resumes into one document.

references including name, e-mail,
phone number, project, etc.

Sports:
The Shields-Reid Community Center was a cultural focal point for Richmond. Its sports program featured the Twilight Basketball League; which had the reputation of being perhaps the most competitive league in Northern California. The Twilight league along with other sports activities, including boxing and baseball were cultivated and guided by Charlie Reid. He and his wife Beryl Reid often paid out of their own pockets to ensure that Richmond youth had the necessary equipment to participate in the various sports programs.
I was particularly inspired by Florence Randall’s story about her parents. As the daughter of Charlie and Beryl Reid, she spoke lovingly of her father’s career as a pitcher in the Negro League, and her mother’s career as a welder in the shipyards. As a former jock and current welder of sculpture, both their histories really struck a deep chord with me.
Community Engagement: I’d like to invite the community (especially children) to an event at the park to paint their own small models of the musical figures. Models and non-toxic acrylic paint pens would be provided free of charge. Such an event would not only be fun but also enhance the publics connection to the public art in their park.

Shields-Reid Community Center & Park
While researching the history of North Richmond and the Shields-Reid Community Center, I was inspired by the many stories I read and heard about North Richmond’s rich cultural history. My proposal focuses on two significant aspects of that history: Sports and Music. Both were a source of great pride for the community.
Materials: Welded architectural Aluminum with automotive paint.
Materials: Laser cut stainless steel with automotive paint and protective clearcoat.
Silhouettes are ~ ½ inch thick.

Music
Along with robust sports programs at the Shields-Reid Community Center, North Richmond also had some of the hottest nightclubs in the area where you could see some of the hottest musical acts in the country. These included musicians like James Brown, Jesse James, and B.B. King, to name just a few.
A variety of musical styles could be enjoyed at popular nightclubs like The Savoy Club and Minnie Lue’s. At establishments like Minnie Lou’s, people came not only for the outstanding music, but also for the outstanding food prepared by Minnie Lou Nichols - a New York Culinary graduate.

The ultimate arrangement and spacing of the pieces can be adjusted to harmonize with the final softscape and hardscape.

Only the City Council or the City Manager may authorize extra and/or changed work. Contractor expressly recognizes that other City personnel are without authorization to either order extra and/or changed work or waive contract requirements. Failure of Contractor to secure the authorization for such extra and/or changed work shall constitute a waiver of any and all right to adjustment in contract price due to such unauthorized work and Contractor thereafter shall be entitled to no compensation whatsoever for performance of such extra and/or changed work.
If Contractor is of the opinion that any work which Contractor has been directed to perform is beyond the scope of this Contract and constitutes extra work, Contractor shall promptly notify City of the fact. The City shall make a determination as to whether or not such work is, in fact, beyond the scope of this Contract and constitutes extra work. 10. Professional Ability. Contractor acknowledges, represents and warrants that Contractor and its employees are skilled and able to competently provide the services hereunder, and possess all professional licenses, certifications, and approvals necessary to engage in their occupations.
City has relied upon the professional ability and training of Contractor as a material inducement to enter into this Contract. Contractor shall perform in accordance with generally accepted professional practices and standards of Contractor's profession. 11. Business License. Contractor shall obtain a Richmond Business License before performing any services required under this Contract. The failure to so obtain such license shall be a material breach of this Contract and grounds for immediate termination by City; provided, however, that City may waive the business license requirement in writing under unusual or extraordinary circumstances without necessitating any modification of this Contract to reflect such waiver.
12. Termination Without Default. Notwithstanding any provision herein to the contrary, City may, in its sole and absolute discretion and without cause, terminate this Contract at any time prior to completion by Contractor of the project or services hereunder, immediately upon written notice to Contractor. 13. Termination in the Event of Default. Should Contractor fail to perform any of its obligations hereunder, within the time and in the manner provided or otherwise violate any of the terms of this Contract, City may immediately terminate this Contract by giving written notice of such termination, stating the reasons for such termination. Contractor shall be compensated as provided in Section 12 of these General Conditions; provided, however, there shall be deducted from such amount the amount of damage, including attorney's fees, expert witness fees and costs, if any, sustained by City by virtue of Contractor's breach of this Contract. Additionally, in the event of such termination, the City may proceed with the work in any reasonable manner it chooses.
14. Conflict of Interest. Contractor acknowledges, represents and warrants that Contractor shall avoid all conflicts of interest (as defined under any federal, state or local statute, rule or regulation, or at common law) with respect to this Contract. Contractor further acknowledges, represents and warrants that no City official or employee has any economic interest, as defined in Title 2, California Code of Regulations §§ 18703.1 through 18703.5, with Contractor that would invalidate this Contract. Contractor acknowledges that in the event that Contractor shall be found by any judicial or administrative body to have any conflict of interest (as defined above) with respect to this Contract, all consideration received under this Contract shall be forfeited and returned to City forthwith. This provision shall survive the termination of this Contract for one (1) year.
15. Indemnification.
(a) If this Contract is a contract for design professional services subject to California Civil Code Section 2782.8(a) and Contractor is a design professional, as defined in California Civil Code Section 2782.8(b)(2), Contractor shall hold harmless, defend and indemnify the City, its officers, agents, employees, and volunteers from and against any and all claims, damages, losses, and expenses including attorneys’ fees arising out of, or pertaining to, or relating to the negligence, recklessness, or willful misconduct of the Contractor, except where caused by the active negligence, sole negligence, or willful misconduct of the City. To the fullest extent permitted by law, Contractor shall immediately defend and indemnify the City and its officers, agents, employees, and volunteers from and against any and all liabilities, regardless of nature or type, that arise out of, pertain to, or relate to the negligence, recklessness, or willful misconduct of the Contractor, or its employees, agents, or subcontractors.
Liabilities subject to the duties to defend and indemnify include, without limitation, any and all claims, losses, damages, penalties, fines, and judgments; associated investigation and administrative expenses; defense costs, including but not limited to reasonable attorneys’ fees; court costs; and costs of alternative dispute resolution. Contractor’s obligation to

General Conditions/EJ/TE 01-19-11 7 of 13
indemnify applies unless it is finally adjudicated that the liability was caused by the sole active negligence or sole willful misconduct of an indemnified party.
(b) If this Contract is not a contract for design professional services subject to California Civil Code Section 2782.8(a) or Contractor is not a design professional as defined in California Civil Code Section 2782.8(b)(2), Contractor shall indemnify, defend, and hold harmless the City, its officers, agents, employees and volunteers from any and all claims, suits, or actions of every name, kind and description, brought forth on account of injuries to or death of any person or damage to property arising from or connected with the willful misconduct, negligent acts, errors or omissions, ultra-hazardous activities, activities giving rise to strict liability, or defects in design by Contractor or any person directly or indirectly employed by, or acting as, the agent for Contractor in the performance of this Contract, including the concurrent or successive passive negligence of the City, its officers, agents, employees or volunteers.
(c) It is understood that the duty of Contractor to indemnify and hold harmless includes the duty to defend as set forth in Section 2778 of the California Civil Code. Contractor shall be obligated to defend, in all legal, equitable, administrative, or special proceedings, with counsel approved by the City, the City and its officers, agents, employees, and volunteers, immediately upon tender to Contractor of the claim in any form or at any stage of an action or proceeding, whether or not liability is established. An allegation or determination that persons other than Contractor are responsible for the claim does not relieve Contractor from its separate and distinct obligation to defend under this Section 15. The obligation to defend extends through final judgment, including exhaustion of any appeals. The defense obligation includes an obligation to provide independent counsel if Contractor asserts that liability is caused in whole, or in part, by the negligence or willful misconduct of an indemnified party. (d) The review, acceptance or approval of the Contractor’s work or work product by any indemnified party shall not affect, relieve or reduce the Contractor’s indemnification or defense obligations. This Section 15 survives completion of the services or the termination of this Contract.
The provisions of this Section 15 are not limited by, and do not affect, the provisions of this Contract relating to insurance.
(e) Acceptance of insurance certificates and endorsements required under this Contract does not relieve Contractor from liability under this Section
15. This Section 15 shall apply whether or not such insurance policies are determined to be applicable to any such damages or claims for damages.

Contractor acknowledges that under § 2.60.070 of the Municipal Code ("Living Wage Ordinance"), Contractor shall promptly provide to City documents and information verifying its compliance with the Living Wage Ordinance. Also as prescribed in § 2.60.070, Contractor shall notify each of its affected employees with regards to the wages that are required to be paid pursuant to the Living Wage Ordinance.

23. Conflicting Provisions. In the event of a conflict between these General Conditions and those of any Exhibit or attachment hereto, these General Conditions shall prevail; provided, however, that any Special Conditions as set forth in Exhibit E shall prevail over these General Conditions.

City reserves the right to employ other Contractors in connection with the project.
25. Exhibits.

37. Waiver. The waiver by City of any breach of any term or provision of this Contract shall not be construed as a waiver of any subsequent breach.
Inspections or approvals, or statements by any officer, agent or employee of the City relating to the Contractor’s performance, or payments therefore, or any combination of these acts, shall not relieve the Contractor’s obligation to fulfill this Contract as prescribed; nor shall the City be thereby stopped from bringing any action for damages or enforcement arising from any failure to comply with any of the terms and conditions of this Contract.

If this Contract results in the Contractor having possession of, claim to or right to the possession of land or improvements, but does not vest ownership of the land or improvements in the same person, or if this Contract results in the placement of taxable improvements on tax exempt land (Revenue and Taxation Code 107), such interest or improvements may represent a possessory interest subject to property tax, and Contractor may be subject to the payment of property taxes levied on such interest.
39. Performance and Final Acceptance.
Contractor represents that it is experienced, qualified, registered, licensed, equipped, organized and financed to perform the services under this Contract.

If warranted, City shall determine, and Contractor may request such determination, that Contractor has satisfactorily completed performance of this Contract. Upon such determination, City shall issue to Contractor a written Notice of Final Acceptance, after which Contractor shall not incur further costs under this Contract. Contractor shall respond to such Notice of Final Acceptance by executing and submitting to City a Release and Certificate of Final Payment.

AGENDA
REPORT
3-21-23, CC Mtg.
March 21, 2023
DISCUSSION:
The GovInvest, Inc. software modules are designed to provide sophisticated, yet userfriendly financial management tools for the public sector. The Pension Module will assist in managing the City’s pension liabilities and help ensure that the City is on track to meet its financial liabilities. The OPEB Module will help to manage our Other PostEmployment Benefits (OPEB) liabilities, ensuring that the City meets its long-term commitments to retirees. The Labor Costing Module will assist in forecasting labor costs under several scenarios. The Financial Forecasting Module will assist with creating accurate, comprehensive financial projections and reports, enabling the City to make informed decisions about the City’s financial future.
City staff has conducted extensive research on the GovInvest, Inc. software and consulting services, including consultation with other cities that have implemented these modules. Based on our findings, City staff believe that these modules will provide significant benefits to the City, including:
Improved management of pension and OPEB liabilities
Better labor costs’ forecasting
Enhanced financial forecasting and planning capabilities Increased efficiency and accuracy of financial reporting Improved transparency and accountability
Additionally, GovInvest’s software and consulting services directly address four recommendations from the State Auditor’s report that the City has agreed with.
Specifically:
State Auditor’s Recommendation
Richmond should include multiple scenarios in its financial projections, including scenarios with potential additional risks, such as economic downturns or recessions, and how the City would continue to fund its operations under those circumstances.
GovInvest, Inc.’s software and consulting services address this recommendation in the following fashion:
Labor Costing Module and Financial Forecasting Module
o GovInvest’s Labor Costing Module will allow the City to create next year’s labor budget with general ledger level detail, forecast costs out for up to 10 years, and use the baseline budget to create scenarios for modeling labor negotiation scenarios to determine cost impacts.
GovInvest’s Financial Forecasting Module expands the City’s labor forecasting capabilities to incorporate labor negotiation scenarios over multiple years. The module will also help the City maintain and develop a dynamic forecast
3-21-23, CC Mtg.
March 21, 2023
incorporating economic recession and expansions in the City’s revenue and expenditures.
State Auditor’s Recommendation
To ensure that Richmond is able to fund its retirement-related costs, City staff should propose, by June 2023, to the City Council a specific policy regarding funding of its pension trust fund for this purpose. City staff should report to the City Council on the estimated long-term savings from increasing its direct payments to CalPERS as compared to investing the same amounts in its pension trust fund. City staff members should use this information to inform their recommendations related to funding targets for the pension trust fund and should consider recommending that the City Council increase the City’s payments directly to CalPERS.
GovInvest, Inc.’s software and consulting services address this recommendation in the following fashion:
Pension Module and Consulting Services
o Using GovInvest’s Pension Module in tandem with assistance from our consulting team, the City of Richmond can develop a flexible funding policy for the City’s 115 trust, including a detailed breakdown of the estimated long-term savings of investing funds in the 115 trust compared to direct payments to CalPERS
o Engagement includes an annual contribution strategy update, including reassessment of normal cost contributions and CalPERS investment return impact analysis approximately one-year before valuation is delivered.
o Includes educational materials and presentations for City Council and cost/benefit analysis for respective funding strategies.
State Auditor’s Recommendation
To improve the City’s ability to pay OPEB, Richmond should implement, by June 2023, a policy identifying funds, such as surpluses or one-time revenues, that should be contributed to the OPEB trust fund. City staff should then conduct an annual analysis to determine whether any funds available to the City are applicable under the City’s policy and should present a proposal to the City Council to apply those funds to that trust fund.
GovInvest, Inc.’s software and consulting services address this recommendation in the following fashion:
3-21-23, CC Mtg.
March 21, 2023
OPEB Module and consulting services
GovInvest’s OPEB Module and consulting services will enable the City to develop and present multiple scenarios for funding of the unfunded accrued liabilities.
GovInvest’s modeling capabilities provide projections on the agency’s budget for the next few years based on the updated census data, changes and assumptions, payroll changes, and other changes in the salaries and benefits.
State Auditor’s Recommendation
To mitigate the costs of increasing salaries, the City should perform a workforce analysis by June 2024. Based on the results of the analysis, the City Council should consider eliminating vacant positions that it deems no longer necessary.
Additionally, the City should continue to assess its need for any vacant position before it seeks to fill it.
GovInvest, Inc.’s software and consulting services address this recommendation in the following fashion:
Labor Costing Module
o GovInvest’s Labor costing software can calculate the impact of increasing salaries, including all roll-up costs to determine savings by the reclassification or elimination of vacant positions.
City staff believe that the investment in these modules will pay significant dividends in the long term. The cost of the software and consulting services is reasonable, and the benefits will far outweigh the investment.

Service Level Terms
The Services shall be available 99% of the time, measured monthly, excluding holidays and weekends and scheduled maintenance. If Customer requests maintenance during these hours, any uptime or downtime calculation will exclude periods affected by such maintenance. Further, any downtime resulting from outages of third-party connections or utilities or other reasons beyond Company’s control will also be excluded from any such calculation. Customer's sole and exclusive remedy, and Company's entire liability, in connection with Service availability shall be that for each period of downtime lasting longer than 12 hours, Company will credit Customer 1% of Service Fees for each period of 30 or more consecutive minutes of downtime; provided that no more than one such credit will accrue per day.
Downtime shall begin to accrue as soon as Customer (with notice to Company) recognizes that downtime is taking place, and continues until the availability of the Services is restored. In order to receive downtime credit, Customer must notify Company in writing within 12 hours from the time of downtime, and failure to provide such notice will forfeit the right to receive downtime credit. Such credits may not be redeemed for cash and shall not be cumulative beyond a total of credits for one (1) week of Service Fees in any one (1) calendar month in any event. Company will only apply a credit to the month in which the incident occurred. Company’s blocking of data communications or other Service in accordance with its policies shall not be deemed to be a failure of Company to provide adequate service levels under this Agreement.

8. Changes and Extra Work. All changes and/or extra work under this Contract shall be performed and paid for in accordance with the following:
15.Indemnification.
See Section F of GovInvest MSA for reference to mutual indemnification (a) If this Contract is a contract for design professional services subject to California Civil Code Section 2782.8(a) and Contractor is a design professional, as defined in California Civil Code Section 2782.8(b)(2), Contractor shall hold harmless, defend and indemnify the City, its officers, agents, employees, and volunteers from and against any and all claims, damages, losses, and expenses including attorneys’ fees arising out of, or pertaining to, or relating to the negligence, recklessness, or willful misconduct of the Contractor, except where caused by the active negligence, sole negligence, or willful misconduct of the City.
Contractor’s obligation to

indemnify applies unless it is finally adjudicated that the liability was caused by the sole active negligence or sole willful misconduct of an indemnified party.

Such action may include but is not limited to termination of the contract, withholding of payments, or other actions as the City deems appropriate.
If services or the scope of work extend beyond the expiration dates of the required insurance policies initially approved by the City, CONTRACTOR must provide updated certificates and endorsements indicating that the required coverage, terms and conditions are still in place. Renewal certificates and updated endorsements shall be mailed to the Designated Project Manager.
Cancellation
CONTRACTOR shall ensure that coverage shall not be cancelled, reduced or otherwise materially changed except after thirty (30) days’ prior written notice has been given to the City.
Reporting Requirements
Any failure to comply with reporting or other provisions of the policies including breaches of warranties shall not affect coverage provided to the City, its officers, officials, employees or volunteers.
Consistent with Public Policy
The insuring provisions, insofar as they may be judged to be against public policy shall be void and unenforceable only to the minimum extent necessary so that the remaining terms and provisions herein may be consistent with public policy and thus enforceable.

limits of insurance.
3. Newly Acquired Or Formed Organization
Any organization you newly acquire or form,
other than a partnership, joint venture or
limited liability company, and over which you
maintain financial interest of more than 50% of

D. LIABILITY AND MEDICAL EXPENSES
LIMITS OF INSURANCE
1. The Most We Will Pay
The Limits of Insurance shown in the
Declarations and the rules below fix the most
we will pay regardless of the number of:
a. Insureds;
b. Claims made or "suits" brought; or
c. Persons or organizations making claims or
bringing "suits".
2. Aggregate Limits
The most we will pay for:
a. Damages because of "bodily injury" and
"property damage" included in the
"products-completed operations hazard" is
the Products-Completed Operations
Aggregate Limit shown in the
Declarations.
b. Damages because of all other "bodily
injury", "property damage" or "personal
and advertising injury", including medical
expenses, is the General Aggregate Limit
shown in the Declarations.
This General Aggregate Limit applies
separately to each of your "locations"
owned by or rented to you.
"Location" means premises involving the
same or connecting lots, or premises
whose connection is interrupted only by a
street, roadway or right-of-way of a
railroad.
This General Aggregate limit does not
apply to "property damage" to premises
while rented to you or temporarily
occupied by you with permission of the
owner, arising out of fire, lightning or
explosion.
3. Each Occurrence Limit
Subject to 2.a. or 2.b above, whichever
applies, the most we will pay for the sum of all
damages because of all "bodily injury",
"property damage" and medical expenses
arising out of any one "occurrence" is the
Liability and Medical Expenses Limit shown in
the Declarations.
The most we will pay for all medical expenses
because of "bodily injury" sustained by any
one person is the Medical Expenses Limit
shown in the Declarations.
4. Personal And Advertising Injury Limit

the sum of all damages because of all
"personal and advertising injury" sustained by
any one person or organization is the Personal

Liability Coverage for damages because of
"property damage" to any one premises, while
rented to you, or in the case of damage by fire,
lightning or explosion, while rented to you or
temporarily occupied by you with permission of
the owner.
In the case of damage by fire, lightning or
explosion, the Damage to Premises Rented To
You Limit applies to all damage proximately
caused by the same event, whether such
damage results from fire, lightning or explosion
or any combination of these.
6. How Limits Apply To Additional Insureds
The most we will pay on behalf of a person or
organization who is an additional insured
under this Coverage Part is the lesser of:
a. The limits of insurance specified in a
written contract, written agreement or
permit issued by a state or political
subdivision; or
b. The Limits of Insurance shown in the
Declarations.
Such amount shall be a part of and not in
addition to the Limits of Insurance shown in
the Declarations and described in this Section.
3-21-23, CC Mtg.
BUSINESS LIABILITY COVERAGE FORM
Form SS 00 08 04 05 Page 15 of 24
If more than one limit of insurance under this
policy and any endorsements attached thereto
applies to any claim or "suit", the most we will pay
under this policy and the endorsements is the
single highest limit of liability of all coverages
applicable to such claim or "suit". However, this
paragraph does not apply to the Medical Expenses
limit set forth in Paragraph 3. above.
The Limits of Insurance of this Coverage Part apply
separately to each consecutive annual period and to
any remaining period of less than 12 months, starting
with the beginning of the policy period shown in the
Declarations, unless the policy period is extended
after issuance for an additional period of less than 12 months. In that case, the additional period will be
deemed part of the last preceding period for purposes
of determining the Limits of Insurance.

a. When this policy is certified as proof of
financial responsibility for the future under
the provisions of any motor vehicle
financial responsibility law, the insurance
provided by the policy for "bodily injury"
liability and "property damage" liability will
comply with the provisions of the law to
the extent of the coverage and limits of
insurance required by that law.
b. With respect to "mobile equipment" to
which this insurance applies, we will
provide any liability, uninsured motorists,
underinsured motorists, no-fault or other
coverage required by any motor vehicle
law. We will provide the required limits for
those coverages.
4. Legal Action Against Us
No person or organization has a right under
this Coverage Form:
a. To join us as a party or otherwise bring us
into a "suit" asking for damages from an
insured; or
b. To sue us on this Coverage Form unless
all of its terms have been fully complied
with.
A person or organization may sue us to recover
on an agreed settlement or on a final judgment
against an insured; but we will not be liable for
damages that are not payable under the terms of
this insurance or that are in excess of the
applicable limit of insurance. An agreed
settlement means a settlement and release of
liability signed by us, the insured and the
claimant or the claimant's legal representative.
5. Separation Of Insureds
Except with respect to the Limits of Insurance,
and any rights or duties specifically assigned
in this policy to the first Named Insured, this
insurance applies:
a. As if each Named Insured were the only
Named Insured; and
b. Separately to each insured against whom
a claim is made or "suit" is brought.
6. Representations
a. When You Accept This Policy
By accepting this policy, you agree:
(1) The statements in the Declarations
are accurate and complete;
(2) Those statements are based upon
representations you made to us; and
(3) We have issued this policy in reliance
upon your representations.
b. Unintentional Failure To Disclose
Hazards
If unintentionally you should fail to disclose
all hazards relating to the conduct of your
business at the inception date of this
Coverage Part, we shall not deny any
coverage under this Coverage Part
because of such failure.
7. Other Insurance
If other valid and collectible insurance is
available for a loss we cover under this
Coverage Part, our obligations are limited as
follows:
a. Primary Insurance
This insurance is primary except when b.
below applies. If other insurance is also
primary, we will share with all that other
insurance by the method described in c.
below.
b. Excess Insurance
This insurance is excess over any of the
other insurance, whether primary, excess,
contingent or on any other basis:
(1) Your Work
That is Fire, Extended Coverage,
Builder's Risk, Installation Risk or
similar coverage for "your work";
(2) Premises Rented To You
That is fire, lightning or explosion
insurance for premises rented to you
or temporarily occupied by you with
permission of the owner;
(3) Tenant Liability
That is insurance purchased by you to
cover your liability as a tenant for
"property damage" to premises rented
to you or temporarily occupied by you
with permission of the owner;
(4) Aircraft, Auto Or Watercraft
If the loss arises out of the maintenance
or use of aircraft, "autos" or watercraft to
the extent not subject to Exclusion g. of
Section A. – Coverages.
(5) Property Damage To Borrowed
Equipment Or Use Of Elevators
If the loss arises out of "property
damage" to borrowed equipment or
the use of elevators to the extent not
subject to Exclusion k. of Section A. –
Coverages.

BUSINESS LIABILITY COVERAGE FORM
Form SS 00 08 04 05 Page 17 of 24
(6) When You Are Added As An
Additional Insured To Other
Insurance
That is other insurance available to
you covering liability for damages
arising out of the premises or
operations, or products and completed
operations, for which you have been
added as an additional insured by that
insurance; or
(7) When You Add Others As An
Additional Insured To This
Insurance
That is other insurance available to an
additional insured.
However, the following provisions
apply to other insurance available to
any person or organization who is an
additional insured under this Coverage
Part:
(a) Primary Insurance When
Required By Contract
This insurance is primary if you
have agreed in a written contract,
written agreement or permit that
this insurance be primary. If other
insurance is also primary, we will
share with all that other insurance
by the method described in c.
below.
(b) Primary And Non-Contributory
To Other Insurance When
Required By Contract
If you have agreed in a written
contract, written agreement or
permit that this insurance is
primary and non-contributory with
the additional insured's own
insurance, this insurance is
primary and we will not seek
contribution from that other
insurance.
Paragraphs (a) and (b) do not apply to
other insurance to which the additional
insured has been added as an
additional insured.
When this insurance is excess, we will
have no duty under this Coverage Part to
defend the insured against any "suit" if any
other insurer has a duty to defend the
insured against that "suit". If no other
insurer defends, we will undertake to do
so, but we will be entitled to the insured's
rights against all those other insurers.
When this insurance is excess over other
insurance, we will pay only our share of
the amount of the loss, if any, that
exceeds the sum of:
(1) The total amount that all such other
insurance would pay for the loss in the
absence of this insurance; and
(2) The total of all deductible and selfinsured amounts under all that other insurance.
We will share the remaining loss, if any, with
any other insurance that is not described in
this Excess Insurance provision and was not
bought specifically to apply in excess of the
Limits of Insurance shown in the
Declarations of this Coverage Part.
c. Method Of Sharing
If all the other insurance permits
contribution by equal shares, we will follow
this method also. Under this approach,
each insurer contributes equal amounts
until it has paid its applicable limit of
insurance or none of the loss remains,
whichever comes first.
If any of the other insurance does not permit
contribution by equal shares, we will
contribute by limits. Under this method, each
insurer’s share is based on the ratio of its
applicable limit of insurance to the total
applicable limits of insurance of all insurers.
8. Transfer Of Rights Of Recovery Against
Others To Us
a. Transfer Of Rights Of Recovery
If the insured has rights to recover all or
part of any payment, including
Supplementary Payments, we have made
under this Coverage Part, those rights are
transferred to us. The insured must do
nothing after loss to impair them. At our
request, the insured will bring "suit" or
transfer those rights to us and help us
enforce them. This condition does not
apply to Medical Expenses Coverage.
b. Waiver Of Rights Of Recovery (Waiver
Of Subrogation)
If the insured has waived any rights of
recovery against any person or
organization for all or part of any payment,
including Supplementary Payments, we
have made under this Coverage Part, we
also waive that right, provided the insured
waived their rights of recovery against
such person or organization in a contract,
agreement or permit that was executed
prior to the injury or damage.

AGENDA
REPORT
3-21-23, CC Mtg.
March 21, 2023
DISCUSSION:
The Finance Department, in close consultation with other departments, is preparing a new General Fund forecast for revenues and expenses. This renewed effort stems in part from recommendations included in the State of California’s Audit of the City of Richmond’s financial records and report published in November 2022, and the Corrective Action Plan. Specifically, the Auditor’s recommendation stated:
“Richmond should include multiple scenarios in its financial projections, including scenarios with potential additional risks, such as economic downturns or recessions, and how the city would continue to fund its operations under those circumstances.”
Beacon Economics will help address this recommendation, in collaboration with Finance staff, by providing short-and long-term revenue projections for the top five (5) revenue streams that constituted approximately 90 percent of the General Fund revenue (Property Tax, Sales Tax, Utility User Tax, Documentary Transfer Tax, and Business Tax). The data from Beacon Economics will serve as an additional tool in providing the most accurate forecast possible. A separate contract with GovInvest, Inc. will also support this effort.
The forecasts will be based on revenue collection trend data and prevailing economic conditions at the time of the forecast. The proposed three (3) year contract will include both annual and mid-year updates. The revenue forecast takes into consideration several economic factors including changes in economic growth, assessed valuation, growth in income levels, consumer consumption, and the Consumer Price Index (CPI), among other factors. Anticipated changes in State and local tax policy are also considered to the extent that such actions drive specific revenue streams.
On January 12, 2023, the Finance Department issued a Request for Proposals (RFP) for Revenue Forecasting Services. The RFP was posted on the City’s BidsOnline system where 196 vendors were notified, and 10 vendors downloaded copies of the RFP. On January 27, 2022, two electronic proposals were received. The proposals were reviewed by City staff members and each vendor was found to be compliant.
City staff is requesting to approve a three-year contract with Beacon Economics to provide a ten-year revenue forecast for the top five (5) revenue sources, in an amount not-to exceed $60,000, with a term beginning March 22, 2023 and ending June 30, 2026, with a two-year option to renew at $20,000 per year.

City of Richmond
Proposal: Revenue Forecasting Services for Taxable Sales, Assessed Valuation, and Property Transfer Tax 3 METHODOLOGY AND SCOPE OF WORK
The following is a proposal by Beacon Economics, LLC (“Beacon”) to provide revenueforecasting services to the City of Richmond (“City”). A primary goal of Beacon's forecast will be to provide the City with realistic and accurate information essential to effectively anticipate its revenue stream over the next several years.
DELIVERABLES
Beacon proposes to provide the City with a 10-year revenue forecast for the following taxes:
Property Tax, Real Property Transfer Tax, Business License Tax, Taxable Sales, and Utility User’s Tax. A summary of the forecasts is provided below:
• Property Tax Forecast – A forecast of the property tax revenues in the City of Richmond that extends out five years. This forecast will include an analysis of the underlying drivers of property valuation; namely, property prices and transaction volumes for both residential and non-residential properties, and ultimately assessed valuation. This analysis will also include a consultation with the County Assessor’s Office to incorporate/account for their views on short-run AV performance. • Real Property Transfer Tax Forecast – A forecast of the real property transfer tax (i.e., documentary transfer tax, or “DTT”) revenues in the City of Richmond that extends out five years, and which is based on local home sales and home prices. Beginning in 2018, this tax was levied under a tiered structure due to Measure H – our modeling will reflect this development.
• Business License Tax Forecast – A forecast of the business license tax revenues in the City of Richmond that extends out five years. This forecast will include an analysis of the underlying drivers of business taxes, such as personal income and employment. The implementation of Measure U in 2022 changed the business tax methodology to be based on gross receipts, rather than the number of employees – our modeling will reflect this development.
• Taxable Sales Forecast – A forecast of the taxable sales revenues that extends out five years. This forecast will include an analysis of the underlying drivers of taxable sales, such as population, consumer spending, prices, and income. • Utility User’s Tax Forecast– A forecast of the utility user’s tax revenues in the City of Richmond that extends out five years, and which is based on utility consumption, commodity prices, and local employment / unemployment figures. • Narrative Write-Up – A concise write up explaining the forecast conclusions. For each forecast, there will be a discussion of what has changed and why.

City of Richmond
Proposal: Revenue Forecasting Services for Taxable Sales, Assessed Valuation, and Property Transfer Tax 4 METHODOLOGY
We start with a detailed analysis of historical data, including (but not limited to) visual inspection, unit root testing, checking for autocorrelation, seasonality, and cointegration, and other time series diagnostics. Next, we use differencing and logging to create stationary time series. In general, stationarity refers to time series data with a mean and variance that do not vary across time. Differencing the series removes the trend and renders the mean constant, and logging stabilizes the variance. These transformations are necessary because economic and financial time series often contain trends and exhibit high variance on a seasonal or cyclical basis. Using the levels of these series in a regression can result in spurious estimations that can be misleading and result in incorrect specification.
Our modeling approach varies depending on the diagnostics of the time series we are working with and the economic relationships that exist among the dependent and independent variables. In general, we strive to create well-specified and parsimonious models with fewer parameters that are easier to explain and interpret. In many forecasts involving a local, regional, or state time series, we model it with corresponding national covariates. For example, the local unemployment rate is partially a function of the broader U.S. unemployment rate). Additionally, lagged values of the local unemployment rate can help predict the values of local unemployment in the future so we include lags of the dependent variables in our statistical modeling when appropriate.
We use a variety of methods to bolster forecast accuracy, including in-sample and out-ofsample testing and re-estimating our forecast models each quarterly update. The biggest factor in forecast accuracy, though, is the initial modeling. Ensuring there is a real economic relationship between the dependent variable and the regressor/s is the most important quality factor, followed by thorough diagnostics of the raw data and goodness-of-fit testing for the regression.
Each forecast that Beacon delivers will be based on its own proprietary, econometric forecast models. A model will be customized specifically for this project and Beacon will use the most updated, City-specific data available. The detail and speed with which Beacon can deliver the forecasts will be greatly enhanced by data provided by the City. The Initial Forecast will be delivered within 30 days of the execution of this Agreement and receipt of the historical data from the City.
