2.7.1 Designated Locations. For installation of Flock Hardware, prior to performing the physical installation of the Units, Flock shall advise Agency on the location and positioning of the Units for optimal license plate image capture, as conditions and location allow. Flock may consider input from Agency regarding location, position and angle of the Units (each Unit location so designated by Agency, a “Designated Location”). Flock shall have final discretion on location of Units. Flock shall have no liability to Agency resulting from any poor performance, functionality or Footage resulting from or otherwise relating to the Designated Locations or delay in installation due to Agency’s delay in confirming Designated Locations, in ordering and/or having the Designated Location ready for installation including having all electrical work preinstalled and permits ready, if necessary. The deployment plan will confirm the Designated Location. After installation, any subsequent changes to the deployment plan (“Reinstalls”) will incur a charge for Flock’s then-current list price for Reinstalls, as listed in the then-current Reinstall Policy (available at https://www.flocksafety.com/reinstall-fee-schedule) and any equipment charges. These changes include but are not limited to camera re-positioning, adjusting of camera mounting, re-angling, removing foliage, camera replacement, changes to heights of poles, regardless of whether the need for Reinstalls related to vandalism, weather, theft, lack of criminal activity in view, and the like. Flock Safety shall have full discretion on decision to reinstall Flock Hardware.

2.7.2 Agency Installation Obligations. Agency agrees to allow Flock and its agents reasonable access in and near the Designated Locations at all reasonable times upon reasonable notice for the purpose of performing the installation work. Although the Units are designed to utilize solar power, certain Designated Locations may require a reliable source of 120V AC power, as described in the deployment plan. In the event adequate solar exposure is not available Agency is solely responsible for providing a reliable source of 120V AC power to the Units, if necessary.

Additionally, Agency is solely responsible for (i) any permits or associated costs, and managing the permitting process of installation of cameras or AC power; (ii) any federal, state or local taxes including property, license, privilege, sales, use, excise, gross receipts or other similar taxes which may now or hereafter become applicable to, measured by or imposed upon or with respect to the installation of the Hardware, its use (excluding tax exempt entities), or (iii) any other supplementary cost for services performed in connection with installation of the Hardware, including but not limited to contractor licensing, engineered drawings, rental of specialized equipment or vehicles, third-party personnel (i.e. Traffic Control Officers, Electricians, State DOT-approved poles, etc., if necessary), such costs to be approved by the Agency (“Agency Installation Obligations”). In the event that a Designated Location for a Unit requires permits, Flock will provide the Agency with a temporary alternate location for installation pending the permitting process. Once the required permits are obtained, Flock will relocate the Units from the temporary alternate location to the permitted location at no additional cost. Flock will provide options to supply power at each Designated Location. If Agency refuses alternative power supply options, Agency agrees and understands that Agency will not be subject to any reimbursement, tolling, or credit for any suspension period of Flock Services due to low solar. Flock will make all reasonable efforts within their control to minimize suspension of Flock Services. Any fees payable to Flock exclude the foregoing. Without being obligated or taking any responsibility for the foregoing, Flock may pay and invoice related costs to Agency if Agency did not address them prior to the execution of this Agreement or a third party requires Flock to pay. Agency represents and warrants that it has all necessary right title and authority and hereby authorizes Flock to install the Hardware at the Designated Locations and to make any necessary inspections or tests in connection with such installation. Flock is not responsible for installation of Agency Hardware.

2.7.3 Flock’s Obligations. Installation of any Flock Hardware shall be installed in a workmanlike manner in accordance with Flock’s standard installation procedures, and the installation will be completed within a reasonable time from the time that the Designated Locations are confirmed. Following the initial installation of the Hardware and any subsequent Reinstalls or maintenance operations, Flock’s obligation to perform installation work shall cease; however, for the sole purpose of validating installation, Flock will continue to monitor the performance of the Units for the length of the Term and will receive access to the Footage for a period of three (3) business days after the initial installation in order to monitor performance and provide any necessary maintenance solely as a measure of quality control. Agency understands and agrees that the Flock Services will not function without the Hardware.

Labor may be provided by Flock or a third party. Flock is not obligated to install, reinstall, or provide physical maintenance to Agency Hardware.

Page 281 of 384 ends

2.7.4 Security Interest. Flock Hardware shall remain the personal property of Flock and will be removed upon the natural expiration of this Agreement at no additional cost to Agency. Agency shall not perform any acts which would interfere with the retention of title of the Hardware by Flock. Should Agency default on any payment of the Flock Services, Flock may remove Hardware at Flock’s discretion. Such removal, if made by Flock, shall not be deemed a waiver of Flock’s rights to any damages Flock may sustain as a result of Agency’s default and Flock shall have the right to enforce any other legal remedy or right.

Section 7.1 is amended to state:

7.1 Remedy. Upon a malfunction or failure of Flock Hardware or Embedded Software (a “Defect”), Agency must notify Flock’s technical support as described in Section 2.9 above. If Flock is unable to correct the Defect, Flock shall, or shall instruct one of its contractors to repair or replace the Flock Hardware or Embedded Software suffering from the Defect. Flock reserves the right in their sole discretion to refuse or delay replacement or its choice of remedy for a Defect until after it has inspected and tested the affected Unit provided that such inspection and test shall occur within seventy-two (72) hours after Agency notifies the Flock of a known Defect. In the event of a Defect, Flock will repair or replace the defective Unit at no additional cost. In the event that a Unit is lost, stolen, or damaged, Agency may request that Flock replace the Unit at a fee according to the then-current Reinstall Policy (https://www.flocksafety.com/reinstall-fee-schedule). Agency shall not be required to replace subsequently lost, damaged or stolen Units, however, Agency understands and agrees that functionality, including Footage, will be materially affected due to such subsequently lost, damaged or stolen units and that Flock will have no liability to Agency regarding such affected functionality nor shall the Usage Fee or Implementation Fees owed be impacted. Flock is under no obligation to replace or repair Hardware.

STRATEGIC PLAN CRITICAL SUCCESS FACTORS
• Efficient, Responsive, and Effective City Services
• Safe Community
• Fiscally Responsible and Transparent City Government

BACKGROUND
During the fiscal year 2021-22 budget process, the City Council approved funding for an e-citation and crash software. In September 2021, staff received Council approval for two agreements with the California Office of Traffic Safety (OTS). The agreements were expected to fund two separate grants, one for traffic enforcement and education and the other for software and equipment. In October 2021, the San Marino Police Department was officially awarded funding for both grants.

The Traffic Records Improvement Project (TRIP) grant is a year-long program through OTS. The TRIP grant provides funding for new electronic crash and citation data reporting software. This software will enable officers and records personnel to automate traffic collision reporting, which is currently done manually. The citation reporting software will also automate traffic citations, decreasing the amount of time it takes an officer to write a citation, while increasing their productivity. It will also increase officer safety by reducing the amount of time they are exposed to motorists outside of their vehicle. This reporting software will benefit the San Marino Police Department for years to come.

DISCUSSION
Police Department staff conducted research and met with various vendors who sell electronic reporting software and equipment. Staff also contacted other law enforcement agencies to determine which software company was commonly used for this type of reporting. The three TO: Mayor and City Council

software companies that staff considered are Crossroads Software, Inc., Tyler Technologies, and 365LABS. 365LABS is a relatively new company located in Louisiana. They do not have any local California law enforcement customers. 365LABS offers both software and equipment, but their software and equipment costs were higher than other companies.

Tyler Technologies has several offices across the U.S. with one office in Northern California.

They were very responsive and, offer both software and equipment; however, their licensing is per device. This pricing creates challenges because the number of users and devices can vary depending on staffing levels.

Crossroads Software, Inc. is located in Brea, California and has specialized in software systems for California agencies for over 30 years. More than 275 police departments and over 375 public agency traffic engineering departments in California use the Crossroads Collision and Citation Database Systems. Crossroads software interfaces with the Police Department’s current Computer Aided Dispatch (CAD) and Records Management System (RMS) provided by Mark 43, at no additional cost. Crossroads systems are used by cities around San Marino, including Alhambra, Monterey Park, San Gabriel, Pasadena, Glendale, Burbank, West Covina and many others. Crossroads offers both software and equipment but recommends using an outside vendor for equipment (printers and mobile devices), who is able to sell more units of equipment and offer better pricing. It is important to note that Crossroads also has a racial profiling application that is consistent with the requirements set forth in AB 953. Crossroads is also able to implement the program faster than the other companies. Crossroads has completed hundreds of OTS grantbased projects for agencies across California. Staff believes that Crossroads Software, Inc. will provide the City with the best product and services available for electronic citation and crash reporting.

Below is a summary of the three software company bids that were received by staff.

Staff reviewed pricing for mobile electronic citation printers from Crossroads, Mag Soft LLC, and MSA Systems, Inc. MSA Systems, Inc. was able to offer the best product, services, and pricing for the printers.

Company Three-Year Cost Year 1 Year 2 Year 3
Crossroads Software, Inc. $ 70,300 $ 65,300 $ 2,500 $ 2,500 Tyler Technologies $ 91,051 $ 55,705 $ 17,673 $ 17,673
365LABS $ 175,190 $ 84,370 $ 45,410 $ 45,410

Page 308 of 384 ends

The electronic citations are commonly written on a mobile device, such as an iPhone. Staff found that most agencies are using a city issued iPhone for this purpose. The City’s AT&T mobility consultant provided pricing related to cellular service for four new cellular phones, which is detailed below.

Item Cost
Apple iPhone 12 (One-time cost for four phones) No Cost OtterBox Defender Pro Phone Case (One-time cost for four phones) $186.00 FirstNet Smartphone Cell Service (On-going estimated annual cost) $2,360.00

FISCAL IMPACT & PROCUREMENT REVIEW
The fiscal impact to the City for electronic citation and crash reporting software will be $65,300.

The fiscal impact for mobile printers will be $7,081 including tax. There is no charge for the cellular phones except applicable sales tax; however, there are monthly plan charges that will be approximately $2,360 annually. There is also a one-time fee of $186 for phone cases including sales tax.

The total fiscal impact to the City for software and equipment will be $74,927 in Fiscal Year 2021-

22. However, $69,100 of this expenditure is reimbursed by the Office of Traffic Safety (OTS) through the OTS TRIP Grant under account number 223-30-4645-0000 Equipment. The remaining $5,827 will be paid out of account 591-30-4613-0593 (E-Citation Writers) which was approved in the FY 2021-22 budget. In subsequent years, the annual software fees of $2,500 and annual cellular plan charges of $2,360 will be included as part of the operating budget.

Account Number Item Cost
223-30-4645-0000 OTS Grant - Crossroads Software $65,300 223-30-4645-0000 OTS Grant - Mobile Printers $3,800
591-30-4613-0593 Capitalized Equipment – Mobile Printers overage
$3,281
591-30-4613-0593 Capitalized Equipment – Phones, cases
and service plan
$2,546
The Finance Director has reviewed this report and determined in writing that the best interests of the City are served with selecting Crossroads Software, Inc. as a vendor for electronic citation and crash reporting software, MSA Systems, Inc. for mobile printers, and AT&T for cellular phones.

LEGAL REVIEW
The City Attorney’s office has reviewed and approved as to form.

RECOMMENDATION
Staff recommends the City Council authorize and direct the City Manager to enter into an agreement with Crossroads Software, Inc., for electronic citation and crash reporting software, the purchase of mobile printers from MSA Systems Inc., and the purchase of cellular phones from AT&T. If the City Council concurs with staff’s recommendation, an appropriate motion would be:
“I move to authorize the City Manager to enter into an agreement with Crossroads Software, Inc. for electronic citation and crash reporting software in the amount of $65,300, the purchase of mobile printers from MSA Systems Inc., in the amount of $7,081, and the purchase of cellular phones from AT&T.”

STRATEGIC PLAN CRITICAL SUCCESS FACTORS
• Safe Community
• Well-Maintained Infrastructure
• Fiscally Responsible and Transparent City Government
• Beautiful, Preserved, Single-Family Neighborhoods

BACKGROUND
Over the past few years the City Council has raised the issue of whether or not to place a vacancy tax measure on the ballot. Further, in the most recent budget priorities exercise, a majority of the Council indicated a desire for such a measure. A vacancy tax would levy a charge on properties that are not occupied, which limit the available housing stock, and create potential safety and maintenance concerns.

DISCUSSION
In 2018 Oakland adopted a vacancy tax. The cities of Santa Cruz, San Francisco and Los Angeles are considering placing such measures on the ballot as well. There are several issues and options associated with such a tax, including, but not limited to:
● Which properties are subject to the tax;
● Which properties are exempt from the tax;
● Duration of vacancy triggering the tax;
● Method of determining vacancy;
● Amount of the tax;
● Use of the tax proceeds;
● Date of the Election

Given these various policy issues, staff recommends that the Council allow the City Attorney’s office to work with the Legal/Legislative liaisons to craft a draft measure for consideration by the entire Council at a future Council meeting.

FISCAL IMPACT & PROCUREMENT REVIEW
There is no fiscal impact associated with crafting a draft ballot measure.

RECOMMENDATION
Staff recommends the Council direct the City Attorney’s office to work with the Legal/Legislative Liaisons to draft a vacant property tax ballot measure and return to the Council for its consideration. If the City Council concurs with staff’s recommendation, an appropriate motion would be:
“I move to direct the City Attorney’s office to draft a vacant property tax ballot measure, working with the Legal/Legislative liaisons, and return with same for Council consideration at a future Council meeting.”

STRATEGIC PLAN CRITICAL SUCCESS FACTORS
• Efficient, Responsive, and Effective City Services
• Fiscally Responsible and Transparent City Government

BACKGROUND
The San Marino Community Church has requested a Special Event Permit and Reservation of Lacy Park for their annual Easter Sunrise Service. This service has taken place in Lacy Park for many years on the annual Christian holiday of Easter. The San Marino Community Church is a 501(c)(3) non-profit organization and has filed a Special Event Permit Application to hold a service in Lacy Park on April 17, 2022. Since there is not a formal policy addressing entrance fee collection during early openings of the Park, only the City Council can determine if entry fees can be waived or not.

DISCUSSION
The San Marino Community Church first held its Easter service at Lacy Park in 2020; they have since returned annually to request use of the facility. The service brings about 300 people to Lacy Park but has not negatively impacted the facility or surrounding neighborhood.

The Special Event Permit Application has been reviewed by staff and is included as Attachment 1 to this report. The service will bring in an estimated 300 attendees again this year and will consist of a live band, audio/visual equipment, and amplified sound. There will be two services for this event, one at 7:00 AM and the second at 8:30 AM. Staff would need to open the park TO: Mayor and City Council
FROM: Marcella Marlowe, Ph.D., City Manager

DATE: March 9, 2022
SUBJECT: APPROVAL OF A REQUEST FOR THE WAIVING OF ENTRANCE FEES AND OPENING LACY PARK EARLY ON APRIL 17, 2022,

for set-up at 4:30 AM on the morning of April 17 at the applicant’s request. At no point will the park be closed to other patrons, but the applicant is requesting that non-residents attending the service not have to pay an entry fee. The San Marino Community Church has sent letters to surrounding properties to notify them of the amplified sound associated with this event. As of this staff report, the City has not received any contact from residents regarding the notice.

FISCAL IMPACT & PROCUREMENT REVIEW
The fiscal impact would be the potential entrance fees of any non-residents from 4:30 AM to 10:30 AM on the day of the event.

LEGAL REVIEW
The City Attorney has reviewed the staff report and approved it as to legal form.

RECOMMENDATION
Staff recommends that the City Council review the Special Event Permit Application from the San Marino Community Church for the Sunday Easter Sunrise Service event and waive entry fees to Lacy Park and staff fees associated with the event. If the City Council deems the application satisfactory, an appropriate motion would be:
“I move to waive entry fees to Lacy Park associated with the San Marino Community Church Sunday Easter Sunrise Service event.”
