1 Mr. Mayor, Council Members & City Staff, April, 14th, 2026 I would like to briefly address a public comment submitted for this agenda item that characterizes members of this community as “entitled,” “misinformed,” and, notably, as “blowhards.”
Those are serious claims.

Yet they are offered without a single specific example, documented incident, or factual reference.

Without specificity, such assertions are not analysis—they are a dismissal of the public itself.

If I am among the residents being referenced, then I would clarify: the concerns raised—by myself and others—have been specific, documented, and grounded in the public record.

And that distinction matters.

What is occurring here is not abstract frustration—it is fact-based inquiry into governance, fiscal oversight, and administrative performance.

For example:
• In the City’s public art project, residents have raised concerns regarding process and fiscal control—including the authorization of expenditures and apparent budget overages without adherence to established procedures, and without defined cost parameters.

Further, site work was initiated for artwork not yet formally approved, raising legitimate questions of sequencing and oversight.

When residents requested clarity on projected costs, no specific figures or formal estimates were provided.
• More broadly, there are objective, documented financial findings that reinforce—not undermine—the validity of public concern:
o Approximately $16 million remained in a non-interest-bearing account, resulting in an estimated $924,000 to $1 million in lost interest income, identified not by staff, but by the City’s volunteer Finance Committee. o Independent analysis has identified systemic deficiencies in financial management, including inconsistent budget reporting and conditions that increased the risk of financial and procurement impropriety. o The City continues to face material structural fiscal challenges, including conflicting deficit estimates and ongoing funding gaps.

These are not opinions.

They are documented findings—publicly reported and recently reinforced through the Blackberg Report, which has brought into clear view conditions residents have long raised.

Page 518 of 539 ends

2 So the question before this Council is not whether public input is occasionally uncomfortable—it is:

What standard will be applied when that input is specific, documented, and validated by independent review?
There is a clear distinction between abuse and accountability.

Requesting records, asking questions, and examining financial stewardship—particularly when taxpayer funds are involved—is not interference. It is the foundation of responsible governance.

Labeling residents with broad terms while offering no substantiated examples does not elevate the discussion—it avoids it.

It has also been suggested that the City’s condition is so compromised that disincorporation should be considered.

St. Helena does not suffer from a lack of viability—it is operating under documented leadership and oversight deficiencies that have now been independently identified.

It has also been suggested that a “healthy boundary” should exist between the public and city management.

I would ask:

Does that boundary mean distance from scrutiny—or clarity of roles and accountability within it?
Because the role of this Council is not to insulate governance from the public.

It is to ensure that governance aligns with law, process, fiscal responsibility, and the trust placed in it by the residents.

And more directly:

Are procedural bypass, undefined fiscal commitments, and independently identified financial mismanagement consistent with the standard of professionalism, transparency, and fiduciary stewardship this body is expected to uphold? If there is a systemic issue, it deserves a systemic, fact-based response—not a broad attribution of fault to the public itself.

Because when documented financial loss, procedural deviation, and independent findings are met with generalization rather than action, the issue is no longer public perception—it is governance.

Respectfully,
Tamara Sorensen
St. Helena Resident

Agendas Report to the City Council
Agenda Section: NEW BUSINESS
Department: Administrative Services Department
DATE: April 14, 2026
FROM: Mandy Kellogg, Director of Administrative Services SUBJECT: Approval of a Resolution 1. Appointing James McCann as Interim City Manager pursuant to Government Code section 21221(h), effective April 14, 2026; and 2. Approving an Interim Employment Agreement with James McCann for
service as Interim City Manager.

RECOMMENDED
ACTION:

Staff recommends approval of the attached resolution.

PREVIOUS COUNCIL
ACTION:

None.

STATEMENT OF THE
PURPOSE:

The purpose is to appoint James McCann as the Interim
City Manager to provide executive leadership and oversight of all City operations until a new City Manager is hired.

FINANCIAL IMPACT: Funding for the City Manager position that was previously approved in the FY 2025-26 and FY 2026-27 Biennial
Budget will be used to fund the interim appointment.

Therefore, there is no additional financial impact.

CEQA DETERMINATION: Not a CEQA Project (CEQA Guidelines §15378) BACKGROUND:

The City Manager’s Office provides executive leadership and oversight of all City operations, including implementation of City Council policy, organizational management, fiscal stewardship, and coordination of services across all departments. The City Manager plays a critical leadership role in guiding the organization, advising the City Council, ensuring service delivery, and advancing the City’s strategic priorities.

The current City Manager will be vacating the position due to an agreed separation effective April 13, 2026. Given the immediate nature of this transition and the breadth of responsibilities assigned to the role, City Council has determined that temporary executive leadership support is necessary to:

Page 521 of 539 ends

• Maintain continuity of operations and organizational oversight; • Provide stability and direction for staff during the transition; • Ensure continued implementation of City Council priorities and initiatives; and • Allow adequate time for recruitment and onboarding of a permanent City Manager.

The proposed interim arrangement will provide the City with experienced executive leadership during the transition period to ensure continuity in operations.

DISCUSSION:

Because the interim incumbent is a retired annuitant receiving CalPERS benefits, the City must comply with specific statutory requirements under the Government Code.

Upon the effective separation of the current City Manager in April 2026, the City Manager position will become vacant. At that time, Government Code section 21221(h) authorizes the appointment of a retired annuitant to a vacant position on an interim basis, subject to statutory limitations.

Council action is required to adopt a resolution ratifying the appointment of the retired annuitant as Interim City Manager and approving an interim employment agreement pursuant to section 21221(h).

James McCann will be compensated at a rate of $161.76 per hour, which is equal to the hourly rate for the departing City Manager, therefore is not less than the minimum, nor in excess of the maximum, paid by the City to other employees performing comparable duties as listed on the City's publicly-available pay schedule. Such compensation shall be the sole compensation for services under the attached agreement (Attachment 2).

The City shall not pay for vacation or holidays, nor any other job benefits available to an employee in the regular service of the City, except for Worker’s Compensation Insurance coverage or benefits required by state or federal law.

Approving the recommended resolution and agreement will ensure continuity of leadership within the City during a critical transition period, maintain service levels to the public, and allow the City adequate time to plan for permanent leadership succession.

ENVIRONMENTAL REVIEW:

None.

GOAL:

Goal 7: Enhance Organizational Effectiveness

This Agreement shall expire as of the first of the following to occur: (i) the date a permanent City Manager employed by CITY commences work for CITY; or (ii) upon EMPLOYEE working his 960th hour for all CalPERS Agencies during fiscal year 2025-2026 or his 960th hour in any subsequent fiscal year; or (iii) upon termination of the Agreement by either EMPLOYEE or CITY as provided below.

C. EMPLOYEE acknowledges that he is an at-will, temporary employee of CITY who shall serve at the pleasure of the City Council at all times during the period of his service hereunder and shall be subject to termination by the City Council at any time without advance notice and without cause. The terms of CITY's personnel rules, policies, regulations, procedures, ordinances, and resolutions regarding City management personnel (collectively "Personnel Policies"), as they may be amended or supplemented from time to time, shall not apply to EMPLOYEE, and nothing in this Agreement is intended to, or does, confer upon EMPLOYEE any right to any property interest in continued employment, or any due process right to a hearing before or after a decision by the City Council to terminate EMPLOYEE’s employment. Nothing contained in this Agreement shall in any way prevent, limit or otherwise interfere with the right of CITY to terminate the services of EMPLOYEE and nothing in this Agreement shall prevent, limit or otherwise interfere with the right of EMPLOYEE to resign at any time from this position with CITY.

4. COMPENSATION. CITY agrees to pay to EMPLOYEE for services rendered under this Agreement, the hourly rate of one hundred sixty-one dollars and seventy-six cents ($161.76). The City has confirmed that this hourly rate is not less than the minimum, nor in excess of the maximum, paid by the City to other employees performing comparable duties as listed on the City’s publicly-available pay schedule (monthly salary divided by 173.333 to equal an hourly rate). Payments will be made on regularly scheduled City payroll dates, and shall be subject to all applicable payroll taxes and withholdings. Such compensation shall be the sole compensation for Employee’s services under this Agreement. The City shall not pay for vacation or holidays, nor shall EMPLOYEE be entitled to any other job benefits available to an employee in the regular service of the City, except for Worker’s Compensation Insurance coverage or benefits required by state or federal law.

5. NOTICE. Notices required pursuant to this Agreement shall be given by personal service upon the party to be notified or by delivery of same to the custody of the United

6. HOURS OF WORK. EMPLOYEE shall devote the time necessary to adequately perform his duties as Interim City Manager. The parties anticipate that EMPLOYEE will work a sufficient number of hours per week allocated between regular business hours and hours outside of regular business hours including, without limitation, attendance at regular and special City Council meetings, community events and other CITY functions as the City Council may direct. However, in no event shall EMPLOYEE be required to work in excess of 960 hours in fiscal year 2025-2026 and 960 hours per each subsequent fiscal year for CITY, including hours worked for other CalPERS Agencies during such fiscal years. EMPLOYEE will comply with all applicable CalPERS regulations governing employment after retirement, including the recordation and reporting of all hours worked for CITY to CalPERS as may be required. CITY shall assist in any such reporting obligations to CalPERS. Additionally, EMPLOYEE shall keep CITY continually appraised of any hours worked by EMPLOYEE for other CalPERS Agencies during the term of this Agreement.

8. WAIVER. No waiver of any provision of this Agreement shall be deemed or shall constitute a waiver of any other provision whether or not similar, nor shall any such waiver constitute a continuing or subsequent waiver of the same provision. No waiver shall be binding, unless executed in writing by the party making the waiver.

9. CONFLICT OF INTEREST. Employee agrees that during the term of this Agreement, he will not maintain any financial interest or engage in any other contract employment, occupation, work, endeavor or association, whether compensated or not, that would in any way conflict with, or impair Employee’s ability to perform the duties described in this Agreement. Any work performed for the City outside the terms of this Agreement must be approved in advance in writing by the City Council.

10. STATUTORY REQUIREMENTS. This Agreement shall be deemed to incorporate by reference the provisions of Sections 53243 et seq. of the Government Code, as those provisions may be amended or renumbered.

11. ENTIRE AGREEMENT. This Agreement constitutes the entire Agreement of the parties considering the subject matter hereof and all prior agreements or understanding, oral or written, are hereby merged herein. This Agreement shall not be amended in any way except by a writing expressly purporting to be such an amendment, signed, and acknowledged by both of the parties thereto. If any portion or provision hereof is held to be unconstitutional, invalid, or unenforceable, the remainder of this Agreement or portion thereof shall be deemed severable and shall be effective and shall remain in full force and effect.

Agendas Report to the City Council
Agenda Section: NEW BUSINESS
Department: Administrative Services Department
DATE: April 14, 2026
FROM: Mandy Kellogg, Director of Administrative Services SUBJECT: Approval of a Resolution Authorizing a Budget Increase in the Amount of $457,287 Utilizing General Fund Reserves to Cover Expenses Related to the City Manager Separation
Agreement.

RECOMMENDED
ACTION:

Staff recommends approval of the attached resolution.

PREVIOUS COUNCIL
ACTION:

STATEMENT OF THE
PURPOSE:

The purpose of this report is to authorize a budget increase in the amount of $457,287 utilizing general fund reserves to cover expenses related to the City Manager Separation
Agreement.

FINANCIAL IMPACT: The financial impact is $336,467 for the Severance Package and $120,820 for Cash-Out of Accrued Leave per
the terms of the former City Manager's employment
agreement and the separation agreement. This will require a budget adjustment in the amount of $457,287 utilizing general fund reserves. The use of reserves may be
reduced by vacancy savings which will be reported at yearend close.

CEQA DETERMINATION: Not a CEQA Project (CEQA Guidelines §15378) BACKGROUND:

The City Manager is responsible for the overall administration and management of City operations, implementation of City Council policy direction, and oversight of municipal services. The City Manager is appointed by, and serves at the pleasure of, the City Council.

Following recent discussions, the City Council and the City Manager have mutually agreed to enter into a Separation Agreement that outlines the terms and conditions of

Page 531 of 539 ends

the City Manager’s voluntary resignation from City employment. In accordance with the Agreement, the City Manager will irrevocably resign effective April 13, 2026 (“Separation Date”).

DISCUSSION:

The proposed Resolution authorizes a one-time budget increase in the amount of $457,287, to be funded through the use of General Fund reserves, in order to fulfill the City’s contractual obligations under the Separation Agreement.

The Separation Agreement includes a severance provision equivalent to twelve (12) months of the City Manager’s current base salary, totaling $336,467, to be paid in a lump sum, less applicable taxes and withholdings. In addition, the City Manager will receive a cash-out of all accrued and unused leave balances, including vacation, sick leave, and floating holidays, totaling $120,820. The terms of the Separation Agreement are in conformance with the terms of the City Manager's employment agreement regarding separation from service.

The total fiscal impact of the Separation Agreement is $457,287. Sufficient appropriations were not included in the current fiscal year budget for these unanticipated expenses; therefore, a budget amendment is required to appropriate funds from General Fund reserves to cover the total cost. The use of reserves may be reduced by vacancy savings which will be reported at year-end close.

Approval of the Resolution will allow the City to meet its legal and contractual obligations in a timely manner.

ENVIRONMENTAL REVIEW:

None.
