DISCUSSION OF CITY OF STOCKTON’S FRANCHISE AGREEMENTS AND COMMERCIAL

SOLID WASTE COLLECTION SERVICES (CITYWIDE)

RECOMMENDATION
Receive information regarding the City’s Franchise Agreements and recent requests to allow a third company to provide commercial solid waste collection services and provide direction from the City Council as to desired next steps, if any.

Summary
Commercial solid waste collection services are currently provided by Republic Services and Waste Management via two City Council-granted Franchise Agreements. Staff seeks direction from the City Council as to whether they would like to consider adding a third service provider for non-exclusive commercial solid waste collection services.

1. City Council can direct staff to engage with its current franchisees and the requesting party, California Waste Recovery Systems (Cal-Waste), to discuss the addition of a third company to provide commercial solid waste collection on a non-exclusive basis.

2. City Council can decide to take no action. The current franchise agreements expire on December 31, 2029. Staff would return to the City Council at a future date to request issuance of a Request for Proposal (RFP) to procure future solid waste services.

DISCUSSION
Background
On March 11, 2003, the City Council issued Resolution No. 03-0119 which authorized the City Manager to notify, in writing, the three City permitted commercial and industrial solid waste collectors, Sunrise Sanitation, Stockton Scavengers, and Cal-Waste, of the City's intent to grant an exclusive solid waste collection franchise pursuant to Sections 40059 and 49520 of the Public Resources Code and Article XI of the City Charter. This resolution also issued notice that new commercial and industrial solid waste collection permits would not be accepted in anticipation of granting an exclusive solid waste collection franchise.

Resolution 03-0119 states “the City Manager is hereby authorized and directed to notify, in writing, all City-permitted commercial and industrial solid waste collectors of the City’s intent to grant an exclusive solid waste collection franchise…”.

On April 29, 2003, the City Council approved three ordinances. Ordinance Nos. 014-03 and 013-03 granted exclusive 15-year residential and commercial solid waste, recycling, green waste, food waste, and street sweeping agreements to Sunrise Sanitation, Inc. (dba Republic Services) and USA Waste of California, Inc. (dba Waste Management).

The effective start date was June 1, 2004, with the base term expiring on May 31, 2019. Ordinance 015-03 amended Stockton Municipal Code Section 7-059 allowing the existing permittees to continue to collect industrial waste through May 30, 2009. The amendment also provided up to two additional renewal terms with a final permit expiration date of May 30, 2019.

At the same meeting, City Council also approved a solid waste service rate schedule which standardized service rates for both residential and commercial services. Standardized commercial service rates mean that regardless of the chosen service provider, the cost of service remains the same. By removing the monetary aspect, both franchisees compete for customers based on quality of service and customer service experience.

In 2018, staff began looking to procure solid waste collection services past 2019. Since City Charter Article XX, Section 2000 requires the City to “provide for a competitive method of awarding contracts for public works…”, staff began preparations to issue a competitive RFP.

On September 7, 2018, the City exercised its right to extend the two solid waste franchise agreements and issued an extension letter to Republic Services and Waste Management. The new franchise expiration date was December 31, 2021. Section II, subsection B of Ordinances Nos. 014- 03 (Sunrise Sanitation, dba Republic Services) and 013-03 (USA Waste of California, Inc. dba Waste Management) states “The City Council of the City of Stockton hereby grants to [Company Name], an exclusive franchise to collect those certain solid wastes and other materials, within the City of Stockton as specified in the Agreement.”
At the September 18, 2018, City Council meeting, staff recommended the City procure solid waste services through a competitive RFP process. At this meeting, City Council instead directed staff to first negotiate with its long-standing franchisees, Republic Services and Waste Management. The City Council also directed staff to report back on whether negotiations were successful. If negotiations failed, the City Council would then approve the issuance of the RFP.

Negotiations were successful and, on November 5, 2019, the City Council approved new 10-year franchise agreements with Republic Services and Waste Management (Attachment A). The current franchise terms are consistent with the prior franchise agreement while also providing additional programs and services which support current and future State policies. The effective start date was January 1, 2020, with the base term expiring on December 31, 2029.

Residential services are based on a defined (“exclusive”) service area for each franchisee (Attachment B). Commercial waste collection services are based on an open market (“nonexclusive”) which means businesses are allowed to choose waste collection services from either Republic Services or Waste Management. Residential and commercial service areas, as defined, have remained unchanged since approved in 2004.

Present Situation
Cal-Waste approached the City to request consideration of adding a third commercial service provider. Cal-Waste is based in Galt, CA, and is a long-standing business providing residential, commercial, and industrial waste collection services in various California communities. In Stockton, Cal-Waste, along with Republic Services and Waste Management, provides industrial waste collection services under City Council-issued Industrial Waste Collector permits authorized by Resolution 2024-11-12-1216.

Given the history detailed above, staff considers the current agreements exclusive Franchise Agreements as addressed below.
· The agreements reference an “exclusive right” to provide solid waste collection services in Stockton and require the parties to enforce the exclusive nature of the franchise. · The City Council’s stated desire during the September 18, 2018, City Council meeting to continue working with its two long-standing community partners, Republic Services and Waste Management, rather than issue an RFP.
· The lack of substantial changes between the previous and current franchise agreements. o All services remain intact between the two agreements. The only significant changes are the addition of services and programs to ensure SB 1383 compliance, and the transfer of residential garbage service billing from the City of Stockton to each service provider.
o Residential service areas remained defined (“exclusive”) while commercial service areas remained open market (“non-exclusive”).
· Lastly, the agreements were approached as a continuation of the previous Franchise Agreements, with program additions and improvements, as no alternative direction was provided by the City Council.

In light of this new request and given the history and contractual obligations with its current haulers, staff now comes to the City Council seeking guidance on its desired next steps.

1. City Council can direct staff to engage with its current franchisees and the requesting party, Cal-Waste, to discuss the addition of a third company to provide commercial solid waste collection on a non-exclusive basis.

2. City Council can decide to take no action. The current franchise agreements expire on December 31, 2029. Staff would return to the City Council at a future date to request issuance of an RFP to procure future solid waste services.

DISCUSSION
Background
The project site is located at 501 and 509 West Weber Avenue, at the northwest corner of Weber Avenue and Lincoln Street (Attachment A). The project is in the process of renovating two five-story buildings (one building includes a basement) including on- and off-site improvements. Upon completion, the majority of City departments will be relocated into the buildings. The project was included in the 2018-23, 2019-24, 2020-25, and 2021-26 Five-Year CIPs and funded by multiple funding sources.

On December 17, 2019, by Motion No. 2019-12-17-1108, Council awarded a Standard Agreement in the amount of $1,392,900 to Indigo of Davis, CA, for architectural design and engineering/construction drawings for Tenant Improvements to the Waterfront Towers for the Relocation of City Hall project.

Standard Agreement Amendments Nos. 1 through 13 with Indigo were previously approved for various changes needed during the design and construction phases. In the construction phase, the architect plays an integral role in providing design support. Building remodel projects of this size and complexity often experience unforeseen site conditions that require a team approach to resolve. The contractor, architect, and construction management staff all collaborate to resolve construction issues. The architect is required to respond to requests for information from the contractor because they are the architect of record. Construction issues often require input from the architect, or modification to the original design to address field conditions. While these issues are expected to decrease as the project progresses, the volume of changes on a project of this size requires constant attention. The project is nearing completion and Standard Agreement Amendment No. 14 with Indigo will ensure that architectural support is maintained through completion and closeout of the project.

On November 16, 2021, by Resolution No. 2021-11-16-1205, Council awarded a Professional Services Contract in the amount of $722,000 to Griffin of Santa Clara, CA, for construction management services for the New City Hall Renovations and Relocation, Project No. E016015.

Professional Services Contract Amendments Nos. 1 through 10 with Griffin were previously approved for additional enhanced scheduling, material testing, handling of field changes and material supply chain issues, utilities coordination, and other project issues that extended the time needed to City of Stockton Page 2 of 4 Printed on 6/5/2026
powered by Legistar™728

complete the project. Griffin provides day-to-day inspection, oversight, reporting and other contract management duties. Professional Services Contract Amendment No. 11 with Griffin will ensure that construction management services can be maintained completion and closeout of the project.

Present Situation
The project is approximately 95 percent complete. The project is a highly complex adaptive reuse and remodel project. Unforeseen field conditions, code compliance corrections, utility coordination, and project additions are common for projects like these. These factors together with supply chain disruptions during Covid and project additions increased both the cost and time to complete the project. Construction management services is necessary through project completion and closeout.

The architectural team is also needed to resolve architectural field issues, provide more design information to the contractor and prepare design adjustments. Consequently, as the project duration increased, additional services were required from Indigo and Griffin to complete and close out the project.

Indigo has submitted Standard Agreement Amendment No. 14 in the amount of $200,000 to provide continuing architectural support and direction to the contractor with design modifications resulting from ongoing field changes. It is recommended that Council approve a motion to authorize Standard Agreement Amendment No. 14 in the amount of $200,000 with Indigo for design support during construction for the New City Hall Renovations and Relocation, Project No. E016015. The additional services will enable Indigo to support the project through completion and closeout of the project. To date, 13 Standard Agreements Amendments totaling $6,638,133 have been approved with Indigo.

Upon approval of Standard Agreement Amendment No. 14, the revised total contract amount will be $6,838,133 (Attachment B).

Griffin has submitted Professional Services Contract Amendment No. 11 in the amount of $320,989 to provide construction management services to complete and closeout the project. It is recommended that Council approve a motion to authorize Professional Services Contract Amendment No. 11 in the amount of $320,989 with Griffin for construction management services for the New City Hall Renovations and Relocation, Project No. E016015. To date, 10 Professional Services Contract Amendments totaling $3,276,759 have been approved with Griffin. Upon approval of Professional Services Contract Amendment No. 11, the revised total contract amount will be $3,597,748 (Attachment C).

Staff are presently entering final stages of construction. Staff have been moved into buildings 1 and 2 under a temporary occupancy permit. Staff are working to finalize all outstanding construction work that will lead to a final occupancy and permit sign off. In addition, staff is working to complete the installation of parking lot cameras, a trash enclosure, and a building for the backup generator which were not part of the original construction contract. Constructing a highly complex adaptive reuse and remodel project like new city hall typically takes longer for reasons noted above. As with other projects, delaying construction completion will increase the contractor’s costs for rental equipment, material trailers, contractor field offices, utility services, and field office overhead. Staff is presently reviewing Roebbelen increased costs for the extended construction period together with other disputed contract work. Upon final review of all project closeout costs and claim issues, staff will negotiate a final contract settlement with the contractor and return to Council for final approval.

Re: Amendment No. 14 – Add Construction Administration services, Tenant Improvement to the Waterfront Towers, for the Relocation of City Hall, Stockton, CA, PUR 18-016 Dear Josh,
This amendment is for a City-requested change in the scope of work for the project since execution of the original Phase II contract dated 12/17/19, and through Amendment No. 13. All terms and conditions of the original agreement and all prior amendments remain in full force and effect. This proposal has been revised in accordance with your request.

Included are background, description of change in the scope of services, any change in contract time and cost. The term Consultant or Indigo where used in this amendment has the same meaning as Contractor in the original agreement, which refers to consultant Indigo and its various engineering team members.

The term Contractor where used in this amendment refers to the licensed building Contractor the City has hired to construct the project.

Background
Following change of service work is added by this Amendment No. 14. • MAIN PROJECT: City has requested that Indigo and its engineering and other subconsultants continue to provide construction support services beyond the increased fee provided by Amendment No. 13. Contractor’s 3/27/26 schedule shows these punch list dates: Building 2 by 5/22/26; Building 1 and Pump House by 7/17/26: and Building 2 with Sitework by 8/19/26.Building 2 Final Certification of Occupancy is scheduled for 8/21/26. Building 1 Final Certification of Occupancy is scheduled for 8/31/26. Realistically, with an additional 1 month for remaining commissioning and final certifications, the project and services provided by this amendment are estimated complete by 10/1/26.

Change to Scope:

These services are not part of the original scope of the project or prior amendment, but have become necessary to complete the design and construction of the project. Additional work includes:
• MAIN PROJECT: The additional fee provided by Amendment No. 13 will be insufficient to close out the project, given the Contractor’s slow progress. Additional design construction support services remain, especially as City has had to move in prior to substantial completion. Services include final inspection and closeout of each building and the sitework separately, RFI response, and ASI preparations. To conserve fee consumption on this project, the remaining work will be streamlined in accordance with Attachment A – Scope of Work to Completion.

Changes to Contract Time:

No change to the current contract termination date of December 31, 2026 established by Amendment

13. Changes to Contract Cost:

Amendment No. 13 provided 5 additional construction support services for the Main Project from 3/1/26 through 8/1/26. This Amendment No. 14 provides $200,000 for the 2 additional months from 8/1/26 to the currently projected completion date of 10/1/26 at an average rate of $100,000 per month as described below. While this is intended to complete the construction support work, the level of effort required to do so is indeterminate due to ongoing poor performance of the Contractor and its failure to fix punch-list items or follow close-out procedures in a timely way. We remain available to perform work which City may request beyond that described in Attachment A, however will be on the basis of further amendment. All work will continue to be billed on a time-and-material basis based on the updated rates provided by prior amendment.

Cost Allowance – Main Project
Construction administration activity (2 mo. x avg. $100,000 = $200,000) $200,000.

Total estimated amount, Main Project $200,000.

Note this fee extension does not include any additional time or services beyond approximately 10/1/26 for the Main Project and 12/31/26 for the Separate Bid Project should the City require it, if completion runs long, or if work by other subconsultants becomes required. It does not include any contingency for unexpected expense, and further amendment may be required. Project contract summary follows.

DISCUSSION
Background
Public Works is responsible for the maintenance of approximately 500 HVAC units throughout Cityowned facilities. HVAC maintenance and repair services are required to maintain the functional operation of individual systems at each location. Public Works does not have sufficient staffing to provide routine maintenance, troubleshooting, planned repairs, and emergency repairs at all City facilities.

On January 9, 2024, by Motion No. 2024-01-09-1210, Council awarded a Service Contract, in the amount of $900,000, to American Chiller Service, Inc. of Modesto, CA, for the On-Call HVAC Equipment Repair and Maintenance Services, Project No. OM-24-012. The Service Contract provides for on-call responses to repairs and maintenance of approximately 500 HVAC units throughout City-owned facilities.

On March 26, 2025, Public Works executed CCO No. 1, in the amount of $190,000, with American Chiller Service, Inc., to provide maintenance and repair services to the boiler and the cooling tower at City Hall.

On June 24, 2025, by Motion No. 2025-06-24-1214, Council approved CCO No. 2, in the amount of $561,230, to provide additional work on the cooling tower at the PD Ops building, replacement of the boiler feed tank at City Hall, and address additional maintenance and repair services to maintain the functional operation of individual systems at City-owned facilities. CCO No. 2 also increased the annual contract amount to provide additional maintenance and repair services to maintain the functional operation of individual systems at City-owned facilities.

In recent years, Public Works has seen an unprecedented number of HVAC units fail completely, requiring emergency repair and equipment acquisition at increased costs. Many of the HVAC units throughout City-owned facilities are at or beyond their life expectancy and now require significant repairs or upgrades beyond standard preventative maintenance. City staffing limitations and increasing material costs have elevated the need for expanded on-call support.

Present Situation
Due to the corrosive conditions at MUD’s RWCF and the aging infrastructure at MUD’s DWTP, the demand for HVAC maintenance services has exceeded the current contract capacity.

HVAC systems at the RWCF operate in a highly corrosive environment due to the presence of airborne chemicals and gases associated with wastewater treatment processes. These conditions accelerate the deterioration of mechanical and electrical components. As a result, HVAC systems at the RWCF require more frequent inspections, ongoing maintenance, and timely repairs to remain operational.

In addition, the HVAC systems at the DWTP are aging and require increased maintenance support to ensure continued reliability. As equipment reaches the end of its useful life, the frequency of service calls, repairs, and parts replacement has increased. Proactive maintenance is necessary to sustain system performance and avoid unplanned failures.

CCO No. 3 will provide additional repair and replacement work at the MUD’s RWCF and MUD’s DWTP.

FINANCIAL SUMMARY
The increase in the Service Contract will be divided amongst the remaining fiscal years of the contract with American Chiller Service, Inc. in the following amounts:

Fiscal Year 2025-26 $ 25,000
Fiscal Year 2026-27 $100,000
Fiscal Year 2027-28 $100,000

DISCUSSION
Background
Federal and State ATP funds are available for projects that encourage increased use of active modes of transportation such as walking and bicycling. In 2020, Public Works submitted the Downtown EastWest Connection Improvements grant application for the ATP Cycle 5 program. The project was awarded $1,799,000 in Regional ATP funds. Measure K and Public Facility Fee - Air Quality funds were used for the required local match. The project was identified in the Greater Downtown Stockton ATP, Project No. PW1601, and was included in the 2021-26 Five-Year CIP.

The project will restripe the roadway to add bicycle facilities, upgrade sidewalk corners to ADA standards, install speed cushions, RRFB, crosswalks, signal timing improvements, and new signage along the following corridors:
· Park Street and Oak Street between Pershing Avenue on the west and Wilson Way; · Fremont Street between El Dorado Street and Sierra Nevada Street; · Pilgrim Street between Fremont Street and Park Street; · Yosemite Street between Oak Street and Rose Street; and · Pershing Avenue between Fremont Street and Park Street.

762
REV 2025-06-04

Any available insurance proceeds in excess of the specified minimum limits of insurance and coverage shall be available to the City of Stockton.

Self-Insured Retentions
Self-insured retentions must be declared to and approved by the City of Stockton. The City of Stockton may require the Contractor to purchase coverage with a lower retention or provide proof of ability to pay losses and related investigations, claim administration, and defense expenses within the retention. The policy language shall provide, or be endorsed to provide, that the self-insured retention may be satisfied by either the named insured or City of Stockton. The CGL and any policies, including Excess liability policies, may not be subject to a self-insured retention (SIR) or deductible that exceeds $25,000 unless approved in writing by City of Stockton. Any and all deductibles and SIRs shall be the sole responsibility of Contractor or subcontractor who procured such insurance and shall not apply to the Indemnified Additional Insured Parties. City of Stockton may deduct from any amounts otherwise due Contractor to fund the SIR/deductible. Policies shall NOT contain any self-insured retention (SIR) provision that limits the satisfaction of the SIR to the Named Insured.

The policy must also provide that Defense costs, including the Allocated Loss Adjustment Expenses, will satisfy the SIR or deductible. City of Stockton reserves the right to obtain a copy of any policies and endorsements for verification.

Other Insurance Provisions
The insurance policies are to contain, or be endorsed to contain, the following provisions:

The City of Stockton, its officers, officials, employees, and volunteers are to be covered as additional insureds on the CGL policy with respect to liability arising out of work or operations performed by or on behalf of the Contractor including materials, parts, or equipment furnished in connection with such work or operations and automobiles owned, leased, hired, or borrowed by or on behalf of the Contractor.

For any claims related to this project, the Contractor’s insurance coverage shall be primary and non-contributory insurance coverage at least as broad as ISO CG 20 01 04 13 as respects the City of Stockton, its officers, officials, employees, and volunteers. Any insurance or self-insurance maintained by the City of Stockton, its officers, officials, employees, or volunteers shall be excess of the Contractor’s insurance and shall not contribute with it. This requirement shall also apply to any Excess or Umbrella liability policies. The City of Stockton does not accept endorsements limiting the Contractor’s insurance coverage to the sole negligence of the Named Insured.

3. Each insurance policy required by this clause shall provide that coverage shall not be canceled, except with notice to the City of Stockton.

Builder’s Risk (Course of Construction) Insurance
Contractor may submit evidence of Builder’s Risk insurance in the form of Course of Construction coverage. Such coverage shall name the City of Stockton as a loss payee as their interest may appear.

Verification of Coverage
Contractor shall furnish the City of Stockton with original certificates and amendatory endorsements or copies of the applicable policy language effecting coverage required by this clause and a copy of the Declarations and Endorsements Pages of the CGL and any Excess policies listing all policy endorsements. All certificates and endorsements and copies of the Declarations & Endorsements pages are to be received and approved by the City of Stockton before work commences. However, failure to obtain the required documents prior to the work beginning shall not waive the Contractor’s obligation to provide them. The City of Stockton reserves the right to require complete, certified copies of all required insurance policies, including EXHIBIT B Page 16 of 119 EXHIBIT 1

APPENDIX A of the Title VI Assurances
During the performance of this Agreement, the contractor, for itself, its assignees and successors in interest (hereinafter collectively referred to as CONSULTANT) agrees as follows:
a. Compliance with Regulations: CONSULTANT shall comply with the regulations relative to nondiscrimination in federally assisted programs of the Department of Transportation, Title 49, Code of Federal Regulations, Part 21, as they may be amended from time to time, (hereinafter referred to as the REGULATIONS), which are herein incorporated by reference and made a part of this agreement.
b. Nondiscrimination: CONSULTANT, with regard to the work performed by it during the AGREEMENT, shall not discriminate on the grounds of race, color, sex, national origin, religion, age, or disability in the selection and retention of sub-applicants, including procurements of materials and leases of equipment.

CONSULTANT shall not participate either directly or indirectly in the discrimination prohibited by Section 21.5 of the Regulations, including employment practices when the agreement covers a program set forth in Appendix B of the Regulations.
c. Solicitations for Sub-agreements, Including Procurements of Materials and Equipment: In all solicitations either by competitive bidding or negotiation made by CONSULTANT for work to be performed under a Sub- agreement, including procurements of materials or leases of equipment, each potential sub-applicant or supplier shall be notified by CONSULTANT of the CONSULTANT’S obligations under this Agreement and the Regulations relative to nondiscrimination on the grounds of race, color, or national origin. d. Information and Reports: CONSULTANT shall provide all information and reports required by the Regulations, or directives issued pursuant thereto, and shall permit access to its books, records, accounts, other sources of information, and its facilities as may be determined by the recipient or FHWA to be pertinent to ascertain compliance with such Regulations or directives.

Where any information required of CONSULTANT is in the exclusive possession of another who fails or refuses to furnish this information, CONSULTANT shall so certify to the recipient or FHWA as appropriate, and shall set forth what efforts CONSULTANT has made to obtain the information. e. Sanctions for Noncompliance: In the event of CONSULTANT’s noncompliance with the nondiscrimination provisions of this agreement, the recipient shall impose such agreement sanctions as it or the FHWA may determine to be appropriate, including, but not limited to:

f. Incorporation of Provisions: CONSULTANT shall include the provisions of paragraphs (1) through (6) in every sub-agreement, including procurements of materials and leases of equipment, unless exempt by the Regulations, or directives issued pursuant thereto.

CONSULTANT shall take such action with respect to any sub-agreement or procurement as the recipient or FHWA may direct as a means of enforcing such provisions including sanctions for noncompliance, provided, however, that, in the event CONSULTANT becomes involved in, or is threatened with, litigation with a sub-applicant or supplier as a result of such direction, CONSULTANT may request the recipient enter into such litigation to protect the interests of the State, and, in addition, CONSULTANT may request the United States to enter into such litigation to protect the interests of the United States.
