CITY OF VACAVILLE

CITY COUNCIL

STAFF REPORT
Meeting Date: October 13, 2026
To: Honorable Mayor and City Council Members
Attention: Savita Chaudhary, City Manager
From: Erin Morris, Community & Economic Development Department (Erin Morris, Director of Community & Economic Development (707) 449-5307)
Subject: Resolution of the City Council of the City of Vacaville authorizing the City Manager to execute a Purchase and Sale Agreement with Green Acres Nursery and Supply, LLC for a 13.45 acre property located at 50 Nut Tree Road, and authorizing the City Manager or designee to execute all necessary deeds and
escrow documents to effectuate the sale of the property.

Actions for Consideration:

Adoption of a resolution to authorize the City Manager to execute a Purchase and Sale Agreement with Green Acres Nursery and Supply, LLC for a 13.45-acre property located at 50 Nut Tree Road, including APNs 0129-240-560 (10.08 AC), 0129-240-310 (2.22 AC), and 0129-240-320 (1.17 AC), and authorizing the City Manager or designee to execute all necessary deeds and escrow documents to effectuate the sale of the property.

Recommendations:

By simple motion, adopt the subject resolution.

Background:

Green Acres Nursery and Supply LLC (“Green Acres”) is a privately owned company with seven retail locations in California and two stores in Texas. The closest Green Acres stores to Vacaville are located in Sacramento and Elk Grove, and there are no existing Green Acres locations east of Sacramento. The Vacaville store would be modeled after the newest Roseville store and would consist of an approximately 27,500 square foot retail building, a 13,800 square foot greenhouse, a 25,500 square foot lath house, and approximately 236 parking spaces. In addition to retail plants, outdoor living goods (patio furniture, grills, and high-end accessories) would be sold. If constructed in Vacaville, Green Acres is anticipated to be a Top 25 sales tax revenue generator for the City.

Item 12.d
The 13.45-acre property located at 50 Nut Tree Road was previously developed with Travis Credit Union Park. The property, which is comprised of three parcels, is on the northerly side of Nut Tree Road adjacent to the Nut Tree Airport. Vacant land owned by Solano Community College is to the west and the new Valley Strong Credit Union is located to the east. The property is irregularly shaped and has a drainage feature running along the north, which separates a portion of the property from the remaining property. Based on these existing features, approximately 9 acres of the property are developable.

In 2021, the City began efforts to attract Green Acres to the City of Vacaville. In January 2022, the City completed the Surplus Land Act process for the site. The property was appraised in 2022, 2023, and 2026, and City staff have met with Green Acres numerous times in support of various due diligence activities. In May 2026, City Council directed staff to prepare a Purchase and Sales Agreement. In July 2026, the City and Green Acres executed an at-risk letter agreement regarding the submission of development entitlement applications prior to close of escrow. Under this agreement, Green Acres may submit development applications at their own risk and expense, prior to the close of escrow. The letter agreement does not obligate the City to approve any entitlement(s), or guarantee that the property will be ultimately conveyed to Green Acres. This arrangement allows the entitlement process to run concurrently with the Purchase and Sale Agreement negotiation and execution, reducing overall project delivery time.

Discussion:

The City is now appropriately positioned to initiate the process of disposing of the declared surplus properties and execute the negotiated Purchase and Sale Agreement (Attachment 2) with Green Acres to sell the property for $2,000,000. If approved by Council this evening, City staff will work with Green Acres to finalize the Agreement while Green Acres also continues pursuing land use entitlements and construction permits to build a Vacaville Green Acres store.

The Purchase and Sale Agreement (“PSA”), attached in draft form to this report, establishes the proposed terms and conditions of the property sale. Terms of particular note are outlined below:

1. The City will receive a deposit of $100,000 within three days of the effective date of the PSA, applied toward the purchase price at close of escrow or retained by City in the event of a termination of the PSA due to the buyer’s default, as defined in the PSA.

2. Escrow will close on or before July 31, 2027, and Green Acres will have 210 days from the Effective Date of the PSA to complete all due diligence activities contemplated by the PSA, including to cooperate with the City regarding a potential sales and use tax sharing agreement.

Green Acres will provide copies of all studies, reports, and other due diligence materials it obtains to the City within ten days of the due diligence period expiring or being terminated.

3. The Property is sold in “as-is” condition, and Green Acres will rely only on its own investigation and analysis in agreeing to purchase the Property.

In sum, the proposed project will result in job creation and additional revenue to the City, providing significant economic benefits. The project anticipates making a substantial capital investment in Item 12.d
bringing the project online, and will create approximately 200 temporary construction jobs, between field roles and support roles, and 25 part-time and 30 full-time positions when the business is operational. In addition, the City will now begin to receive income from property taxes on these parcels, as the City does not currently pay property taxes as the owner of the site. There will also be substantial annual sales tax revenue resulting from the operation of the business. Based on the facts presented here and the negotiated draft of the PSA, City staff believes that the sale and development of this property for this purpose is in the best interest of the City.

Environmental Impact:

This action is exempt from the California Environmental Quality Act (CEQA) because it is not a project that has the potential to result in either a physical change in the environment or a reasonably foreseeable indirect physical change in the environment, pursuant to California Code of Regulations Title 14 Section 15378(b)(5). Future entitlements or permit approvals may require additional and separate CEQA review, which will occur at the time of such entitlement or approval as required by law.

Fiscal Impact:

Amount Requested: There are no funds requested for this item.

Funding Source: Community Development (2022).

Budget Distribution: The costs of staff time associated with this item are covered within the existing Community and Economic Development Department operating budget.

Alternatives:

The City Council could decline to approve the Purchase and Sale Agreement with Green Acres.

This is not recommended because the proposed sale would allow Green Acres to pursue land use entitlements and construction permits to build a Green Acres store in Vacaville on a site that has been vacant for decades.

Buyer shall use commercially reasonable efforts to ensure that any Due Diligence Materials obtained by Buyer from third-party consultants, investigators, or contractors in connection with Buyer's due diligence investigation of the Property can be delivered to Seller as contemplated by this Section. Within 60 days after the Effective Date, Buyer will submit an application for design review on the City’s designated form, which City will process with all reasonable speed. Upon City providing an initial review letter response to Buyer’s design review application, Buyer will have an additional 30 calendar days to provide a completed design review application responsive to any issues raised by City in its initial review letter.

13. ACCESS. Buyer's right to access the Property for purposes of conducting due diligence inspections and investigations during the Due Diligence Period shall be governed by the Right of Entry Agreement executed by the Parties on May 23, 2026 (the "Right of Entry Agreement"), a true and correct copy of which is attached hereto as Exhibit F and incorporated herein by this reference. The Right of Entry Agreement shall survive execution of this Agreement and shall remain in full force and effect through the expiration or earlier termination of the Due Diligence Period. In the event of any Item 12.d
5354595.1
conflict between the terms of the Right of Entry Agreement and this Agreement with respect to Buyer's access to the Property, the terms of this Agreement shall control. Buyer's obligations under the Right of Entry Agreement, including without limitation any insurance, indemnification, and restoration obligations, are hereby reaffirmed and shall be enforceable under this Agreement as if fully set forth herein.

Within the Due Diligence Period, if Buyer determines, in its sole and absolute discretion, that the Property is not acceptable to Buyer for any reason or no reason, Buyer may terminate this Agreement by delivering written notice to Seller and Escrow Holder prior to expiration of the Due Diligence Period. Upon such termination, the Deposit shall be returned in full to Buyer and neither party shall have any further obligation to the other, except as expressly survives termination under this Agreement.

14.1. If Buyer does not timely deliver a termination notice in a manner provided for in this Section 14, Buyer shall be deemed to have approved the Property in all respects and waived all termination rights under this Section.

15. AS-IS CONVEYANCE. EXCEPT AS MAY BE EXPRESSLY SET FORTH HEREIN AND SELLER’S REPRESENTATIONS CONTAINED HEREIN, THE PROPERTY IS BEING SOLD STRICTLY "AS IS, WHERE IS, WITH ALL FAULTS." SELLER MAKES NO REPRESENTATION OR WARRANTY, EXPRESS OR IMPLIED, OF

ANY KIND WHATSOEVER REGARDING THE PROPERTY, ITS CONDITION, SUITABILITY FOR ANY USE,

COMPLIANCE WITH APPLICABLE LAWS, OR THE ACCURACY OR COMPLETENESS OF ANY DOCUMENTS OR INFORMATION PROVIDED. EXCEPT AS MAY BE EXPRESSLY SET FORTH HEREIN AND SELLER’S

REPRESENTATIONS CONTAINED HEREIN, BUYER ACKNOWLEDGES THAT IT IS RELYING SOLELY UPON ITS OWN INVESTIGATION AND ANALYSIS OF THE PROPERTY. BUYER FURTHER ACKNOWLEDGES AND

AGREES THAT, AS OF THE CLOSE OF ESCROW, BUYER SHALL WAIVE ANY AND ALL CLAIMS AGAINST

SELLER ARISING OUT OF THE CONDITION OF THE PROPERTY, EXCEPT FOR CLAIMS ARISING FROM SELLER'S FRAUD OR WILLFUL CONCEALMENT OR SELLER’S BREACH OF A REPRESENTATION OF SELLER CONTAINED HEREIN.

16. SELLER'S REPRESENTATIONS. Seller hereby represents and warrants to Buyer, as of the Effective Date and as of the Close of Escrow, the following:

16.1. Authority. The City has full legal power and authority to execute, deliver, and perform this Agreement. This Agreement has been duly authorized by the City Council of the City of Vacaville and constitutes the legal, valid, and binding obligation of Seller, enforceable in accordance with its terms.

16.2. No Pending Litigation. To Seller's actual knowledge, there is no pending or threatened litigation, action, or proceeding affecting the Property that has not been disclosed to Buyer.

16.3. No Violations. To Seller's actual knowledge, Seller has received no written notice of any uncured violation of any applicable law, code, or regulation affecting the Property.

Item 12.d
5354595.1

16.4. Surplus Land Act Compliance. Seller has complied with all requirements of the California Surplus Land Act (Government Code §§ 54220 et seq.) applicable to the disposition of the Property.

16.5. CEQA Compliance. Prior to execution of this Agreement, the City has completed all required environmental review under the California Environmental Quality Act (Public Resources Code §§ 21000 et seq.) in connection with the proposed sale of the Property. The Parties acknowledge that additional environmental review under CEQA may be required in connection with Buyer's proposed development or use of the Property following Close of Escrow, and that any such subsequent CEQA review shall be the sole responsibility of Buyer and is not addressed by, governed by, or a condition of this Agreement.

16.6. Occupancy Agreements. There are no agreements (whether oral or written) affecting or relating to the right of any party with respect to the possession of the Property or any portion thereof, which are obligations which will affect the Property or any portion thereof subsequent to the recordation of the Grant Deed.

16.7. Maintenance Contracts. There are no maintenance, service or other agreements (whether oral or written) affecting or relating to the Property.

16.8. Documents and Materials. To Seller’s actual knowledge, the documents prepared by or at the direction of Seller and delivered to Buyer pursuant to this Agreement are true and correct copies of such documents as maintained in Seller's files. With respect to any studies, reports, analyses, or other documents prepared by third-party consultants or contractors and delivered to Buyer, Seller makes no representation as to the accuracy, completeness, or fitness for any particular purpose of such materials, and Buyer's sole recourse with respect to the contents thereof shall be against the preparer. To Seller’s actual knowledge, Seller has not intentionally withheld from Buyer any documents in Seller's possession that are material to the physical condition, title, or permitted use of the Property; provided, however, that Seller does not represent that all documents that may exist relative to the Property have been identified or located, and Buyer is advised to conduct its own independent investigation.

17. BUYER'S REPRESENTATIONS. Buyer hereby represents and warrants to Seller, as of the Effective Date and as of the Close of Escrow, the following:

17.1. Authority. Buyer has full legal power and authority to execute, deliver, and perform this Agreement, and the person executing this Agreement on Buyer's behalf has full authority to do so.

17.2. No Reliance on Seller. Buyer has conducted its own independent investigation of the Property and is not relying on any representation or warranty of Seller except as expressly set forth in Section 16.

18. BROKER COMMISSION. Seller and Buyer shall equally divide the cost of the commission payable to Robb Osborne working under Brooks Ralph Borror (License number: 00886285) equal to five Item 12.d
5354595.1
percent of the Purchase Price (the “Commission”), to be paid through escrow on the Closing Date. If escrow fails to close for any reason, no Commission shall be earned, due, or payable, and the broker shall have no claim against Seller, Buyer, or the Property with respect to the Commission.

Notwithstanding the foregoing, if escrow fails to close solely due to Seller's default, Seller shall remain obligated to pay the Commission to the broker in accordance with any separate written agreement between Seller and the broker governing such circumstance. Each party represents and warrants to the other that it has not engaged or dealt with any real estate broker, agent, or finder in connection with this transaction other than the broker herein identified. Each party shall indemnify, defend, and hold harmless the other party from and against any and all claims, demands, losses, costs, and expenses (including reasonable attorneys' fees) arising from any breach of such party's representation, including any claim by any unauthorized broker or finder claiming through such party.

19. CONDITIONS TO BUYER'S OBLIGATIONS. Buyer's obligation to close Escrow is conditioned upon satisfaction, or Buyer's written waiver, of each of the following:

19.1. Title Company's unconditional commitment to issue the Title Policy as described in Section 7;

19.2. Seller's representations and warranties being true and correct in all material respects as of the Closing Date;

19.3. Seller's timely performance of all obligations required under this Agreement prior to Closing; and

19.4. No material adverse change in the physical condition of the Property between the end of the Due Diligence Period and the Closing Date. “Material adverse change” for purposes of this Agreement means any physical damage, destruction, or deterioration of the Property occurring after the expiration of the Due Diligence Period and prior to the Close of Escrow that (i) was not caused by Buyer or Buyer's agents, employees, or contractors; (ii) was not disclosed to or discoverable by Buyer during the Due Diligence Period through the exercise of reasonable diligence; and (iii) would cost in excess of $50,000 to remediate, repair, or restore to the condition existing as of the expiration of the Due Diligence Period, as reasonably estimated by a licensed contractor or engineer selected by Seller and approved by Buyer, such approval not to be unreasonably withheld or delayed. If there are individuals residing unlawfully on the Property during the Due Diligence Period, City will use reasonable best faith efforts to coordinate with Buyer to address the issue through all legal and feasible avenues.

If any of the foregoing conditions are not satisfied, then Buyer shall have the right to terminate this Agreement upon notice to Seller, in which event the Deposit shall be returned to Buyer and neither party shall have any further obligations under this Agreement.

20. CONDITIONS TO SELLER'S OBLIGATIONS. Seller's obligation to close Escrow is conditioned upon:

20.1. Buyer's timely deposit of the full Purchase Price and all required funds with Escrow Holder; Item 12.d
5354595.1

20.2. Buyer's representations and warranties being true and correct in all material respects as of the Closing Date; and

20.3. Buyer's timely performance of all obligations required under this Agreement prior to Closing.

21. ENVIRONMENTAL DISCLOSURES. Seller shall disclose to Buyer, in writing, any known environmental conditions affecting the Property, including the presence of any Hazardous Materials (as defined below), to the extent such conditions are within Seller's actual knowledge as of the Effective Date. Buyer acknowledges receipt of all environmental reports and documents, if any, listed in Exhibit "D."

21.1. Definition of Hazardous Materials. "Hazardous Materials" means any substance or material defined, designated, or classified as hazardous, toxic, radioactive, or dangerous under any applicable federal, state, or local law, regulation, or order, including without limitation the Comprehensive Environmental Response, Compensation and Liability Act (CERCLA), the Resource Conservation and Recovery Act (RCRA), the California Health & Safety Code Section 25117, and the California Health & Safety Code Section 25316, as such laws may be amended from time to time.

22. BUYER'S ENVIRONMENTAL RESPONSIBILITY. Following the Close of Escrow, Buyer shall be solely responsible for any Hazardous Materials on, under, or about the Property, except to the extent caused by Seller's activities after Close of Escrow. Buyer shall indemnify, defend, and hold harmless the City and its officers, agents, and employees from any claim, liability, loss, or expense arising from Hazardous Materials conditions on the Property after Close of Escrow, to the extent caused by Buyer. Following the Close of Escrow, Buyer assumes sole and complete responsibility for compliance with any and all federal, state, and local laws, regulations, rules, orders, or ordinances relating to the condition of the Property, including without limitation all Hazardous Materials Laws, regardless of when such conditions arose or were discovered, except to the extent caused by Seller’s activities after Close of Escrow. The provisions of this Section shall survive the Close of Escrow indefinitely and shall not be merged into the Grant Deed or any other closing document.

23. CONDEMNATION. If, prior to the Close of Escrow, any portion of the Property is taken or threatened to be taken by eminent domain, Buyer may, at its election, either (a) terminate this Agreement by written notice to Seller, in which case the Deposit shall be returned to Buyer, or (b) proceed with the purchase, in which case Seller shall assign to Buyer all of Seller's rights to any condemnation award with respect to the taken portion.

24. CASUALTY. If, prior to the Close of Escrow, the Property suffers material damage or destruction, Buyer may, at its election, either (a) terminate this Agreement and receive a refund of the Deposit, or (b) proceed with the purchase at the full Purchase Price, in which case Seller shall assign to Buyer any insurance proceeds payable with respect to such damage or destruction.

25. SELLER DEFAULT. If Seller fails to perform any material obligation under this Agreement and such failure continues for ten (10) business days after written notice from Buyer setting forth the nature Item 12.d
5354595.1
of the unmet material obligation, Buyer may, as its sole and exclusive remedies, either: (a) terminate this Agreement and receive a full refund of the Deposit plus Buyer's documented out-of-pocket due diligence costs not to exceed $50,000; or (b) bring an action for specific performance of this Agreement.

26. BUYER DEFAULT — LIQUIDATED DAMAGES. IF BUYER FAILS TO PURCHASE THE PROPERTY DUE TO

A DEFAULT OF BUYER UNDER THIS AGREEMENT OCCURRING AFTER THE EXPIRATION OF THE DUE DILIGENCE PERIOD, WHICH SUCH DEFAULT CONTINUES FOR FIVE (5) BUSINESS DAYS AFTER

WRITTEN NOTICE FROM SELLER SETTING FORTH THE NATURE OF SUCH DEFAULT, SELLER SHALL RETAIN THE DEPOSIT AS LIQUIDATED DAMAGES. THE PARTIES ACKNOWLEDGE THAT SELLER'S

ACTUAL DAMAGES IN SUCH EVENT WOULD BE EXTREMELY DIFFICULT OR IMPRACTICAL TO ASCERTAIN AND THAT THE DEPOSIT REPRESENTS A REASONABLE ESTIMATE OF SUCH DAMAGES.

THE RETENTION OF THE DEPOSIT AS LIQUIDATED DAMAGES SHALL BE SELLER'S SOLE AND EXCLUSIVE REMEDY AGAINST BUYER FOR BUYER'S FAILURE TO COMPLETE THE PURCHASE.

26.1. For purposes of this Section, a “Default of Buyer” shall mean any of the following:

26.1.1. Buyer’s failure to deposit the balance of the Purchase Price and all required closing funds with Escrow Holder by the time required under Section 3.2;

26.1.2. Buyer’s material breach of any representation or warranty set forth in Section 17 that remains uncured for five (5) business days after written notice from Seller;

26.1.3. Buyer’s failure to perform any other material obligation under this Agreement that remains uncured for five (5) business days after written notice from Seller specifying the nature of the failure; or

26.1.4. Buyer’s assignment of this Agreement in violation of Section 31.

26.2. A Buyer Default occurring after expiration of the Due Diligence Period shall entitle Seller to retain the Deposit as liquidated damages as set forth in Section 26. A Buyer Default occurring during the Due Diligence Period shall entitle Seller to terminate this Agreement, in which case the Deposit shall be returned to Buyer.

27. ENTIRE AGREEMENT. This Agreement, together with all exhibits attached hereto, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, representations, warranties, agreements, and understandings. This Agreement may only be modified by a written instrument signed by both Parties.

28. GOVERNING LAW AND VENUE. This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any dispute Item 12.d
5354595.1
arising out of or relating to this Agreement shall be resolved in the Superior Court of the State of California, County of Solano.

29. DISPUTE RESOLUTION. Prior to commencing any legal action, the Parties shall meet and confer in good faith for not less than thirty (30) days in an effort to resolve any dispute arising under this Agreement. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction without prior meet-and-confer.

Any purported assignment without Seller's written consent shall be void. Among other reasons, Seller may withhold consent if, in the City's reasonable judgment, the proposed assignee does not possess the financial capability or experience to complete the purchase and intended use of the Item 12.d
5354595.1
Property. Notwithstanding the foregoing, Seller shall not unreasonably withhold its consent to any assignment of this Agreement to any entity affiliated with Buyer or controlled by Mark Gill.
