DISQUALIFICATION APPEAL PROCESS
This provision is established pursuant to Public Contract Code section 20101(d) which requires every public agency that requires prospective bidders to prequalify pursuant to the law to establish “a process that will allow prospective bidders to dispute their proposed prequalification rating prior to selection of an alternate bidder.” If the City intends to disqualify a bidder based upon the bidder’s safety record, the City will notify the bidder in writing and provide the bidder with any supporting evidence that has been received from others or adduced as a result of an investigation by the City. The notice of intention shall be sent by certified mail with return receipt requested or by overnight mail via a delivery service that provides online tracking which identifies the date of the prospective bidder’s receipt of the notice, and shall include notice that the bidder has the right to, and may request a hearing to rebut any evidence used as a basis for disqualification and to present evidence to the City as to why the prospective bidder should be found qualified. Requests for a hearing must be made by written request to the City within ten calendar days of the date of the prospective bidder’s receipt of the City’s notice of intention. If the bidder does not request a hearing within the time allowed, the City’s determination shall stand unchallenged and become final.

Within seven calendar days of receiving the bidder’s request for a hearing, the City shall notify the bidder in writing of the date, time and place of the hearing. The hearing shall be held no sooner than ten (10) calendar days and no later than fifteen (15) calendar days after the notice is given. The notice shall inform the bidder of its right to present testimony and documents in support of its position.

The hearing shall be conducted before the Redlands City Manager, which may be continued from time to time as reasonably determined by the City Manager, but shall not exceed forty five (45) days. At the conclusion of the hearing, and after considering all testimony and documentation presented, the City Manager shall issue a written decision no later than five calendar days following the hearing. The City Manager’s decision shall be final and is not subject to further appeal to the City.

The bidder shall not be entitled to bid on any contracts with the City until it has met the safety pre-qualification standards. If the City Manager approves an appeal, the contractor will have been deemed to meet the qualification standards and it will be valid for one year. The bidder shall have the right to withdraw its application for prequalification or its appeal at any time before the City Manager’s decision becomes final. Such withdrawal will not preclude the bidder from re-applying for prequalification.

FAITHFUL PERFORMANCE BOND
Whereas, the City Corporation (“City”), State of California, and CEM Construction Corporation (hereinafter designated as "Principal") have entered into an agreement dated June 20, 2023 (“Agreement”) whereby Principal agrees to install and complete certain public improvements (the “Work”), which said Agreement is identified as 2022 CIP Sewer Pipeline Replacement Project, Project No. 521029 and is hereby referred to and made a part hereof; and Whereas, said Principal is required under the terms of the Agreement to furnish a bond for the faithful performance of the Work, now, therefore, we, the Principal and, _____________________________, as Surety, are held and firmly bound unto the City in the penal sum of three million three hundred fourteen thousand two hundred and sixty-eight dollars ($3,314,268) lawful money of the United States, for the payment of which sum we bind ourselves, and our heirs, successors, executors and administrators, jointly and severally, firmly by these presents.

The condition of this obligation is such that if the above bounded Principal, his or its heirs, executors, administrators, successors or assigns, shall in all things stand to and abide by, and well and truly keep and perform the covenants, conditions and provisions in the Agreement and any alteration thereof made as therein provided, on his or its part, to be kept and performed at the time and in the manner therein specified, and in all respects according to their true intent and meaning, and shall faithfully fulfill the one-year guarantee of all materials and workmanship, and shall defend, indemnify and save harmless the City and its elected officials, officers, agents and employees, as therein stipulated, then this obligation shall become null and void; otherwise it shall be and remain in full force and effect.

As a part of the obligation secured hereby and in addition to the face amount specified therefor, there shall be included costs and reasonable expenses and fees, including reasonable attorneys’ fees, incurred by the City in successfully enforcing such obligations, all to be taxed as costs and included in the judgment rendered.

As a condition precedent to the satisfactory completion of the Work, the above obligation shall hold good for a period of one (1) year or longer if required by the Agreement after the acceptance of the work by the City, during which time if the Principal shall fail to make full, complete, and satisfactory repair and replacements and totally protect the City from loss or damage made evident during this period from the date of completion of the Work, and resulting from or caused by defective materials or faulty workmanship, the above obligation in penal sum thereof shall remain in full force and effect. The obligations of Surety hereunder shall continue so long as any obligation of the Principal remains.

Whenever the Principal shall be, and is declared by the City to be, in default under the Agreement, the City having performed the City obligations thereunder, the Surety shall promptly remedy the default, or shall promptly, at the City’s option:

1. Complete the Work in accordance with its terms and conditions; or

2. Obtain a bid or bids for completing the Work in accordance with its terms and conditions, and upon determination by Surety of the lowest responsive and responsible bidder, arrange for a contract between such bidder and the City, and make available as work progresses sufficient funds to pay the cost of completion of the Work less the balance of the Agreement price, Redlands Regular Meeting of 06-20-2023 1275 of 1523
6 I:\cmo\Agreements\CEM Construction Corporation FY22-0187.doc - AE but not exceeding, including other costs and damages for which Surety may be liable hereunder, the amount set forth above. The term “balance of the Agreement price,” as used in this paragraph, shall mean the total amount payable to the Principal by the City under the Agreement and any modifications thereto, less the amount previously properly paid by the City to the Principal.

Surety expressly agrees that the City may reject any contractor or subcontractor which may be proposed by Surety in fulfillment of its obligations in the event of default by the Principal.

Surety shall not utilize the Principal in completing the Work nor shall Surety accept a bid from the Principal for completion of the Work if the City, when declaring the Principal in default, notifies Surety of the City’s objection to the Principal’s further participation in the completion of the Work.

No right of action shall accrue on the bond to or for the use of any person or corporation other than the City named herein or the successors or assigns of the City. Any suit under this bond must be instituted within the applicable statute of limitations period.

The said Surety, for value received, hereby stipulates and agrees that no change, extension of time, alteration or addition to the terms of the Agreement or to the work to be performed thereunder or the Specifications accompanying the same shall in any way affect its obligations on this bond, and it does hereby waive notice of any such change, extension of time, alteration or addition to the terms of the Agreement or to the work or to the specifications.

No final settlement between the City and the Principal shall abridge the right of any beneficiary hereunder whose claim may be unsatisfied.

The Principal and Surety agree that if the City is required to engage the services of any attorney in connection with the enforcement of this bond, each shall pay the City’s reasonable attorneys’ fees incurred, with or without suit, in addition to the above sum.

In witness whereof, this instrument has been duly executed by the Principal and Surety above named, on , 2023.

LABOR AND MATERIAL BOND
Whereas, the City Council of the City of Redlands, State of California, and CEM Construction Corporation (hereinafter designated as “Principal”) have entered into an agreement (the “Agreement”) whereby Principal agrees to install and complete certain designated public improvements (the “Work”), which said agreement, dated June 20, 2023, and identified as 2022 CIP Sewer Replacement Project, Project No. 521029 is hereby referred to and made a part hereof; and
Whereas, under the terms of the Agreement, Principal is required before commending the performance of the Work, to file a good and sufficient Labor and Material bond with the City of Redlands to secure the claims to which reference is made in Title 3 (commencing with Section 9550) of Part 6 of Division 4 of the Civil Code of the State of California.

Now, therefore, said Principal and the undersigned as corporate surety, are held firmly bound unto the City and all contractors, subcontractors, laborers, material men and other persons employed in the performance of the Agreement and referred to in the aforesaid Code of Civil Procedure in the sum of three million three hundred fourteen thousand two hundred and sixty-eight dollars ($3,314,268) for materials furnished or labor thereon of any kind, or for amounts due under the Unemployment Insurance Act with respect to such work or labor, that said surety will pay the same in an amount not exceeding the amount hereinabove set forth, and also in case suit is brought upon this bond, will pay, in addition to the face amount thereof, costs and reasonable expenses and fees, including reasonable attorneys’ fees, incurred by the City in successfully enforcing such obligation, to be awarded and fixed by the court, and to be taxed as costs and to be included in the judgment therein rendered.

It is hereby expressly stipulated and agreed that this bond shall insure to the benefit of any and all persons, companies and corporations entitled to file claims under Title 3 (commencing with Section 9550) of Part 6 of Division 4 of the Civil Code, so as to give a right of action to them or their assigns in any suit brought upon this bond.

Should the condition of this bond be fully performed, then this obligation shall become null and void, otherwise it shall be and remain in full force and effect.

The surety hereby stipulates and agrees that no change, extension of time, alteration or addition to the terms of the Agreement or the specifications accompanying the same shall in any manner affect its obligations on this bond, and it does hereby waive notice of any such change, extension of time, alteration or addition.

In witness whereof, this instrument has been duly executed by the Principal and surety above named, on _______________________, 2023.

Redlands Regular Meeting of 06-20-2023 1282 of 1523
City Council Meeting K. 6.

DATE: 06/20/2023
TO: Honorable Mayor and City Council Members
SUBJECT: Consideration of Fiscal Year 23/24 Municipal Utilities and Engineering Department Annual Purchase Orders and Agreements for a total encumbered amount not-to-exceed $5,305,000 (Municipal Utilities and Engineering Director Harris) MOTION(S):

If City Council determines the staff recommendation is appropriate, the following motions are provided:

I move that City Council determine approval of the Fiscal Year 23/24 Municipal Utilities and Engineering Department Annual Purchase Orders is exempt from environmental review pursuant to Section 15061(b)(3) of the State's guidelines implementing the California Environmental Quality Act; and

1. I move to approve the Fiscal Year 23/24 Municipal Utilities and Engineering Department Annual Purchase Orders and Agreements as itemized in the staff report for a total encumbered amount not-to-exceed $5,305,000

2. RECOMMENDATION:

Staff recommends City Council determine that approval of the Fiscal Year 23/24 Municipal Utilities and Engineering Department Annual Purchase Orders and Agreements is exempt from environmental review pursuant to Section 15061(b)(3) of the State's guidelines implementing the California Environmental Quality Act. Staff further recommends approval of the Fiscal Year 23/24 Municipal Utilities and Engineering Department Annual Purchase Orders.

DISCUSSION:

Staff recommends City Council approval of Fiscal Year 23/24 Municipal Utilities and Engineering Department (MUED) Annual Purchase Orders (PO) with: ABBA, Aerzen, Airgas, Alfa Laval, Babcock Laboratories, California Water Technologies, Cintas, Consolidated Electrical Distributors, Core & Main, CS Amsco, Dukes Root Control, DXP, Evantec, Ferguson, Golden Meters, Golden Bell, Grainger, HACH, Hasa, HERC, Heat Transfer Solution, JCI, JWC Environmental, LFG Engineering, McMaster Carr, NOV, Northstar,Plumbers Depot, SNF Polydyne, Pacific Parts,Rockwell Engineering, Saveco, Solenis, Sulzer, Unison, Univar,USALCO, Veolia, Vulcan DBA Calmat, and Western Water Works.

A. Babcock Laboratories
In accordance with the regulations set forth by the California State Water Resources Control Board and the Federal Environmental Protection Agency, the City is obligated to regularly monitor the concentrations of various elements in the water and wastewater streams. To fulfill Redlands Regular Meeting of 06-20-2023 1283 of 1523
this monitoring requirement, the City engages the services of certified contracted laboratory service providers. In April 2023, our staff issued a Request for Bid (RFB) for laboratory services, and we received a single bid from Babcock Laboratories, Inc., located in Riverside, CA. After conducting a comprehensive review and analysis, our staff determined that Babcock Laboratories Inc. is the responsive bidder. Therefore, we recommend City Council approval of the Non-professional Services Agreement with Babcock for an initial term of one (1) year, with a not-to-exceed amount of $275,000. If approved, the Agreement may be extended for an additional two (2) years, with a not-to-exceed amount of $275,000, resulting in a total potential Agreement value of $825,000.

B. Cintas
The City will leverage "Omnia Partners, Public Sector" cooperative purchasing contract for garment rental services and other items covered in the agreement offering an average of 20% discount for all of its purchases.

C. Grainger
The City will leverage "Omnia Partners, Public Sector" cooperative purchasing contract for Janitorial Equipment & Supplies, Sanitation Cleaning Chemicals & Supplies, Fasteners, Material Handling, Plumbing, Power Sources, Outdoor Garden, Lamps & Lighting and Ballasts, Heating Ventilation Air Conditioning (HVAC), Hand Tools, Power Tools (excluding automotive related tools and products), Electrical, paint, Security, and Safety (does not include any Public Safety Equipment) products under the Oregon NASPO Valuepoint Master Agreement offering a range of 11% to 23% discount for all of its purchases.

D. Herc
The City will leverage "Omnia Partners, Public Sector" cooperative purchasing contract for Equipment Rentals and Related Products and Services offering an average savings of 10% discount for all of its purchases.

These annual purchase orders are included in the Fiscal Year 23/24 MUED budget and will be encumbered for a not-to-exceed total annual amount of $5,305,000 as described in the chart below.

Throughout the year, staff purchase a variety of supplies and services from various vendors for routine maintenance and operations. In accordance with the City's purchasing policy and for greater transparency, staff recommends approval of these POs, which also include POs below the $50,000 purchase authority threshold. Staff recently issued Requests for Bids for various products and services in April 2023. The City Clerk received bids for the following commodities:
laboratory services, electrical components and repairs, industrial automation and controls, meter and supplies, meter accuracy testing, washed utility sand and crushed aggregate base, facility replacement parts and supplies, water and wastewater treatment plant chemicals, and Cla-Val supplies. Staff evaluated the bids (Attachments B-N) to prepare a recommendation to purchase products and services from the lowest responsive and responsible bidders.

The City's bid documents allow vendors to indicate if an extension of terms and conditions for upcoming fiscal years would be honored and for how many years. This offer is mutually agreed upon following receipt of vendors' acknowledgment to accept the extension. For Fiscal Year 23/24, four (4) vendors indicated they are willing to extend current terms and conditions. City Redlands Regular Meeting of 06-20-2023 1285 of 1523
Council approval extends these annual POs through Fiscal Year 23/24. In accordance with the City's purchasing policy, sole or single source purchases exceeding $30,000 require City Council approval. These purchases are typically warranted because the vendor is the sole authorized dealer and purchasing from another vendor would void the manufacturer's warranty, and/or the vendor's product has been standardized for use. Fiscal Year 23/24 MUED purchases through these annual POs are not anticipated to exceed $5,305,000.

City Council approval of these annual POs is exempt from environmental review pursuant to Sections 15061(b)(3) of the State's guidelines implementing the California Environmental Quality Act as it can be seen with certainty that approval of these annual POs will have no significant effect on the environment.

City Council may deny the staff recommendation and provide alternate direction.

My apologies for the Quoting Error for BID # 20230323-JL. There were five lines items for Cree Lighting Fixtures. I had inadvertently Substituted the Cree Fixtures for another Brand.

Seeing that we did not follow the guidelines of the Quote, we are withdrawing our bid for # 20230323-JL.

Apologies for any inconvenience that my error may have caused.
