Other (Travel, Training, etc.) Narrative: Provide a brief explanation for how each item listed above will contribute toward fulfilling grant objectives. Please budget for one 2- day trip to Sacramento for 3-5 key grant team members.

Community Engagement - $7,516.40 over two years for four tabling/community events. The breakdown of tabling events is broken down below.

Marketing/Outreach Materials and supplies - $1579.10 per event x 4 events = $6,316.40. These funds will cover the purchase and distribution of printed materials (flyers, brochures, posters, informational handouts), social media advertising campaigns promoted on Instagram, TikTok, and Facebook.

Event Supplies and Logistics - $600 per year x 2 = $1200. These funds will allow for the purchse of renting or purchasing tabels, chairs, tents, dsiplay boards, demonstrations, and printed matierals to create an inviting tabling setup. These materials ar essential to increasing referrals and IHARTs work in the community.

Maintenance - $5,000 over two years. These funds ensure the mobile crisis vehicle's operability throughout the grant period and ensures delivery of essential non-emergency services in the community. These funds also ensure reliability and consistency of Felton's services which decrease law enforcement repsonse to non-violent or mental health calls. Costs reserved for minor repairs, tire purchases, damage to labeling, lighting, and general ongoing service maintenance.

Travel - $483.60. One 2-day trip for 3 key grant team members.

Mileage reimbursement - $0.70 (California HR mileage rate) x 63 miles (distance from Vallejo to Sacramento) = $44.10 Round trip - $44.10 x 2 = $88.20 x 3 key grant team members = $264.60 Per diem rate - Breakfast ($16), lunch ($18), and dinner ($39) = $73/day. $73 x 3 staff = $219.00 Equipment/Fixed Assets Narrative: List any equipment or fixed assets that will be purchased with grant funds and provide a brief description for each item that explains how it will be used toward fulfilling grant objectives.

Summary of Requested Amount for Y2
Total Cost of Mobile Crisis Vehicle: $47,000
Vehicle Purchase: $40,000
Customization/Modifications: $7,000
The $47,000 requested will be used to purchase a mobile crisis co-response vehicle to support the delivery of crisis intervention services in the community. The vehicle will serve as a mobile base of operations for IHART. Vehicle funds are needed in the event of current vehicle damage/vandalism, a documented barrier to service within first months of operation.

This mobile unit is critical for the program’s ability to provide effective, community-based crisis intervention in a timely manner. Current resources are insufficient to meet the growing demand for mental health and crisis response services in the community. Having a dedicated, mobile unit enables the team to reach individuals in remote or underserved areas where immediate intervention is necessary.

Indirect costs will primarily support administrative and overhead expenses, including facility rentals for grant onboarding and professional development, vehicle insurance, and uniforms.

These expenses will be carefully documented through organized invoicing to ensure transparency and accuracy. Full-time employees working on the SCIP grant will undergo comprehensive onboarding to familiarize them with grant administration, implementation, and planning throughout the grant’s lifecycle. The grant will also cover the rental costs for training spaces. VPD will ensure that rental charges for these spaces reflect actual costs incurred, and no reimbursement will be sought from other sources. Vehicle insurance is critical to the safety and effectiveness of the IHART program in Vallejo, as it ensures proper coverage for first responders. Uniforms will be provided to maintain professionalism and ensure clear identification of first responders in high-stakes environments, where clarity of intent is crucial for both safety and the successful delivery of services. VPD does not have a federally approved rate and elects to take the Federal De Minimus of 15%. 15% rate x $149,000 MTDC = $22,350

Required Attachment: Applicants will be prompted to upload this document from the Byrne SCIP webpage to the Submittable Application portal.

It is the policy of the BSCC to protect grant funds from unreasonable risks of fraudulent, criminal, or other improper use. As such, the Board will not enter into contracts or provide reimbursement to applicants that have been:

1. debarred by any federal, state, or local government entities during the period of debarment; or

2. convicted of fraud, theft, or embezzlement of federal, state, or local government grant funds for a period of three years following conviction.

Furthermore, the BSCC requires grant recipients to provide an assurance that there has been no applicable debarment, disqualification, suspension, or removal from a federal, state or local grant program on the part of the grantee at the time of application and that the grantee will immediately notify the BSCC should such debarment or conviction occur during the term of the Grant contract.

BSCC also requires that all grant recipients include, as a condition of award to a subgrantee or subcontractor, a requirement that the subgrantee or subcontractor will provide the same assurances to the grant recipient. If a grant recipient wishes to consider a subgrantee or subcontractor that has been debarred or convicted, the grant recipient must submit a written request for exception to the BSCC along with supporting documentation.

By checking the following boxes and signing below, applicant affirms that:

We will notify the BSCC should such debarment or conviction occur during the term of the Grant contract. [ ] I/We will hold subgrantees and subcontractors to these same requirements.

A grantee may make a request in writing to the Executive Director of the BSCC for an exception to the debarment policy. Any determination made by the Executive Director shall be made in writing.

CONSENT CALENDAR 8.M.

DATE: November 18, 2025
TO: Mayor and Members of the City Council
FROM: Nalungo Conley, Assistant City Manager
SUBJECT: NOTICE OF INTENT TO AMEND FY2025-26 BUDGET AS PART OF THE TWO-STEP PROCESS TO AWARD A CONTRACT FOR $63,783 TO MICHAEL BAKER

INTERNATIONAL, AN AFFORDABLE HOUSING CONSULTANT, TO CREATE AN

AFFORDABLE HOUSING DEVELOPMENT POLICY AND PROCEDURE HANDBOOK AND PROVIDE ON CALL HOUSING DEVELOPMENT OFFICER SERVICES (STEP 1 OF 2)

RECOMMENDATION
Approve request to amend FY2025-26 budget by $63,783 to award a contract to an affordable housing consultant in response to a Request for Proposals (RFP) that the City issued on August 1, 2025. Staff are recommending Michael Baker International be awarded the contract to develop an Affordable Housing Policy and Procedure Handbook and Underwriting Guide and provide on call Housing Development Officer services.

REASONS FOR RECOMMENDATION
The consultant has the background, experience, and technical ability to provide the City of Vallejo with the best value for the cost in meeting the scope of work as outlined. Their cost per task is reasonable and allows flexibility in the execution of the contract.

BACKGROUND AND DISCUSSION
The City of Vallejo has had numerous challenges related to the assessment, management, and implementation of affordable housing projects. In response to these challenges, the City Council requested an independent review of the processes, activities, and decisions staff carried out in its most recent project, the Broadway Village Supportive Housing Center. The review aimed to shed light on the challenges and successes of this specific project and how to use the information learned to guide future activities. City staff engaged MRG, a consultant, who provided numerous recommendations that will serve as a guide for staff to utilize when engaging with affordable housing developers or implementing city-sponsored affordable housing projects. Two of MRG's recommendations were:
• Engage a Housing Development Officer for the City with expertise in affordable housing finance and oversight; and
• Create a City of Vallejo Affordable Housing Development Policy and Procedure Handbook and Underwriting Guide.

The City does not currently have a Housing Development Officer position, nor does it have the capacity to create the aforementioned policy and procedure handbook and underwriting guide. Staff issued a Request for Proposals (RFP, attached) to hire a consultant to create the handbook and guide. The City

received proposals from three firms. A panel, including City staff and an outside reviewer, reviewed the proposals and judged that Michael Baker International's proposal (attached) best met the City's needs.

Michael Baker International was founded in 1940 and has since then distinguished themselves as a leader in affordable housing and development. They have extensive experience working with cities, utilizing Community Development Block Grants, HomeKey+ funds, and other funding mechanisms to plan and build affordable housing projects. They have also assisted in the development of general housing plans as well as those focused on homelessness and climate adaptation. Michael Baker International leverages their experienced staff members to provide services directly as the Prime Consultant. By using sub-consultants infrequently, they maintain a high level of control over their work product, ensuring quality and consistency.

City staff recommend engaging Michael Baker International to create the handbook and guide and additionally engage Michael Baker International to provide on call consulting to the City to perform services similar to what a Housing Development Officer would perform, particularly assessing future affordable housing projects in which the City could participating and recommending whether such participation would be prudent. The City will determine in the longer term whether to continue to contract for the Housing Development Officer services or develop in house capacity to perform this work.

FISCAL IMPACT
This item is Step 1 of the two-step process to amend the fiscal year budget as required by City Charter. The amendment, if approved at a subsequent City Council meeting (step 2), will increase FY2025-26 General Fund expenditures by $63,783. The unrestricted General Fund (Reserve) will be amended and reduced by the same amount. The $63,783 includes $38,783 to create the handbook and guide and $25,000 to provide on call services.

ENVIRONMENTAL REVIEW
This action is exempt from the California Environmental Quality Act (CEQA) because it is not a project which has the potential of resulting in either a direct physical change in the environment, or a reasonably foreseeable indirect physical change in the environment, pursuant to CEQA Guideline section 15378.

A. Scope of Work
Task 1: Develop a best practice framework to manage complex federal, state, regional, and local regulations governing affordable housing development and operations The selected Consultant Team will have an introductory meeting with key City staff to discuss the desired outcomes of the work that will be completed and the data points that the City would request as part of the process. The Consultant Team will work with City staff and review the specific recommendations from a report prepared by MRG (attached) to ensure that the outcomes address recommendations that were provided after an assessment of a past developer initiated affordable housing project requesting City funding assistance. The primary goal of this task is to (1) gain an understanding of the current landscape of funding and other regulations at the federal, state, regional, and local level that govern affordable housing projects which include public funding; and (2) develop processes and strategies to provide the best practices for future City affordable housing projects involving any form of public funding or ownership.

Task 2: Create Outlines for Timelines, Submittal Requirements, Review Guidelines and Process for Review of Different Types of Proposals and Service Implementation

Page 1011 of 1379 ends

Prepare suggested outlines for timelines, submittal requirements, review guidelines, process and other parameters for review of various types of affordable projects, e.g. developer-initiated projects requesting funding assistance, City initiated projects seeking developers.

There are a series of supportive services that also may be included in affordable housing projects.

The purpose of this task is to establish a process including a suggested timetable for vetting developer proposed or RFP sought operators, service providers and/or vendors to ensure the selection and vetting of operators, service providers or vendors do not delay the opening of the housing project or negatively impact service delivery. Both the timeline and process for evaluating these services and /or service providers to ensure a smooth process from construction to operation is critical.

Task 3: Plan for Coordination with Continuum of Care and Coordinated Entry Systems Develop a list of parameters and tasks needed to initiate coordination with the local Continuum of Care or other Coordinated Entry entities to assist with tenanting and coordination of services.

Task 4: Affordable Housing Financing
The Consultant Team will provide a matrix of Federal, State, Regional, Local, and private sources of existing and potential affordable housing funds that can be utilized for either capital projects or direct services. Recommendations on which opportunities are best leveraged together will be helpful.

Task 5: Process and Criteria for Selection of Affordable Housing Developers The Consultant Team will provide criteria to develop a competitive Request for Qualifications ("RFQ") process to identify and establish a non-binding pre-qualified list of affordable housing developers that can potentially collaborate on high-quality, cost-effective affordable housing projects. The City of Vallejo would like to be able to seek out affordable housing developers for City-initiated projects if that approach serves the needs and best interests of the City. The Consultant Team will prepare a suggested RFQ/RFP template to seek developers for any such City Initiated Projects.

Task 6: Creation of Affordable Housing Development Policy and Procedure Handbook

Page 1012 of 1379 ends

The Consultant Team will produce a comprehensive report that pulls together all the aforementioned tasks in a format that can serve as guidebook for City Staff in implementing Affordable Housing Development projects initiated by a developer seeking City funding participation and City initiated affordable projects in the future. In addition, the guidebook would serve as a tool in providing an actionable template and implementation matrix to developers and non-profit entities, so they are aware of the same challenges, constraints, and processes that the City will be considering moving forward. The expectation is also that the Consultant Team will also be willing to present these findings to the Housing Commission, Planning Commission, Economic Development Commission and City Council if needed and/or at the direction of the City Manager.

B. Stakeholder Engagement
The Consultant Team will be expected to engage with and gather information from the City of Vallejo staff in housing, planning and homelessness, experienced affordable housing developers, members and representatives of the unhoused and below moderate income community, members of the broader Vallejo community, and representatives of other governmental and nongovernmental organizations with a mission to address affordable housing including projects designed to shelter the unhoused.

PROPOSAL FOR CITY OF VALLEJO AFFORDABLE HOUSING CONSULTANT 7 Task 1: Develop a Best Practice Framework to Manage Complex Federal, State, Regional, and Local Regulations Governing Affordable Housing Development and Operations Our consultant team will have an introductory meeting with key City staff to discuss the desired outcomes for work that will be completed and data points that the City requests as part of the process. The consultant team will work with City staff and review the specific recommendations from a report prepared by MRG to ensure that the outcomes address recommendations that were provided after an assessment of the Broadway Project.

This task will also cover (1) gaining an understanding of the current landscape of City department and regional structure that governs the City’s affordable housing strategy; and (2) developing processes and strategies to provide best practices for future City affordable housing projects involving any form of public funding or ownership. These will be key to the development of a rubric and framework for managing the process, technical aspects, and regulations affecting development and operations.

Because the landscape for funding, opportunities, selection criteria, and operations requirements is in a constant state of change due to shifting funding, legislative governing priorities, and community needs, any framework must focus on building capacity—which can be provided through internal, external or hybrid models.

The rubric/framework will focus on our current understanding of MRG’s key report recommendations:
• Based on best practices and local needs, create a policies and procedures handbook in a readable and searchable format with links to guide key decision points, provide key deal questions, and provide standardized operating procedures and an underwriting guide with guidelines to better evaluate and manage projects.
• Create timelines for key triggers such as environmental review and release, funding commitments, gap funding provisions and subsidy layering review, contracting, Notice to Proceed (NTP) processes/procedures, labor compliance, milestones, funding release and funds retention. • Improve project planning to better align development, rehabilitation, and investment with other community plans and priorities, such as those contained in the Housing Element, Economic Development plans, and coordination with the Continuum of Care and related entities. • Develop a formalized process for issuance of Request for Qualifications (RFQ) or Requests for Proposals (RFPs) and written guidelines and procedures for an effective RFQ/RFP process to determine best alignment between goals, objectives, and a development team able to meet deadlines and deliverables.
• Improve capacity throughout the process. This includes having the right team to manage internal and external stakeholders—team members with the ability to handle the development process from RFP through financing closing calls and then through development, as well as with specific expertise in housing and multifamily housing finance to manage both the financial reporting and audit documentation components. The sizing and type of team is dependent on City needs, size and scope of funding and number of projects, as well as specific technical needs, whether ongoing or project specific.

Page 1041 of 1379 ends

PROPOSAL FOR CITY OF VALLEJO AFFORDABLE HOUSING CONSULTANT 8 Task 2: Create Outlines for Timelines, Submittal Requirements, Review Guidelines and Process for Review of Different Types of Proposals and Service Implementation In tandem with the items in Task 1, guidance will include suggested outlines for timelines, submittal requirements, review guidelines, process and other parameters for review of various types of affordable projects, e.g., developer-initiated projects requesting funding assistance, City-initiated projects seeking developers and other forms or hybrids. In addition, the following will be included:
• A rubric in table format as a “quick guide” for project team members. • A matrix to identify areas of regulatory conflict or duplication as an aid to guide development process and/or to seek waivers where available.
• Outline for when/how to use pre-application consultations with Planning/Building and other units as necessary to clarify timing, expectations, and potential roadblocks to development.

There are a series of supportive services that also may be included in affordable housing projects. The purpose of this task is to establish a process including a suggested timetable for vetting developer-proposed or RFP-sought operators, service providers and/or vendors to ensure the selection and vetting of operators, service providers, or vendors do not delay the opening of the housing project or negatively impact service delivery. Both the timeline and process for evaluating these services and/or service providers to ensure a smooth process from construction to operation forms a part of the critical path to successful project delivery.

Task 3: Plan for Coordination with Continuum of Care and Coordinated Entry Systems The team will develop a list of parameters, tasks, and policies needed to have aligned and effective communication and housing implementation with the local Continuum of Care and Coordinated Entry entities to assist with tenant selection and coordination of services. Michael Baker has experience in homeless plans, public engagement around this topic, and coordinated services with other communities, all of which it will bring to bear on the following:
• Integrate with the coordinated entry system—set up a process whereby publicly funded or assisted housing is required to accept referrals from the coordinated entry system when certain conditions are met.
o Create a standardized system of assessment tools to determine eligibility and prioritization. o Look at fair referral and placement decision making that makes a difference to the client, the housing provider, and the community.
• Prioritize permanent housing placement with minimum preconditions (e.g., sobriety, employment). • Ensure low barrier access and partner with service providers to address issues as housing creates the stability to address them.
• Find ways to integrate Housing Element programs with Continuum plan permanent housing options and find ways to align programs end to end for better outcomes. • Development of a planning aid to support the development/redevelopment of diverse housing types including scattered site and/or congregate models based on community needs, funding and land availability.

Page 1042 of 1379 ends

PROPOSAL FOR CITY OF VALLEJO AFFORDABLE HOUSING CONSULTANT 9 • Develop memoranda and Health Insurance Portability and Accountability Act (HIPAA)-compliant information sharing to promote partnerships and cross-system coordination. This includes cross platform collaboration with Housing Management Information System (HMIS) and documented outcomes.
• Create a climate where the leveraging of multiple funding streams (federal, state, local) can be used in a nimble and coordinated manner to meet identified permanent housing outcomes.

Task 4: Affordable Housing Financing
In conformance with the tasks outlined above, Michael Baker will provide a matrix of federal, state, regional, local, and private sources of existing and potential affordable housing funds that can be utilized for either capital projects or direct services.

Recommendations will include red flags for potential mismatches and funding incompatibility. However, funding and funds use is an ever-changing and evolving landscape due to factors such as market conditions, bond markets, interest rates, availability of federal and state funding and rule changes. Michael Baker will provide best-resources for keeping up with statutory and regulatory changes, as well as a Q/A guide for how to think about and navigate financing, as well as how to ask questions that move a project forward or that can be used to develop no/no-go criteria.

Task 5: Process and Criteria for Selection of Affordable Housing Developers In consultation with the City, Michael Baker will provide criteria to develop a competitive RFQ process to identify and establish a non-binding prequalified list of affordable housing developers that can potentially collaborate on high-quality, cost-effective affordable housing projects.

Lists will include types of construction models/populations served to gain a better understanding of depth and breadth of expertise and capacity of each developer. This will give the City greater internal capacity to gauge developer capacity and experience/expertise in the housing/product type being contemplated. Michael Baker will also prepare a suggested RFQ/RFP template to seek developers for any such City-initiated projects.

Task 6: Creation of Affordable Housing Development Policy and Procedure Handbook As part of the final work product, Michael Baker will compile and create a comprehensive report in a readable and searchable format that can serve as a guidebook for City staff in implementing affordable housing development projects, including both those initiated by a developer seeking City funding participation and as City-initiated affordable projects. The guidebook will match policy and action and provide usable templates and an implementation matrix for staff, other departments, developers and nonprofit entities to create a more transparent and understandable process.

Included in this proposal is a cost breakdown for presentation of findings and the report to various bodies, as determined by the City, but including the Housing Commission, Planning Commission, Economic Development Commission, and/or City Council. Meetings can be separate or joint meetings and include a presentation deck.

Page 1043 of 1379 ends

PROPOSAL FOR CITY OF VALLEJO AFFORDABLE HOUSING CONSULTANT 10 Task 7: Stakeholder Engagement
The Michael Baker team will engage with and gather information from a variety of stakeholders, including:
• City of Vallejo staff in housing, planning and homelessness, and building. • Experienced affordable housing developers, both for profit and nonprofit. • Members and representatives of the unhoused and below moderate-income community. • Members of the broader Vallejo community.
• Representatives of other governmental and nongovernmental organizations with a mission to address affordable housing, including projects designed to shelter the unhoused.

Michael Baker anticipates a minimum of two to three meetings, depending on final design, after consultation with the City. Meetings can be virtual or in person. Michael Baker believes at least one general meeting should be in person, while up to two meetings could be virtual.

In devising the types of meetings, Michael Baker suggests one meeting with internal stakeholders such as planning/homelessness, housing, and building staff; one meeting that focuses on the input of developers and governmental/nongovernmental organizations whose mission is aligned with affordable housing, including for the unhoused; and one meeting that includes members of the unhoused and below moderate-income community as well as members of the broader Vallejo community.

The budget provides for development and presentation of materials at three meetings with one meeting in person and two meetings virtually. Final scope, type, and cost will be determined in consultation with the City and its needs.

Michael Baker proposes the following not-to-exceed amount to prepare an Affordable Housing Development Policy and Procedure Handbook and Underwriting Guide to the City of Vallejo. CONSENT CALENDAR 8.N.

DATE: November 18, 2025
TO: Mayor and Members of the City Council
FROM: Gillian Haen, Assistant City Manager
SUBJECT: ADOPT A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF VALLEJO CONSENTING TO 1) THE ASSIGNMENT AND AMENDMENT OF THREE CITY OF VALLEJO LOANS/RDA PROVIDED TO SERENO VILLAGE ASSOCIATES; 2) PARTIAL

REPAYMENT OF THE LOAN OF PARK FEES (COMMONLY REFERRED TO AS GVRD FEES) AND GENERAL FUND LOAN; AND (3) FULL REPAYMENT OF THE VALLEJO

FLOOD AND WASTEWATER DISTRICT LOAN

RECOMMENDATION
Adopt a resolution consenting to the assignment and amendment of three loans originally provided to Citizens Housing Corporation (CHC) and subsequently assigned to Sereno Village Associates, which will be further assigned to Eden Housing, Inc., or an affiliate thereof (collectively, “Eden”), including, partial repayment of the Loan of Park Fees and General Fund Loan and full repayment of the Vallejo Sanitation and Flood Control District Loan for rehabilitation and construction for the Sereno Village affordable housing project located at 750 Sereno Drive (the “Project”).

The loan modifications include:

1. Extending the loan term to align with the California Tax Credit Allocation Committee (CTCAC) regulatory agreement term of 55 years;

2. Recasting the outstanding loan principal and accrued interest at the Applicable Federal Rate (AFR);

3. Subordinating the remaining loans to the Project’s construction and permanent lenders; and

4. Consenting to repayment and partial repayment of subordinate debt to VFWD and the City of Vallejo.

REASONS FOR RECOMMENDATION
Eden Housing has received an award for 4% tax credits and tax-exempt bonds from the State of California to support a substantial rehabilitation of Sereno Village, a 100% affordable housing community located in the City of Vallejo. The Assignment and Amendment of the City of Vallejo’s and Former Redevelopment Agency existing loan documents and regulatory agreements on the property will allow Eden to close construction and permanent financing, rehabilitate the property, and preserve 125 low-income units. The revisions to the loan documents will also clean up obsolete language and ensure upgrades to the affrordable housing at Sereno Village is maintained fo the City of Vallejo residents.

BACKGROUND AND DISCUSSION
Sereno Village is a 125-unit family apartment complex located at 750 Sereno Drive in Vallejo, CA. The project is 100% affordable and is under an existing California Tax Allocation Committee (CTCAC) regulatory agreement which expires in 2059 and an existing Redevelopment Agency of the City of Vallejo Affordable Housing Covenant which expires in 2055. Sereno Village was originally developed by Citizens Housing Corporation (CHC). After the dissolution of CHC, Eden Housing took over ownership and operation of Sereno Village and assumed the existing loans on title.

The project currently has three loans with the City of Vallejo:

1. A loan made in 2003 by the former Redevelopment Agency of the City of Vallejo in the original principal amount of $1,900,000 and having a current principal balance of $1,900,000 and accrued interest balance of $1,352,852. The term of the loan is 30-years, it is repayable from residual receipts, and it bears simple interest at a rate of 3%.

2. An acquisition loan made in 2003 by the former Redevelopment Agency of the City of Vallejo in the original principal amount of $600,000 and having a current principal balance of $600,000 and accrued interest balance of $448,767. The term of the loan is 30-years, it is repayable from residual receipts, and it bears simple interest at a rate of 3%.

3. A loan made in 2003 by the City of General Fund monies in the amount of $1,400,000 and having a current principal balance of $777,221 and accrued interest balance of $347,834 and of Park Fees in the original principal amount of $202,463 and having a current principal balance of $138,760 and accrued interest balance of $62,793. The term of the loan is 15 and is now matured, it was repayable from residual receipts, and it bore simple interest at a rate of 3%. The project currently has one loan with the Vallejo Flood and Wastewater District (“VFWD”) (formerly, Vallejo Sanitation and Flood Control District – “VFSCD”):

4. A loan made by the Vallejo Sanitation and Flood Control District (VSFCD) in the original principal amount of $351,635 and having a current principal balance of $253,368 and accrued interest balance of $117,025. The Loan has matured and is due and payable.

Sereno Village is in need of a substantial renovation to ensure the affordable units do not fall offline. The property was originally constructed in 2003, and except for exterior painting and ongoing maintenance, no major capital repairs have occurred.

On November 19, 2025, Sereno Village was awarded 4% tax credits from CTCAC to fund a rehabilitation of

Page 3 ends

Sereno Village. These funds will be used to complete much needed upgrades to the property that will improve the lives of Vallejo residents.

In order to facilitate a rehabilitation of the property, Eden is requesting that the City approve a payoff of the matured VFWD and General Fund loan and Park fees loans on title. Eden anticipates repaying the full VFWD loan and repaying the same amount to the General fund loan and Park Fees loan. The value of the remaining principal and accrued interest on the VFWD loan will be determined at construction loan closing. Eden estimates this will be approximately $375,000. Eden will repay the same amount, approximately $375,000, to the General Fund loan and Park Fees loan.

In addition, Eden is requesting that the City/Successor Agency (SA) approve and extend the remaining three City/RDA loans, including the remaining balance on the General Fund loan and Park Fees loan, to match the CTCAC regulatory agreement term of 55 years. Eden is also requesting approval from the City/SA to subordinate the remaining three loans to the construction lender at construction loan closing, and to the permanent loan lender at permanent loan conversion. It is anticipated the Parties will amend the existing affordable housing covenants to extend the term of the restrictions to 57 years to cover the construction period and the 55-year regulatory agreement term.

Extending the term of the loans and matching the maturity date of the CTCAC regulatory agreement is a requirement for tax credit re-syndications. It will allow the project to avoid multiple refinancings and will ensure the City/SA has continued control and involvement in the property, and its long-term affordability. The construction loan and permanent loan lenders will require subordinations from the City/SA as a condition to closing construction financing. The formal documents effectuating such modifications will come back to the City Council for approval.

This same process was recently approved by City Council for the Marina Towers project in order to allow the new owner of Marina Towers to refinance and conduct several upgrades to the site to maintain the affordable senior housing in Vallejo.

FISCAL IMPACT
There is no immediate fiscal impact to the City/SA. The proposed loan modifications: extending the loan term, recasting principal and interest at the Applicable Federal Rate, and subordinating the loans to the Project’s construction and permanent financing, are structured to preserve the long-term viability of the Sereno Village affordable housing project while maintaining the City’s ability to recover the outstanding loan balance over time. These changes do not require additional City funding at this time. At the time of loan modification, $375,000 will be paid to the General fund loan and Park Fees loan.

ENVIRONMENTAL REVIEW
This action is exempt from the California Environmental Quality Act (CEQA) because it is not a project which has a potential for resulting in either a direct physical change in the environment, or a reasonably foreseeable indirect physical change in the environment, pursuant to CEQA Guideline section 15378.

CONSENT CALENDAR 8.O.

DATE: November 18, 2025
TO: Mayor and Members of the City Council
FROM: Kristin Pollot, AICP, Planning and Development Services Director SUBJECT: ADOPT A RESOLUTION APPROVING A FIRST AMENDMENT TO THE CONSULTANT AND PROFESSIONAL SERVICES AGREEMENT WITH 4LEAF, INC. TO INCREASE THE MAXIMUM NOT-TO-EXCEED AMOUNT OF THE AGREEMENT FROM $800,000 TO $950,000, AND AUTHORIZING THE CITY MANAGER TO EXECUTE SAME

RECOMMENDATION
Adopt a Resolution approving a First Amendment to the existing Consultant and Professional Services Agreement with 4Leaf, Inc. to increase the maximum not-to-exceed amount of the Agreement from $800,000 to $950,000, and authorizing the City Manager to execute same.

REASONS FOR RECOMMENDATION
The Building Division continues to require additional contract services for plan review and permit processing services.
4Leaf, Inc. has a proven track record with the Building Division for providing experienced plan checkers and permit technicians who assist City staff with specialized plan check and other building related services, ensuring the City continues to meet customer service expectations and statutory processing timelines.

BACKGROUND AND DISCUSSION
On July 8, 2025, the City Council approved the original Professional Services Agreement with 4Leaf, Inc. in the amount of $800,000 to provide specialized plan check and permit technician services through June 30, 2026.

Due to continued demand for building and permit services, the City seeks to amend the Agreement to increase the total contract amount to $950,000. The additional funding request is expected to ensure continued service support as-needed through the entirety of the contract term.

FISCAL IMPACT
There will be no impact to the General Fund as a result of the recommended action. Funding for the 4Leaf, Inc. agreement will be covered through anticipated salary savings within the Planning and Development Services Department as need may exist through the end of the fiscal year.

ENVIRONMENTAL REVIEW
This action is exempt from the California Environmental Quality Act (CEQA), pursuant to CEQA Section 15378, as it is not a project that has the potential for resulting in either a direct physical change in the environment or a reasonably foreseeable indirect physical change in the environment.

ACTION ITEM 9.B.

DATE: November 18, 2025
TO: Mayor and Members of the City Council
FROM: Kristin Pollot, AICP, Planning and Development Services Director Bill Collins, Chief Building Official
SUBJECT: HOLD A PUBLIC HEARING TO CONSIDER AND ADOPT AN ORDINANCE ADOPTING BY REFERENCE, PURSUANT TO GOVERNMENT CODE SECTION 50022.2 AND CALIFORNIA CODE OF REGULATIONS TITLE 24, THE 2025 CALIFORNIA BUILDING STANDARDS CODE, PARTS 1 THROUGH 12, AND THE 2024 INTERNATIONAL

PROPERTY MAINTENANCE CODE, AND ADOPTING LOCAL AMENDMENTS THERETO IN ACCORDANCE WITH CALIFORNIA HEALTH AND SAFETY CODE SECTIONS 17922, 17958, 17958.5, 17958.7, AND 18941.5, AND FINDING THE ADOPTION OF SUCH

CODES AND AMENDMENTS EXEMPT FROM THE CALIFORNIA ENVIRONMENTAL QUALITY ACT (CEQA) PURSUANT TO CEQA GUIDELINES SECTION 15061(b)(3)

RECOMMENDATION
Hold a public hearing to consider an ordinance adopting by reference, pursuant to Government Code section 50022.2 and California Code of Regulations Title 24, the 2025 Building Standards Code Parts 1 through 12, and the 2024 International Property Maintenance Code, and adopting local amendments thereto in accordance with California Health and Safety Code Sections 17922, 17958, 17958.5, 17958.7, and 18941.5, and finding the adoption of such codes and amendments exempt from the California Environmental Quality Act (CEQA) pursuant to CEQA Guidelines section 15061(b)(3).

REASONS FOR RECOMMENDATION
The State Legislature requires local governments to adopt the most recent editions of the model codes related to building standards, rules and regulations, along with any local amendments as reasonably necessary in accordance with state law. On January 1, 2026, the 2025 California Building Standards Code, also known as the California Code of Regulations (CCR) Title 24, will go into effect. These regulations are applicable to all structures in all cities and counties in California. In addition, adoption of the International Property Maintenance Code will provide useful provisions related to vacant buildings, such as board-up standards and maintenance of premises on private property. On November 4, 2025, the City Council conducted a first reading and introduction of the proposed ordinance.

BACKGROUND AND DISCUSSION
Every three years, the State Building Codes are updated and disseminated by the State. The current code is the 2022 Code, which went into effect January 1, 2023. The 2025 California Building Standards Code (California Code of Regulations Title 24), adopted and approved by the California Building Standards Commission, includes Parts 1 through 12 as follows:

Part 1 - California Administrative Code
Part 2 - California Building Code (Volumes 1 and 2)
Part 2.5 - California Residential Building Code
Part 3 - California Electrical Code
Part 4 - California Mechanical Code
Part 5 - California Plumbing Code
