16 Project Understanding, Overview and Approach
Map Checking Services
Introduction
At KDM Meridian, we recognize the critical role that accurate land surveying maps and documents play in the governance and management of land resources. These documents directly affect land ownership, public safety, and both public and private investments. Our rigorous review process ensures that all documents meet the stringent requirements set forth by state laws and city ordinances, maintaining their technical precision and legal validity. With a deep commitment to precision, KDM Meridian has cultivated a reputation for excellence in checking survey maps and documents for a multitude of local agencies throughout California.
Historical Context and Expertise
KDM Meridian has expertise in map and document checking is grounded in a long history of serving as an integral part of survey departments for local public works agencies. Our team brings decades of experience to each project, handling everything from straightforward legal descriptions for utility easements to the intricate development of multiphase tract maps that result in the creation of hundreds of residential or commercial lots. Our extensive skill set includes preparing and reviewing parcel maps, annexation maps, adjustments of lot/boundary/parcel lines, amended maps, certificates of compliance, records of survey, and consolidation maps.
Since initiating our map checking services in 2003 with a major project at the Tustin Marine Base, which involved significant retail and lifestyle development, KDM has expanded to support cities such as Fullerton, Ontario, National City, Gilroy, and Morgan Hill.
More recently, we have been honored with the responsibility of acting as the City Surveyor for the City of Stanton. This role underscores our ability to adapt and refine our processes continually to increase efficiency, reduce the iterative nature of checks, and overall improve the services we deliver.
Process Development and Customization
KDM's approach to map and document checking is both meticulous and adaptable. We have developed detailed checklists tailored to each type of document based on foundational legislation like the Subdivision Map Act (SMA) and the Professional Land Surveyors’ Act (PLS Act), which are further customized to meet the specific requirements of each city’s ordinances and guidelines.
When engaged as a map checker for a city, our priority is to tailor these checklists and processes to align perfectly with that city’s unique requirements. This customization involves close
collaboration with city staff to incorporate and respect local guidelines fully, ensuring that all map and document checks are thoroughly aligned with local development goals.
Detailed Checking Procedures
The document review process at KDM begins as soon as we receive the initial submittal package. Our initial assessment ensures that all necessary components are present and adequately prepared for an in-depth review. Each document is then
meticulously examined against our specialized checklists.
Deficiencies are noted, and corrective actions are clearly communicated with detailed redline comments or supplementary check letters that provide explicit instructions for necessary amendments.
17 Our review process extends to a wide variety of associated documents that are typically involved in land development projects.
This includes, but is not limited to, preliminary title reports, vesting deeds, easement deeds, tentative maps, record maps, traverse closures, and many more. Each of these documents is reviewed to ensure that any issues concerning title or existing easements are properly highlighted and addressed on the subject map or document.
Parcel Map Submittal Checklist (Sample)
Required items in map submittal package:
• Parcel Map, Approved Tentative Map, Engineering Conditions of Approval (COA), City Resolution • Preliminary Title Report or Subdivision Guarantee, Current Vesting Deed(s) • Supporting documents, Traverse Closure Calculations, Record Maps/Notes, Assessors Map(s), Proof of Authority If the initial review identifies missing items, we notify the submitter and pause further checks until the complete package is received.
Once all documents are submitted, a comprehensive review begins, ensuring each checklist item is scrutinized for completeness and correctness.
Should major issues arise—such as discrepancies in map closures, insufficient monument searches, or incorrect boundary establishments—these are immediately flagged for discussion with the City Project Manager and the submitter to prevent unnecessary work on potentially changing elements.
Throughout the review process, KDM utilizes Bluebeam Revu to produce clear, understandable redline comments and mark-ups.
A detailed check letter accompanies the redlines to address items not suitable for graphical comments, ensuring comprehensive feedback. Check returns involve a digital package containing all mark-ups, the check letter, and relevant documents, sent to all involved parties, including the submitter, City PM, the owner, and the Title Officer. This ensures everyone is updated and can respond to any pending issues swiftly.
For each subsequent submittal, previous checklists, mark-ups, and comments are reviewed to ensure all corrections have been made. KDM runs a Bluebeam Revu comparison to spot any unrequested or unintended changes. Upon final approval, mylars are checked against the latest Subdivision Guarantee to confirm all details are up to date. This systematic approach, combined with our collaborative efforts with City staff, ensures that all maps and documents meet the City’s standards efficiently and accurately.
Advanced Digital Capabilities and Communication
Utilizing state-of-the-art digital tools like Bluebeam Revu, KDM enhances the clarity of our mark-ups, making them easily interpretable and actionable. Our robust digital infrastructure supports an organized and efficient review process, ensuring rapid access to pertinent project files and comprehensive documentation.
Communication is a cornerstone of our process. We actively coordinate not just with the document submitters—typically survey or engineering firms—but also with city staff, property owners, and title companies. This ensures that all parties involved are consistently informed and engaged throughout the review process, facilitating a collaborative environment that significantly shortens the time to approval.
Commitment to Excellence KDM Meridian's commitment to meticulous survey plan review safeguards public and private interests by ensuring that all survey documents adhere to the highest standards of accuracy and regulatory compliance. Our expert services contribute significantly to the orderly and lawful development of community spaces and private properties, thus enhancing the security and value of infrastructure and development investments. Through our dedicated efforts, we strive to deliver outstanding results that meet the city's needs and exceed expectations in the shortest possible time, ensuring the swift progression of development projects.
Comprehensive Project Controls
KDM Meridian excels in project controls, ensuring effective cost management, accurate and timely invoicing, and strict adherence to project schedules. Here is a detailed description of our capabilities and techniques:
18 Cost Control and Accurate Invoicing
Internal Control Measures:
KDM Meridian employs a comprehensive project management software system that integrates all aspects of project execution. Our system, named 'Jobman,' tracks project status in real time, logs issues, and alerts team members to updates, ensuring continuous oversight. This platform enables us to meticulously track expenses against project budgets, identify potential overruns early, and take corrective action promptly.
Cost Monitoring:
Our project managers conduct regular budget reviews to compare actual expenditures against the projected budget. We utilize a dual-review system where both the project manager and a senior financial officer review all expenses and invoices. This dual-check mechanism ensures that all costs are accounted for and that there are no discrepancies.
Accurate and Timely Invoicing:
Invoices are generated directly from our project management software, which consolidates all billable hours, materials, and other expenses. This integration ensures that our invoices are accurate and reflect the actual work completed. Invoices are reviewed by both the project manager and our finance team before being sent to the client, ensuring they are accurate and timely.
Budget Monitoring and Adherence
Budget Tracking:
Our project managers use 'Jobman' to set budget thresholds and receive alerts when expenses approach the limits. This proactive approach allows for timely adjustments and prevents budget overruns.
Regular Financial Reporting:
We provide clients with regular financial reports detailing the project's financial status, including a breakdown of expenditures and budget remaining. This transparency ensures that clients are always aware of the financial health of their projects.
Cost-Saving Measures:
KDM Meridian implements various cost-saving measures such as bulk purchasing of materials and optimizing field crew schedules to minimize travel and downtime. We continuously seek ways to reduce costs without compromising on quality or project timelines.
Schedule Monitoring and Time Management
Schedule Monitoring:
Our project schedules are developed using advanced project management software, which allows for detailed planning and monitoring. Key milestones and deadlines are tracked, and any deviations are immediately addressed. Project managers receive regular updates on the progress of tasks, ensuring that the project stays on track.
Techniques for Timely Completion:
1) Detailed Planning: At the start of each project, we develop a comprehensive project plan that includes a detailed schedule with clearly defined milestones and deadlines. 2) Resource Allocation: We allocate resources efficiently, ensuring that the right personnel and equipment are available when needed. This includes strategic planning of field crews and office staff to maximize productivity. 3) Regular Progress Reviews: Weekly progress meetings are held to review the status of the project, address any issues, and adjust the schedule as necessary. This ensures that any potential delays are identified and mitigated early.
4) Proactive Communication: We maintain open lines of communication with all stakeholders, including clients, subcontractors, and team members. This proactive approach ensures that everyone is aware of the project status and any changes to the schedule.
19 Use of Technology:
We leverage advanced technologies such as GPS and LiDAR for field data collection, which significantly reduces the time required for surveying tasks. Our digital tools and platforms enable us to quickly process and analyze data, further enhancing our ability to meet project deadlines.
Conclusion
KDM Meridian’s robust internal controls, meticulous budget monitoring, and advanced project management techniques ensure that we control costs effectively and complete projects within the proposed time frames. Our commitment to accuracy, transparency, and proactive management position us as a reliable partner for managing complex surveying projects.

Prepare Legal Descriptions, Plat and Maps for Subdividing Property KDM Meridian brings decades of specialized experience to the preparation of legal descriptions and plats essential for the various stages of real property development and enhancement. Our approach to legal descriptions begins with a meticulous review of the current title report and underlying maps and documents. This initial step ensures an accurate assessment of vesting documents, ownership details, and any third-party interests that may impact the property.
Every legal description crafted by KDM Meridian is accompanied by a detailed plat. These plats are designed for clarity, making them easily interpretable by non-experts, which facilitates better understanding and communication among stakeholders. To ensure the highest standards of accuracy and compliance, all legal descriptions and plats are rigorously reviewed and authenticated by a licensed land surveyor before submission. Furthermore, we adhere strictly to the City’s prevailing standards for legal descriptions and plats, promoting consistency and reliability in property records management.

21 Monument Perpetuation/Preservation
At KDM Meridian, we recognize the critical importance of preserving historical and functional survey monuments, especially when street improvements or other construction activities are proposed. Our processes are meticulously aligned with statutory requirements, such as California Business and Professions Code §8771, ensuring that all preservation efforts comply with state laws.
Our monument perpetuation process begins with exhaustive research. This preliminary investigation helps us accurately pinpoint the potential positions of all recorded monuments and reference ties within the project’s scope.
Following the initial research, KDM’s field staff conducts a detailed site walk. Armed with a precisely compiled search map from our office, our team assesses the site to ascertain the actual number of monuments potentially impacted by upcoming construction activities. This crucial step often reveals unrecorded or obscured monuments, including those buried beneath the roadway surface, necessitating special efforts for their preservation.
In collaboration with City staff, KDM develops a comprehensive project work plan. This plan not only outlines the phased execution of work, including traffic control and documentation methods, but also addresses specific challenges such as the reestablishment of key monuments previously destroyed.
Depending on the situation, we may recommend creating a record of survey instead of using corner records for better clarity and legal standing.
Upon the completion of construction activities, our field team is responsible for installing new, durable monuments and ties to replace those compromised or destroyed during construction.
This step ensures that all new installations are robust and enduring.
Our office staff prepares and files all necessary documentation with the relevant agencies, ensuring that everything is up to date and in compliance with local and state regulations. Copies of these documents are also provided to the City for their records.
KDM has a rich history of preparing and recording both pre-construction and post-construction documents, including corner records and records of survey across Southern California. We are committed to the preservation of all monuments, recognizing their significance in the historical and legal context of real property transactions. These include monuments foundational to the region’s heritage, such as Spanish land grant Rancho corners and traditional section corners, as well as modern survey markers like centerline intersections.
As a stalwart advocate for monument preservation, KDM is dedicated to partnering with the City to prevent the loss of these invaluable artifacts of surveying history. We are eager to continue our collaboration, ensuring that these monuments are preserved for future generations, thus maintaining the integrity and continuity of our shared geographic and legal landscapes.
Boundary Surveying
KDM Meridian has a long-standing reputation for conducting comprehensive boundary surveys to support various propertyrelated projects. Our expertise extends to locating existing monuments, replacing lost or obliterated corners, setting new parcel monuments, and accurately identifying and defining property encroachments. We specialize in resolving boundary discrepancies and are adept at establishing or reestablishing parcel lines for the precise placement of fences, walls, and other property delineations. Our services routinely include the establishment or re-establishment of right-of-way lines and easements, essential for legal clarity and property development.
Our boundary survey process begins with meticulous research, conducted at both county and city levels to recover all relevant record maps and documents that influence the property's boundary and monumentation. This includes obtaining and thoroughly reviewing a preliminary title report along with any backup documentation associated with the subject property.
22 To ensure an efficient field operation, we prepare a digital search map that guides our survey teams in locating existing monumentation. Employing a combination of advanced GPS technology and conventional surveying methods, we diligently search for and pinpoint monumentation. Control points are strategically established near property corners, particularly where original monuments have been lost or are no longer visible, to facilitate the accurate setting of new monuments upon completion of the boundary analysis.
All fieldwork is reviewed on a daily basis, undergoing a detailed least squares adjustment to ensure the highest level of accuracy. Each boundary survey conducted by KDM is thoroughly analyzed by a licensed land surveyor. Findings are then cross-verified with a second licensed land surveyor, ensuring reliability and precision in our final reports.
In instances where all monuments are located without material discrepancies, KDM prepares a detailed exhibit that clearly depicts our findings for the client. Conversely, if new monuments are established or if significant differences with existing record data are observed, KDM promptly prepares and files a record of survey. All documentation is prepared in strict compliance with relevant statutes, such as California Business and Professions Code §8762, guaranteeing that every aspect of our boundary surveys meets legal standards.
Topographic Field Surveying – (Contour/Earth Surface)
KDM has prepared thousands of topographic surveys to facilitate the design of public works improvements, which have supported countless public works projects. Our success in this field stems from a deep understanding of the specific uses of base mapping and meticulous adherence to project schedules. These surveys serve a critical role in locating existing structures (fixed works) and in developing accurate digital terrain models (DTMs) of the earth’s surface. Typically, our topographic base maps also incorporate detailed record parcel lines, right-of-way lines, and centerlines.
The survey process begins with extensive research, after which initial base maps are crafted to cover the designated work area. These maps display record centerlines, right-of-way, and property lines, integrating information about record monuments. This compiled data acts as a foundational search map for our field teams. Existing monuments are carefully located and documented, providing orientation for the recorded data. To ensure stability and continuity, secondary control points are strategically placed and are designed to remain undisturbed throughout the life of the project. All control work leverages published County or City horizontal and vertical control data and is subject to a rigorous quality review process, including least squares adjustments. This process typically involves using at least two agency benchmarks for accuracy.
For projects requiring detailed utility location, KDM coordinates with utility companies to obtain and mark underground service locations, which are then meticulously documented on our topographic maps. When accessing private properties, KDM utilizes door hangers approved by the California Land Surveyors Association (CLSA), which include a brief explanation of the survey’s purpose and contact information, ensuring transparency and communication with property owners.KDM Meridian delivers high-quality digital outputs, providing electronic surface model (DTM) files compatible with industry-standard software such as AutoCAD & MicroStation. We also offer DWG, PDF, and ASCII files of the completed project base mapping as required by the project specifications.
Our topographic base maps are comprehensive, including all located features, monumentation, and control points set during the survey. In scenarios requiring exceptional detail or where direct access is challenging, KDM employs LiDAR technology. This method is particularly effective in environments like congested utility tunnels at sanitation plants or in conducting intersection surveys on multi-lane roadways with high-speed limits. LiDAR produces detailed 3D point clouds that can be
23 seamlessly integrated into many standard CAD programs. Upon request, KDM staff can extract and convert this data into standard 2D topographic base maps, tailored to the specific needs of the project.
Through these advanced surveying techniques, KDM Meridian ensures that each topographic survey is not only accurate but also provides valuable insights and data critical for the successful design and execution of public works improvements.
Photogrammetric Surveying/Aerial Topographic Mapping
KDM Meridian excels in photogrammetric surveying, a cost-effective method particularly advantageous for collecting topographic and vertical data over expansive areas. Our team, in collaboration with our sub-consultants, Robert J. Lung & Associates, Inc. (RJL) and Central Coast Aerial Mapping, Inc. To execute these surveys, KDM sets and surveys aerial targets based on state plane coordinates and local agency benchmarks. This process involves the strategic placement and surveying of targets, which serve as reference points throughout the aerial photogrammetry process. Additionally, our team conducts comprehensive surveys of numerous random points across the project area. These points are crucial for verifying the accuracy of the aerial mapping, providing an additional layer of validation to our work.
By leveraging advanced photogrammetric technology, KDM is able to deliver highly accurate and detailed topographic maps.
These maps are invaluable for a wide range of applications, including planning and executing infrastructure projects, environmental studies, and land development initiatives. Our aerial topographic mapping services offer a significant advantage in terms of both cost and efficiency, enabling clients to obtain precise data over large areas without the logistical complexities and higher costs associated with traditional ground survey methods.

With each project, we strive to not only meet but exceed client expectations, providing data that is both reliable and actionable.
24 Construction Surveying
KDM Meridian has a distinguished history of collaborating with numerous cities and agencies on capital improvement projects, delivering precise surveying services directly for owners/agencies or as part of construction management teams. Our expertise encompasses a broad spectrum of construction-related surveying tasks, including staking for rough and finish grading, slope staking, and improvements to streets such as paving and curbing. We also handle surveys for commercial and industrial building projects as well as both wet and dry utility improvements. KDM is equipped to provide any specific construction staking required by the city.
The initial step in any construction staking project is to verify or establish a new control network. This network, essential for the lifespan of the project, is set using highaccuracy GPS equipment, conventional total stations, and digital levels, based on existing Control Monuments. We ensure that new vertical and horizontal control points are strategically placed in locations that will remain undisturbed by ongoing construction.
KDM works in close collaboration with construction and project managers, city inspectors, and contractors' superintendents. We actively participate in both office and field site meetings, maintaining up-to-date knowledge on changes to work schedules and plan revisions. This proactive communication ensures that staking tasks are completed ahead of the contractor's work schedule, keeping the project on track and responsive to any changes or updates.
For efficient project management, we pre-calculate staking items based on current plans and an approved schedule of work submitted by the contractor. This step involves verifying distances and grades, effectively serving as a quality assurance and quality control (QA/QC) check of the plans. This process helps to swiftly identify any potential problems or concerns related to the construction or design plans before staking begins.
Upon identifying any issues, we promptly submit requests for information or clarification to prevent any work delays. KDM typically responds to written requests for staking within two business days. Throughout the project, we maintain a binder and digital file of all staking requests in chronological order, along with notes detailing the disposition of these requests, allowing us to track progress and identify any necessary re-stakes effectively.
KDM surveyors have extensive experience in staking hundreds of miles of curb and gutter, sanitary sewers, storm drains, water lines, and various dry utilities. We ensure optimum offsets and confirm understanding of all staking with the contractor and inspector involved. Our detailed procedures enable us to prepare accurate invoicing and track hours expended versus our project budget matrix. Both city inspectors/project managers and contractors' superintendents are provided with electronic files and hard copies of cut sheets (and field notes when necessary) on city-approved forms.
Our commitment extends to maintaining excellent public relations with city and contractor staff, the general public, and property and business owners.
We also provide proactive support and coordination efforts for construction work involving utility companies and other agencies. This coordination ensures that construction staking projects are not only productive and cost-effective but also integral to delivering successful projects on time and within budget.
For all fieldwork, particularly on construction contracts, we use high-visibility and current safety equipment and signs to ensure the safety of our staff and the public. Regular tailgate/safety meetings are held to discuss project-specific safety awareness and concerns. We contract with traffic control consultants to provide a comprehensive traffic control plan, staff, vehicles, signs, cones, and related equipment to ensure a safe work area.
25 Through these meticulous and collaborative efforts, KDM Meridian upholds its reputation as a leader in construction surveying, providing invaluable expertise and support to ensure the seamless execution and completion of capital improvement projects.

This dedicated channel serves as a unified point of contact for both submitters and city officials, ensuring that all communications are centralized. It allows multiple KDM staff members to access the emails, guaranteeing comprehensive oversight and swift responses to any inquiries or submissions.
2. Initial Distribution: After completing each check, we promptly distribute the results to all individuals on our comprehensive contact list. This approach ensures that all stakeholders receive the same information at the same time, significantly reducing the need for individual follow-ups and streamlining the communication process.
3. Regular Email Updates: Our team provides consistent updates via email, which detail the progress of our map checks. These updates include essential findings and outline any required corrections. Scheduled at pivotal project milestones—or more frequently, if so requested by the city—these updates keep all stakeholders wellinformed and engaged throughout the map checking process. • Interactive Meetings: We regularly host discussions, both in-person and through digital platforms like MS Teams, to address specific issues or elaborate on complex aspects of the corrections needed. These meetings are inclusive of the submitter, City staff, owners, the Title Officer, and other pertinent stakeholders, ensuring that all parties are aligned and can collaborate effectively.
• Efficient Tracking and Reporting: An in-house tracking system is maintained through spreadsheets that monitor the turnaround times for all submissions. This tracking enables us to review our performance continuously and update the City staff promptly on the status of each task.
Our methodology emphasizes the importance of thorough and clear communication and also focuses on ensuring that all interactions are directed appropriately, and responses are delivered without delay. This approach not only enhances the quality of our map checking services but streamlines the project flow, minimizing potential hold-ups and the need for resubmissions.
We are dedicated to maintaining open lines of communication and delivering exceptional service throughout the duration of the project, ensuring that all stakeholders are well-informed and satisfied with the progress.

In the event of termination of the policy during this period, Consultant shall obtain continuing insurance coverage for the prior acts or omissions of Consultant during the course of performing the Work or Services under the terms of this Agreement. The coverage shall be evidenced by either a new policy evidencing no gap in coverage, or by obtaining separate extended “tail” coverage with the present or new carrier or other insurance arrangements providing for complete coverage, either of which shall be subject to the written approval by the City.
3. In the event the policy of insurance is written on an “occurrence” basis, the policy shall be continued in full force and effect during the term of this Agreement, or until completion of the Work or Services provided for in this Agreement, whichever is later. In the event of termination of the policy during this period, new coverage shall immediately be obtained to ensure coverage during the entire course of performing the Work or Services under the terms of this Agreement.
5.3 Acceptability of Insurers. Consultant shall promptly furnish, at City’s request, copies of actual policies including all declaration pages, endorsements, exclusions and any other policy documents City requires to verify coverage.
5.9 Requirements Not Limiting. Requirement of specific coverage or minimum limits contained in this section are not intended as a limitation on coverage, limits, or other requirements, or a waiver of any coverage normally provided by any insurance. Nothing in this section shall be construed as limiting in any way the indemnification provision contained in this Agreement, or the extent to which Consultant may be held responsible for payments of damages to persons or property.
5.10 Enforcement of Agreement (Non-Estoppel). B. All insurance coverage and limits provided by Consultant and available or applicable to this Agreement are intended to apply to each insured, including additional insureds, against whom a claim is made or suit is brought to the full extent of the policies. Nothing contained in this Agreement or any other agreement relating to the City or its operations shall limit the application of such insurance coverage.
C. None of the insurance coverages required herein will be in compliance with the requirements of this section if they include any limiting endorsement which substantially impairs the coverages set forth herein (e.g., elimination of contractual liability or reduction of discovery period), unless the endorsement has first been submitted to the City and approved in writing.
D. Certificates of insurance will not be accepted in lieu of required endorsements, and submittal of certificates without required endorsements may delay commencement of the Project. It is Consultant’s obligation to ensure timely compliance with all insurance submittal requirements as provided herein.
E. Consultant agrees to ensure that subconsultants and subcontractors, if any, and any other parties involved with the Project who are brought onto or involved in the Project by Consultant, provide the same minimum insurance coverage required of Consultant.

Consultant shall periodically prepare and submit to the Contract Officer such reports concerning the performance of the Services required by this Agreement as the Contract Officer shall require. Consultant hereby acknowledges that the City is greatly concerned about the cost of the Work and Services to be performed pursuant to this Agreement.
For this reason, Consultant agrees that if Consultant becomes aware of any facts, circumstances, techniques, or events that may or will materially increase or decrease the cost of the Work or Services contemplated herein or, if Consultant is providing design services, the cost of the project being designed, Consultant shall promptly notify the Contract Officer of such fact, circumstance, technique, or event and the estimated increased or decreased cost related thereto and, if Consultant is providing design services, the estimated increased or decreased cost estimate for the project being designed.
7.3 Ownership of Documents. All drawings, specifications, reports, records, documents, memoranda, correspondence, computations, and other materials prepared by Consultant, its employees, subconsultants, subcontractors and agents in the performance of this Agreement shall be the property of City and shall be promptly delivered to City upon request of the Contract Officer or upon the termination of this Agreement, and Consultant shall have no claim for further employment or additional compensation as a result of the exercise by City of its full rights of ownership of the documents and materials hereunder. Consultant may retain copies of such documents for its own use. Consultant shall have an unrestricted right to use the concepts embodied therein. Consultant shall ensure that all of its subconsultants and subcontractors shall provide for assignment to City of any documents or materials prepared by them, and in the event Consultant fails to secure such assignment, Consultant shall indemnify City for all damages resulting therefrom.
7.4 Release of Documents. All drawings, specifications, reports, records, documents, and other materials prepared by Consultant in the performance of services under this Agreement shall not be released publicly without the prior written approval of the Contract Officer. All information gained by Consultant in the performance of this Agreement shall be considered confidential and shall not be released by Consultant without City’s prior written authorization.

7.5 Audit and Inspection of Records. After receipt of reasonable notice and during the regular business hours of City, Consultant shall provide City, or other agents of City, such access to Consultant’s books, records, payroll documents, and facilities as City deems necessary to examine, copy, audit, and inspect all accounting books, records, work data, documents, and activities directly related to Consultant’s performance under this Agreement. Consultant shall maintain such books, records, data, and documents in accordance with generally accepted accounting principles and shall clearly identify and make such items readily accessible to such parties during the term of this Agreement and for a period of three (3) years from the date of final payment by City hereunder.
8. ENFORCEMENT OF AGREEMENT
8.1 California Law and Venue. This Agreement shall be construed and interpreted both as to validity and as to performance of the Parties in accordance with the laws of the State of California. Legal actions concerning any dispute, claim, or matter arising out of or in relation to this Agreement shall be instituted in the Superior Court of the County of Orange, State of California, or any other appropriate court in such County, and Consultant covenants and agrees to submit to the personal jurisdiction of such court in the event of such action.
8.2 Interpretation. This Agreement shall be construed as a whole according to its fair language and common meaning to achieve the objectives and purposes of the Parties. The terms of this Agreement are contractual and the result of negotiation between the Parties.
Accordingly, any rule of construction of contracts (including, without limitation, California Civil Code Section 1654) that ambiguities are to be construed against the drafting party, shall not be employed in the interpretation of this Agreement. The caption headings of the various sections and paragraphs of this Agreement are for convenience and identification purposes only and shall not be deemed to limit, expand, or define the contents of the respective sections or paragraphs.
8.3 Termination. City may terminate this Agreement for any reason, with or without cause, upon giving Consultant thirty (30) days written notice. Upon such notice, City shall pay Consultant for Services performed through the date of termination. Upon receipt of such notice, Consultant shall immediately cease all work under this Agreement, unless the notice provides otherwise. Thereafter, Consultant shall have no further claims against the City under this Agreement. Upon termination of the Agreement pursuant to this section, Consultant shall submit to the City an invoice for work and services performed prior to the date of termination. In addition, Consultant reserves the right to terminate this Agreement at any time upon sixty (60) days written notice to the City, except that where termination is due to material default by the City, the period of notice may be such shorter time as the Consultant may determine.
8.4 Default of Consultant.
A. Consultant’s failure to comply with any provision of this Agreement shall constitute a default.
B. If the City Manager, or City Manager’s designee, determines that Consultant is in default in the performance of any of the terms or conditions of this Agreement, he/she shall notify Consultant in writing of such default. Consultant shall have ten (10) days, or such longer period as City may designate, to cure the default by rendering satisfactory performance. In the event Consultant fails to cure its default within such period of time, City
Modified Insr Wrty PSA 8082024

shall have the right, notwithstanding any other provision of this Agreement, to terminate this Agreement without further notice and without prejudice of any remedy to which City may be entitled at law, in equity, or under this Agreement. Consultant shall be liable for any and all reasonable costs incurred by City as a result of such default. Compliance with the provisions of this section shall not constitute a waiver of any City right to take legal action in the event that the dispute is not cured, provided that nothing herein shall limit City’s right to terminate this Agreement without cause pursuant to Section 8.3.
C. If termination is due to the failure of the Consultant to fulfill its obligations under this Agreement, City may, after compliance with the provisions of Section
8.4(B), take over the work and prosecute the same to completion by contract or otherwise, and the Consultant shall be liable to the extent that the total cost for completion of the Services required hereunder exceeds the Maximum Contract Amount (provided that the City shall use reasonable efforts to mitigate such damages), and City may withhold any payments to the Consultant for the purpose of set-off or partial payment of the amounts owed the City as previously stated. The withholding or failure to withhold payments to Consultant shall not limit Consultant’s liability for completion of the Services as provided herein.
8.5 Waiver. No waiver of any provision of this Agreement shall be effective unless in writing and signed by a duly authorized representative of the Party against whom enforcement of a waiver is sought. Any waiver by the Parties of any default or breach of any covenant, condition, or term contained in this Agreement, shall not be construed to be a waiver of any subsequent or other default or breach, nor shall failure by the Parties to require exact, full, and complete compliance with any of the covenants, conditions, or terms contained in this Agreement be construed as changing the terms of this Agreement in any manner or preventing the Parties from enforcing the full provisions hereof.
8.6 Rights and Remedies Cumulative. Except with respect to rights and remedies expressly declared to be exclusive in this Agreement, the rights and remedies of the Parties are cumulative and the exercise by either Party of one or more of such rights or remedies shall not preclude the exercise by it, at the same or different times, of any other rights or remedies for the same default or any other default by the other Party.
8.7 Legal Action. In addition to any other rights or remedies, either Party may take legal action, in law or in equity, to cure, correct or remedy any default, to recover damages for any default, to compel specific performance of this Agreement, to obtain declaratory or injunctive relief, or to obtain any other remedy consistent with the purposes of this Agreement.
8.8 Attorneys’ Fees. In the event any dispute between the Parties with respect to this Agreement results in litigation or any non-judicial proceeding, the prevailing Party shall be entitled, in addition to such other relief as may be granted, to recover from the non-prevailing Party all reasonable costs and expenses, including but not limited to reasonable attorneys’ fees, expert witness fees, court costs and all fees, costs, and expenses incurred in any appeal or in collection of any judgment entered in such proceeding. To the extent authorized by law, in the event of a dismissal by the plaintiff or petitioner of the litigation or non-judicial proceeding within thirty (30) days of the date set for trial or hearing, the other Party shall be deemed to be the prevailing Party in such litigation or proceeding.

9. CITY OFFICERS AND EMPLOYEES: NON-DISCRIMINATION
9.1 Non-liability of City Officers and Employees. No officer or employee of the City shall be personally liable to the Consultant, or any successor-in-interest, in the event of any default or breach by the City or for any amount which may become due to the Consultant or to its successor, or for breach of any obligation of the terms of this Agreement.
9.2 Conflict of Interest. No officer or employee of the City shall have any financial interest, direct or indirect, in this Agreement nor shall any such officer or employee participate in any decision relating to the Agreement which effects his or her financial interest or the financial interest of any corporation, partnership, or association in which they are, directly or indirectly, interested in violation of any state statute or regulation. Consultant represents and warrants that it has not paid or given and will not pay or give any third party any money or other consideration in exchange for obtaining this Agreement.
9.3 Covenant Against Discrimination. In connection with its performance under this Agreement, Consultant shall not discriminate against any employee or applicant for employment because of race, disability, medical condition, religion, color, sex, sexual orientation, age, marital status, ancestry, or national origin. Consultant shall ensure that applicants are employed, and that employees are treated during their employment, without regard to their race, disability, medical condition, religion, color, sex, sexual orientation, age, marital status, ancestry, or national origin. Such actions shall include, but not be limited to, the following: employment, upgrading, demotion or transfer; recruitment or recruitment advertising; layoff or termination; rates of pay or other forms of compensation; and selection for training, including apprenticeship.
10. MISCELLANEOUS PROVISIONS
10.1 Patent and Copyright Infringement.
A. To the fullest extent permitted by law, and in lieu of any other warranty by City or Consultant against patent or copyright infringement, statutory or otherwise, it is agreed that Consultant shall defend at its expense any claim or suit against City on account of any allegation that any item furnished under this Agreement, or the normal use or sale thereof arising out of the performance of this Agreement, infringes upon any presently existing U.S. letters patent or copyright and Consultant shall pay all costs and damages finally awarded in any such suit or claim, provided that Consultant is promptly notified in writing of the suit or claim and given authority, information and assistance at Consultant’s expense for the defense of same, and provided such suit or claim arises out of, pertains to, or is related to the alleged negligence, recklessness or willful misconduct of Consultant. However, Consultant will not indemnify City if the suit or claim results from: (1) City's alteration of a deliverable, such that City’s alteration of such deliverable created the infringement upon any presently existing U.S. letters patent or copyright; or (2) the use of a deliverable in combination with other material not provided by Consultant when it is such use in combination which infringes upon an existing U.S. letters patent or copyright.
B. Consultant shall have sole control of the defense of any such claim or suit and all negotiations for settlement thereof, Consultant shall not be obligated to indemnify City under any settlement made without Consultant’s consent or in the event City fails to cooperate in

the defense of any suit or claim, provided, however, that such defense shall be at Consultant’s expense. If the use or sale of such item is enjoined as a result of the suit or claim, Consultant, at no expense to City, shall obtain for City the right to use and sell the item, or shall substitute an equivalent item acceptable to City and extend this patent and copyright indemnity thereto.
10.2 Notices. All notices or other communications required or permitted hereunder shall be in writing, and shall be personally delivered, sent by registered or certified mail, postage prepaid, return receipt requested, or delivered or sent by facsimile with attached evidence of completed transmission, and shall be deemed received upon the earlier of (i) the date of delivery to the address of the person to receive such notice if delivered personally or by messenger or overnight courier; (ii) five (5) business days after the date of posting by the United States Post Office if by mail; or (iii) when sent if given by facsimile. 10.3 Entire Agreement. This Agreement constitutes the entire agreement between the Parties and supersedes all prior negotiations, arrangements, agreements, representations, and understandings, if any, made by or among the Parties with respect to the subject matter hereof.
No amendments or other modifications of this Agreement shall be binding unless executed in writing by both Parties hereto, or their respective successors, assigns, or grantees.
10.4 Severability. Whenever possible, each provision of this Agreement shall be interpreted in such a manner as to be effective and valid under applicable law, but if any provision of this Agreement shall be determined to be invalid by a final judgment or decree of a court of competent jurisdiction, such provision shall be ineffective only to the extent of such prohibition or invalidity, without invalidating the reminder of that provision, or the remaining provisions of this Agreement unless the invalid provision is so material that its invalidity deprives either Party of the basic benefit of their bargain or renders this Agreement meaningless.
10.5 Successors in Interest. This Agreement shall be binding upon and inure to the benefit of the Parties’ successors and assignees.

10.7 Recitals. The above-referenced Recitals are hereby incorporated into the Agreement as though fully set forth herein and each Party acknowledges and agrees that such Party is bound, for purposes of this Agreement, by the same.
10.8. Corporate Authority. Each of the undersigned represents and warrants that (i) the Party for which he/she is executing this Agreement is duly authorized and existing, (ii) he/she is duly authorized to execute and deliver this Agreement on behalf of the Party for which he/she is signing, (iii) by so executing this Agreement, the Party for which he/she is signing is formally bound to the provisions of this Agreement, and (iv) the entering into this Agreement does not violate any provision of any other Agreement to which the Party for which he/she is signing is bound.
10.9 Labor Code Requirements.
A. Prevailing Wages. Consultant is aware of the requirements of California labor Code Section 1720, et seq., and 1770, et seq., as well as California Code of Regulations, Title 8, Section 16000, et seq., ("Prevailing Wage Laws"), which require the payment of prevailing wage rates and the performance of other requirements on "public works" and "maintenance" projects. If the Work or Services are being performed as part of an applicable "public works" or "maintenance" project, as defined by the Prevailing Wage Laws, and since the total compensation is $1,000 or more, Consultant agrees to fully comply with such Prevailing Wage Laws. City shall provide Consultant with a copy of the prevailing rates of per diem wages in effect at the commencement of this Agreement. Consultant shall make copies of the prevailing rates of per diem wages for each craft, classification, or type of worker needed to execute the Work or Services available to interested parties upon request, and shall post copies at the Consultant's principal place of business and at the project site. It is the intent of the parties to effectuate the requirements of sections 1771, 1774, 1775, 1776, 1777.5, 1813, and 1815 of the Labor Code within this Agreement, and Consultant shall therefore comply with such Labor Code sections to the fullest extent required by law. Consultant shall defend, indemnify, and hold the City, its officials, officers, employees, agents, and volunteers free and harmless from any claim or liability arising out of any failure or alleged failure to comply with the Prevailing Wage Laws.
The foregoing indemnity shall survive termination of this Agreement.
B. DIR Registration. If the Work or Services are being performed as part of an applicable "public works" or "maintenance" project, in addition to the foregoing, then pursuant to Labor Code sections 1725.5 and 1771.1, the Consultant and all subconsultants must be registered with the Department of Industrial Relations ("DIR"). Consultant shall maintain registration for the duration of the Project and require the same of any subconsultants. This Project may also be subject to compliance monitoring and enforcement by the DIR. It shall be Contractor's sole responsibility to comply with all applicable registration and labor compliance requirements, including the submission of payroll records directly to the DIR.
10.10 Counterparts. This Agreement may be signed in counterparts, each of which shall constitute an original.

SUBJECT: On-Call Civil Engineering, Project Management and Support Services Dear Mr. Ames,
NV5, Inc. is excited to have the opportunity to provide On-Call Civil Engineering, Project Management and Support Services to the City of Laguna Hills (City). Our team has the technical knowledge and experience to deliver your projects in the most cost-efficient and cost-effective manner. NV5’s strengths include the following:
Current Partnership: Our experience and strong existing relationship with the City gives us the ability to continue providing professional engineering services for your capital improvement projects. We have an established working relationship with your staff, a firm understanding of your administrative processes, and a familiarity with the community you serve. This enables us to provide outstanding cost- and time-efficient services. Specifically, our team has been providing On-Call Civil Engineering and Construction Management Services to the City since 2014.
Close Proximity and Mobilization: NV5’s Irvine office is less than 5 miles from Laguna Hills City Hall, so our team can quickly respond to any needs the City may have without delay. We understand the nature of an on-call contract and that we may need to mobilize quickly and be ready to manage or inspect a project at a moment’s notice.
Relevant Experience: We have a proven track record of successfully providing On-Call Engineering Services to municipalities throughout Southern California. We are committed to providing high-quality service and believe that commitment is one reason why the majority of our work comes from repeat clients — an obvious indicator of client satisfaction. We have completed similar services several cities including, but not limited to, the cities of Laguna Niguel, Aliso Viejo, Dana Point, Newport Beach, Laguna Beach, Seal Beach, and Anaheim. We have included references, as requested, as well as our other qualifications to demonstrate our success in fulfilling similar efforts for other cities throughout Southern California.
Proposed Team: Understanding both the needs of the City and its Capital Improvement Program, NV5 has assembled a team of high-level professionals who will be made available to the City upon request. Our team will be led by Project Manager David Niknafs, PE, who has over 30 years of civil engineering experience in the public and private sectors working on various capital improvement projects. Mr. Niknafs will be supported by a team of professionals who are experts in their field.
Proposal Authorization and Validity: This proposal has been signed by Jeffrey M. Cooper, PE, a company officer authorized to bind the firm. This proposal will remain valid for a period of at least 180 days from the date of this submittal.
Addendum Acknowledgment: We have received Addendum No. 1 dated May 17, 2024 and Addendum No. 2 dated July 2, 2024.
NV5 looks forward to the opportunity to continue to work with the City and help you achieve your goals and objectives. If you need further information, we may be reached by phone at (949) 585-0477, or electronically at [email protected] and [email protected]. Thank you for your time and consideration.
Sincerely,
NV5

Lake Drive Storm Drain Replacement
CITY OF ENCINITAS | ENCINITAS CA
Project Designer. Mr. Rocco is providing engineering design services for the Lake Drive Storm Drain Replacement Project, which involves the replacement of approximately 2,000 feet of failed 48” corrugated metal pipe (CMP) with new reinforced concrete pipe (RCP) through an environmentally sensitive canyon area between Lake Drive and Interstate 5 (I-5). The existing system collects runoff from the surrounding developed area and conveys it down a steep slope through a natural canyon and west towards the I-5. Design hydraulic analysis revealed the original pipe was significantly undersized, resulting in the failure of the system within the canyon. Due to the undersized pipe and downstream constraints, designing a new detention basin was necessary to attenuate the peak flows through the canyon. During the design period, due to significant and unusual regional rainfall events, a large sinkhole developed at the top of the project limits, eventually affecting a portion of Lake Drive and local utilities, prompting an emergency response by the City. NV5 worked closely with the City and the emergency construction crews to produce an emergency “interim” design to collect and convey the drainage. At the same time, the failed slope and adjacent roadway were reconstructed.
The “interim” improvements were then incorporated into the final design condition, leading to the detention basin, avoiding the need for additional disturbance of the newly restored area.

Plan Check Services
CITY OF DANA POINT | DANA POINT, CA
Plan Check Engineer. Ms. Peterson provided WQMP review services for the City of Dana Point. NV5 served as an extension of City staff to review projects involving grading, street and drainage improvements, building foundations and retaining walls, and parcel/tract maps for conformance with City standards, regional, and state regulations, and generally accepted engineering design practices.
Lake Drive Storm Drain Replacement
CITY OF ENCINITAS | ENCINITAS, CA
Project Engineer. Ms. Peterson is providing engineering design services for the Lake Drive Storm Drain Replacement Project, which involves the replacement of approximately 2,000 feet of failed 48-inch corrugated metal pipe (CMP) with new reinforced concrete pipe (RCP) through an environmentally sensitive canyon area between Lake Drive and Interstate 5 (I-5).
