On July 7, 2021, Amendment No. 1 was executed to increase the scope and fee for the Old Town Septic to Sewer conversion project. Staff estimated that an additional $75,000 for right of way services will be needed to obtain permissions (signed agreements between the property owners and the City) to connect properties to City sewer.
Amendment No. 1 to the agreement increased compensation by an additional $75,000, thereby amending the total not-to-exceed sum from $25,000 to $100,000.
On July 26, 2022, Amendment No. 2 was executed which extended the contract expiration date to June 30, 2023 only, the not-to-exceed amount of $100,000 remained unchanged.
Discussion:
More right of way services will be required for the Old Town Septic to Sewer conversion Project to bring it to completion. The project completion date was extended until November 29, 2023. In addition, Dokken will assist the City in acquiring right of way along the Santa Fe Wash, north of the Green Tree bridge, to relocate an existing sewer main away from the wash embankment and with an access road for sewer maintenance purposes. Dokken will also assist the City in acquiring a new utility easement to replace an old small diameter watermain through BNSF property, located north of the BNSF railroad tracks, east of Sixth Street, within Old Town.
Amendment No. 3 to the agreement has been prepared to add to the scope of services and increase the compensation of the agreement. Please refer to Attachment A, Amendment No. 3.
A summary of the agreement and amendments are shown below:
Original Agreement $25,000.00
Amendment No. 1 $75,000.00
Amendment No. 2 (time extension only) $0.00
Amendment No. 3 $155,027.00
Total Agreement Amount Not-to-Exceed $255,027.00

9 8
Staff recommends that the City Council approve Amendment No. 3 to the Consultant/Professional Services Provider Agreement with Dokken Engineering, On-Call Right of Way Acquisition and Appraisal Services, increasing the not to exceed amount to $255,027.00.
Staff is available for any questions the Council may have.

Since 2003, Boeing has been one of the largest companies to maintain operations at the Southern California Logistics Airport (“SCLA”). Since September 2013, Boeing has leased Building 678 which is the largest hangar at the SCLA. Boeing has subleased Building 676 which is also a large hangar, since February 2019. Given a number of positive attributes associated with the SCLA and the surrounding airspace, the Boeing Flight Test Operations Division (“FTO”) started performing aircraft flight tests at the SCLA in 2010. In the early years the FTO Division simply shared facility space with the other Boeing divisions already based at the SCLA. In March 2016, the FTO entered into its first sublease at the SCLA for dedicated office space in Building 717A, space that remains under sublease. Although the FTO has an aggressive schedule to perform flight testing, Building 676 will not be in use by the FTO on a full time basis. During these hiatus periods, it is anticipated that Boeing’s Aircraft on Ground (“AOG”) division that operates out of the adjacent hangar will utilize the space to expand its business. Boeing has steadily expanded operations at the SCLA to include aircraft financing via the Boeing Capital Corporation, flight test operations, and to perform Maintenance Repair and Overhaul (“MRO”) services for its Aircraft on Ground (“AOG”) and Fleet Care divisions.
Discussion:
Collectively, the value of Boeing entering into this sublease exceeds the anticipated $897,217 in net sublease revenue the SCLA will receive during the first year. Boeing’s flight activities will generate additional airfield revenues that include landing, parking, and fuel flowage fees that are accounted for separately. Moreover, Boeing’s continued presence may draw other Boeing divisions to the SCLA which may again result in Boeing further expanding its footprint. In the meantime, the FTO contributes significantly to Victorville’s economy through its spending at hotels, restaurants, and car rentals. The proposed Agreement for Building 676 and 717A entails an initial term of two years and seven months with a commencement date of February 1, 2023. The Agreement also contemplates two, additional five-year option terms. The Subleased Premises consist of Building 676 which is comprised of approximately 83,070 square feet of hangar, office and mechanical room space and Building 717A which is comprised of approximately 10,041 square feet of office space. Boeing has agreed to pay $74,768.13 per month with an annual 3% inflator. This amounts to $.80 per square foot per month, which is comparable with similar SCLA buildings.
Because the proposed Standard Sublease Agreement brings significant revenue, grows a relationship with one of the world’s leading aviation companies, maintains local employment, and produces a steady revenue stream, which aligns with the City of Victorville’s multiyear Goal A of financial sustainability, staff recommends that Your Honorable Southern California Logistics Airport Authority Board approve the Standard Sublease Agreement with The Boeing Company for Building 676 and 717A and authorize the Airport Director to execute said Agreement.

a. Monthly Base Rent . During the first year of the Initial Term, Sublessee shall pay to Subl essor as rent for the Subleased Premises the amount of Seventy-Four Thousand Seven Hundred Sixty -Eight Dollars and Thirteen Cents ($74,768.13) per month (the “Monthly Base Rent”). b. Payment for Utility Charges . At the Sublessor’s expense, Sublessor shall provide the following utilities to the Subl eased Premises: water, natural gas, electricity, fire/alarm service or monitoring, and sewer/trash, hereinafter collectively referenced as “Utilities”. In acknowledgment of the Utilitie s provided to the Subleased Premises, Sublessee shall reimburse the Sublessor one hundred percent (100%) of the total cost associated with the Utilities for Building 676 and Building 717A, (the “Utilities Reimbursement”), which shall be computed or determined based on the total amount incurred by Sublessee plus an additional three percent (3%) administrative fee.
During the Term, Subl essee shall pay the Utilities Reimbursement on a monthly basis in addition to the Monthly Base Rent. Notwithstanding the foregoing, Sublessee shall be permitted to fund the Utilit ies Reimbursement during the term , on a monthly basis, in a fixed amount equal to the average amount calculated by Subl essor for the previous year’s billing . S ublessor shall perform an A nnual Utilities Reimbursement Reconciliation ( the “Reconciliation”) and shall provide Subl essee with an updated good faith estimate of the upcoming year ’s new Utilities Re imbursement fixed amount. Any overages or shortages of this fixed am ount shall be reconciled among Subl essor and Subl essee against the actual utility costs during the Reconciliation. The Reconciliation will be performed by Subles sor approximately within thirty (30) days following the annual anniversary of the S ublease Commencement Date during the Term or any Option Term exercised. Sublessee shall make the updated fixed amount Utilities Reimbursement monthly payments throughout such year.
Following the Reconciliation, any adjustment (overage or shortage) will be applied to the next utility billing coming due. In the event that the fixed Utility Reimbursement amount is less than actual utility cost, Subl essor agrees to not consider Subl essee in default of the Sublease unless Sublessee chooses to not comply with the payment s due upon the Reconciliation, provided a Utilities Reimbursement amount remains due.
SCLAA Standard Sublease Page 5 Boeing Bldg 676 & 717A
In no event shall the Sublessor be liable for any interruption or failure in the suppl y of such utilities to the Subl eased Premises, however, Sublessor shall make comm ercially reasonable efforts to minimize the period of any utility disruption. All other utilities shall be paid directly by the Su blessee to the respective utility service pr ovider. Additionally, Sublessor represents, and Sublessee hereby a cknowledges its understanding that the United States Air Force is operating a soi l vapor extraction well outside the north/west c orner of Building 676, as depicted on Exhibit A -3, that draws electrical power from the same source that supplies Building 676. Said vapor extraction system is internally metered and requires a mo nthly Sublessor reading to procure reimbursement from the Air Force’s contractor that is operating the system.
c. Tenant Improvements. Within three hundred sixty-five (365) days of the S ublease Commencement Date, Subl essee shall undertake and substantiall y complete, at its sole expense, certain tenant improvements to the Subleased Premises (the “Tenant Improve ments”) as further descri bed in Exh ibit E attached hereto and incorporated herein by this reference. Subl essee shall construct the Tenant Improvements in accordance with Section 14, 17 and 22 of this Sublease, using its own staff and/or properly licensed and insured contractors and in full compliance with any applicable prevailing wage or public bidding requirements.

The rental cr edit shall be based upon actual costs incurred by Subl essee to cons truct the T enant Improvements, as verified and approved by Sublessor pursuant to subsection (i) below.
The rental credit shall not exceed a total of One Hundred Thousand Dollars ($100,000) and shall be applied on a monthly basis toward the Sublessee’s Monthly Base R ent in an amount not to exceed Eight Thousand Three Hundred Dollars ($8,300) monthly.

8. Brokerage Commission. Sublessor and Sublessee represent and affirm to each other that they have not had any dealings with any real estate brokers, finders or agents and no commissions or fees are payable by either Party in connection with t his Sublease.
9. Late Charge. Sublessee hereby acknowledges that late payment by Sublessee to Sublessor of any i nstallment of rent , or any other sums due hereunder will cause Sublessor to incur costs not contemplated by the Sublease, the exact amount of which will be extremely difficult to ascertain. Accordingly, if any installment of rent, or any other sum due from Sublessee is not received by the Sublessor within ten (10) days after such amount is due, whether or not any notice of default or other notice has been given, Sublessee shall pay to the Sublessor a charge equal to six percent (6%) of the amount past due (the “Late Charge”), in addition to the payment of the past due rent itself. The Parties hereby agree that such Late Charge represents a fair a nd reasonable estimate of the costs the Sublessor will incur by reason of late payment by Sublessee, and no more than one Late Charge shall be assessed per month. Notwithstanding the f oregoing, in the event the Sublessee elects to make annual payments in advance, then no Late Charge shall apply.
10. Limited Right to Possession of the Subleased Premises. Sublessor shall deliver possession of the Subleased Premises to Sublessee on or befor e the Sublease Commencement Date, free and clear of all tenants, occu pants, and right of any third parties except as hereafter provided in this Section 10 . Sublessee’s quiet enjoyment of the Subleased Premises that results in material and demonstrable financial detriment to Sublessee and Sublessee being unable to continue its business functions in a commercially reasonable manner, shall be gro unds for termination of the Sublease by Sublessee.
11. Holding Over. In the event Sublessee, with the Subles sor’s prior written consent, holds over and continues in possession of the Subleased Premises, or any part thereof, after the Expiration Date of this Sublease, such occupancy shall be considered a month- to-month tenancy subject to all the terms and conditi ons of this Sublease in effect on the day immediately preceding the Expirat ion Date, except that the Monthly Base Rent for any such holdover period shal l be increased to one hundred fifty percent (150%) of the then current Monthly Base Rent. If Sublessee, without the Sublessor’s prior written consent, holds over or continues in possession of the Subleased Premises, or any part thereof, after the Sublease Expiration Date of this Sublease, such occupancy shall be deemed a tenancy at sufferance, permitting th e Sublessor to immediately commence eviction proceedings without notice to Sublessee.
12. Right to Relocate. With respect to any building which Su blessee occupies pursuant to this Sublease, after Sublessee’s execution of this Sublease, Sublessor, to the extent required by the SCLAA, shall have the right, upon giving Sublessee ninet y (90) days notice in writing, to provide and furnish Sublessee with space elsewhere in such other building within the boundaries of the SCLA of approximately the same size and with similar characteristics and amenities (such as access to streets and runways) as the Subleased Premises, and to place Sublessee in such new building space at the Sublessor’s expense. Such right shall only be exercised in good faith to the extent the Sublessor requires the c urrent space for the development of the SCLA. In the event Sublessor moves Sublessee to said new space within any building then this S ublease with respect to the original Subleased Premises and each and all of the terms and covenants and conditions thereof shall thereupon remain in full force and effect and be deemed applicable to such new space. If the space in the building is smaller in size than the existing Subleased Premises, then Sublessor shall receive a reduction in rent equal to the difference between the size (using interior square footage) of the existing Subleased Premises and the size of the new building. However , Sublessee shall not be assessed additional rent if the new space is larger in size than Sublessee’s then existing Subleased Premises, unless the new building exceeds the size of the exi sting Subleased Premises by more than fifteen percent (15%). Sublessee reserves the right to reject relocation to a specific location which does not comply with the terms of this provision.
13. Maintenance. Excessive repair and maintenance necessitated solely by Sublessor’s activities shall be borne to the Sublessor. Additionally, Sublessor shall , at Sublessor’s expense, maintain and repair the structural components of the Subleased Premises i.e., foundations, sl abs, exterior walls (excluding glass and door s), and the structural and waterproofing membrane portions of the roo fs. Sublessee acknowledges that it has satisfied itself by its own independent investigation that the Subleased Premises are suitable for their intended use, and that neither the Sublessor nor the Sublessor’s agent or agents have made any representati on or warranty as to the present or future suitability of the Subleased Premises for the conduct of Sublessee’s business.
Sublessee’s taking possession or use of the Subleased Premises for any purpose shall constitute Sublessee’s acceptance of the Subleased Premises “as-is” in its existing condition.
d. Notice of Presence of Asbestos and Lead-Based Paint. Sublessee, its successors and assigns ar e warned that the Subleased Premises may contain asbestos materials and lead-based paint materials. The Sublessor’s consent to an y such assignment, transf er or subletting shall not constitute consent to any further assignment, transfer or subl etting. Additionally, this provision should not be cons trued to prevent subcontractors of Sublessee from conducting their work on the Subleased Premises in conjunction with the normal operations conducted by Subles see. To t he extent that Sublessor must grant its consent for Sublessee’s subcontractors to enter onto the Subleased Premises for the above-described purposes, consent is hereby deemed to be granted.

1.0 Introduction On May 25, 26, and 27, 2021, Pacific EH&S Services, Inc. (Pacific EH&S) performed an asbestos and lead survey at The Boeing Company's (Boeing) Hangar 676 at the Southern California Logistics Airport, located at 18374 Phantom W. in Victorville, California. Pacific EH&S's employees involved with the survey included: Bobby MacNider, Industrial Hygienist, State of California Site Surveillance Technician (CSST No.: 04-3606), and California Department of Public Health (CADPH) Lead Sampling Technician; Tim Morrison, Certified Industrial Hygienist and CADPH Lead Inspector/Assessor; and Matt Durlene, Industrial Hygienist and State of California Certified Asbestos Consultant (CAC No. 96-2091). This report has been prepared to present the survey findings. 2.0 Background Information Pacific EH&S was requested by Boeing to perform a survey to identify any asbestos containing materials (ACM) or lead-containing materials/paint that might be present at the subject hangar. At the request of Boeing, this survey included all interior and exterior portions of the subject building, excluding only the roof over the building. Prior to commencing with the survey, Pacific EH&S reviewed past survey data for the building, and relevant data from past surveys were used to supplement the current survey effort and have been incorporated into this report. 3.0 Scope of Services and Limitations 3.1 Scope of Services This survey included the following services: A visual inspection of all accessible portions of the subject building (excluding only the roof) for the purpose of identifying materials or surface coatings suspected to contain asbestos and/or lead The collection of representative bulk samples of observed suspect materials/surface coatings for the purpose of evaluating them for asbestos and/or lead content The delivery of samples collected during the survey to a qualified laboratory for appropriate analyses 3.2 Limitations This survey included all interior and exterior portions of the subject building, excluding only the roof over the building. Our inspection and sampling efforts included intrusive techniques (i.e., pieces of existing material/surface coating were cut or chipped away at representative locations, efforts were made to inspect representative locations under/behind existing floor coverings, wall coverings, etc., and efforts were made to inspect representative locations above false/suspended ceilings). It should be noted, however, that not all areas located under/behind existing materials/surface coatings were accessed for inspection/sampling, as extensive demolition would have been required to completely inspect all such areas.

4.0 Visual Inspection Findings 4.1 Observed Suspected ACM Observed materials suspected to contain asbestos were grouped as homogenous materials (i.e., materials that were alike in color and texture and that were believed to have been installed at the same time), as outlined in the Asbestos Survey Findings tables provided as an attachment with this report. 4.2 Observed Suspected Lead-Containing Materials/Surface Coatings Observed surface coatings suspected to contain lead were grouped as functional groups (i.e., paint/coating schemes that were alike in appearance and substrate and that were believed to have been installed at the same time, or ceramic tiling that was alike in appearance and believed to have been installed at the same time), as outlined in the Lead Survey Findings tables provided as an attachment with this report. 5.0 Sampling and Analytical Techniques 5.1 Asbestos Sampling and Analyses Past survey data were identified for some of the suspect materials encountered during this survey. In order to assess the other suspect materials encountered during this survey for asbestos content, representative bulk material samples were collected for asbestos analyses. Wet methods were used during sample collection and each bulk specimen was sealed in an airtight container and assigned a discrete sample identification number. The sampling strategy utilized was based on applicable State of California, Department of Industrial Relations, Division of Occupational Safety and Health (Cal-OSHA) and United States Environmental Protection Agency (EPA) recommended sampling protocols. The specific sample locations are depicted on the Sample Locations Site Plans provided as attachments with this report. Following our field survey, the bulk samples were submitted for asbestos analyses to SGS Forensic Laboratories (Forensic) located in Carson, California, which was accredited by the National Institute of Standards and Technology through participation in the National Voluntary Laboratory Accreditation Program (NVLAP No. 101459-1). The sample analyses were performed by polarized light microscopy (PLM) in accordance with the Interim Method for the Determination of Asbestos in Bulk Insulation Samples (EPA Method 600/M4-82-020). 5.2 Lead Sampling and Analyses Past survey data were identified for some of the suspect material/paint schemes encountered during this survey. In order to assess the other suspected lead-containing paint/coating and material schemes encountered during this survey for lead content, representative paint chip and ceramic tile glaze chip samples were collected for lead analyses. The samples were sealed in airtight containers and assigned discrete sample identification numbers. The specific sample locations are depicted on the Sample Locations Site Plans provided as attachments with this report. Following our field survey, the samples were submitted for lead analyses to SGS Forensic, which was accredited by the American Industrial Hygiene Association under the Environmental Lead Laboratory Accreditation Program (AIHA No. 101629). The analyses were performed by acid digestion and flame atomic absorption spectroscopy in accordance with EPA Method 3050B/7000B.

6.0 Asbestos Sample Results and Conclusions 6.1 Interpretation of Sample Results Upon consideration of the results of the asbestos samples that were collected during this survey, which are presented in the Asbestos Survey Findings tables and in the Forensic reports provided as attachments with this report, it should be noted that an ACM, as defined by Cal-OSHA in Title 8, California Code of Regulations, Section 1529 (T8, CCR, §1529), as well as by South Coast Air Quality Management District (SCAQMD) in their Rule 1403, is any material containing more than one percent asbestos. In addition, Cal-OSHA defines an asbestos containing construction material (ACCM) as any material containing more than 0.1 percent asbestos. The PLM analytical method used to analyze the samples collected during this survey had a lower limit of quantification of one percent. Given that detection limit, the following criteria were used to interpret the sample data: a material would be considered an ACM if asbestos was detected at any concentration (including at "trace" concentrations) in any samples within the group of samples that represented the material, and a material would be considered non-asbestos-containing if asbestos was not detected in any samples within the corresponding group. 6.2 Asbestos Findings The following surveyed materials were determined to be ACM based on the results of sampling performed during this survey and/or our review of past survey data for the subject site: Pipe insulation along piping running at various locations in wall and ceiling cavities throughout the west and east side offices (with most such piping concealed and inaccessible for inspection at the time of this survey) Ceiling tiles (12x12) covering ceilings in rooms 118 and 119 on the 1st floor of the east side offices Vinyl floor tiling (12x12, green) covering floor in the east side restroom on the 2nd floor of the east side offices Galbestos-like coating (painted) coating exterior siding/walls of the building Window putty/caulking around windows of the building (exterior side) All of the other surveyed materials were concluded to be non-asbestos-containing, as detailed in the Asbestos Survey Findings tables provided as attachments with this report. 6.3 Asbestos Physical Hazard Assessment Asbestos-containing pipe insulation materials encountered in wall cavities of restrooms on the 1st floor of the west-side offices were observed to be deteriorated/damaged and friable. The observed conditions did not pose an imminent asbestos exposure concern, however, due to the fact that the materials of concern were concealed within the wall cavities. With this said, such materials could pose future asbestos exposure or contamination concerns in the event the conditions worsen and/or if future work is conducted involving renovation to, or demolition of, walls containing such piping.
Boeing Hangar 676 Southern California Logistics Airport, Victorville, Ca Asbestos and Lead Survey Findings Pacific EH&S Report No. 21-1221A Page 4 of 6 PACIFIC EH&S SERVICES, INC. 322 Katella Ave., Suite B, Orange, CA 92867 Phone: 949.250.6396 Fax: 949.250.6398 www.pacificehs.com All of the other ACM identified at the subject building were generally observed to be in good condition, with only minor damage noted at limited locations at the time of this survey. The observed conditions would not pose imminent asbestos exposure or contamination concerns, provided the ACM remain intact and undisturbed. 7.0 Lead Sample Results and Conclusions 7.1 Interpretation of Sample Results Upon consideration of the results of the lead sampling performed during this survey, which are presented in the Lead Survey Findings tables and in the Forensic reports provided as attachments with this report, it should be noted that based on our sampling and analytical strategy, a paint/coating or ceramic tile scheme would be considered lead-containing if lead was detected at a concentration at or above the laboratorys reported analytical detection limit in any of the samples representing the paint/coating/tiling. Conversely, a paint/coating or ceramic tile scheme would be considered non-lead-containing if lead was not detected at or above the laboratorys reported analytical detection limit in the corresponding sample(s). 7.2 Lead Findings Several of the surveyed paint/coating and ceramic tile schemes were determined to contain lead based on the results of sampling performed during this survey and/or our review of past survey data for the subject building, as detailed in the Lead Survey Findings tables provided as attachments with this report. 7.3 Lead Physical Hazard Assessment Lead-containing paint was observed to be peeling/flaking at various locations at the subject building, as indicated in the Lead Survey Findings tables provided as attachments with this report. 8.0 Recommendations 8.1 Addressing Damaged ACM Consideration should be given towards having the damaged asbestos-containing pipe insulation materials observed in wall cavities in the restrooms at the west side offices repaired and/or removed to eliminate potential asbestos concerns associated with the deteriorated condition of those insulation materials. Any such repair or removal work should only be performed by appropriately trained and qualified asbestos abatement personnel, using proper work practices and control measures, under proper abatement conditions, and in accordance with applicable asbestos regulations (e.g., T8, CCR, §1529 and South Coast Air Quality Management District Rule 1403). 8.2 Future Work Involving ACM Any future work involving disturbance to, or removal of, the ACM identified in this report, should only be performed by appropriately trained and qualified asbestos abatement personnel, using proper work practices and control measures, under proper abatement conditions, and in accordance with applicable asbestos regulations (e.g., T8, CCR, §1529 and South Coast Air Quality Management District Rule 1403).

8.3 Work Involving Lead-Containing Materials/Surface Coatings Peeling/flaking lead-containing paint at the subject building should be subjected to a stabilization process designed to remove loose/flaking paint chips. Personnel or contractors performing such stabilization work, as well as any other future work involving disturbance to lead-containing paint/coatings or ceramic tiling at the building, should be informed of the presence of lead and of their responsibility to comply with any applicable worker protection and/or waste disposal regulatory requirements. References to the specific Cal-OSHA requirements that might apply appear in the Lead Regulatory References table provided as an attachment with this report. Additional information concerning compliance with lead regulatory requirements appears in the Cal-OSHA Safety and Health Fact Sheet on Lead in Construction, a copy of which is also provided as an attachment with this report. 8.4 Third-Party Oversight/Monitoring Per Boeing policy, a qualified environmental consultant should be retained to provide oversight/monitoring services in connection with any asbestos abatement work conducted at the subject building. 8.5 Waste Handling Boeing's Environmental, Health and Safety representative for the site should be consulted regarding the proper handling of any asbestos or lead waste generated during future work at the subject building. 8.6 Additional Asbestos Considerations If, during future work, materials suspected to contain asbestos are encountered that are not specifically accounted for in this survey report (e.g., under/behind existing materials or in areas that were not included in the scope of this survey), the newly discovered suspect materials should be appropriately evaluated for asbestos content prior to initiating any work or activities involving their disturbance. Particular attention should be paid towards the likely presence of additional asbestos containing insulation materials along piping running within wall and ceiling cavities in the west and east side office areas at the building. 8.7 Additional Lead Considerations If, during future work, materials or surface coatings suspected to contain lead are encountered that are not specifically accounted for in this survey report (e.g., under/behind existing materials or in areas that were not included in the scope of this survey), the newly discovered suspect materials/surface coatings should either be presumed to contain lead and handled accordingly (per the recommendations presented above), or they should be appropriately evaluated for lead content prior to initiating any work or activities involving their disturbance.

Possible cancellation of a Regular City Council Meeting Recommendation:
Any action is at the discretion of the City Council.
Fiscal Impact:
There is no fiscal impact associated with this item.
Discussion:
Since 2012, the City Council has regularly cancelled the first meeting in January due to City Hall being closed for the holidays. This year, City Hall will be closed beginning Friday, December 23, 2022, and reopening on Wednesday, January 4, 2022.
Due to the closure of City Hall for the holidays, staff would not have ample time to prepare the agenda and meet Brown Act requirements along with any public hearing advertising.
If the City Council chose not to cancel the January 3, 2023, Regular City Council meeting, a draft agenda would have to be prepared and submitted for City Manager review by December 28, 2022, and a final agenda would have to published by December 30, 2022.
Both aforementioned dates City Hall is scheduled to be closed.
Pursuant to Chapter 3, Section III B of the City Council Policy and Procedure Manual, any regular or special meeting of the Council may be cancelled in advance by a majority vote; therefore, staff recommends cancellation of the January 3, 2023 meeting.

Subject:
Appointment of Mayor
Recommendation:
That Your Honorable City Council
1. Direct the City Clerk to open nominations for the office of Mayor, take nominations, announce the outcome of the vote and declare the appointment upon a majority vote of the Council.
Fiscal Impact:
There is no fiscal impact associated with this item.
Background:
On October 3, 2017, the City Council adopted Resolution No. 17-056 adopting the City Council Policy and Procedure Manual (Manual) which created a centralized and comprehensive set of rules, policies and procedures governing the conduct of City Council meetings and the carrying out of the day-to-day business of the City of Victorville.
Chapter 1, Section II B of the Manual provides that the Manual be reviewed at least biennially and may be revised by resolution of the City Council. To date, revisions to the Manual have occurred annually with the latest revision, Resolution No. 21-111 adopted on October 4, 2022.
Discussion:
As part of the Manual, Chapter 2, Section II Council Election and Governance, spells out the process for the appointment of the offices of Mayor and Mayor Pro Tem as follows:
“The City of Victorville is governed by a five-member City Council elected to four-year terms on a staggered basis. Councilmembers are elected in the general election in November of even-numbered years. The Mayor and Mayor Pro Tem will be appointed by a majority vote of the entire membership of the City Council. The City Council shall appoint the Mayor and Mayor Pro 2 3
3 7
Tem for one-year terms at the first regular meeting in December of every year or as soon thereafter as feasible and, when applicable, following the certification of election results and seating of new City Councilmembers. The newly-appointed Mayor and Mayor Pro Tem assume their positions immediately following the majority vote.
The nomination and appointment procedure for the offices of Mayor and Mayor Pro Tem shall be conducted in successive order and as shown below.
1. The City Clerk receives up to one nomination per Councilmember until no further nominations are forthcoming. Seconds are not required.
2. The City Clerk closes nominations.
3. The City Clerk calls on each Councilmember to cast by verbal vote the name of his/her nominee of choice.
4. The City Clerk announces the outcome of the vote and declares the appointment upon a majority vote of the full membership.
5. If an appointment is not confirmed, the City Clerk repeats the foregoing procedure once more on the prospect of the City Council reaching agreement.
The newly-appointed Mayor shall preside over the process for the office of Mayor Pro Tem, unless he/she prefers the City Clerk facilitate the appointment.
Should the City Council be unsuccessful in its appointment efforts, whether it be by insufficiency of votes or failed action pursuant to Chapter 5, Section R, Tie Votes, the item shall be reconsidered during the next regular City Council meeting in expectation of securing the requisite consensus of the full body. If such consensus is not gained after the second consecutive Council meeting during which one or more appointments were considered, the sitting Mayor and/or Mayor Pro Tem, as applicable, shall remain in office until the next annual organizational meeting.”
On December 13, 2022, due to Tie Votes, the City Council was unsuccessful in appointing a Mayor for the upcoming 2023 year. Pursuant to the aforementioned City Council Policy and Procedure Manual, Chapter 2, Section II Council Election and Governance, this item is being presented to the City Council for reconsideration in an effort to secure an appointment to the office of Mayor. Staff remains available for any questions or comments you may have.

Discussion:
City Council Policy and Procedure Manual, Chapter 9, Section 1B, states:
“On or before December 31st of each year, the City Clerk (or such other staff as the Council may designate) shall prepare and provide to the City Council an appointments list of all regular and ongoing commissions, committees, and boards appointed by the Council and the terms of the members of such boards, committees, and commissions that will expire during the next calendar year as required by Government Code Section 54970 et seq., also known as the Maddy Act. City Council Resolution No. 13-049 identifies that the normal term of each regular committee member shall be four years, more or less, and shall be coterminous with the term of office of the nominating Councilmember. As such, in years when a City Council election takes place, all seats on commissions, committees, and boards for newly elected Councilmembers will be open for nomination and appointment. In years when there is no City Council election, only those seats that are unfilled will be open for nomination and appointment. Such nominations must be confirmed by a majority vote of the full membership of 6 9
8 the City Council in order for an appointment to occur. The Presiding Officer shall facilitate appointments in accordance with nomination and appointment procedure set forth in Chapter 2, points 1-6. To the extent a Councilmember’s nominee for a specific commission, committee, or board does not obtain the requisite affirmative votes, such Councilmember will be given the opportunity to nominate up to three (3) other individuals, either at the same meeting or at subsequent meetings. In the event a Councilmember’s subsequent three (3) nominees are not confirmed by a majority vote of the Council, then the City Council shall appoint a commission, committee, or board member using the same procedures set forth herein. Unscheduled vacancies shall be filled in accordance with Government Code Section 54974. Such unscheduled vacancy appointments shall be coterminous with the appointing Councilmember’s term of office as provided for in City Council Resolution No. 13-049.” The following Commission and Committee has vacancies needed to be filled in accordance with the election of new Councilmembers:
Planning Commission:
The Planning Commission is scheduled to meet every second Wednesday of every month at 5:00 p.m. to review and act on all land use applications and proposed projects developed in the City. Victorville Municipal Code Section 2.12.020 Planning Commission Terms – Regular members states:
“The normal term of each regular commission member shall be four years, more or less, and shall be coterminous with the term of office of the nominating councilperson. The appointee shall be approved by a majority of the council. The term of any regular member is automatically extended for not more than ninety days pending the qualification of his successor.” Community Services Advisory Committee:
The Community Services Advisory Committee (CSAC) is scheduled to meet on the third Monday of each month at 5:00 p.m. to discuss and provide input on topics related to community programs and services, recreation activities and events, as well as park facility development. Traditionally the term of office for the CSAC runs with the term of office of the appointing Councilmember.
Community Revitalization Investment Authority (CRIA) Board:
In 2015, the State legislature approved Assembly Bill 2, which authorized local government agencies to form a Community Revitalization and Investment Area (CRIA).
A CRIA can finance the revitalization of disadvantaged communities through planning and financing infrastructure improvements, economic development activities, and affordable housing using property tax increment contributed by eligible, consenting 6 9
8 taxing entities. All actions required in the process of forming a CRIA are outlined in Government Code (GOV) Sections 62000 through 62208.
The CRIA Board does not currently have an established meeting schedule, however, regular, reoccurring meetings will be set once the CRIA Plan has been adopted. The following dates have been established for the purposed of taking public comment to adopt a CRIA Plan
•First Public Hearing: February 6, 2023
•Second Public Hearing: March 20, 2023
•Third Public Hearing: May 15, 2023
ADDITIONAL COMMITEES:
The following committees require the City Council to designated two members of the City Council every year to serve on the committee. These committees must be filled in order to meet reporting deadlines.
Audit Committee:
