SECTION III: DETAILED APPROACH AND MEHTODOLOGY
SSD will implement the proposed security camera system using a structured and coordinated project delivery process designed to ensure efficiency, transparency, and minimal disruption to City operations. Our approach combines experienced project management, licensed field installation teams, and detailed project tracking to maintain clear communication and consistent progress throughout the installation. From the initial pre-construction meeting through final system training and project close-out, SSD will work closely with City staff to coordinate scheduling, confirm system access requirements, and ensure that all installation milestones are completed within the timelines outlined in the RFP.
Scope and Solution
SSD will decommission any existing camera system equipment and deploy a new IP based enterprise security camera system at City Hall, Fire Admin, and Corporate Yard. The proposed system architecture is designed to support future expansion, allowing the City to seamlessly add additional facilities as security needs evolve.
SSD has selected Hanwha Vision as the system manufacturer due to its government approval, full NDAA compliance, and proven performance in mission-critical environments. Hanwha solutions are widely deployed across government, banking, healthcare, retail, and transportation sectors, providing a trusted and secure platform for long-term use. The system will operate on the Hanwha WAVE video management platform, enabling authorized City personnel to efficiently monitor and review video across multiple locations through a unified interface. Dedicated WAVE recording servers will provide robust on-premises infrastructure capable of meeting the City’s storage requirement for 366 days of video retention. SSD’s system design will incorporate a mixture of high resolution 4MP and 4K/8MP Cameras as well as 360/Fisheye cameras to meet the City’s specific coverage requirements.
Project Staffing
SSD will provide the personnel necessary to successfully execute the project, including project management, field installation teams, scheduling coordinators, and account management support. All installation and service personnel assigned to this project are direct SSD employees who have completed background checks and drug screening and are licensed through the California Bureau of Security and Investigative Services (BSIS). All field installers will be compensated in accordance with the appropriate prevailing wage classifications as required by the California Department of Industrial Relations.
17.H.
Project Management and Tracking
SSD will manage each installation using its internal job management and tracking system.
This system documents all project activity, including scheduling, service calls, and daily installation progress.
Field technicians record daily work performed, percentage of completion, and remaining scope of work. This information is accessible to all SSD project team members, allowing for prompt responses to City inquiries and ensuring effective internal communication throughout the project.
SSD will also conduct weekly project status meetings with the City to review installation progress, address any questions, and provide updates on upcoming work.
Project Documentation
Any customer concerns or issues that arise during the project will be documented through a “communication log” within the project record. This log allows SSD team members to record the issue, track actions taken to address it, and document the final resolution.
These records remain permanently attached to the project file and become part of the final project close-out documentation.
Schedule and Coordination
Following the contract award, SSD will conduct a pre-construction meeting with City representatives to review project scope, confirm installation priorities, and coordinate site access requirements. A detailed installation schedule will be provided after this meeting.
Project mobilization will begin once SSD receives the notice to proceed of procurement.
Installation sequencing will be coordinated with the City to meet the 90-day completion timeline outlined in the RFP once equipment is received. SSD is not aware of any current delays or back log with the proposed product.
SSD will require access to the designated facilities during agreed-upon installation windows, as well as access to the City’s network infrastructure and power at all MDF and IDF locations outlined in the system design. The City will also provide a list of personnel at each facility who require access to camera viewing and software installed on their workstation computers.
System Access and Training
SSD’s proposal includes the initial configuration of two client users per location. Additional client users per location are available to be implemented and been priced out separately in groups of five, as outlined in Section IV: Fee Schedule.
17.H.
Upon completion of the first system installation, SSD will conduct a four-hour training session for the City’s IT staff covering system operation, video access, and administrative functions. SSD will also make up to 16 hours available for additional remote training sessions to support other City personnel who require access to the system. Training costs and options are also detailed in the Fee Schedule provided in Section IV.
Preventative Maintenance and On-Going Support
SSD will implement a proactive preventative maintenance program designed to support long-term system reliability, maintain optimal video performance, and extend the operational life of the City’s security camera system. The program includes a total of 19 scheduled preventative maintenance visits over a five-year period. This consists of three visits during the first year following system installation and four visits annually during each of the subsequent four years. This schedule ensures the system is routinely inspected and maintained to prevent performance degradation and to identify potential issues before they impact system operation.
During each visit, SSD technicians will conduct a comprehensive inspection of the system to verify proper functionality and performance. Services will include reviewing both daytime and nighttime video to confirm operational performance, inspecting all system equipment, verifying camera positioning and focus, cleaning camera lenses and housings where dirt or debris may affect image clarity, and confirming overall picture quality.
For larger system locations, including City Hall and the Corporate Yard, SSD will dedicate one technician for a full eight-hour workday to ensure adequate time is allotted to complete all inspection and maintenance tasks. While the maintenance plan is structured around a full workday for these larger systems, SSD is flexible and can work with the City to adjust the scope or duration of tasks if a shorter schedule is preferred in order to reduce the cost of preventative maintenance plan. For the smaller camera system at Fire Admin, SSD will allocate approximately three hours for a technician to perform the required preventative maintenance inspection. If a lift is required to access certain cameras at the larger locations, this services will be billed separately.
Preventative maintenance visits will be set up by an SSD service coordinator, who will contact the City’s designated representative in advance to schedule each inspection.
The total cost for preventative maintenance services is provided in Section IV – Fee Schedule.

APPROACH & METHODOLOGY
The camera project will be completed using a facility-by-facilityapproach, with the initial site including installation of the recording solution. The ?rst phase will involve deploying a team of technicians to install all new cabling at City Hall.
Once cabling is complete, the camera and audio equipment will be installed. When the cameras are ready to be brought online, the recording server will be con?gured to add the new cameras, establish user accounts, and con?gure system settings and recording parameters.
Following completion of the City Hall installation, the Fire Administration facility and the Corporation Yard will be completed using the same sequence of work.
Each location will begin with the installation of cabling infrastructure, followed by the installation and con?guration of the camera equipment. As each camera is installed, it will be properly aimed, tested, and added to the recording server located at City Hall.
All camera placement, viewing angles, and recording schedules will be reviewed and approved by project management from Am-Tec Total Security in coordination with representatives from the City of Hemet.
Upon completion of the installation, training sessions will be coordinated and conducted for appropriate City of Hemet personnel. Am-Tec Total Security will also provide ongoing support and additional training throughout the duration of the contract as needed.
Following system installation, quarterly preventive maintenance visits (four times per year) will be performed. These visits will include applying necessary security and ?rmware updates, inspecting all equipment, verifying system performance, and ensuring that all hardware components remain in proper operating condition.

See attached for applicable resumés
(Section III) – Detailed Approach and Methodology
The approach for managing the subject project will be multi-layered. a. Initially, at award of contract, Baker will schedule a kickoff meeting in order to introduce the team members on the Baker side as well as the city side. During this time, a preliminary schedule will be discussed.
b. Next submittals will be gathered for approval. Concurrently, site investigations will be needed to plan the work at each site. Additionally, a shop drawing will be developed for approval by the district prior to deploying installation manpower on site. c. Materials will be ordered and staged in our bonded and insured warehouse until required for installation on site.
d. Meetings will be held approaching the time for technicians to be on site to include things like access to areas of the building, staging of materials and tools, working hours, safety, etc.

As a company that has done work at numerous public type facilities, we are accustomed to working within the constraints of a public environment. Coordination with the city team will be key to minimizing disruption while maintaining maximum efficiency.
During pre-construction, schedules, submittals, and work plans will be developed for approval by all parties prior to beginning the installation. A plan for each specific area of work will be layed out for implementation of the overall scope in smaller chunks to provide focus and clarity for each installation.
There are 3 items that are issues that we will likely encounter:
a. Working in an occupied building. This will be an ongoing concern and can be mitigated by taking precautions in the area of work by being cognizant of the public while we are on site at any time.
b. Schedule adherence. Taking a realistic approach to accomplishing the work at the outset will be allow for the planning to be done with the final product in mind. Best practices will be utilized with the mindset that efficiency and quality are of the utmost importance. c. Safety. One of the policies that we adhere to no matter the project is Safety First. We will need to make sure that all parties, technicians, city team members, and the general public are not put in harm’s way during the course of the installation. Weekly safety meetings and audits will be the cornerstone of making this project a safe and successful one.
Timeline for the project will be set in stone once a contract is received and realistic lead times for product can be established. A duration of 8 to 10 weeks is what we would shoot for on the installation with another 2 weeks for commissioning although the start date would be dependent on materials being available after approval of submittals by the district and orders are placed. All work would be able to be done during normal working hours.

© 2026 BEARCloud Proprietary & Confidential Page 23 of 29 Executive Summary
Recommendation: Standardize on Cat6 for horizontal camera drops across City Hall, Fire Administration, and Corporation Yard, with Cat6a or fiber reserved for aggregation closets, long runs, and high‑density/PoE++ zones. This balances performance, cost, installability, and future upgradeability for a citywide surveillance deployment.
Technical Rationale for Cat6
• Bandwidth and camera support: Cat6 reliably supports 1 Gbps at 100 m, which accommodates the majority of modern HD and AI cameras and the Aruba switching platform. Many cameras and edge devices will operate well at 1 Gbps; Cat6 also supports
2.5G/5G over shorter distances with quality terminations. • PoE compatibility: Cat6 safely carries PoE and PoE+ for PTZs, , and analytics‑enabled cameras without separate power runs in most cases.
• Cost effectiveness: Material and labor costs for Cat6 are lower than Cat6a or fiber for typical horizontal deployments, reducing initial capital outlay while meeting performance needs.
• Installer ecosystem: Cat6 is widely supported by technicians and test equipment; certified installers and Fluke testing are standard practice. • Upgrade path: With proper conduit, pathways, and aggregation planning, Cat6 supports phased upgrades (2.5/5G) and avoids full recabling in many scenarios.
Testing, Acceptance, and Documentation
• Testing standard: Require certified Fluke Level IV test reports for every Cat6 run (wiremap, length, NEXT, FEXT, attenuation, return loss). • Acceptance criteria: All runs must pass manufacturer and TIA performance thresholds at the intended channel configuration (e.g., 100 m, PoE loaded). Failed runs must be reworked at vendor expense.

6 | P a g e
City of Hemet - Citywide Security Camera System Upgrade Convergint's partnership with Convergint allows City of Hemet to manage complexity with certainty by:
• Selecting the cameras, hardware, and software that meet your needs and budget • Selecting the appropriate wireless infrastructure.
• Choosing the most cost-effective approach and solution. • Reducing the cost with a single software platform for both the video management and access control systems.
Genetec’s Security Center platform is rated as the best enterprise level platform with support for thousands of legacy, new IP cameras, numerous 3rd party integrations, and offers scalable, reliable and secure video management products.
GENETEC UNIFIED SERVER INFRASTRUCTURE
With the open-platform concept already established in the video surveillance industry, the new trend toward non-proprietary door controllers in the access control industry and the emerging security standards gives way to a now achievable unified security platform. A unified platform is a comprehensive software solution that manages access control, intrusion and video, and intrusion functionalities through non-proprietary security appliances.
A unified platform goes above and beyond tagging or bookmarking video when an access control event occurs or unlocking an access controlled door from the video surveillance user interface. It is a unified user interface that offers seamless integration between video, access and intrusion systems with built-in reporting and alarm management functionalities.
With this type of solution, it is possible to configure and manage video cameras, access controlled doors, print badges, monitor intrusion panels, and have everything at the security personnel’s disposal to ensure the level of security of a facility within a single consistent software suite. An open-unified solution protects the end user’s investment through interoperability, meets the user’s security needs and is affordable to buy and maintain.
An open-unified platform is a product that targets the mass market by providing built-in support for commoditized security products such IP cameras, DVRs, door controllers, alarm panels, badge printers, active directory for authentication and card management without requiring customization for every installation.
Since a unified platform supports commoditized products, hardware investments are protected.
Therefore, if the end user is not satisfied with the unified software solution, they can change software components without having to reinvest in specialized appliances.
Nevertheless, something to keep in mind is that even if customization is not mandatory to deploy a unified platform, it must still allow for third-party integration and customizations through an SDK or API. The SDK or API must be available so the end user can contract external firms to design and maintain the custom integrations beyond their video and access control applications, and not rely solely on the unified platform manufacturer for these initiatives down the road.

City of Hemet - Citywide Security Camera System Upgrade A seamlessly integrated system offers centralized management, administration, monitoring and reporting. Its single, centralized database contains all the information that, in a non-integrated environment, would be distributed among multiple databases.
A truly unified platform optimizes resources by sharing common servers and databases for:
• Authentication and permissions
• Licensing
• Configuration settings
• Alarms and events
• Audit and activity log
• Video recording
• Access logs
This type of architecture is easier to install and manage because it consists of a single software suite to learn, configure, upgrade, backup unlike the integrated system where these tasks must be done for all implicated systems.
A centralized server infrastructure also simplifies the end user’s life because the user only needs to connect to a single server by using a single login. From that connection, they have access to all services offered by the unified platform. They no longer have to connect to different servers while conducting both video and access control investigations. a) Genetec’s Security Center

Convergint can deliver a custom-fit, scalable security solution for your organization with our open-platform solution partners, who enable technology solutions aligned to the needs of your business.
The primary solutions that we offer include, but are not limited to:
• Access control systems (ACS)

Convergint takes a consultative and layered approach to provide a holistic view regarding security from your facility's perimeter to your company's core. We are committed to partnering with City of Hemet throughout this project and future projects with your end goals in mind.
Benefits & Value
Convergint's proposed new surveillance solution shall provide value through reliability, innovation, and openness.
Reliability means that you can count on Convergint to protect your business, people, and assets. The system provides reliable service 24/7 so that your organization won't skip a beat, which is especially important if your organization depends on constant surveillance day in and day out.
Innovation means that your system is future-proof. Any VMS needs to be scalable for future growth because video surveillance comes in all shapes (e.g., body-worn cameras, facial recognition, Internet of Things (IoT) devices) and sizes (e.g., single-camera businesses to global organizations with mission-critical devices). Whether you need to adjust the number of devices, types, or locations, the system can easily and seamlessly handle that growth.
Openness provides the benefit of empowering you to build the system that precisely fits your needs. For example, City of Hemet can integrate thousands of cameras, storage solutions, and add-ons (e.g., access control, license plate reader, point-of-sale receipt data, etc.) into the new system.
• A separate device driver layer simplifies the replacement of installed cameras with new camera models in runtime without any impact on other system components.

City of Hemet - Citywide Security Camera System Upgrade
CONVERGINT PROJECT MANAGEMENT
Convergint's approach to Project Management incorporates many of the same elements we now use on current contracts, with suitable adaptations for new requirements in any statement of work (SOW). Convergint employs a proactive service delivery approach that emphasizes regular testing and preventive maintenance of hardware and software, focusing on the most likely problem areas. Using Convergint software tools like iCare and iTrac, we capture data that is analyzed and used to increase system performance and reliability.
Convergint's identified approach to project management and delivery is detailed below. It provides City of Hemet with a Project Delivery Process outlined in the infographic below, which describes how Convergint typically runs and supports any project during the partnership City of Hemet.
The summary of each step follows the infographic.
Step 1 | Project Assessment & Proposal | In the initial phase of Convergint's project delivery process, we create a comprehensive project assessment and proposal creation. Convergint diligently assesses the project's specific requirements and details during this step. This assessment forms the foundation upon which we construct a detailed project proposal that outlines our approach, scope, and initial timeline for the project.
Step 2 | Project Award | Convergint moves forward to the project award phase upon successfully evaluating and accepting our project proposal. This phase marks the official confirmation of our contract, signifying the commitment between Convergint and City of Hemet to proceed with the project.
Step 3 | Turnover Meeting | Convergint holds a critical turnover meeting after the post-project award. Its primary purpose is to facilitate a seamless transition from the proposal and award phase to active project execution. During this meeting, we engage the Convergint Operations Team, clarifying their roles and responsibilities in alignment with the project's unique requirements.
Step 4 | Project Design & Review | With the established groundwork, Convergint examines the project's design and review phase. Here, our experts meticulously plan and review the technical aspects of the project, ensuring that all necessary details are in place to proceed with confidence.
17.H.
14 | P a g e
City of Hemet - Citywide Security Camera System Upgrade This phase is crucial for setting the project's technical direction.
Step 5 | Pre-Installation Meeting | Convergint organizes a pre-installation meeting before the installation begins. This meeting serves as a vital checkpoint, allowing us to confirm that all preparations are in order. It ensures that the project is set up for success, minimizing unexpected hiccups during installation.
Step 6 | Project Implementation | Convergint progresses into the project implementation phase after completing the necessary preparations and reviews. This is where we bring the project to life, executing the plans and designs meticulously crafted in earlier stages. We adhere strictly to the project schedule and ensure that our work minimally disrupts operations.
Step 7 | Commissioning | After the project's physical implementation, Convergint enters the commissioning phase. Here, we focus on verifying and certifying that the Security system functions precisely as specified in the project documentation. Rigorous testing and checks are conducted to ensure everything is in perfect working order.
Step 8 | Closeout | The closeout phase is initiated as Convergint approaches the project's conclusion. This multifaceted phase includes crucial activities such as Owner personnel training, where we equip them with the knowledge and skills they need to manage and maintain the system. Additionally, we compile turnover documentation that comprises essential elements like as-built drawings, a copy of the database, and comprehensive equipment operation and maintenance instructions. This ensures a smooth transition and closure of the project, leaving our customers with a fully operational and well-documented Security system.
Benefits & Value
The Convergint Project Delivery Process outlined above offers three overarching benefits and values:
• Clarity and Alignment | The process ensures a clear understanding of project requirements, roles, and responsibilities from the outset with Convergint and City of Hemet stakeholders. This clarity reduces misunderstandings, aligns stakeholders, and establishes a strong foundation for project success.
• Quality Assurance | Through meticulous planning, technical review, and rigorous testing, the process enhances the quality and reliability of the security system. This focus on quality minimizes disruptions, increases system performance, and reduces postimplementation issues. • Long-Term Sustainability | The personnel training and comprehensive turnover documentation empower City of Hemet to effectively manage and maintain the security system after project completion. This promotes the system's long-term sustainability, ensuring that it meets security needs and adds lasting value.
Summary
The Project Delivery Process comprises eight (8) steps, each providing distinct benefits and adding value to project management and execution. Beginning with a comprehensive project assessment and proposal, it establishes clear expectations and alignment. The project award phase formalizes commitment, while the turnover meeting enhances collaboration and clarity among the team. Thorough planning and design steps improve project precision, and a preinstallation meeting minimizes surprises. During implementation, accurate execution adheres to schedules and minimizes disruptions. Rigorous commissioning ensures system reliability, and the closeout phase empowers clients with training and documentation for long-term sustainability and satisfaction.

City of Hemet - Citywide Security Camera System Upgrade
BASIS OF DESIGN
Convergint has developed a preliminary system design based on the RFP site walks, the review of shared architectural floor plans, satellite imagery, and available street-view photography. This preliminary design serves as an initial framework to guide subsequent, detailed assessments of each location.
Convergint expressly reserves the right to modify the preliminary basis of design, including but not limited to camera counts, placement, and system architecture, to ensure the final solution provides comprehensive coverage and aligns with the City’s overall security strategy and requirements.
Convergint’s proposed solution will employ a new Video Management System (VMS) architecture, combining the reliability of on-premises infrastructure with the flexibility and scalability of future potential cloud-based technology. This approach is designed to deliver a highly dependable, secure, and efficient video management environment that optimizes system performance and operational uptime.
The proposed system will support one (1) year of fully accessible video retention. Storage capacity has been calculated based on 366 days of 24/7 recording at 1080p resolution and 15 frames per second, in full accordance with the technical specifications outlined in the RFP. The proposal also included one 256GB SD card per camera to support any interruption to the camera’s connectivity.
RFP EXCLUSIONS
• GENETEC supports Active Directory integration and identity providers supporting the SAML 2.0 and OpenIDConnect protocols. However, this part of the work is included in this proposal as the work will require additional information from the City. The actual amount of work and cost will be subjected to the amount of data integration required.
The work can be done via separate approved change orders. • Currently GENETEC has no integration with Flock devices. However, custom integration is possible. We can set up a collaboration meeting with GENETEC to determine the integration requirements and goals. The custom integration work can be done via separate approved change orders.
SITE SURVEY
Upon award and project initiation, Convergint will perform on-site evaluations at all locations identified within the RFP. These evaluations will include a thorough review of existing site conditions, infrastructure, and environmental considerations to validate assumptions and ensure all system components are appropriately specified and positioned for optimal performance.
Following completion of the site survey, Convergint will finalize the system design and system configurations, as determined necessary to achieve the City’s operational objectives and meet all applicable security and performance standards.
The assessment will allow Convergint to learn and understand in detail the needs and the priorities of each location. We will be using the Enterprise Security Risk Management (ESRM)
17.H.
31 | P a g e
City of Hemet - Citywide Security Camera System Upgrade site survey method modeled by American Society for Industry Security (ASIS) industry governing body. The essence of the ESRM life cycle:
1. Identify and Prioritize Assets,
2. Identify and Prioritize Risks,
3. Mitigate Prioritized Risks, and
4. Continuous Improvement.
This process will be conducted in close collaboration with the City to ensure transparency, alignment, and mutual understanding throughout the evaluation.
To facilitate the site survey process, the City will be requested to provide the following:
1. Building plans / architectural backgrounds in CAD or PDF format.
2. Unrestricted access to all sites referenced in the RFP to prevent delays
3. Administrative access (username/password) to any existing surveillance equipment including the servers and cameras.
Through this methodology, Convergint will deliver a purpose-built, scalable surveillance solution that aligns with the City’s operational environment, enhances overall situational awareness, and supports long-term security and business objectives.

City of Hemet - Citywide Security Camera System Upgrade Best Practices
Convergint Technologies has extensive experience working in government environments, deploying security systems and managing projects with compressed schedule. This experience is applied in several ways;
1) During the proposal phase of expansion projects, our sales design engineers understand which products have successful track records, how they are configured and how to develop accurate job costs – this translates into fewer change orders and a firm project cost.
2) Our Project Managers and Design Engineers have a high level of familiarity with the products being selected and understand the behaviors of the products in government and commercial environments. This predictability allows them to focus on the logistical and administrative tasks within a project rather than unpredictable technical challenges.
Managing the administrative requirements of limited funded projects is a unique challenge and process. Having performed multiple projects in government environments with limited funds uniquely equips us to complete the project with minimal load on your organization.

2. Low voltage wiring shall be installed via open air code approved methods.
3. Provision or installation of conduit, wire, boxes, fittings or other electrical installation materials unless specifically listed under Inclusions or Bill of Materials.
4. Permits or associated fees are not included.
5. Customer to provide server rack, UPS, POE network switch ports, static IP addresses and network connections at panel locations.
6. Customer to provide a secured staging & storage area for project related materials.
7. Pricing assumes that electronic Auto CAD files are available from customer for our use in creating submittal drawings.
8. Fifty percent (50%) of the proposed sell price shall be payable to Convergint for project mobilization. Mobilization shall be invoiced and due upon customer acceptance of this proposal.
9. Pricing is valid for 60 days from the date of the proposal. If accepted, please sign and date below and return to Convergint Technologies with the appropriate purchase order information.
10. Proposal does not include sales tax unless otherwise noted.
11. Pricing is contingent upon project starting within 30 days of acceptance of PO with the understanding that project will proceed uninterrupted through project completion. Prolonged delays by customer exceeding 30 days will require re-estimating financial impact to project which may result in a price adjustment to the original project sell price. In addition, proceeding a 30-day delay, project material/equipment purchased will be delivered to customer site and invoiced in full.
12. Anything in the Contract Documents notwithstanding, in no event shall either Contractor or Subcontractor be liable for special, indirect, incidental or consequential damages, including commercial loss, loss of use, or lost profits, even if either party has been advised of the possibility of such damages.
13. Convergint reserves the right to negotiate mutually acceptable contract terms and conditions with customer by making mutually agreeable changes to the formal contract included in the Bid Documents.
14. Customer acknowledges that supply-chain and shipping difficulties may result in unavoidable delays in deliveries of materials despite timely placement of orders and efforts by Convergint and its suppliers to avoid such delays. Customer agrees to provide Convergint with reasonable extensions of time to the extent of any such delays and Convergint agrees to make reasonable efforts to avoid or minimize such delays. Customer further acknowledges that the above-referenced supply-chain and shipping difficulties may result in unanticipated increases to Convergint’s proposal pricing on products covered by this quote or any resulting agreement and that such increases may occur between the time this quote is provided, or any resulting contract is executed and the time when Convergint actually purchases the products covered by this quote or a resulting agreement. Customer agrees that it will pay any such increase in Convergint’s initial pricing of obtaining the products above the proposal pricing upon which the quote or agreement was based, by change order or otherwise, and Convergint agrees that it shall make commercially reasonable efforts to minimize any such increase.

Convergint Technologies (“Contractor”) submits the following requested clarifications and exceptions to the Agreement included with the RFP should Contractor be the successful bidder. Except as expressly stated below, Contractor accepts the terms of the Agreement. #
1. Indemnification (Section 11)
Requested Revision: Indemnification shall apply only to the extent caused by the negligent acts, errors, omissions, or willful misconduct of Contractor, its subcontractors, or those directly or indirectly employed by them. Contractor shall not be required to indemnify or defend City for City’s active negligence or willful misconduct.
Rationale: Aligns risk allocation with California comparative fault principles and industry-standard public works construction practice.
2. Duty to Defend
Requested Revision: The duty to defend shall apply only to claims arising from Contractor’s negligent acts or omissions and shall be proportionate to Contractor’s fault as determined by agreement or adjudication.
Rationale: Ensures defense obligations align with fault-based liability.
3. Limitation of Liability
Requested Revision: Contractor’s aggregate liability arising out of or relating to the Agreement shall not exceed the greater of: (a) the Contract Price; or (b) available insurance proceeds under required policies at the limits listed. Additional insurance shall not enlarge this limitation.
This limitation shall not apply to:
• Third-party bodily injury or property damage to the extent covered by insurance; • Payment bond obligations;
• Fraud or willful misconduct.
Rationale: Aligns liability exposure with insurable risk and standard construction contracting practices.
4. Waiver of Consequential Damages
Requested Addition: City and Contractor mutually waive claims for consequential, incidental, indirect, special, or punitive damages, including loss of use, loss of profits, loss of financing, or loss of business opportunity.
This waiver shall not apply to:
• Liquidated damages expressly stated in the Agreement; • Third-party claims subject to indemnification.
Rationale: Prevents speculative damages exposure and reflects industry-standard construction risk allocation.
5. Claims Notice Period
Requested Revision: Notice of claims, delays, or disputed work shall be provided within ten (10) calendar days after Contractor becomes aware of the event giving rise to the claim. Failure to provide notice shall not constitute waiver unless City demonstrates actual prejudice.
Rationale: Extends administrative timing to reflect project realities while preserving City protections.
6. Insurance- Documentation Timing
Requested Revision: Evidence of required insurance shall be provided prior to issuance of Notice to Proceed.
Certificates and endorsements may be submitted within ten (10) business days following award.
Rationale:
Administrative clarification; no reduction in required coverage.
17.H.
7. Submittal Schedule
Requested Revision: Technical and administrative submittals shall be submitted in accordance with a mutually agreed project schedule established at the preconstruction meeting.
Rationale: Aligns documentation timing with procurement lead times and coordinated scheduling.
8. Liquidated Damages (Section 4)
Requested Revision: Liquidated damages shall not exceed ten percent (10%) of the Contract Price in the aggregate and shall constitute City’s sole and exclusive monetary remedy for delay, except in cases of Contractor’s willful misconduct.
Rationale: Establishes predictable maximum exposure while preserving City’s agreed daily delay remedy and aligning with standard public works construction risk allocation practices.
Statement of Good Faith
These requested revisions are intended to clarify risk allocation and administrative procedures. Contractor does not seek to modify statutory public works requirements, prevailing wage obligations, DIR registration requirements, bonding requirements, or core performance obligations. Contractor remains committed to delivering the Project in full compliance with California public works laws and the Contract Documents.
