California law mandates that you must take a 30 minute meal break, when you work more than 5 hours a day. You MUST begin your meal break BEFORE you start working more than 5 hours. For example, if you begin work at 6:00am, your meal break must begin no later than 11:00am (5 hours after you begin work).
I certify under the penalty of perjury that the above hours accurately represent my working and meal break hours. I further certify that to the extent I worked less than 6-hours on a given day and waived my right to a meal break OR worked less than 12-hours in a day and waived my right to a second meal break, I did so VOLUNTARILY of my own free accord and without any coercion from my employer. I also certify that I have taken ALL of my 10-minute rest breaks to which I am entitled under California law, as fully explained to me by my employer.
California law also mandates that you take a 10-minute, duty free, rest break for every four (4) hours worked or major fraction thereof. The law requires that you take a 10-minute rest break in the middle of each 4-hour work period (e.g., at the 2-hour mark).
These are paid breaks, and can NOT be voluntarily waived. 4255 Tyler Ave • El Monte, California 91731

Security Uniform and Vehicle Inspection Con?rmation
On March 9, 2023 at about 1000 hours, I met with members of the Aaliyah K9 Security Company to inspectrepresentations of theiruniformsand their vehicles. The company’s PPO holder — Christian Delapena was one of the people I spoke with. They showed me two different versions of their uniform and I determined that they both comply with section 18-259 HMC.
They also showed me one of their patrol vehicles — a black Ford SUV, and I determined that it complied with the requirements outlined in l8—260HMC. l was advised that they use the SUV’s as well as some crown Victoria vehicles but that they all have the same markings.
On March 7, 2023, I checked the BSIS website and con?rmed that the compa.ny’SFPO #17743 was current and in good standing.
At this time, I am authorizing Aaliyah K9 Security to receive a license from the City ofHcm€tRespectfully, Lt. E. Dickson

with or on behalf of Consultant in the performance of this Agreement naming the Indemnified Parties as additional indemnitees. In the event Consultant fails to obtain such indemnity obligations from others as required here, Consultant agrees to be fully responsible according to the terms of this section. Failure of City to monitor compliance with these requirements imposes no additional obligations on City and will in no way act as a waiver of any rights hereunder. This obligation to indemnify and defend City as set forth herein is binding on the successors, assigns or heirs of Consultant and shall survive the termination of this Agreement and this section.
SECTION 17. INSURANCE.
Consultant agrees to obtain and maintain in full force and effect during the Term of this Agreement the insurance policies set forth in Addendum “1” “Insurance” and made a part of this Agreement. All insurance policies shall be subject to approval by City as to form and content.
These requirements are subject to amendment or waiver if so approved in writing by the City Manager. Consultant agrees to provide City with copies of required policies upon request.
SECTION 18. ASSIGNMENT.
The expertise and experience of Consultant are material considerations for this Agreement.
City has an interest in the qualifications and capability of the persons and entities who will fulfill the duties and obligations imposed upon Consultant under this Agreement. In recognition of that interest, Consultant shall not assign or transfer this Agreement or any portion of this Agreement or the performance of any of Consultant’s duties or obligations under this Agreement without the prior written consent of the City, which may be given in the sole and absolute discretion of the City Manager. Any attempted assignment shall be ineffective, null and void, and shall constitute a material breach of this Agreement entitling City to any and all remedies at law or in equity, including termination of this Agreement pursuant to Section 20 “Termination of Agreement.” City acknowledges, however, that Consultant, in the performance of its duties pursuant to this Agreement, may utilize subconsultants.
If in the performance of its duties Consultant utilizes subconsultants or subcontractors, Consultant covenants that subcontracts, if any, shall contain a provision making subconsultants or subcontractors subject to all provisions stipulated in this Agreement, including without limitation, the insurance obligations set forth in Section 17 “Insurance.” The Consultant acknowledges and agrees that the City is an intended beneficiary of any work performed by any subconsultant or subcontractor for purposes of establishing a duty of care between any subconsultant or subcontractor and the City.
SECTION 19. CONTINUITY OF PERSONNEL.
Consultant shall make every reasonable effort to maintain the stability and continuity of Consultant’s staff and subcontractors / subconsultants, if any, assigned to perform the Services.

(b) Consultant may terminate this Agreement for cause at any time upon thirty (30) days written notice of termination to City.
(c) If either Consultant or City fail to perform any material obligation under this Agreement, then, in addition to any other remedies, either Consultant, or City may terminate this Agreement immediately upon written notice.
(d) Upon termination of this Agreement by either Consultant or City, all property belonging exclusively to City which is in Consultant’s possession shall be returned to City. Consultant shall furnish to City a final invoice for work performed and expenses incurred by Consultant, prepared as set forth in Section 4 “Compensation and Method of Payment” of this Agreement. This final invoice shall be reviewed and paid in the same manner as set forth in Section 4 “Compensation and Method of Payment” of this Agreement. (e) Upon written notice, City may suspend all or any portion of Consultant’s performance under this Agreement at its sole option and for its convenience for a reasonable period of time not to exceed six (6) months. City will pay to Consultant a sum equivalent to the reasonable value of the services satisfactorily provided up to the date of suspension. City may rescind the suspension prior to or at six (6) months by providing Consultant with written notice of the rescission, at which time Consultant would be required to resume performance in compliance with the terms and provisions of this Agreement. Consultant will be entitled to an extension of time to complete performance under this Agreement equal to the length of the suspension unless otherwise agreed to in writing by the Parties.
SECTION 21. DEFAULT.
In the event that Consultant is in default under the terms of this Agreement, the City shall not have any obligation or duty to continue compensating Consultant for any work performed after the date of default. Instead, the City may give notice to Consultant of the default and the reasons for the default. The notice shall include the timeframe in which Consultant may cure the default.
This timeframe is presumptively thirty (30) days, but may be extended or reduced, if circumstances warrant. During the period of time that Consultant is in default, the City shall hold all invoices and shall, when the default is cured, proceed with payment on the invoices. In the alternative, the City may, in its sole discretion, elect to pay some or all of the outstanding invoices during the period of default. If Consultant does not cure the default, the City may take necessary steps to terminate this Agreement under Section 20 “Termination of Agreement.” Any failure on the part of the City to give notice of the Consultant’s default shall not be deemed to result in a waiver of the City’s legal rights or any rights arising out of any provision of this Agreement.

SECTION I
EXPERIENCE
Citiguard was founded in 2007 and has established itself primarily with city and government facilities by providing assiduous onsite and mobile patrol security services. Our exceptional reputation and unsurpassed leadership are derived from Citiguard’s President, Sami Nomair, who structured his company’s success by using his former experience as a security officer to tackle the many deficiencies he encountered with other top-rated security providers he had previously worked for. As a result, Citiguard was created as an upstart model that would address all clients’ concerns and commonly known frustrations inherent in this industry.
Citiguard started as a basic guard services provider with less than a dozen employees but has grown to a workforce of over 4,000 employees and office supporting staff devoted to safeguarding both the assets and personnel of each client and providing high-level security for the last 16 years, servicing a record-breaking year of over 400 active contracts.
Citiguard now has seven offices throughout California: Los Angeles, Irvine, Rancho Cucamonga, San Diego, Sacramento, Oakland, and West Hills. Consequently, Citiguard’s reputation for maintaining the highest professional standards for diligent onsite security vigilance and protective response continues to exceed client expectations today. Citiguard is one of the most trusted security guard companies in the Southern California Region and is rapidly approaching the top in Central and Northern California.

1.4.3 Examples of AllState Excellence in Training Techniques Department of Homeland Security – AllState worked in concert with the U.S. Department of Homeland Security (DHS) to develop a training program for:
▪ Community Response to Active Shooter Incident Project, ▪ DHS Center for Faith and Opportunity Indicatives,
▪ DHS National Protection and Programs,
▪ Federal Law Enforcement Training Center, and
▪ Officer of Counterterrorism and Security Preparedness.
COVID-19 – in April 2020 in response to the City and County of San Diego’s COVID-19 mitigation response efforts, AllState was tasked with providing more than 120 security officers at various facilities in the San Diego that included the San Diego Convention Center (60) and the Crown Plaza and Atwood Hotels in San Diego’s Hotel Circle (60). Because of AllState’s reputation as one of the best-of-the-best regional employers, armed with a strong bench of qualified and trained personnel, and supported by a stateof-the-art recruiting division and processes, AllState located/recruited, hired, onboarded, trained, oriented, and deployed more than 100 licenses security officers in less than four (4) days.
Hepatitis A Outbreak – The Country of San Diego contract noted in the first bullet point above was awarded to AllState in September of 2017. The City of San Diego referred AllState Security to the County of San Diego to assist with the largest hepatitis A outbreak in decades. The County entrusted AllState to manage this urgent and critical security and safety situation that required 16 locations to be immediately and continuously covered by full-time security guards 24 hours a day.
AllState had about one week to develop and implement a strategic plan to meet this requirement, and we did so successfully. AllState brought in 85 uniformed guards to handle and execute the requirements of the County and provided public safety and maintained order during this time of emergency. The AllState contract was one of a pair of contracts awarded on an emergency basis (the AllState contract was to provide armed security) in response to the deadly outbreak of hepatitis A in San Diego. The security guard contract awarded to AllState was noted in the County’s “2017-2018 Hepatitis A Outbreak After Action Report” released in May of 2018.
FBI’s Infrared National Members Alliance – AllState worked with and developed training resource information for the FBI’s Infrared National Members Alliance – Security Council Places of Worship where we assisted in the development of the National Template (currently under development with DHS Office of Faith-Based and Community Relationships), for Mitigating and Protection of Places of Worship. We assist each chapter in establishing a Faith-Based Sector Program and associated activities and provided conference/seminar training and sector development support and assistance.

Securitas Mobile Core Services
Patrol Inspections
Patrol Inspections by Mobile Officers are a cost-effective solution where your property is checked at random yet regimented times. Inspections are performed by licensed professional Officers who are highly trained in detecting suspicious activity and deterring crime. Mobile Officers drive wellidentified Securitas vehicles and complete a detailed incident report for each inspection.
Local Securitas management works with each client to develop customized procedures and determine the most effective frequency and service time window for their unique situations.
Alarm Response
Securitas Mobile Guarding offers 24/7 alarm response services across the United States and Canada.
Securitas Mobile Officers are specially trained in handling emergency situations to minimize impact. When your alarm system is triggered, a Mobile Officer is dispatched to your facility to investigate. The Officer will assess the situation and determine the best course of action (e.g. contact your representative, maintenance personnel, local law enforcement or emergency services.)
Our 24/7 alarm dispatch capabilities are available whether your alarm system is provided and monitored by Securitas or another vendor. When your alarm system is triggered, our National Communications Center (NCC) receives the call and dispatches the nearest Securitas Mobile Officer.
First Line Maintenance (FLM)
Securitas Mobile Guarding delivers specialty and FLM services that help our clients to bettermanage their operations, and save time, worry and money.
Our specialty services are numerous. For example, FLM services are performed on thousands of ATMs across North America, such as resolving paper jams, printer issues, card jams, etc. We perform alarm panel battery replacements, correct system anomalies, and reset alarms after a cleared event. More broadly, specialized services also can include temperature or equipment checks and adjustments, and testing/reporting pool water pH levels, etc. 24/7/365 Communication, Dispatch and Operation Center

Securitas Operations Centers
North American Securitas Operations Centers
The Securitas Operations Centers in the United States and in Canada connect our people, technology and processes, enabling us to use key information to deliver comprehensive security solutions and to take the correct action for our customers 24/7. Through the Securitas Operations Centers, we are able to coordinate our security solutions more efficiently, with greater accuracy and higher levels of system redundancy.
Securitas North American operations rely
upon three regional operations centers. For
any event that might compromise processing
at any site center, comprehensive disaster
recovery plans are in place. These plans are
not only a compendium of procedures and
activities designed to restore operations after
a business interruption has occurred, they are
also an ongoing process of planning,
developing, testing, and implementing
recovery methods and procedures to
optimize a rapid recovery from any minor or
major event.
Proactive Security
Information that is gathered and handled in our Securitas Operations Centers allows us to provide our customers with new and improved security solutions. More importantly, we can be much more proactive in our security work, rather than just react to events as they occur.
Our Remote Guarding Officers work around the clock monitoring sites in real-time across North America. The team evaluates and responds to developing situations and acts as a first line of defense to deter and document unwanted or suspicious activity. Their responsibilities are similar to the Post Orders that our Mobile Officers follow while on duty and include established procedures in the areas of entry management, safety breaches, intrusion detection, video tours and emergency response. Remote Guarding Officers often work with On-site and Mobile Officers in the field. Once they scan the scene looking for unusual activity and see that something is unfolding, they will call a Mobile Unit or the Officers at the location (depending on client requirements) to follow up on the suspicious activity.
In rural locations, law enforcement may be called instead (if no Mobile Unit or On-site Officers are at the site). Also, with many of our entry management locations, our Remote Guarding Officers conduct a shift change with the On-site Officer. We let the Officer out of the front gate and close it behind him/her.

A Resolution of the City Council of the City of Hemet, California, Approving the Professional Service Agreement with Ramona Humane Society (RHS) to Provide Animal Control Services for the City of Hemet for a Period of Three (3) Months: July, August and September 2023 in an amount not to exceed $249,783 and Authorize the City Manager to Execute Documents Required to Fulfill the Agreement RECOMMENDED ACTION:
It is respectfully recommended that the City Council:
Adopt a Resolution of the City Council of the City of Hemet, California, Approving the Professional Service Agreement with Ramona Humane Society (RHS) to Provide Animal Control Services for the City of Hemet for a Period of Three (3) Months: July, August and September 2023 in an amount not to exceed $249,783 and Authorize the City Manager to Execute Documents Required to Fulfill the Agreement.
BACKGROUND:
The Ramona Humane Society (RHS) has been providing animal control and sheltering services to the City of Hemet for the past several years. On June 25, 2019 the City Council approved the Fourth amendment to extend the City’s current agreement, including rates, until September 30, 2019, for a term of 3 months to finalize a new agreement.
On April 18, 2019 the City solicited proposals for Animal Field and Sheltering Services with an end date of May 8, 2019. As a result of the bid process, one proposal was received from the RHS.
On September 24, 2019 the City into an agreement with RHS for a term from October 1, 2019 to June 30, 2022, unless sooner terminated or amended with an amount not to exceed $419,328 annually. The City reserved the right to extend this agreement for two (2) additional one (1) year terms.
On April 22, 2022 the City exercised a first amendment to the RHS agreement to extend by one (1) year to June 30, 2023.
14.B
ANALYSIS:
In April 2023, RHS informed the City that they would be stepping back from animal control and enforcement duties and focus on finding homes for sheltered pets.
During the past few months, City Staff has met with RHS and the County of Riverside staff to explore solutions. With the collaborative efforts, RHS has agreed to continue to provide the City with services for the months of July 2023, August 2023 and September 2023 at a flat monthly rate of $83,261.00 to be paid by the 1st of each month to avoid a 5% per day late fee.
This flat rate has been determined based 47% of RHS budgeted expenses and divided by twelve (12) to provide a flat monthly rate.
DISCUSSION:
The City has been engaged in discussions with the County of Riverside regarding transition of animal care services from RHS to the County beginning October 1, 2023 and anticipates bringing forward a proposed agreement for City Council consideration at the July 25, 2023 City Council meeting.

A Resolution of the City Council of the City of Hemet, California, Authorizing the City Manager to Enter an Agreement with City Net for Street Outreach and Engagement Services and Authorize the Finance Director to Establish a Supplemental Appropriation in Support of this Program RECOMMENDED ACTION:
It is respectfully recommended that the City Council:
Adopt a Resolution of the City Council of the City of Hemet, California, Authorizing the City Manager to Enter an Agreement with City Net for Street Outreach and Engagement Services and Authorize the Finance Director to Establish a Supplemental Appropriation in Support of this Program.
BACKGROUND:
The City of Hemet currently contracts with City Net for homelessness Services, originating on December 1, 2021. The Hemet City Council took this step to better address homelessness in Hemet, directly related to the Quality of Life goal in the City's Strategic Plan.
City Net was known to serve numerous cities in California and our neighboring city in the valley. It was evident that City Net had the experience and understanding to serve the homeless population and conducted an in-depth census of the homeless population in our community. The census identified a baseline number of individuals living without housing to develop a strategic direction to guide homelessness prevention and intervention efforts and measure success. It was also important to determine the demographic, asset, and other special characteristics of individuals without housing to better inform resource allocation.
After a presentation was provided to City Council regarding the census report, a proposal was provided by City Net. The City Council chose to engage in our current contract for 19 months, which included the following:
Street Outreach and Engagement plus Emergency Shelter/Bridge Housing: This included the street outreach and engagement component from option 1, but also included a significant investment
14.C
in renting rooms for those wishing to be housed. The proposal included 10 rooms for the duration of
82.29 weeks which ensured that the City had room space for those wishing to be housed. This is a limited-stay emergency program to allow time to locate permanent housing and services.

For the past 19 months, City Net has worked with our Police Department to ensure that housing services are provided to those individuals with a legitimate and known connection to the City of Hemet.
This is being done in order to ensure that the City is addressing those individuals with an available and documented connection to the Hemet community.
The reality is that the Police Department alone cannot remedy the types of issues surrounding homelessness. The Police Department alone has limited response options beyond taking people to jail or a hospital. Effective response to homeless services requires collaboration with the types of services provided by City Net and the Police Department has become receptive to working alongside City Net and the services being provided. The services provided by City Net have shown that they have a greater set of options and resources available, which has effectively reduced impacts and strains on the Police Department. The Police Department will continue to partner with City Net in addressing the challenges of homelessness.
DISCUSSION:
City Net currently provides services with the City of Hemet for homelessness. Homelessness services with City Net is set to expires on June 30, 2023. As such, the Police Department is recommending it is in the City's best interest to continue the City Net services and waive the requirement to go out for a formal procurement process.
The City Council has been provided two 12-month options (described below) to continue homelessness services with City Net. To date, City Net has provided a considerable amount of services to our unsheltered homeless population and the work that has been accomplished is in direct support of our City's Strategic Plan.
Option 1: Street Outreach and Engagement plus Emergency Shelter/Bridge Housing: This includes our current services with City Net, with no other additional services requested. Specifically; service delivery for the specific purpose of reaching out to unsheltered homeless individuals and connecting them with emergency shelter, housing, or critical services, and also providing urgent, nonfacility-based care. This includes all engagement services, case management, emergency health,
14.C
emergency mental health, transportation, and services for special populations. The bridge housing includes the investment in renting rooms for those wishing to be housed. The bridge housing includes ten rooms for the duration of these 52 weeks, which will ensure that the City has room space for those wishing to be housed. The cost for option 1 is $826,491.25 for fiscal year 2023/2024.
Option 2: Street Outreach and Engagement plus Emergency Shelter/Bridge Housing, Seven-day coverage: This includes the street outreach and engagement component plus Emergency Shelter/Bridge housing from Option 1, and an additional two case managers, which will overlap and will provide seven days a week coverage (two teams of two case managers). The cost for option 2 is $1,098,126.30 for fiscal year 2023/2024.
The initial contract with City Net was 19 months and the cost of the program was covered by funding allocated to the City of Hemet from the American Rescue Plan Act (ARPA), which met the qualifications and was directly aligned under Section 35 of the ARPA Interim Final Rule requirements. Staff is requesting the funding source to be utilized from the Police Department's Measure U fund balance, which is approximately $12,152,300.

Option 1 12 months $826,491.25 $68,874.27
Option 2 12 months $1,098,126.30 $91,510.53
Again, It should be noted that Option 1, is what our current contract agreement consists of with City Net. Option 2 has a more robust street outreach and engagement due to increasing an additional two case managers for seven-day a week coverage.
PREVIOUS COUNCIL ACTION:
On December 1, 2021, the City entered into a contract for 19 months with City Net for homelessness services. The contract expires on June 30, 2023. This was a direct action by City Council in addressing the City's Strategic Plan Goal regarding Quality of Life. The initial contract with City Net was 19 months and the cost of the program was covered by funding allocated to the City of Hemet, from the American Rescue Plan Act (ARPA), which met the qualifications and was directly aligned under Section 35 of the ARPA Interim Final Rule requirements. City Net has fully performed their contractual obligations.
STRATEGIC PLAN INTEGRATION:
GOAL ONE: QUALITY OF LIFE:
To ensure that Hemet is safe, clean, attractive and comfortable for all who live, work, and visit.
Objective 1: Enhance the visual appearance of the community to make it attractive and reduce blight.
Objective 2: Explore and implement homelessness solutions for the City of Hemet.
Objective 3: Increase Public Safety visibility and response.
14.C
FISCAL IMPACT:
Costing for Option 1 is $826,491.25 with a monthly average of $68,874.27 Costing for Option 2 is $1,098,126.30 with a monthly average of $91,510.53 The Hemet Police Department's homeless outreach officers have been working directly with City Net for the past 19 months. These types of collaborative responses are the most successful at efficiently using resources in supporting homelessness services and improving Quality of Life.
Staff is recommending the funding source to be utilized from the Police Department's Measure U fund balance, which is approximately $12,152,300. The FY 2023-24 Recommended Budget includes the cost of this program.
The Measure U Citizen Oversight Committee was informed of the request to use the Measure U fund balance to continue services with City Net.
ALTERNATIVE(S):
City Council can provide alternate direction regarding homelessness.

In addition to the general standards of performance set forth this section, additional specific standards of performance and performance criteria may be set forth in Exhibit “A” “Scope of Work” that shall also be applicable to Contractors work under this Agreement. Where there is a conflict between a general and a specific standard of performance or performance criteria, the specific standard or criteria shall prevail over the general.

Contractor further covenants that in the performance of this Agreement, no person having any such interest shall be employed by it as an officer, employee, agent or subcontractor without the express written consent of the City Manager. Contractor agrees to at all times avoid conflicts of interest or the appearance of any conflicts of interest with the interests of City in the performance of this Agreement.
(b) City understands and acknowledges that Contractor is, as of the date of execution of this Agreement, independently involved in the performance of non-related services for other governmental agencies and private parties. Contractor is unaware of any stated position of City relative to such projects. Any future position of City on such projects shall not be considered a conflict of interest for purposes of this section. (c) City understands and acknowledges that Contractor will, perform nonrelated services for other governmental agencies and private parties following the completion of the Services under this Agreement. However, this right to review any such response does not imply or mean the right by City to control, direct, or rewrite said response.
SECTION 16. INDEMNIFICATION.
(a) Indemnification by Contractor. As provided under Civil Code Section 2782.8, Contractor shall indemnify, protect, defend and hold harmless City and any and all of its officials, employees and agents (“Indemnified Parties”) from and against any and all claims, actions and proceedings (whether at law or equity, administrative or judicial), demands, orders, judgments, losses, liabilities, damages, costs and expenses, including attorney’s fees and costs, (collectively "Claims") to the extent same arise out of, pertain to, or relate to the negligence, recklessness, or willful misconduct of the Contractor, its officers, agents, employees or sub-consultants (or any entity or individual that Contractor shall bear the legal liability thereof) in the performance of professional services under this Agreement. In the event Claims are found by the trier of fact to have been caused by the joint or concurrent negligence of the City, its contractors and other Contractors, and Contractor, damages and expenses from both indemnity and duty to defend obligations shall be borne by each party in proportion to its negligence.
Notwithstanding the foregoing, in the event one or more defendants are unable to pay its share of defense costs due to bankruptcy or dissolution of the business, Contractor shall meet and confer with other parties regarding unpaid defense costs. The provisions of this section pertaining to Contractor’s duty to defend shall not apply if there is a project-specific general liability policy of insurance that insures all project participants for general liability exposure on a primary basis and also covers all

Contractors involved with the project for their legal liability arising out of their professional services on a primary basis.
(b) Indemnification from Sub-consultants. Contractor agrees to obtain executed indemnity agreements with provisions identical to those set forth here in this section from each and every sub-consultant, sub-contractor or any other person or entity involved by, for, with or on behalf of Contractor in the performance of this Agreement naming the Indemnified Parties as additional indemnitees. In the event Contractor fails to obtain such indemnity obligations from others as required here, Contractor agrees to be fully responsible according to the terms of this section. Failure of City to monitor compliance with these requirements imposes no additional obligations on City and will in no way act as a waiver of any rights hereunder. This obligation to indemnify and defend City as set forth herein is binding on the successors, assigns or heirs of Contractor and shall survive the termination of this Agreement or this section. (c) City's Negligence. The provisions of this section do not apply to Claims occurring as a result of City’s sole negligence. The provisions of this section shall not release City from liability arising from gross negligence or willful acts or omissions of City or any and all of its officials, employees and agents.
SECTION 17. INSURANCE.
Contractor agrees to obtain and maintain in full force and effect during the term of this Agreement the insurance policies set forth in Exhibit “C” “Insurance” and made a part of this Agreement. All insurance policies shall be subject to approval by City as to form and content. These requirements are subject to amendment or waiver if so approved in writing by the City Manager. Contractor agrees to provide City with copies of required policies upon request.
SECTION 18. ASSIGNMENT.
The expertise and experience of Contractor are material considerations for this Agreement. City has an interest in the qualifications and capability of the persons and entities who will fulfill the duties and obligations imposed upon Contractor under this Agreement. In recognition of that interest, Contractor shall not assign or transfer this Agreement or any portion of this Agreement or the performance of any of Contractor’s duties or obligations under this Agreement without the prior written consent of the City.
Any attempted assignment shall be ineffective, null and void, and shall constitute a material breach of this Agreement entitling City to any and all remedies at law or in equity, including termination of this Agreement pursuant to Section 20 “Termination of Agreement.” City acknowledges, however, that Contractor, in the performance of its duties pursuant to this Agreement, may utilize subcontractors.
SECTION 19. CONTINUITY OF PERSONNEL.
Contractor shall make every reasonable effort to maintain the stability and continuity of Contractor’s staff and subcontractors, if any, assigned to perform the

Services. Contractor shall notify City of any changes in Contractor’s staff and subcontractors, if any, assigned to perform the Services prior to and during any such performance.
SECTION 20. TERMINATION OF AGREEMENT.
(a) City may terminate this Agreement, with or without cause, at any time by giving thirty (30) days written notice of termination to Contractor. In the event such notice is given, Contractor shall cease immediately all work in progress. (b) Contractor may terminate this Agreement for cause at any time upon thirty (30) days written notice of termination to City.
(c) If either Contractor or City fail to perform any material obligation under this Agreement, then, in addition to any other remedies, either Contractor, or City may terminate this Agreement immediately upon written notice. (d) Upon termination of this Agreement by either Contractor or City, all property belonging exclusively to City which is in Contractor’s possession shall be returned to City. Contractor shall furnish to City a final invoice for work performed and expenses incurred by Contractor, prepared as set forth in Section 4 of this Agreement.
This final invoice shall be reviewed and paid in the same manner as set forth in Section 4 “Compensation and Method of Payment” of this Agreement. (e) City may suspend all or any portion of Contractor’s performance under this Contract at its sole option and for its convenience for a reasonable period of time not to exceed six (6) months. City must first give ten (10) days’ written notice to Contractor of such suspension. City will pay to Contractor a sum equivalent to the reasonable value of the services satisfactorily provided up to the date of suspension. City may rescind the suspension prior to or at six (6) months by providing Contractor with written notice of the rescission, at which time Contractor would be required to resume performance in compliance with the terms and provisions of this Agreement. Contractor will be entitled to an extension of time to complete performance under the Agreement equal to the length of the suspension unless otherwise agreed to in writing by the Parties.
SECTION 21. DEFAULT.
In the event that Contractor is in default under the terms of this Agreement, the City shall not have any obligation or duty to continue compensating Contractor for any work performed after the date of default. Instead, the City may give notice to Contractor of the default and the reasons for the default. The notice shall include the timeframe in which Contractor may cure the default. This timeframe is presumptively thirty (30) days, but may be extended, though not reduced, if circumstances warrant. During the period of time that Contractor is in default, the City shall hold all invoices and shall, when the default is cured, proceed with payment on the invoices. In the alternative, the City may,
14.C
- 10 -
in its sole discretion, elect to pay some or all of the outstanding invoices during the period of default. If Contractor does not cure the default, the City may take necessary steps to terminate this Agreement under Section 20. Any failure on the part of the City to give notice of the Contractor’s default shall not be deemed to result in a waiver of the City’s legal rights or any rights arising out of any provision of this Agreement.
SECTION 22. EXCUSABLE DELAYS.
Contractor shall not be liable for damages, including liquidated damages, if any, caused by delay in performance or failure to perform due to causes beyond the control of Contractor. Such causes include, but are not limited to, acts of God, acts of the public enemy, acts of federal, state or local governments, acts of City, court orders, fires, floods, epidemics, strikes, embargoes, and unusually severe weather. The term and price of this Agreement shall be equitably adjusted for any delays due to such causes.
SECTION 23. COOPERATION BY CITY.
All public information, data, reports, records, and maps as are existing and available to City as public records, and which are necessary for carrying out the Services shall be furnished to Contractor in every reasonable way to facilitate, without undue delay, the Services to be performed under this Agreement.

All other amendments shall be approved by the City Council. The Parties agree that the requirement for written modifications cannot be waived and that any attempted waiver shall be void.
SECTION 29. WAIVER.
Waiver by any Party to this Agreement of any term, condition, or covenant of this Agreement shall not constitute a waiver of any other term, condition, or covenant.
Waiver by any Party of any breach of the provisions of this Agreement shall not constitute a waiver of any other provision nor a waiver of any subsequent breach or violation of any provision of this Agreement. Acceptance by City of any work or services by Contractor shall not constitute a waiver of any of the provisions of this Agreement.
