RFP No. 26-06

All insurance coverage provided pursuant to this Agreement shall not prohibit CONSULTANT and CONSULTANT’s employees, agents or sub-Consultants, from waiving the right of subrogation prior to a loss. CONSULTANT hereby waives all rights of subrogation against CITY. CONSULTANT agrees to obtain any endorsement that may be necessary to affect this waiver of subrogation, but this provision applies regardless of whether CITY has received a waiver if subrogation endorsement from the insurer.
Coverage not affected. Any failure to comply with the reporting provisions of the policies contemplated herein, shall not affect coverage provided to CITY, its elected and appointed boards, officers, officials, employees, agents and volunteers.
Coverage applies separately. CONSULTANT’s insurance shall apply separately to each insured against whom claim is made or suit is brought, except with respect to the limits of the insurer’s liability.
Any deductibles or self-insured retentions must be declared to and approved by CITY. At the option of CITY, CONSULTANT shall either reduce or eliminate the deductibles or self-insured retentions with respect to CITY, or CONSULTANT shall procure a bond guaranteeing payment of losses and expenses.
Procurement of insurance by CONSULTANT shall not be construed as a limitation of CONSULTANT's liability or as fall performance of CONSULTANT’s duties to indemnify, hold harmless and defend under Section 9 of this Agreement.
CITY, its officers and employees shall not be responsible for any claims in law or in equity occasioned by the failure of CONSULTANT to comply with this section.
SECTION 16. SUBCONTRACT, ASSIGNMENT OR DELEGATION.
CONSULTANT shall not subcontract, delegate or assign its duties or rights hereunder, either in whole or in part, without the prior written consent of CITY. Any proposed subcontract, delegation, or assignment shall provide a description of the services to be covered, identification of the proposed subConsultant, delegee, or assignee, and an explanation of why and how the same was selected, including the degree of competition involved.
Any subcontract, delegation or assignment shall be made in the name of CONSULTANT and shall not bind or purport to bind CITY and shall not release CONSULTANT from any obligations under this Agreement including, but not limited to, the duty to properly supervise and coordinate the work of employees, assignees, delegees or sub-Consultants. No such subcontract, delegation or assignment shall result in any increase in the amount of total compensation payable to CONSULTANT under the Agreement.
SECTION 17. NO WAIVER.
Waiver by any party hereto of any term, condition or covenant of this Agreement shall not constitute the waiver of any other term, condition or covenant hereof.
SECTION 18. DISPUTE RESOLUTION; GOVERNING LAW.
Disputes regarding the interpretation or application of any provision(s) of this Agreement shall, to the extent reasonably feasible, be resolved through good faith negotiations between the Parties. If any action at law or in equity is brought to enforce this Agreement or because of alleged dispute, breach, default or misrepresentation in connection with the provisions of this Agreement, the prevailing party in such action shall be entitled to reasonable attorney’s fees, expert fees, costs and necessary disbursements

incurred in that action or proceeding, in addition to such other relief as may be sought and awarded. The venue for any litigation shall be County of Los Angeles, California. The Parties agree that the covenants contained in this Article shall survive the expiration or termination of this Agreement.
SECTION 19. ATTORNEY’S FEES AND COSTS.
If litigation is reasonably required to enforce or interpret the provisions of this Agreement, the prevailing party in such litigation shall be entitled to an award of reasonable attorney's fees and costs in addition to any other relief to which it may be entitled.
SECTION 20. WARRANTIES.
Each of the parties represents and warrants to one another as follows:
A. It has received independent legal advice from its attorneys with respect to the advisability of entering and executing this Agreement;
B. In executing this Agreement, it has carefully read this Agreement, knows the contents thereof, and has relied solely on the statements expressly set forth herein and has placed no reliance whatsoever on any statement, representation, or promise of any other party, or any other person or entity, not expressly set forth herein, nor upon the failure of any other party or any other person or entity to make any statement, representation or disclosure of any matter whatsoever; and C. It is agreed that each party has the full right and authority to enter into this Agreement, and that the person executing this Agreement on behalf of either party has the full right and authority to fully commit and bind such party to the provisions of this Agreement.
SECTION 21. MISCELLANEOUS.

B. Whenever the context hereof shall so require, the singular shall include the plural, the male gender shall include the female gender, and the neuter and vice versa.
C. In case any one or more of the provisions contained in this Agreement shall for any reason be held to be invalid, illegal, or unenforceable in any respect, such invalidity, illegality, or unenforceability shall not affect any other provision hereof and this Agreement shall be construed as if such invalid, illegal, or unenforceable provisions had never been contained herein.
D. The representations and warranties made by the parties to this Agreement shall survive the consummation of the transaction herein described.
E. This Agreement may be signed in any one or more counterparts all of which taken together shall be but one and the same Agreement. Any signed copy of this Agreement or of any other document or agreement referred to herein, or copy or counterpart thereof, delivered by facsimile transmission, shall for all purposes be treated as if it were delivered containing an original manual signature of the party whose signature appears in the facsimile and shall be binding upon such party in the same manner as though an originally signed copy had been delivered.

Each party who has not obtained independent counsel acknowledges that the failure to have independent legal counsel will not excuse such party’s failure to perform under this Agreement or any agreement referred to in this Agreement.
G. To the extent of a conflict between the terms of this Agreement and those set forth in any exhibits or attachments hereto, the terms of this Agreement shall govern.

City agrees to promptly inform Indemnitor in writing of any claim that City believes to be subject to this Waiver.
Indemnitor, on behalf of itself and all parties claiming under or through it, hereby waives all rights of subrogation and contribution against the Indemnitees, while acting within the scope of their duties, from all claims, losses and liabilities arising out of or incident to activities or operations performed by or on behalf of the Indemnitor regardless of any prior, concurrent, or subsequent non-active negligence by the Indemnitees.
In the event there is more than one person or entity named in the Waiver as an Indemnitor, then all obligations, liabilities, covenants and conditions under this instrument shall be joint and several. “Indemnitor”

Stantec and the sub-consultant team have streamlined the timeline to be as efficient as possible while remaining practical and achievable. We’ve allocated 50 working days for plan check, as our clients typically take about three weeks for the first round of reviews. Our design team will take an additional 3–4 weeks to respond to comments, resubmit, and obtain the permit. While the bid set is currently structured to follow the permit set, these phases can run concurrently, which may shorten the overall schedule. However, this approach comes with trade-offs, as any design changes required by the city could result in addenda during bidding—even minor revisions can impact bid amounts. The Stantec team is happy to further collaborate with the Montebello team to explore ways to make the schedule as efficient as possible.

Stantec | RFP No. 26-06 – Montebello Bus Lines ZEB Facility Upgrade 6 Stantec
Founded in 1954, Stantec brings thought
leaders and experts in hydrogen station design,
facility assessment, planning and design,
transit-facility design, hydrogen production and
operations planning, and funding strategies. We
have extensive experience delivering similar
hydrogen fueling station projects throughout
North America. Stantec has been dedicated to
serving the transit industry for more than 60
years, is an active member of the American
Public Transportation Association, and is an
active member of California Transit Association.
Fueling Infrastructure,
Architecture, and Buildings
Stantec is an industry-leading consulting firm,
providing design, consulting and engineering
services for vehicle fueling infrastructure for
fleets throughout the U.S. serving more than
130 fleet clients across 240+ projects. This
includes CNG alternative fuels, as well as
extensive experience designing petrol-fueling
systems for fleets, with an emphasis on transit
projects and other high-flow diesel applications,
as well as unleaded for white fleet and
paratransit buses.
Over the last 20 years, Stantec has provided
design engineering for gas-detection systems
at more than 150 bus-maintenance facilities
throughout the U.S. This includes facility
designs where CNG-fueled buses are newly
introduced and also incorporates HVAC and
heating, system upgrades as well as
refurbishments and upgrades, where detection
systems are obsolete or are otherwise failing.
These upgrade-oriented projects are typically
more complex than the all-new installations,
since they include interfacing and integrating
with existing alarm stations and HVAC/building
controls.
Upgrade projects of this type also provide cost
savings opportunities to reuse mounting
hardware for detectors as well as conduits to
controllers. However, it is important to not ‘let
the tail wag the dog’ in this context – if revised
locations for detectors or an updated conduit
configuration are needed to optimize the
detection system upgrade, we will forego
possible savings and deliver the right and best
system design.
Stantec is also the nation’s leading architecture
and engineering firm specializing in the
planning and design of operations and
maintenance facilities. Stantec has built a major
practice that has delivered over 600
maintenance facilities for transit agencies,
municipalities, and utility districts across North
America. Stantec’s core team of dedicated
market specific professionals approach every
project as a unique design opportunity that
responds to each client’s overall needs,
opportunities, constraints, and most importantly
their overall vision for the project. Our design
process is centered on collaboration and
specifically tailored to engage the stakeholders
from the very start.
Size of Project Team
Our project team possesses the leadership and
technical expertise to work with Montebello Bus
Lines to design the implementation of ZEB
Facility Upgrades in a manner that will best suit
the agency. Stantec is providing gas-detection
engineering, mechanical engineering, electrical
engineering, and structural engineering. We
have featured our key personnel in this proposal,
as each discipline lead will be supported by one
to two additional staff members for each
specialty. Our subconsultant support will
consist only of construction cost-estimating
services.
Stantec | RFP No. 26-06 – Montebello Bus Lines ZEB Facility Upgrade 7 Experience in Modification
of a Fueling Station/
Maintenance Facility
We have structured our team based on the
qualifications, experience, and availability of the
respective individuals. We have committed key
and specialty technical team members with
decades of similar and related experience,
depth of knowledge, robust leadership, and
communication abilities required to deliver the
requested scope of work. Our objective remains
consistent – deliver this project to meet your
requirements, on schedule and within budget.
This integrated project delivery approach will
enhance collaboration and coordination
between disciplines. We are very interested in
this project, and our integrated team is
committed to making it a success. Our skilled
professionals will work together to deliver the
best possible design solution.
Because our team works from a common office
in Los Angeles and has collaborated on similar
projects, knowledge and ideas are naturally
shared though daily interactions. That synergy
of creativity and collaboration drives a
successful project. Detailed resumes for the key
team and sub-consultants follow in this section.
Stantec has experience with the following
specific scopes.
Hydrogen Fueling Expertise
Stantec has worked across the U.S. to realize
zero emission bus projects of all technology
types and fleets of various sizes. The team
members we are proposing are experts in
transit facility planning, hydrogen, architecture,
gaseous fuels, utility interconnects, facilitydesign engineering, procurements and construction supervision – all disciplines that
this project needs. We’ve worked with FCEBfleet leaders like Orange County Transportation Authority (OCTA), Regional Transportation
Commission of Southern Nevada (RTC), Foothill
Transit, SunLine Transit, Napa Valley
Transportation Authority, Tri Delta Transit,
TriMet in Portland, OR, and C-TRAN in
Vancouver, WA. We’ve had the opportunity to
learn many lessons during the design and
construction phases of their facilities.
Additionally, our team is experienced in
developing deployment plans for hydrogenfueling facilities as part of preparing ICT rollout plans for dozens of transit agencies including
OCTA, Gold Coast Transit, Norwalk Transit,
Riverside Transit Agency and the Imperial
County Transportation Commission. Our work
with these agencies and others has allowed us
to develop our expertise to first understand the
agency’s needs and challenges to then
articulate and configure the right fueltechnology requirements for the project.
HVAC Retrofit, Equipment Specification, and
Design
Stantec’s mechanical team has been providing
engineering services on projects that are similar
in size and scope for more than a decade.
Through years of experience, we have learned
from these types of retrofit projects and the
anticipated challenges that may arise, such as
verifying radiant heaters are truly sealed and
have surface temperatures not exceeding
700ºF, as well as validating that mechanicalexhaust systems have adequate CFM ratings and matching makeup air sources – all of which
are often found to be no longer compliant with
the current building codes and standards.
Our engineers have worked on numerous bus
transit operations and maintenance facilities
throughout California, and we have highlighted
some of this experience in our proposal.
Recently, Stantec completed the gas detection
and HVAC-upgrades at Foothill Transit’s
Pomona facility and we are currently working on
the final design for the same upgrades to their
Arcadia facility.
The scope included the replacement and
upsizing of four exhaust fans to meet the
required ventilation rate. The scope also
included all new methane and hydrogen-gas
sensors (with noxious-gas sensors) supervised
by a common controller/HMI, as well as the
complete replacement of the existing gas-fired
radiant-heating system. Though the original
heaters appeared to be sealed, they were found
to not be suitable for the use and were replaced
with sealed and properly listed units.
H2 and CNG Gas Detection Systems,
Controls, and Integration into Building
Systems
The lead technical team for this project has
extensive and specific experience with this type
of project, having collectively worked on more
than 21 such projects over the last 20 years.
This includes CNG (methane) detection-system
designs for LA Metro, Simi Valley Transit,
Riverside Transit, Ryder Truck Rentals, Waste
Management, Big Blue Bus, NCRTD Escondido,
Foothill Transit (two facilities), Omnitrans (two
facilities, VVTA Barstow and the City of Mesa
(AZ) among others. In completion of these
projects, the design team has developed a
nuanced understanding of ideal design
practices, such as powering alarm-annunciators
with 24V vs. 120V, as 24V is easier to back up,
and use of infrared sensors vs. (lower initial
cost) catalytic-bead sensors for methane
applications, due to the higher reliability and
reduced ‘drift’ of the IR sensors.
In designing hydrogen-detection systems for
the RTC of Southern Nevada and North County
Transit District (San Diego County), the design
team has learned that hydrogen gas leak
detection requires a significantly different
approach than a methane-detection system
Stantec | RFP No. 26-06 – Montebello Bus Lines ZEB Facility Upgrade 8 Most notably, hydrogen gas detection requires
the use of ‘electro-chemical’ sensors, vs
catalytic-bead or infrared sensors used for
hydrocarbon detection.
When properly selected and specified, the
Stantec team has learned how to implement
hydrogen capable electrochemical sensors in
concert with infrared sensors for methane as
part of a common gas leak-detection system
where both gases require detection. This allows
one detection system to simultaneously monitor
for leaking hydrogen and methane gases –
including at sensitivities and concentration
limits that are specific for each gas.
Further, the Stantec team is well experienced in
integrating sensors for noxious gases – such as
carbon monoxide and nitrogen dioxide that are
also present in vehicle-repair garages – into a
common and cohesive detection and alarm
system.
Electrical Design Associated with NEC
Hazardous Locations
Stantec’s electrical engineering team has
experience working on projects with NEC
Hazardous locations. Electrical will coordinate
with the architectural, gas detection system,
and HVAC system to comply with Articles 510 -
Hazardous (Classified) Locations and Article
511 - Commercial Garages, Repair and Storage.
Vehicle Repair Garage Architectural Design
Stantec has been providing architectural design
for operations and maintenance facilities for
more than 40 years. In California alone, Stantec
has provided architectural design for more than
50 agencies since 1989. We understand the
intricacies of maintenance functions and the
functional needs of these facilities.
Design Application of NFPA 2 (2020), 52, 55,
and 30A
The Stantec team understands that any design
project starts with a thorough analysis and
understanding of the applicable codes and
standards, and this is particularly true for
gas-detection projects. At its most basic level,
this includes verifying that the design meets the
requirements of the following codes and
standards: CFC 2311.8, NFPA 30A 7.4 & ch 8,
CMC 502.3 & 403; and UL 864 or UL 2017 for
controller and UL 2075 for detector.
For detection-upgrade projects such as is being
planned by Montebello, our code analysis will
consider and evaluate existing conditions –
such as ventilation rates and design of heating
systems – even though they are not necessarily
intended or expected to be a part of the
detection-upgrade project. Any deficiencies
found in these areas will be reviewed with the
MBL team and added to the design as
appropriate. This will put the project ‘ahead of
the curve’ with respect to plan-check review
comments that may be directed at these issues,
had we not addressed them first.
Also, creative problem solving to address
plan-check corrections is important, especially
when new solutions are needed. Example –
though not explicitly required by code, a Fire
Department plan checker commented that our
design must provide a means to ensure that the
exhaust fans are on whenever the maintenance
garage is occupied. Our solution was to add a
control relay from all the overhead light
switches in the garage (which are necessarily
on when the garage is occupied) to the exhaustfan starters, so that any light switch in the ‘on’ position would also ensure the fans are
operating.
Project Manager
Our team is led by Maung Winn, who has more
than 17 years of experience providing services
to more than 35 transit agencies and numerous
transit projects in California. Maung leads
Stantec’s Mechanical Engineering team and is

LA Metro Divisions 2, 3, 9, and CMF
Reroofing Project (Forensic), Los Angeles,
CA | Structural Engineer
Roy conducted a detailed forensic engineering
analysis to investigate the cause of water leaks
for several Metro Buildings, focusing on whether
the issues stemmed from structural problems
or failures in the waterproofing system. The
investigation involved a comprehensive review
of structural drawings and an on-site inspection
to identify visible signs of water intrusion and
potential structural damage. Utilizing nondestructive testing methods, I detected hidden moisture and assessed the condition of the
waterproofing materials. The findings revealed
that prolonged water exposure had
compromised the structural integrity of certain
elements and that multiple points of failure in
the waterproofing system allowed water to
penetrate the roof surface. To address these
issues, Roy proposed a dual approach involving
structural repairs and upgrading the
waterproofing system working with the AOR.
Damaged structural components were
recommended for replacement and
reinforcement with corrosion-resistant
materials. In collaboration with the architect,
Roy designed an enhanced waterproofing
solution using modern materials and techniques
to ensure long-term durability and effective
drainage. A maintenance plan was also
developed to regularly inspect and maintain the
roof and waterproofing system, minimizing
future risks. This comprehensive approach aims
to restore the building’s structural integrity and
prevent future water intrusion.

Stantec | RFP No. 26-06 – Montebello Bus Lines ZEB Facility Upgrade 23 Technical
Approach
4
Stantec | RFP No. 26-06 – Montebello Bus Lines ZEB Facility Upgrade 24 Stantec has examined the scope of work as
outlined in the project RFP, and have found it to
be sound and thorough, and we take no
exceptions to it. Accordingly, our approach will
be to follow the prescribed scope and to deliver
a cohesive, effective design-document package,
bid assistance and construction-assistance
services that meets the project needs. As such,
we have elected to only describe work elements
that we believe are either particularly important
or additive to the RFP scope.
Phase 1: Site Requirements
Assessment
During this phase, the Stantec team will perform
a detailed site visit to the Montebello facility,
with participation by a full team of specialist
consultants to evaluate both the maintenance
building and the wash building. The main
purpose of the visit is to confirm the extent of
project scope and understand the associated
systems that need to be replaced or modified as
part of the facility upgrades. Team specialists
that will visit the site include representatives for
each of:
y Gas Detection – evaluate the existing
methane -, CO- and NOx-detection system
including possible re-use of some or all of its
conduit structure, as well as verify the visible
and audible alarm stations. Also evaluate
candidate locations for the new detection
controller as well as point of connection for
the IP data line that will be included with the
new detection system.
y HVAC – verify configuration of existing
forced-air ventilation (including control,
capacity and location / distribution of intake),
makeup air outlet (including location,
capacity / distribution of outlet) and heating
(including maximum surface temperature
and seal of any flame-type heating).
y Architecture – locate and assess possible
pockets in the ceiling.
y Electrical – mainly focused on availability of
unallocated amperage that may be needed
for possible new roof-mounted exhaust fans
or other revisions to mechanical ventilation.
y Structural – support of new roof-mounted
exhaust fans.
The building codes and standards that the team
will review in comparison to the existing
conditions and project parameters include the
California Fire Code (CFC) chapter 23, NFPA 2
(Hydrogen Technologies), NFPA 30A (Repair
Garages), NFPA 52 (CNG Fueling), NFPA 72
(Electrical Code), as well as all other applicable
state and local codes.
Specific work under the code and design
analysis will be to determine the applicable and
required ventilation rates for garages that house
heavy maintenance for existing CNG- and
planned hydrogen-fueled buses. This includes
metrics for forced-air flow indicated in CFM of
air flow per square ft. of garage-floor area,
air-changes per hour (ACH) for the total volume
of the garage, and parameters for detecting
flammable gases . Additionally, requirements
for heating systems (peak surface temperature
and gas-shutoff valves), spark resistance of
exhaust fans, and alarm annunciation will be
cataloged.
An added scope element that Stantec will bring
to the project is a Programming Questionnaire.
This will include approximately 30 questions
that will further define and refine the specific
project needs and desired outcomes. Some of
the questionnaire items can be preliminarily
completed based on the team’s site
investigation review of the design drawings and
from RFP guidance, but all questions and
responses will be reviewed and vetted by the
team and appropriate Montebello Bus Lines
staff. The results of the site-visit analysis,
review of as-built drawings, the complemented
programming questionnaire and code analysis
will form the design basis for the project. A
design memorandum will then be prepared that
outlines the key design elements needed for the
project. Key sections of the memorandum will
include:
y Gas Detection – quantity, type and location of
new detectors needed for each of the four
gases to be detected, which will include
appropriate sensor technology for each of the
four gases being detected. Also describe the
planned location of detector controller(s) and
possible remote human-machine interface
(HMI) panels. Backup power for the detection
system and location and type of alarmannunciator stations also be described. y HVAC – indicate either adequacy of existing
ventilation and makeup air outlet, or indicate
need to augment these, including number,
flow, HP and approximate location of these
additions and their associated makeup-air
sources. Also indicate nature of any changes
needed to the radiant-heating system.
y Architecture – locate ceiling-gas pockets and
associated design strategy(s) to resolve
these.
y Electrical – if added ventilation is needed,
this section will describe the strategy to
provide power to new roof-mounted exhaust
fans or other revisions to mechanical
ventilation. Strategy for backup power –
including a combination of battery backup for
the detection system and generator backup
for the exhaust fans – will be outlined as well
y Structural – support of possible new roofmounted exhaust fans.
Stantec | RFP No. 26-06 – Montebello Bus Lines ZEB Facility Upgrade 25 Jacobus & Yuang, Inc. (JYI) will be able to begin
outlining the preliminary opinion of construction
cost based on the design memorandum
described above. This will be a structured, level
2 estimate based on CSI specification divisions.
As called for in the RFP, the cost estimates will
account for equipment, construction,
installation, modification, commissioning, and
testing of the O&M facility’s modifications.
As part of the site assessment, the Stantec
team will evaluate the feasibility of a short-term,
interim service solution as outlined in Section
1.2 of the RFP. If a viable approach is identified
during this evaluation, Stantec will present the
proposed solution to MBL for consideration.
Deliverables: Site recommendations report and
preliminary cost estimates
Phase 2: Design
Development, Plan Check
and Publishing of Drawings
for Permitting
Based on the Site Assessment and the design
documents as approved by Montebello Bus
Lines, the Stantec team will continue to develop
the design-drawing package, as needed for
plan-check approval and ultimately bidding. The
drawing list outlined above will be extended to
include appropriate details for all disciplines as
needed for permit submission (IFP). Information

e. Each insurance policy required above shall state that coverage shall not be canceled, except after thirty (30) days’ prior written notice (ten [10] days for non-payment) has been given to the CITY. The VENDOR agrees that if it does not keep the aforesaid insurance in full force and effect the CITY may either (i) immediately terminate this Agreement for Cause; or (ii) take out the necessary insurance and pay, at the VENDOR’s expense, the premium thereon. f. Evidence of Insurance prior to commencement. The Vendor shall provide to the CITY Certificate(s) of Insurance evidencing such coverage together with copies of the required policy endorsements no later than five (5) business days

prior to commencement of service and at least fifteen (15) business days prior to the expiration of any policy. Unreasonable failure to provide such evidence may be cause for termination of the Agreement as provided herein or delay the services’ commencement date. The evidence of insurance shall be U.S. mail or email to:
City of Montebello

Coverage shall not be suspended, voided, cancelled, reduced in coverage or in limits, non-renewed, or materially changed for any reason, without thirty (30) days prior written notice thereof given by the insurer to the CITY by U.S. mail, or by personal delivery, except for nonpayment of premiums, in which case ten (10) days prior notice shall be provided.
g. Evidence of Insurance during the entire term of the Agreement. At all times during the term of this Agreement, the VENDOR shall maintain on file with the CITY’s Risk Manager a certificate or certificates of insurance showing that the aforesaid policies are in effect in the required amounts and naming the CITY as an additional insured. The VENDOR shall, prior to commencement of work under this Agreement, file with the CITY’s Risk Manager such certificate(s). h. All of the policies required under this Agreement shall contain an endorsement providing that the policies cannot be canceled or reduced except on thirty days’ prior written notice to the CITY. The VENDOR agrees to require its insurer to modify the certificates of insurance to delete any exculpatory wording stating that failure of the insurer to mail written notice of cancellation imposes no obligation, and to delete the word “endeavor” with regard to any notice provisions.
j. The insurance provided by the VENDOR shall be primary to any coverage available to the CITY. Any insurance or self-insurance maintained by the CITY, its officers, employees, agents, or volunteers, shall be in excess of VENDOR’s insurance and shall not contribute with it.
k. All insurance coverage provided pursuant to this Agreement shall not prohibit the VENDOR, and VENDOR’s employees, agents or subvendors, from waiving the right of subrogation prior to a loss. The VENDOR hereby waives all rights of subrogation against the CITY.
l. Any deductibles or self-insured retentions must be declared to and approved by the CITY. At the option of the CITY, the VENDOR shall either reduce or eliminate the deductibles or self-insured retentions with respect to the CITY, or the VENDOR shall procure a bond guaranteeing payment of losses and expenses.

Any subcontract, delegation or assignment shall be made in the name of the VENDOR and shall not bind or purport to bind the CITY and shall not release the VENDOR from any obligations under this Agreement including, but not limited to, the duty to properly supervise and coordinate the work of employees, assignees, delegees or sub-vendors. No such subcontract, delegation or assignment shall result in any increase in the amount of total compensation payable to the VENDOR under the Agreement.

CITY COUNCIL AGENDA STAFF REPORT
TO: Honorable Mayor and City Council Members

BY: John Soria, Director
SUBJECT: APPROVE INCREASING THE BLANKET PURCHASE ORDER NOT-TOEXCEED AMOUNT WITH THE BUS DOCTOR 1 LLC AND A TO Z FIRE
PROTECTION COMPANY
DATE: November 12, 2025
RECOMMENDATIONS:
It is recommended that the City Council:
1. Approve increasing the blanket purchase order (PO) established with The Bus Doctor 1 LLC (The Bus Doctor), increasing the total not-to-exceed amount from $49,000 to $125,000, to continue providing specialized technical maintenance and repair services for Montebello Bus Lines’ fleet of hybrid transit buses; and
2. Approve increasing the blanket PO established with A to Z Fire Protection Company (A2Z Fire Co), increasing the total not-to-exceed amount, from $10,000 to $125,608, to purchase fire suppression-related bus parts; and
3. Take such additional, related, action that may be desirable.
FISCAL IMPACT:
Sufficient funds are appropriated in the Transportation Department’s Fiscal Year 2025- 26 adopted budget for the existing blanket purchase orders and the requested increases to the not-to-exceed amounts in Account Nos. 600-90-915-6040.95 and 600-90-915- 6075.10. Therefore, a budget amendment is not required. Table 1 outlines the fiscal impacts as follows:

BACKGROUND/DISCUSSION:
The City of Montebello operates Montebello Bus Lines (MBL) with a fleet of transit buses consisting of nineteen (19) hybrid electric buses, which serve as a critical component of the City's public transportation system. These transit buses require specialized maintenance and repair to ensure that they are in peak operating condition and deliver consistent, reliable service. Given the technical complexity of the hybrid propulsion system, it is imperative to engage a qualified vendor with the expertise to meet the unique service demands of this fleet. In addition, MBL utilizes suppliers to provide a wide variety of replacement parts that are essential for enabling prompt repairs and maintenance to uphold the fleet’s performance and ensure compliance with local, state, and federal regulations.
The Bus Doctor was identified as the most suitable and qualified service provider given their technical expertise with hybrid transit buses, particularly the New Flyer model(s) currently operated by MBL. To streamline the procurement of these specialized technical maintenance and repair services in the most efficient and cost-effective manner, staff established a blanket purchase order (PO) with The Bus Doctor City in accordance with the Montebello Municipal Code (MMC), Chapter 3.20.050(C) – Conformance with Bidding Procedures. This provision allows for bidding exemptions to procure essential services necessary to maintain daily operations and keep pace with evolving technologies. The PO was established with the City Manager’s approval for a total not-to-exceed amount of $49,000 (Attachment A). However, the PO is nearly expended and there remains a continuing need for additional technical repair services and specialized training that justifies an increase in the respective amount (i.e., $79,000).
A2Z Fire Co was identified as one of the primary suppliers to provide fire suppressionrelated bus parts. A PO was established previously with the Director of Transportation’s approval for a total not-to-exceed amount of $10,000 (Attachment B). However, an immediate need for fire suppression-related bus parts exists that justifies an increase in the respective amount (i.e., $115,608).
The MMC, Section 3.20 et seq., requires City Council approval for purchases of $50,000 or greater from a single vendor. The change orders to increase the amount of the blanket POs established with The Bus Doctor and A2Z Fire Co will bring the citywide total above this approval threshold and require City Council approval.

CITY COUNCIL AGENDA REPORT - MEETING OF NOVEMBER 12, 2025
SUMMARY:
Staff recommend the City Council approve a change order for a blanket PO established with The Bus Doctor, increasing the total not-to-exceed amount from $49,000 to $125,000, to continue providing specialized technical maintenance and repair services for MBLs’ fleet of hybrid transit buses; approve a change order for a blanket PO established with A2Z Fire Co, increasing the total not-to-exceed-amount, from $10,000 to $125,608, to purchase fire suppression-related bus parts; and take such additional, related, action that may be desirable. Suficient appropriations exist in the accounts listed in Table 1 above, therefore no budget amendment is not needed.

CITY OF MONTEBELLO
CITY COUNCIL AGENDA STAFF REPORT
TO: Honorable Mayor and City Council Members
FROM: Raul Alvarez, City Manager
BY: Michael Solorza, Director of Finance
SUBJECT: CORRECTION TO MASTER FEE SCHEDULE – PLANNING AND CODE
FEE SCHEDULE
DATE: November 12, 2025
RECOMMENDATIONS:
It is recommended that the City Council:
1. Adopt Resolution No. 25-95, acknowledging and approving minor corrections of errors to the Planning and Code Fee Schedule approved during a Public Hearing held on August 27. 2025; and
2. Direct staff to update the final Master Fee Schedule accordingly; and
3. Take such additional, related action that may be desirable.
FISCAL IMPACT:
There is no fiscal impact beyond the corrections of the typographical errors. The adjustment ensures the accuracy of the Master Fee Schedule adopted by the City Council on August 27, 2025 and reflects the fee amount verified through the City’s cost recovery analysis conducted by Willdan Financial Services.
BACKGROUND/DISCUSSION:
The City of Montebello sets fees for a multitude of services it provides to residents and the community at large. These fees range from Planning and Building and Safety items such as building permits, plan checks, inspections and a host of electrical, mechanical and related code fees to facility rental and Parks and Recreation programming fees. Fees are designed to recover the costs of providing the specific service. Cost recovery is necessary so that the General Fund does not unduly subsidize the provision of services to a subset of the community.
CITY COUNCIL AGENDA REPORT - MEETING OF NOVEMBER 12, 2025
The City engaged the services of Willdan Financial Services to conduct a cost recovery study. The professionals at Willdan examined the hundreds of fees the City charges for the myriad services provided to determine what it actually costs to provide each service. Once Willdan completed the initial review and analysis, Staff from each department (i.e., Public Works, Community Development, Fire, etc.) reviewed the cost recovery study and made adjustments to the suggested fee amounts.
Willdan prepared a report which provided the 100% cost recovery amount for each fee service. Department staff then made adjustments to ensure there was not an undue burden to the public from increasing the fee from its current amount. This was done in an effort to balance the desire to be business friendly with reducing the General Fund subsidization of fee provision services.
On August 27, 2025, the City Council adopted resolutions approving the updated Master Fee Schedule, which became effective November 1, 2025. After the Master Fee Schedule was prepared and adopted, staff identified a typographical error within the Planning and Code Fee Schedule, specifically the "Planning Plan Review and Inspection for Non-Residential projects" was missing a digit (Attachment A, Exhibit A1).
The originally listed amount for Fiscal Year 2025-26 did not reflect the correct cost recovery figure established in the cost study. Following a joint review by the Finance Department and Community Development Department, the corrected fee amount for Fiscal Year 2025-26 is confirmed as follows:
• Planning Plan Review and Inspection (Non-Residential): $496.00 This correction will be incorporated into the Master Fee Schedule adopted by the City Council on August 27, 2025. All other listed fees remain unchanged. The corrected fee will be applied retroactively to the Master Fee Schedule’s effective date of November 1, 2025 (Attachment A, Exhibit A1).

SUMMARY:
Staff recommend the City Council adopt Resolution No. 25-95 (Attachment A), acknowledging and approving the corrected Planning and Code Fee to address a minor typographical error in the fee amount for “Planning Plan Review and Inspection (NonResidential)."

ITEM # 30
CITY OF MONTEBELLO
CITY COUNCIL AGENDA STAFF REPORT
TO: Honorable Mayor and City Council Members
FROM: Raul Alvarez, City Manager
BY: John Soria, Director
SUBJECT: APPROVE AMENDMENT NO. 3 TO AGREEMENT NO. 4113 WITH AVAIL TECHNOLOGIES, INC., TO INCLUDE SOFTWARE FEATURES
AND EQUIPMENT FOR MONTEBELLO BUS LINES’ COMPUTERAIDED DISPATCH/AUTOMATIC VEHICLE LOCATION SYSTEM DATE: November 12, 2025
RECOMMENDATIONS:
It is recommended that the City Council:
1. Approve Amendment No. 3 to Agreement No. 4113 with Avail Technologies, Inc. (Avail Technologies), to include software features and equipment for Montebello Bus Lines’ (MBL) Computer-Aided Dispatch/Automatic Vehicle Location (CAD/AVL) System, and increase the agreement compensation by $298,582 for a revised total not-to-exceed amount of $2,783,700; and
2. Authorize the City Manager and/or his designee to execute Amendment No. 3 on behalf of the City of Montebello; and
3. Approve the purchase of Field Engineering Support and Adoption Services for a two-year term, for a total not-to-exceed amount of $167,472; and
4. Amend the Fiscal Year 2025-26 adopted budget to increase appropriations by $466,054 in Transit Operations, Account No. 600-90-910-6040.10 (Transit, Transit Operations, Contract Services-Outside Contracts); and
5. Take such additional, related, action that may be desirable.
FISCAL IMPACT:
Through Amendment No. 3, Avail Technologies will be compensated for a total not-toexceed amount of $2,783,700 associated with the revised scope of work (SOW) ($2,485,118 + $298,582). In addition, Field Engineering Support and Adoption Services will be purchased for a two-year term, for a total not-to-exceed amount of $167,472. Since the additional $466,054 ($298,582 + $167,472) is not currently included in the Fiscal Year
CITY COUNCIL AGENDA REPORT - MEETING OF NOVEMBER 12, 2025
2025-26 adopted operating budget, a budget amendment is required to increase appropriations by $466,054 in Transit Operations, Account No. 600-90-910-6040.10 (Transit, Transit Operations, Contract Services-Outside Contracts). The total cost for the project, including the revised SOW and additional support services, is as follows:
PROJECT COSTS AMOUNT
Agreement No. 2 $2,485,118
Amendment No. 3 (revised SOW) $298,582
Support Services $167,472
Total $2,951,172
BACKGROUND/DISCUSSION:
On June 28, 2023, the City awarded Agreement No. 4113 to Avail Technologies to replace the existing CAD/AVL System, provide additional functionality, and migrate existing data from the previous CAD/AVL system (Attachment A). On April 24, 2024, the City approved Amendment No. 1 to Agreement No. 4113 (Attachment B), to adjust the original SOW by removing software features and equipment related to MBL’s On-Board Intelligent Transportation System (ITS) infrastructure. On September 11, 2024, the City approved Amendment No. 2 (Attachment C), replacing equipment for MBL’s Automated Passenger Counter (APC) legacy system, to improve system reliability and reporting accuracy.
During a recent operational review, Avail Technologies recommended additional software features and equipment that were included on the original CAD/AVL proposal.
However, previous transit management removed these items during the discovery phase of the project, limiting the full capability of the CAD/AVL System. The additional software features and equipment include a Maintenance Test Station (MTS), MasTrack units for both relief and supervisory vehicles, 24” MPM in-vehicle signs, route ladder and licensing, detour and route adherence, and Avail 360 analytics. Including these components is crucial to ensuring MBL’s CAD/AVL System functions to its full potential and provides optimal performance, efficiency, and real-time operational data. These enhancements will strengthen system integration, improve dispatch accuracy, and provide advanced monitoring tools for supervisors and operators.
In addition to these system upgrades, staff is requesting the City Council to consider approving a two-year term for Field Engineering Support and Adoption Services. The additional support services will provide overall system optimization and training and support for both Maintenance and Operations personnel, and maximize the functionality and use of the AVAIL Technologies CAD/AVL platform.

CITY OF MONTEBELLO
SPECIAL CITY COUNCIL AGENDA STAFF REPORT
TO: Honorable Mayor and City Council Members
FROM: Raul Alvarez, City Manager
BY: Michael Solorza, Director of Finance
SUBJECT: TREASURER'S REPORT FOR THE QUARTER ENDING SEPTEMBER 30, 2025
DATE: November 12, 2025
RECOMMENDATION(S):
It is recommended that the City Council:
1. Receive and file the Quarterly Treasurer’s Report for the quarter ending September 30, 2025 (First Quarter of Fiscal Year 2025-26); and,
2. Take such additional, related action that may be desirable.
FISCAL IMPACT:
Attached is a cash report and portfolio summary as of September 30, 2025 (Attachments A and B). This report provides a snapshot at quarter end of the City’s cash position, detailing balances in various accounts and types of investments.
The table below summarizes available cash by major type of account, comparing ending balances for September 2022 through 2025. The “General” account combines Bank of Montreal (BMO) and Local Agency Investment Fund (LAIF) and represents the most liquid and accessible source of cash for the City to pay ongoing expenses:
SPECIAL CITY COUNCIL AGENDA REPORT - MEETING OF NOVEMBER 12, 2025
As of September 30, 2025, total available cash was $65.171 million -- $16.655 million less than September 30, 2024. The City’s overall cash position has improved over the years and remains at elevated and healthy levels. For example, the June balance for the past ten years is shown below:
Comparing June ending balances from prior years, in 2016 overall cash was $48.156 million, versus $91.228 million as of June, 2025 – a $43.071 million improvement in the City’s available cash position (LAIF, BMO, etc.) or put another way a 189% increase over ten years.
The continuing strength of the City’s cash position is due to several reasons. A primary factor is proceeds from Measure H, the City’s ¾ cent transaction and use tax – which began flowing to the City in Fiscal Year 2020-21. Property tax receipts are also up, as overall assessed values in the City continue to grow and new developments like Metro Heights produce property tax revenue. The City also received new or one-time funding from the Federal government for Transit operations (Montebello Bus Lines) and has applied for and received new grants for various purposes over the last five years. In addition, the sale of the City’s water system (February, 2023) and a Transit property in Pico Rivera (February, 2023) added to the overall cash position during calendar year 2023 with a one-time infusion of cash.
It should also be noted that monthly cash balances fluctuate, as monthly expenses vary considerably from month to month, especially when comparing prior years. The chart below shows first quarter 2024 vs. first quarter 2025 (July - September).
SPECIAL CITY COUNCIL AGENDA REPORT - MEETING OF NOVEMBER 12, 2025
The City receives numerous grants from Federal, State and local governmental agencies, with expenses and concomitant revenue reimbursement varying depending on the grant award and the particular progress made in the project. In addition, the City’s various debt service payments typically hit the books in November/December and May/June, causing a draw on available cash greater than other “typical” months of the fiscal year. The completion of the golf course renovation and clubhouse construction projects in FY 2024- 25 required cash outlays to pay for construction related expenses – hence the draw on cash when comparing similar periods across the last two fiscal years.
Despite these natural fluctuations in cash flow – ongoing and regular such as debt service payments or one-time such as the golf course capital expenditures – one can see by the tables above that the City’s overall cash position has grown steadily over the past several years and remains at an elevated level that provides financial security. This improvement in cash flow ensures daily expenses are easily met, with no danger of having to postpone payments due to lack of liquidity. Sufficient liquidity is just one of many positive signs of the City’s progress towards financial stability and security.
The City receives income from the investment of idle cash. This revenue varies based on balances and current interest rate environments. The General Fund has averaged $171,500 in annual investment income between FY 2015-16 and FY 2024-25. The General Fund realized $238,000 in revenue from its investments in FY 2024-25, with projected revenue for FY 2025-26 of $300,000. (The lower projected amount is predicated on interest rates falling combined with a lower total cash balance versus prior fiscal years.)
The effective rate of return on the City’s investment portfolio as of September 30, 2025 was 1.25%. It is useful to compare these rates of return to various U.S. Treasuries, as a general benchmark. The chart below shows a comparison between Treasury yields – based on length of the note, from October 2024 and April, July and October 2025:
SPECIAL CITY COUNCIL AGENDA REPORT - MEETING OF NOVEMBER 12, 2025
BACKGROUND/DISCUSSION:
State Government Code Section 53600 et al governs the investment of idle cash by local agencies. In addition, local agencies are required to have City Council approved investment policies which further dictate how funds are invested. Government Code Section 53646(b), as well as the City’s investment policy, provide for quarterly reporting of investment activity. The quarterly report, along with details found in Attachments A and B, are designed to provide additional information, comparing current year balances and performance to prior years, etc.
The City of Montebello holds idle cash in various depositories:
• Bank of Montreal (BMO) checking accounts (i.e., General used to pay bills, Payroll for bi-weekly payroll, etc.)
• Local Agency Investment Fund (LAIF) – State Treasurer investment pool The investment of idle cash is predicated on the principals of: liquidity, safety and yield, in that order. The City earns interest from the various deposits, hence the diversification of where cash is held. However, the first and foremost priority is having adequate liquidity to pay daily operating costs: payroll, invoices for goods and services, etc.
Cash flow varies throughout the fiscal year, based on timing of the receipt of revenue.
The receipt of property tax revenue in April and December causes the largest inflow in daily cash, followed by quarterly sales tax “true up” payments (i.e., March, June, etc.), receipt of Successor Agency revenue (Redevelopment Property Tax Trust Fund) in January and June, periodic reimbursement of grant expenses, etc.
Therefore, the City maintains a reasonable balance in its BMO checking account – the most liquid account utilized for daily expenses. The LAIF account with the State Treasurer provides additional liquidity. Depending on cash flow needs, withdrawals or deposits are made from/to the LAIF account into/out of the General checking account.
SPECIAL CITY COUNCIL AGENDA REPORT - MEETING OF NOVEMBER 12, 2025
The table below provides an overview of the City’s major liquid cash accounts: BMO checking and the two separate LAIF accounts, from June 2020 through September 2025 (quarter ending values). The average quarterly balance for the City’s checking account since June 2020 is $10.091 million, more than sufficient to meet regular expenses such as payroll and accounts payable invoices.
The City’s Investment Policy was most recently reviewed and approved by the City Council on June 25, 2025. Prior to that, the policy was reviewed, approved and updated on: June 12, 2024, June 14, 2023, June 8, 2022, June 23, 2021, October 28, 2020, and August 19, 2019. The Government Code requires an annual review and approval of the investment policy statement – even if no changes are made.
The 2019 approval was the first time the City’s investment policy was updated since 2011, with a previous update done in 2007. These infrequent reviews and updates were clearly in violation of Government Code. Moreover, Staff has endeavored to present a more thoroughly researched quarterly Treasurer’s report, with detailed background and explanations of the various investment accounts – a marked improvement over prior years' reports presented with no discussion or analysis.
In an effort to ensure the City complies with State law, the investment policy will continue to be presented annually along with budget adoption (June of each year). This process will ensure an annual review and update (as necessary) of the investment policy by the City Council, ensuring the City complies with State statutes.
The updated version of the City’s investment policy was submitted to the California
SPECIAL CITY COUNCIL AGENDA REPORT - MEETING OF NOVEMBER 12, 2025
Municipal Treasurers Association (CMTA) for consideration of their investment policy review and award program. The CMTA investment policy program utilizes public treasury officials to review public agency policies to ensure they comply with best practices and Government Code. For the first time in the City’s 100 plus year history, the City’s policy was submitted and passed the review with flying colors. Having passed this review process is one more indication of the progress made in achieving fiscal sustainability in Montebello, as its policies adhere to best practices.

BETWEEN THE CITY OF MONTEBELLO AND ALTAMED HEALTH
SERVICES CORPORATION IN CONNECTION WITH THE
ESTABLISHMENT AND OPERATION OF A PRIVATE ART GALLERY
WITHIN A COMMERCIAL UNIT IN THE MONTEBELLO TOWN SQUARE
SHOPPING CENTER LOCATED AT 1401 NORTH MONTEBELLO
BOULEVARD, MONTEBELLO, CALIFORNIA
DATE: November 12, 2025
RECOMMENDATIONS:
It is recommended that the City Council:
1. Waive Second Reading of Ordinance No. 2484 approving Development Agreement No. 03-24 (Agreement No. 4417) between the City of Montebello and AltaMed Health Services Corporation in connection with the establishment and operation of a private art gallery located at 1401 North Montebello Boulevard, Montebello, CA 90640; and
2. Authorize the City Manager to negotiate and execute an agreement for City use of the private art gallery space consistent with the Development Agreement; and
3. DETERMINE AND FIND that the project (ENV. No. 13-25) is exempt from the California Environmental Quality Act (CEQA) pursuant to CEQA Guidelines Section 15301, Class 1 – Existing Facilities and section 15061(b)(3) – Common Sense Exemption; and
4. Take such additional and/or related action that may be desirable.
FISCAL IMPACT:
Pursuant to the Development Agreement, the City will receive several public benefits that will provide new, one-time sources of General Fund revenue. These include:
CITY COUNCIL AGENDA REPORT - MEETING OF NOVEMBER 12, 2025
• A one-time Development Agreement processing fee of $20,000. • A one-time monetary contribution of $200,000 from AltaMed Health Services Corporation (“AltaMed”).
• Participation by AltaMed in the City’s Art in Public Places Program. • Use of portions of the property by the City for arts, culture, and education events up to seven times per year.
It is anticipated these funds will be received in the current fiscal year, which would increase General Fund revenue in Fiscal Year 2025-26. There are no anticipated ongoing costs to the City associated with these public benefits.
BACKGROUND/DISCUSSION:
The City of Montebello is considering a proposed Development Agreement with AltaMed Health Services Corporation in connection with a private art gallery project. Development Agreements are authorized under Article 2.5 of Chapter 4 of Division 1 of Title 7, Sections 65864 through 65869.5 of the California Government Code, which allows cities and developers to enter into binding agreements that define development standards, project timing, and public benefits.
The purpose of this proposed Development Agreement is to establish the terms under which AltaMed will provide specific public benefits in connection with the private art gallery project. These public benefits are intended to support City services, infrastructure needs, and community programs, consistent with the City’s goals to enhance arts, culture, and educational opportunities.
Key public benefits proposed under the Development Agreement include:
• A one-time Development Agreement processing fee of $20,000. • A one-time monetary contribution of $200,000 to the City’s General Fund. • Participation in the City’s Art in Public Places Program. • Allowing the City to use portions of the property for arts, culture, and educational events up to seven times per year.
On May 11, 2020, AltaMed was issued a City business license for the purpose of operating an administrative business and professional office within a commercial unit in the Montebello Town Square shopping center located at 1401 North Montebello Boulevard, Montebello, CA 90040 in the City’s C-2-PD (General Commercial-Planned Development) zone.
On July 10, 2024, the AltaMed filed a Conditional Use Permit application for a proposed private art gallery at 1401 North Montebello Blvd. Pursuant to Appendix A - Index of Primary Uses of the Montebello Municipal Code, approval of a Conditional Use Permit is required for new assembly buildings and uses within the City’s C-2 (General Commercial) zone.
CITY COUNCIL AGENDA REPORT - MEETING OF NOVEMBER 12, 2025
On July 18, 2024, the Planning Division transmitted a deemed incomplete letter in connection with the initial submittal with an itemized list of information needed to complete the application.
On August 21, 2024, AltaMed resubmitted supplemental information along with the application (PC-2024-0012-CUP) for a Conditional Use Permit and Development Agreement to allow the establishment and operation of a private art gallery, along with accessory storage spaces, on the second floor of the Project Site, where the Applicant is currently operating its business and professional office.
On August 21, 2024, after review of the supplemental information provided, the Planning Division issued a deemed complete letter to the Applicant with the associated case numbers.
On October 7, 2025, the Planning Commission held a duly noticed public hearing and conditionally approved Conditional Use Permit No. PC-2024-0012-CUP to allow the establishment and operation of a private art gallery and associated accessory uses.
Additionally, the Planning Commission recommended that City Council approve and execute Development Agreement No. 03-24 (Agreement No. 4417), in connection with Conditional Use Permit No. PC-2024-0012-CUP.
On October 22, 2025, the City Council held a duly noticed public hearing and introduced Ordinance No. 2484, waiving its first reading. The Ordinance approves Development Agreement No. 03-24 (Agreement No. 4417) between the City of Montebello and AltaMed Health Services Corporation for the establishment and operation of a private art gallery within a commercial unit in the Montebello Town Square shopping center located at 1401 North Montebello Boulevard, Montebello, California. During the public hearing, the City Council directed staff to finalize the Development Agreement and instructed the City Manager to work with AltaMed to prepare and execute an agreement for the City’s use of the private art gallery space consistent with the Development Agreement.
ENVIRONMENTAL:
The proposed Ordinance approving Development Agreement No. 03-24 (Agreement No. 4417) qualifies for a Class 1 Categorical Exemption under the provisions of the California Environmental Quality Act (“CEQA”) Guidelines Section 15301 – Existing Facilities. Class 1 exempts the following projects: the operation, repair, maintenance or minor alteration of existing public or private structures, facilities, mechanical equipment, or topographical features, involving negligible or no expansion of the use beyond that previously existing. As proposed, the CUP for an art gallery will not expand the existing footprint of the structure at the site and the proposed improvements to the site include minor interior changes such as adding partition walls as well as other minor site improvements. Additionally, the Ordinance approving Development Agreement No. 03- 24 qualifies for a statutory exemption under CEQA Guidelines Section 15061(b)(3) - Common Sense Exemption. This exemption applies to projects where it can be seen with certainty that there is no possibility that the activity in question may have a significant effect on the environment.
CITY COUNCIL AGENDA REPORT - MEETING OF NOVEMBER 12, 2025
Since the adoption of an Ordinance approving a Development Agreement does not, in itself, result in any physical changes to the environment or authorize any specific development activity, it can be determined with certainty that the proposed action will not have a significant environmental impact. Therefore, this activity is not subject to CEQA.
ANALYSIS:
The proposed project is located at 1401 North Montebello Boulevard, within a commercial tenant space in the Montebello Town Square shopping center, situated in the City’s C-2- PD (General Commercial – Planned Development) zone. The project site is surrounded by other commercially zoned properties and uses to the north, east, and west, and is bordered by the Metro Heights residential development to the south. AltaMed currently occupies an approximately 105,000 square foot commercial unit within the shopping center. The entire Montebello Town Square site encompasses approximately 251,000 square feet.
The first floor of the tenant space measures approximately 75,000 square feet and is currently utilized for administrative office functions. The proposed art gallery and accessory uses would be located on the second-floor mezzanine area, which measures approximately 30,000 square feet. For reference, Attachment C contains the conceptual plans for the proposed art gallery layout and design.
Conditional Use Permit
Through the Conditional Use Permit (“CUP”) process, the City considers special uses which may be essential or desirable to a particular community but are not allowed as a matter of right within a particular zoning district. Section 17.70.010 of the Montebello Municipal Code (“MMC”) states that the purpose of a conditional use permit is to allow proper integration of uses into the community which may only be suitable in specific locations, or only if such uses are designed and constructed in a particular manner on the site, and under certain conditions. In this case, the applicant is proposing to convert an existing second floor mezzanine within a commercial unit to develop and operate a private art gallery. Pursuant to Appendix A - Index of Primary Uses of the MMC, approval of a Conditional Use Permit is required for new assembly buildings and uses within the City’s C-2 (General Commercial) zoning district.
According to the project submittal, the applicant is proposing to convert approximately 15,668 square feet of the second-floor mezzanine into an art gallery and associated accessory uses. The proposed second-floor layout includes approximately 3,302 square feet of art gallery space, 5,683 square feet of storage, 2,484 square feet of administrative offices, and 4,199 square feet of circulation area.
In addition to the interior improvements, the proposal includes several site modifications such as the construction of a new trash enclosure, installation of one Americans with Disabilities Act (ADA)-accessible parking space, construction of an entrance canopy, and installation of a wheelchair lift at the existing loading dock.
CITY COUNCIL AGENDA REPORT - MEETING OF NOVEMBER 12, 2025
The gallery is proposed to operate Monday through Friday, from 8:00 a.m. to 6:00 p.m., with the potential to host events outside of regular hours on various days of the week.
Pursuant to Resolution No. 14-25, the Planning Commission determined that findings exist to support the approval of Conditional Use Permit No. PC-2024-0012-CUP, which allows the establishment and operation of a private art gallery within the City’s C-2 Zone.
The proposed use is compatible with surrounding land uses and is consistent with the intent of both the City’s Zoning Ordinance and General Plan. Additionally, the project would not adversely affect or compromise the integrity and character of the C-2 Zone.
Pursuant to Section 17.70.070 of the MMC, before any CUP shall be granted, the following findings must be made:
A. That the site for the proposed use is adequate in size and shape.
The subject site is physically suitable for the operation of an art gallery. The project does not propose any structural alterations to the existing tenant space, nor does it include any increase in floor area to accommodate the new use. Additionally, the existing parking lot within the Montebello Town Square shopping center provides sufficient parking to meet the City’s parking requirements for the proposed use.
B. That the site has sufficient access to streets and highways, and is adequate in width and pavement type to carry the quantity and quality of traffic generated by the proposed use.
The Subject Site was originally occupied by a major department store with an extensive customer base and operating hours spanning seven days a week, from morning to late evening. This high customer demand required adequate access to accommodate the resulting traffic. Access to surrounding streets and highways has not changed, and sufficient provisions for public access to the subject property remain in place, with the Project Site currently accessed from Montebello Boulevard. No changes to site access are proposed as part of the proposed Project, and existing access arrangements will remain unchanged. The traffic generated by the proposed use is not expected to be significant and it is anticipated to be comparable to that generated by existing businesses within the surrounding area.
C. That the proposed use will not have an adverse effect upon adjacent or abutting properties.
The proposed Project is located within the C-2 (General Commercial) zone and is primarily surrounded by other commercial uses. As such, it is unlikely that the proposed use will have an adverse effect on adjacent or abutting properties. While the Metro Heights residential development is located to the south of the project site, it is separated by Montebello Boulevard, which serves as a physical and functional buffer between the two uses.
D. That the proposed use is consistent with the objectives of the community redevelopment project area in which the site is located. Put another way, the finding must be made that the proposed use will meet the general purpose and intent of the Zoning Code and will be consistent with the purpose and intent of the General Plan and any applicable specific plan.
CITY COUNCIL AGENDA REPORT - MEETING OF NOVEMBER 12, 2025
The proposed use is consistent with the objectives, policies, land use designations, and programs outlined in the City of Montebello General Plan. Specifically, the project supports General Plan Policies P8.3, P8.4, and P8.8, which promote the expansion of artistic spaces, activities, and programs, as well as the strengthening of partnerships between institutions of higher education, cultural organizations, and arts entrepreneurs.
The proposed use also contributes to the ongoing preservation and enhancement of existing commercial areas. Furthermore, the project aligns with the intent of the City’s Zoning Ordinance, which is consistent with the overarching goals and objectives of the General Plan.
If approved, the project proposal will go through the plan check process which will ensure that the general purpose and intent of the zoning, building, and fire codes, and other applicable portions of the MMC, will be met.
As part of its review, staff has determined that the proposed use complies with the parking requirements set forth in Chapter 17.52 of the City’s Zoning Ordinance. Pursuant to the City’s off-street parking standards, a total of 367 parking spaces are required to accommodate both the existing and proposed uses. As previously noted, AltaMed occupies a commercial unit within the Montebello Town Square shopping center, which provides a total of 1,225 on-site parking spaces for its commercial tenants. Therefore, adequate parking will continue to be available throughout the shopping center to support the proposed use.
Development Agreement
The Planning Commission’s approval of Conditional Use Permit No. PC-2024-0012-CUP authorizes the operation of an art gallery as an assembly use with accessory storage spaces, contingent upon the Applicant providing public benefits outlined in Exhibit “C” of Development Agreement No. 03-24 (Agreement No. 4417) between the City of Montebello and AltaMed Health Services Corporation. The public benefits include: 1) a one-time, non-refundable Development Agreement Fee in the amount of $20,000 for costs associated with the preparation and review of the Development Agreement; 2) a one-time Public Benefit fee in the amount of $200,000; 3) compliance with the City’s Art in Public Places Program; 4) the payment of all applicable processing fees at the time these fees are due; and 6) authorizing the City’s use of a portion of the Property with prior approval from the Developer up to seven (7) times per calendar year pursuant to the Development Agreement.
GENERAL PLAN CONSISTENCY
The City’s General Plan Land Use designation for the Project Site is “Neighborhood.” This designation is intended to support a mix of transit, employment, shopping, civic, and leisure activities within close proximity of a variety of building types. Furthermore, the “Our Creative Community” chapter of the General Plan emphasizes Montebello’s commitment to nurturing and promoting arts and cultural activities, organizations, and events, while increasing their visibility and prominence within the region. Several guiding principles outlined in this chapter align with the
CITY COUNCIL AGENDA REPORT - MEETING OF NOVEMBER 12, 2025
proposed project, including facilitating inclusive cultural experiences reflecting the various identities of the City, providing equitable and easily accessible opportunities to residents and visitors to engage with art and culture locally, and creating more opportunities for engaging local artists.
The following General Plan Goals and Policies are applicable to the art gallery and related accessory uses proposed at the Project Site:
General Plan “Our Creative Community” Element policy 8.3 (P8.3) is to “expand artistic space, activities and programs in non-traditional venues.” General Plan “Our Creative Community” Element policy 8.4 (P8.4) is to “weave arts and culture into the fabric of the City.”
General Plan “Our Creative Community” Element policy 8.8 (P8.8) is to “increase partnerships between higher education, cultural organizations and arts entrepreneurs.” Overall, the operation of the proposed art gallery will support the City of Montebello’s efforts to nurture and promote arts and cultural activities, in alignment with the goals, objectives, and policies outlined in the General Plan.
SUMMARY:
The proposed use is compatible with surrounding land uses and aligns with the intent of both the City’s Zoning Ordinance and General Plan. Therefore, staff recommends that the City Council waive the second reading of Ordinance No. 2484 and approve Development Agreement No. 03-24 (Agreement No. 4417) between the City of Montebello and AltaMed Health Services Corporation for the establishment and operation of a private art gallery located at 1401 North Montebello Boulevard, Montebello, CA 90640. Additionally, staff recommends that the City Council find the proposed project categorically exempt from CEQA pursuant to Class 1 Categorical Exemption under CEQA Guidelines Section 15301 – Existing Facilities. The project also qualifies for a Statutory Exemption under CEQA Guidelines Section 15061(b)(3) – Common Sense Exemption, as there is no reasonable possibility that approving a Development Agreement resulting in tenant improvements to an existing facility would result in a significant effect on the environment.

1 DEVELOPMENT AGREEMENT
THIS DEVELOPMENT AGREEMENT (this “Agreement”) is entered into on November 12, 2025, by the CITY OF MONTEBELLO (the “City”), a municipal corporation, and AltaMed Health Services Corporation, a California nonprofit corporation (the “Developer”), pursuant to Article 2.5 of Chapter 4 of Division 1 of Title 7, Sections 65864 through 65869.5 of the California Government Code. City and Developer shall be referred to within this Agreement jointly as the “Parties” and individually as a “Party.” R E C I T A L S:
A. Capitalized Terms. The capitalized terms used in these recitals and throughout this Agreement shall have the meaning assigned to them in Section 1. Any capitalized terms not defined in Section 1 shall have the meaning otherwise assigned to them in this Agreement.
B. Property Status. The Developer holds a legal or equitable interest in certain parcels of real property located at 1401 N. Montebello Boulevard in the City of Montebello, California, and which is more particularly described in the “Legal Description of Property” attached hereto as Exhibit A and as further shown on the “Site Map” attached hereto as Exhibit B (collectively Exhibit A and Exhibit B, depicting the “Property”).
C. Project. The Property is being renovated to accommodate Developer’s private administrative offices (the “Project”). The Project will include: i) office/meeting room space; ii) a private art gallery; and iii) art storage space. The renovated spaces consist of approximately 15,668 square feet of dedicated floor area on the second floor of an existing commercial building, including 2,484 square feet for office and support services space, 3,302 square feet for the art gallery, 5,683 square feet for the art storage space, and 4,199 square feet of ancillary space. For the avoidance of doubt, Developer’s redevelopment of the office space, proposed office/administrative use, and the proposed expansion of the use to allow members of the public to access certain portions of the Property are authorized under the Montebello Municipal Code and all applicable land use regulations and policies. The scope of this Agreement is limited to Developer’s right to host members of the public at the Property at Developer’s sole discretion, and the public benefits described in Exhibit C.
D. Legislation Authorizing Development Agreements. To strengthen the public planning process, encourage private participation in comprehensive planning and reduce the economic risk of development, the legislature of the State of California adopted the Development Agreement Statute, Sections 65864, et seq., of the Government Code, authorizing the City to enter into an agreement with any Person (as hereinafter defined) having a legal or equitable interest in real property providing for the development of such property and establishing certain development rights therein.
E. Public Benefits. The Developer agrees to provide the City with certain public benefits as more specifically identified in Section 4.3 and Exhibit C of this Agreement, including a one-time Public Benefit Fee to the City in the amount of two hundred thousand dollars ($200,000) and limited access to the property.
Ordinance No. 2484
2 F. Intent of the Parties. The Developer and the City have determined that the expanded use for certain portions of the Project is a development for which a development agreement is appropriate. The Parties acknowledge and agree that Developer’s intended use of the Property as a private administrative office, and the expansion of this use to allow occasional public access to parts of the Property are consistent with the City’s Zoning Code, General Plan, Precise Plan, and all applicable regulations and restrictions. The Parties desire to define the parameters of the Developer’s public benefits offering and provide for the orderly development of the Property, assist in attaining the most effective utilization of resources within the City, and otherwise achieve the goals of the Development Agreement Statute. In consideration of these benefits to City and the public benefits of the development of the Property, the Developer will receive assurances that the City shall grant all permits and approvals required for the development of the Property accordance with this Agreement.
G. Public Hearings: Findings. Pursuant to the California Environmental Quality Act (Public Resources Code Sections 21000, et seq. (“CEQA”)), appropriate studies, analyses, reports, or documents were prepared and considered by the City’s Planning Commission (“Planning Commission”) and the City’s City Council (“City Council”). The Planning Commission, after a public hearing on October 7, 2025, recommended approval to the City Council, and on November 12, 2025, the City Council adopted, Ordinance No. 2484 approving this Agreement (the “Authorizing Ordinance”).
