standards of performance set forth this section, additional specific standards of performance and performance criteria may be set forth in Exhibit “A” “Scope of Services” that shall also be applicable to Consultant’s work under this Agreement. (d) Consultant shall promptly notify City should Consultant, its officers, employees, agents or subconsultants be served with any summons, complaint, subpoena, notice of deposition, request for documents, interrogatories, request for admissions or other discovery request, court order or subpoena from any party regarding this Agreement and the work performed thereunder. City retains the right, but has no obligation, to represent Consultant or be present at any deposition, hearing or similar proceeding. Consultant agrees to cooperate fully with City and to provide City with the opportunity to review any response to discovery requests provided by Consultant. However, this right to review any such response does not imply or mean the right by City to control, direct, or rewrite said response.
SECTION 16. INDEMNIFICATION.
(a) INDEMNIFICATION BY CONSULTANT. To the fullest extent permitted by law, Consultant shall indemnify, protect, defend (with legal counsel reasonably acceptable to City) and hold harmless City and any and all of its elected and appointed officials, officers, employees, representatives and agents (“Indemnified Parties”) from and against any and all claims, actions and proceedings (whether at law or equity, administrative or judicial), demands, orders, judgments, losses, injuries (including, without limitation, injury to or death of an employee of Consultant or subconsultants), liabilities of every kind (including, without limitation, incidental and consequential damages, court costs, and litigation expenses, and fees of expert consultants or expert witnesses incurred in connection therewith and cost of investigation), damages, costs and expenses, including attorney’s fees and costs, (collectively "Claims") that arise out of, pertain to, or relate to, directly or indirectly, in whole or in part, any goods provided or performance of Services by Consultant, its officers, agents, employees, representatives, subconsultants, anyone directly or indirectly employed by any of them, or anyone that they control. Consultant’s duty to indemnify, protect, defend and hold harmless Indemnified Parties, shall not include any Claims arising from the sole negligence or willful misconduct of the Indemnified Parties. (b) INDEMNIFICATION FROM SUB-CONSULTANTS. Consultant agrees to obtain executed indemnity agreements with provisions identical to those set forth here in this section from each and every subconsultant, subcontractor or any other person or entity involved by, for, with or on behalf of Consultant in the performance of this Agreement naming the Indemnified Parties as additional indemnitees. In the event Consultant fails to obtain such indemnity obligations from others as required here, Consultant agrees to be fully responsible according to the terms of this section. Failure of City to monitor compliance with these requirements imposes no additional obligations on City and will in no way act as a waiver of any rights hereunder. This obligation to indemnify and defend City as set

forth herein is binding on the successors, assigns or heirs of Consultant and shall survive the termination of this Agreement and this section.
SECTION 17. INSURANCE.
Consultant agrees to obtain and maintain in full force and effect during the Term of this Agreement the insurance policies set forth in Addendum “1” “Insurance” and made a part of this Agreement. All insurance policies shall be subject to approval by City as to form and content.
These requirements are subject to amendment or waiver if so approved in writing by the City Manager. Consultant agrees to provide City with copies of required policies upon request.
SECTION 18. ASSIGNMENT.
The expertise and experience of Consultant are material considerations for this Agreement.
City has an interest in the qualifications and capability of the persons and entities who will fulfill the duties and obligations imposed upon Consultant under this Agreement. In recognition of that interest, Consultant shall not assign or transfer this Agreement or any portion of this Agreement or the performance of any of Consultant’s duties or obligations under this Agreement without the prior written consent of the City, which may be given in the sole and absolute discretion of the City Manager. Any attempted assignment shall be ineffective, null and void, and shall constitute a material breach of this Agreement entitling City to any and all remedies at law or in equity, including termination of this Agreement pursuant to Section 20 “Termination of Agreement.” City acknowledges, however, that Consultant, in the performance of its duties pursuant to this Agreement, may utilize subconsultants.
If in the performance of its duties Consultant utilizes subconsultants or subcontractors, Consultant covenants that subcontracts, if any, shall contain a provision making subconsultants or subcontractors subject to all provisions stipulated in this Agreement, including without limitation, the insurance obligations set forth in Section 17 “Insurance.” The Consultant acknowledges and agrees that the City is an intended beneficiary of any work performedby any subconsultant or subcontractor for purposes of establishing a duty of care between any subconsultant or subcontractor and the City.
SECTION 19. CONTINUITY OF PERSONNEL.
Consultant shall make every reasonable effort to maintain the stability and continuity of Consultant’s staff and subcontractors / subconsultants, if any, assigned to perform the Services.
Consultant shall notify City of any changes in Consultant’s staff and subcontractors / subconsultants, if any, assigned to perform the Services prior to and during any such performance.
SECTION 20. TERMINATION OF AGREEMENT.
(a) City may terminate this Agreement, with or without cause, at any time by giving written notice of termination to Consultant. In the event such notice is given, Consultant shall cease immediately all work in progress.
(b) Consultant may terminate this Agreement for cause at any time upon thirty (30) days written notice of termination to City.

(c) If either Consultant or City fail to perform any material obligation under this Agreement, then, in addition to any other remedies, either Consultant, or City may terminate this Agreement immediately upon written notice.
(d) Upon termination of this Agreement by either Consultant or City, all property belonging exclusively to City which is in Consultant’s possession shall be returned to City. Consultant shall furnish to City a final invoice for work performed and expenses incurred by Consultant, prepared as set forth in Section 4 “Compensation and Method of Payment” of this Agreement. This final invoice shall be reviewed and paid in the same manner as set forth in Section 4 “Compensation and Method of Payment” of this Agreement. (e) Upon written notice, City may suspend all or any portion of Consultant’s performance under this Agreement at its sole option and for its convenience for a reasonable period of time not to exceed six (6) months. City will pay to Consultant a sum equivalent to the reasonable value of the services satisfactorily provided up to the date of suspension. City may rescind the suspension prior to or at six (6) months by providing Consultant with written notice of the rescission, at which time Consultant would be required to resume performance in compliance with the terms and provisions of this Agreement. Consultant will be entitled to an extension of time to complete performance under this Agreement equal to the length of the suspension unless otherwise agreed to in writing by the Parties.
SECTION 21. DEFAULT.
In the event that Consultant is in default under the terms of this Agreement, the City shall not have any obligation or duty to continue compensating Consultant for any work performed after the date of default. Instead, the City may give notice to Consultant of the default and the reasons for the default. The notice shall include the timeframe in which Consultant may cure the default.
This timeframe is presumptively thirty (30) days, but may be extended or reduced, if circumstances warrant. During the period of time that Consultant is in default, the City shall hold all invoices and shall, when the default is cured, proceed with payment on the invoices. In the alternative, the City may, in its sole discretion, elect to pay some or all of the outstanding invoices during the period of default. If Consultant does not cure the default, the City may take necessary steps to terminate this Agreement under Section 20 “Termination of Agreement.” Any failure on the part of the City to give notice of the Consultant’s default shall not be deemed to result in a waiver of the City’s legal rights or any rights arising out of any provision of this Agreement.
SECTION 22. EXCUSABLE DELAYS.
Consultant shall not be liable for damages, including liquidated damages, if any, caused by delay in performance or failure to perform due to causes beyond the control of Consultant. Such causes include, but are not limited to, acts of God, acts of the public enemy, acts of federal, state or local governments, acts of City, court orders, fires, floods, epidemics, strikes, embargoes, and unusually severe weather. The term and price of this Agreement shall be equitably adjusted for any delays due to such causes.

Fairway Canyon Monitoring Wells, City of Beaumont - The well depth of both wells is 350-FT and was mud rotary drilled. Drilled in 2010, the wells were free flowing at a rate of 50 GPM then.
Rehabilitation Deep Well No. 1, Fort Bonifacio Tenement, Philippines - Deep well output had become low. The drop pipes and the submersible pump were pulled out and a downhole video inspection of the well was conducted to determine the cause of the low output. Video inspection showed the well casing perforations were clogged by rust and encrusted minerals. The well was initially cleaned by wire brushing followed by surging and bailing to further clean the casing. Water was used to determine the drawdown level during pumping, the well recovery rate, and eventually, the pump setting and the pump needed to fully utilize the well capacity.
Drilling and Development of New Deep Well, BLC Condominiums, Philippines - Project involved the drilling and development of a deep well (850-FT), the construction of a CMU pumphouse, and a reinforced-concrete cistern. The deep well construction included drilling of the well pilot hole by mud rotary method, tests to measure the groundwater static level and the depth of the aquifers to determine placement of the well screens, reaming of the pilot to the desired diameter, and plugging the well bottom. This was followed by the installation of the 8-inch well casing and screens, placement of the pea gravel filter in the annular space around the casing, and sealing the well with cement slurry. The well is developed by surging and bailing to remove sand and other impurities in the well, followed by a 48-hour continuous pumping test to determine the well drawdown level and well output and eventually, the pump setting and the pump specifications. Also included was the construction of a CMU pumphouse with all the mechanical and electrical appurtenances for the operation of the deep well. A reinforced-concrete cistern with booster pumps was also constructed for the storage and pumping of the well water to increase the pressure in the water supply system.
Drilling and Development of Two Monitoring Wells in the Fairways (formerly Fairway Canyon) Development, City of Beaumont - Project involved the drilling and development of wells at two different locations in the Fairways, along West Oak Valley Parkway (formerly San Timoteo Canyon Road). The drilling also included the installation of 16-FT high sound walls on three sides of the well sites.
The deep well construction started with the drilling of the pilot hole and proceeded with activities described above (BLC Deep Well). Since the wells are merely for monitoring purpose only, a 6-inch-diameter PVC pipe well casing with slotted pipe screens were installed. The wells were developed, and the well water was tested for water quality. The wells were then covered and locked to prevent contamination.

Jurupa Community Services District, City of Jurupa Valley - Ron has inspected various water and sewer improvement projects for residential single-family tracts, high-density residential, commercial, and industrial projects. Inspection consists of various pipe sizes and material, and includes pipe appurtenances, 1-inch through 10-inch backflow preventers (installation, painting, and certifying), fire hydrants, blow off valves, air release/air vacuum valves, and pressure regulators of all sizes.
Oak Avenue Street and Sidewalk Improvements, City of Corona – This project consisted of grinding existing asphalt, slurry seal, construction of concrete sidewalk, as well as removal and replacement of concrete driveways and driveway approaches.
All work was coordinated with homeowners and a nearby school.
Sierra Avenue Widening, City of Fontana – This project includes the addition of one additional travel lane in each direction along Sierra Avenue, a 5-FT wide bike lane, 8-FT wide sidewalk including ADA compliant pedestrian ramps at intersections, as well as a 12-FT to 14-FT wide raised landscaped median. The project also includes storm drain improvements, construction of a new sewer main, construction of a new traffic signal, traffic signal modification, and various utility relocations.
Elsinore Valley Municipal Water District, City of Lake Elsinore - Ron has inspected numerous water and sewer improvements associated with various types of development including residential single family tracts, high density residential, commercial, and industrial projects. Duties have included inspection of the water and sewer improvements verifying conformance with District standards, monitoring all required testing, punch list preparation, and final acceptance of the improvements into the District’s water and sewer systems.
New Housing Developments, City of Chino - During the years with the City of Chino, Ron inspected multiple housing developments throughout the City, from small 8 to 10 lot projects, to projects with over 200 lots, such as the Preserve Master Plan Community. Ron’s involvement included not only inspection, but plan review and material submittals prior to issuance of construction permits. The inspection process consisted of inspections of all improvements in the public right-of-way including surveying, mass grading, and installation of all wet and dry utilities. Pressure testing, disinfection, conduit mandreling, trench compaction, etc., were all done to meet state and local testing requirements. Final inspection duties involved the construction of curb & gutter, streets, sidewalks, signing & striping, street lighting, and landscaping.
A final punch list was completed, along with Record Drawings, to meet the agency’s Standards & Specifications.
Agreements for Professional Services to perform As-Needed Professional C... Page 1466 of 2161 57 Yorba Avenue Storm Drain Project, City of Chino - This Capital Improvement project involved the installation of 24-inch to 72-inch RCP storm drain. The limits of this project consisted of two separate tie-in points: one at a major intersection, and the other within a neighboring housing tract. The pipeline installation consisted of both open trench and jack and bore. Due to the high volume of traffic at the intersection, the design and implementation of a traffic control plan was required, involving various phases and modification of the traffic signal. Constant written and verbal communication with the Project Superintendent during construction was critical in order to minimize interruption of underground utility service. Once the pipe installation was complete, a combination of physical and remote camera inspections were done to verify the workmanship met industry standards. Final repairs of street pavement, traffic striping, sidewalks, landscaping, etc., were inspected and approved.
City-wide Slurry Seal Program, City of Chino - In an effort to help preserve the longevity of City streets, the City of Chino has an ongoing Slurry Seal Capital Improvement Program and slurry seal construction requirements for all Land Development Projects. Ron inspected a number of these projects during his time with the City. As with all City projects, once awarded, pre-construction meetings were held to review the Plans & Specifications and make sure there was a mutual understanding of the project and answer any questions. Public notices, working hours, staging, material testing, traffic control, etc., were covered. Ron maintained a strict inspection routine to make sure public safety, material standards, application, and clean up were completed each day. Each slurry seal project provides an opportunity to make any changes or revisions to the existing traffic striping by the Engineer. Any revisions made to the existing traffic control plans were approved by the traffic division before being implemented.
Industrial/Commercial Development, City of Chino - Ron has extensive experience inspecting a number of commercial & industrial projects in the City of Chino. These projects took place over several years in an area that was once acres of diary and agricultural use. Without existing public infrastructure, these projects helped to extend the City’s services into the most southern portion of the City. During this time, Ron was able to inspect miles of water, sewer, storm drain, traffic signal interconnect, traffic signals, landscaping, street improvements, signing & striping, etc. These years of inspection provided a unique experience of not only mass construction experience, but learning to deal strategically with an ever-changing public transportation dynamic. The quality and serviceability of these improvements years later show the time and effort invested in these projects was a vital improvement to the City’s infrastructure.
Chino Spectrum Marketplace, City of Chino - This Major Shopping Center is made up of anchors like Wal-Mart and Sam’s Club, along with multiple boutique shops. This project was one of the first transitions of farming property to commercial development in the City of Chino, thus requiring serious design and extensions of City infrastructure.
Inspection of all underground utilities such as water, sewer, storm drain were required. Due to the size and complexity of the project, and the integration of recycled water use approved by the State of California, Ron helped to update and revise the City’s Standards as they related to Cross Connection Control and Water Pipeline Construction. Along with the standard construction inspections, extra care was needed to deal with so many customers in such a condensed area, a new situation the City had never experienced at this level. One example was providing proper identification of each tenant with the corresponding utility meter. Even after 20 years, this project continues to be a vibrant shopping location.
Southern California Edison Transmission Project, City of Chino - From East City Limits to West City Limits - Ron served as the lead inspector and public liaison to the Assistant City Manager in one of the largest public improvement projects for Southern California Edison in the City. This high profile project involved the installation of new transmission towers and transmission lines within a 200-FT wide SCE easement. Due to the extraordinary height of the new towers, extensive planning went into the proper locations that would allow for the large foundations. Inspection required extensive record keeping, monitoring of various crews, and knowledge of various construction methods to ensure proper repair to both street improvements and considerable damage done to the City’s largest park.

Page 1474 of 2161 65 City of Chino Transit Center - This project included the construction of a six-bus terminal transit center adjacent to the City of Chino Civic Center. A redesign of the surrounding streets was required to accommodate not only the bus terminals, but the addition of a large traffic circle with accompanying water feature. Construction of the streets and traffic circle for the buses was a Portland concrete section over a treated crushed aggregate base. Within this portion of the roadway, a 12-inch VCP sewer main needed to be lowered along with three accompanying manholes. Modifications and repairs were also needed to the effected utilities such as water, storm drain, and dry utilities. The project was finished off with meandering sidewalks, landscaping, and street lighting.
Southern Gas Company Mainline & Service Replacement, City of Chino - This project was a complete rehabilitation of the existing gas system in an older portion of the City. It consisted of more than 8,000-LF of new 2-inch mainline and 1/2-inch to 1-inch service lines. Special attention was given to the structural impact this size of the project would have on the existing streets and sidewalks. Public notices and project specific traffic control plans were instituted to ensure the least possible impacts to the community. Careful records were kept to monitor the progress of work not only in the public right-of-way, but also on private property. Once the system was installed, pressure tested, and approved, reconstruction of all streets, sidewalks, traffic signing and striping, and any required ADA improvements were completed. Due to the extensive work beyond the public right-of-way, extensive time was given to make sure all on-site repairs were made to like or better conditions prior to the start of construction.
Traffic Signal Construction (License Plate Reader), City of Chino - Various locations within the City of Chino required traffic signal improvements which included the construction of pole foundations, electrical conduit, inductive loop system, signal poles, and mast arms. Also included were the upgrades of existing electrical service pedestal (per Southern California Edison Standards) and Signal Controller Cabinet. Reconstruction of effected improvements included asphalt paving, curb and getter, sidewalk, spandrels, and curb ramps. All new construction was required to meet all Federal and State ADA requirements.
