FEE SCHEDULE

TERMS AND CONDITIONS
z Expiration: This fee schedule is effective through
December 31, 2024 after which non-prevailing wage
rates for remaining or additional services will increase by 4% on January 1st of each year.
z Proposal Expiration: Proposals are valid for at
least 30 days, subject to change after 30 days; unless
otherwise stated in an attached proposal.
z Prevailing Wages: Our fees for prevailing wage work
are based upon California prevailing wage laws and
wage determinations. Unless specifically indicated in
our proposal, costs for apprentice are not included. If we are required to have an apprentice on your project,
additional fees will be charged. Prevailing wage rates
will increase by $8 on July 1st of each year.
z Overtime: Standard overtime rate is per California
Labor Law and is billed at 1.5 or 2 times their hourly
billing rate. Overtime rate for non-exempt field
personnel working on a Leighton observed holiday
is billed at 2 times their hourly billing rate. Overtime rate for Prevailing wage work is per the California
Department of Industrial Relations (DIR) determination
and is multiplied at 1.5 to 2 times their hourly billing rate for overtime and double-time, respectively.
z Expert Witness Time: Expert witness deposition and
testimony will be charged at 2 times hourly rates listed on the previous pages, with a minimum charge of four
hours per day.
z Minimum Field Hourly Charges: For Field
Technicians, Special Inspectors or any on-site (field)
materials testing services:
4 hours: 4-hour minimum charge up to the first
four hours of work.
8 hours: 8-hour minimum charge for over four
hours of work, up to eight hours.

Project time accrued includes portal to portal
travel time.
z Insurance & Limitation of Liability: These rates are
predicated on standard insurance coverage and a limit
of Leighton’s liability equal to our total fees for a given project.
z Outside Direct Costs: Heavy equipment,
subcontractor fees and expenses, project-specific
permits and/or licenses, project-specific supplemental
insurance, travel, subsistence, project-specific
parking charges, shipping, reproduction, and other
reimbursable expenses will be invoiced at cost plus
20%, unless billed directly to and paid by client.
z Invoicing: Invoices are rendered monthly, payable
upon receipt in United States dollars. A service
charge of 1½-percent per month will be charged for
late payment.
z Client Disclosures: Client agrees to provide all
information in Client’s possession about actual or
possible presence of buried utilities and hazardous
materials on the project site, prior to fieldwork, and
agrees to reimburse Leighton for all costs related to
unanticipated discovery of utilities and/or hazardous
materials. Client is also responsible for providing safe and legal access to the project site for all Leighton
field personnel.
z Earth Material Samples: Quoted testing unit
rates are for soil and/or rock (earth) samples free of
hazardous materials. Additional costs will accrue
beyond these standard testing unit rates for handling,
testing and/or disposing of soil and/or rock containing hazardous materials. Hazardous materials will be
returned to the site or the site owner’s designated
representative at additional cost not included in
listed unit rates. Standard turn-around time for
geotechnical-laboratory test results is 10 working
days. Samples will be stored for 2 months following
completion of assigned tests, after which they will be
discarded. Prior documented notification is required
if samples need to be stored for a longer time. A
monthly storage fee of $15 per bag and $6 per sleeve
or tube will be applied. Quoted unit rates are only for earth materials sampled in California. There may be
additional cost for handling imported samples.
z Construction Material Samples: After all
designated breaks for a given sample set meet
specified compressive at design age or other clientdesignated strength, all “hold” cylinders or specimens will be automatically disposed of, unless specified in
writing prior to the 28-day break. Unless specifically
requested otherwise, all other construction materials
will be disposed of after completion of testing and
reporting.

3. The procuring of such required policy or policies of insurance shall not be construed to limit Consultant’s liability hereunder nor to fulfill the indemnification provisions and requirements of this Agreement.

4. Coverage provided by Consultant shall be primary and any insurance or self-insurance procured or maintained by City shall not be required to contribute with it. The limits of insurance required herein may be satisfied by a combination of primary and umbrella or excess insurance. Any umbrella or excess insurance shall contain or be

endorsed to contain a provision that such coverage shall also apply on a primary and non-contributory basis for the benefit of City before the City’s own insurance or self-insurance shall be called upon to protect it as a named insured.

5. All insurance coverage maintained or procured pursuant to this agreement shall be endorsed to waive subrogation against City, its elected or appointed officers, agents, officials, employees and volunteers or shall specifically allow Consultant or others providing insurance evidence in compliance with these specifications to waive their right of recovery prior to a loss. Consultant hereby waives its own right of recovery against City, and shall require similar written express waivers and insurance clauses from each of its subconsultants.

6. General liability policies shall provide or be endorsed to provide that City and its officers, officials, employees, and agents, and volunteers shall be additional insureds under such policies. This provision shall also apply to any excess/umbrella liability policies.

RE: QUALIFICATIONS FOR ON-CALL LANDSCAPE ARCHITECTURAL SERVICES David Evans and Associates, Inc. (DEA) has been providing award-winning, multi-disciplinary design services to public sector clients in the Coachella Valley since 1989. Having successfully collaborated with numerous agencies and municipalities in the past on an on-call/as-needed basis, DEA understands how to maintain staffing levels to seamlessly complete the services shown in the request for statements of qualifications. Our goal is to enable the City of Indio (City) staff to collaborate with our team of experienced landscape architects, civil engineers, surveyors, and support staff, not as a team of consultants, but as a direct extension of your team. To that end, we would like to emphasize the added benefits the City will receive by selecting DEA as their consultant of choice:
■ Experienced and Multidisciplinary Project Team: The project team assigned to this contract has extensive experience in the design of numerous public works projects including streetscape enhancements, trails, transportation corridors, parks, and commercial projects. We have performed similar services for many cities and public agencies throughout southern California. DEA currently provides on-call consulting services to various clients located throughout the Coachella Valley, Riverside, Orange, Los Angeles, and San Bernardino Counties.
■ Focused Execution of Task Orders: In addition to the core landscape architectural services represented herewith, DEA has assembled a strong project team that provides supporting disciplines in-house. These services include, but are not limited to civil engineering and surveying services. Having access to these services allows us to efficiently and seamlessly provide comprehensive and collaborative design services. ■ Commitment to Quality: We understand and share the City’s commitment to quality. DEA’s longstanding policy requires that every project have an assigned Quality Manager (QM), develop a Quality Control Plan, and reserve appropriate budget for QA/QC activities. The QM will assign QA/QC activities to technically qualified personnel for the specific discipline of the project(s). Checklists are used to conduct consistent and comprehensive QA/QC activities which are logged and used for future reflection, and in performing project audits. By utilizing DEA’s QA/ QC policy, the City can be confident that project deliverables have undergone a thorough review appropriate for the respective milestone.

We understand that the contract provided with the RFP is a sample and not intended to represent the final agreement between the City of Indio and the consultants for this on-call contract. When the time comes for negotiations, we have some suggested language changes that are very similar to the changes proposed and accepted by the City on our last signed agreement.

As part of our understanding of the importance of a qualified and experienced team, we have assembled key personnel to lead our staff in delivering a quality product and service. For the purpose of this contract, Todd Holmes, PLA will be the main point of contact with the City. We are confident that the following information will illustrate that DEA’s team will provide the City with quality professional design services for the successful completion of your capital improvement projects. Our personnel can provide the city with a collaborative team with expertise in the support services noted.

Sincerely,
DAVID EVANS AND ASSOCIATES, INC.

Ability to Manage the Contract / Staff Availability
DEA’s project management approach on task order projects provides flexibility and innovative thinking while maintaining strict adherence to each project’s goals and schedule. At DEA, organization is of the utmost importance, matching each project with the correct resources to ensure that work tasks are carried out on schedule and within budget. The management plan for each project will be adjusted and refined once the project is initiated. Our project management plan elements are:
■ Kick-off meeting;
■ Assignment of personnel hours;
■ Adjusting the project plan and schedule as required with the input of managers and team members; ■ Communication of individual and subconsultant roles and responsibilities in carrying out the project’s goals; and
■ Obtaining a commitment from the entire team in achieving these goals.

While DEA’s management and organizational systems allow us to effectively manage projects that vary widely in scope and meet triple constraint objectives (scope, schedule and budget), they are not entirely unique in the industry. What is unique are the cultural drivers that help deepen and strengthen DEA’s relationships with clients, acting as trusted advisors. Our management plan provides a well-managed, efficient system that results in credible, sustainable recommendations that are uniquely suited for each project. The framework of our approach includes tools for clear and effective project and quality management. This is done through communication plans, schedule management tools, budget management, invoicing procedures, quality control reviews, risk management, client meetings and overall document control. Additional Project Experience:

Topaz Area 3 Streetscape Renovations, La
Quinta, California
Under an on-call contract with the City of La Quinta,
DEA landscape architects prepared conceptual
and final plans for parkway renovations along
Miles Avenue and Dune Palms Road. The design
included the use of inert materials including two
complimentary colors of decomposed granite,
gravel, rubble, rock blanket and desert accent
plants providing year-round color and interest. Minor
grading, wall improvements, irrigation upgrades
(existing main line was protected in place), and
lighting improvements were provided. An adjacent
retention basin was also a part of the scope of
services and included the removal of existing turf in
favor of drought tolerant plant material. DEA assisted
the City in obtaining funding through the water district given the turf removal and irrigation upgrades.

Turf Removal and Demonstration Garden, Palm
Springs, California
DEA landscape architects provided design services
for turf removal at the Palm Springs International
Airport in California's Coachella Valley. DEA provided
design efforts for a 10,000 square foot demonstration
garden immediately outside the main terminal for
the airport. This garden demonstrates water-saving
alternatives to the traditional turf lawns for home and business owners alike. Various planting schemes are
featured in the garden including wildflowers, native
plants, plants for pollinators, edible plants, cacti,
succulents, spreading groundcovers, and synthetic
turf. Inert materials of gravel and decomposed
granite delineate pathways for navigation through the
garden.

Main Street Corridor Master Plan, Lake Elsinore,
California
DEA is providing landscape architectural services
for the Main Street Corridor design which will
include entry gateways, site furnishings, street
trees, decorative lighting, corridor planting, and the
implementation of ‘Art in Public Places’. The DEA
survey team will prepare topographic base mapping.

Improvements along the corridor will spur much
needed economic development while enhancing the
downtown which will soon be home to a new City
Hall. This project ties in with another project DEA
is developing for the I-15 / Main Street interchange
which includes new planting and irrigation in addition
to transportation art.

Jackson and Kenner Memorial Park, Indio,
California
DEA provided landscape architectural services
for the development of a community park on twoacres of land in the City of Indio. DEA prepared conceptual plans and collaborated with the City and
the community to enhance the concepts through
community input. Located at the northwest corner
of Jackson Street and Kenner Avenue, this highly
visible two-acre parcel lends itself to an ideal location for welcoming visitors and residents alike into the
City of Indio. The park site sits immediately south of
the Armory building which shares and association
with General Patton and Charlie Company 185, an
important part of Indio’s history.

Patton Park, Indio, California
George S. Patton
Park is a four-acre
neighborhood park in
the City of Indio. The
park was developed
by Beazer Homes
and was part of the
planned community
“The Haciendas”.

Once completed,
the City of Indio took ownership of the park and
maintains it as one of the City’s finest public parks.

The park contains two half-court basketball courts,
two tennis courts, open turf fields, picnic shelters with picnic tables and barbecues, two covered play areas,
walking paths, bench seating, a parking area and a
restroom building.

Eight Park Evaluations and Improvement
Projects, Indio, California
The Eight Park Evaluation project for the city of Indio started with the evaluation of eight existing parks
or city-owned proposed park sites. The parks were
evaluated for ADA accessibility, safety, how well
the parks were meeting the resident’s recreational
needs, potential recreational opportunities and
maintainability. For each of the park sites, DEA
provided the city of Indio with a park inventory, a
safety and accessibility evaluation, and a list of
suggested improvements. A conceptual landscape
plan was prepared for each of the sites, illustrating
the proposed improvements, which included sports
fields, picnic areas, play areas, support buildings
(restrooms, concessions, and maintenance), walks,
trees and site furnishings. An estimate of probable
costs for the proposed improvements was provided
with the project to assist with budget planning.

conceptual and
final design for
a new outdoor
amphitheater and
multipurpose urban
space and park for
the City of Cathedral
City. Partially funded through a Land and Water
Conservation Fund grant, the $5.2 million dollar
Cathedral City Amphitheater and park provides a
dynamic stage origami music box design structure
with state-of-the-art lighting and sound, interactive
playground, turf slopes, entry plaza, walkways,
lighting, and restrooms.

The Amphitheater was carefully designed with
considerations for use of the needs of a professional
stage production. The Amphitheater is the main
venue to host several marquee City Events, such
as the world famous Cathedral City Balloon Festival
and the Tex-Mex influenced Tejano Festival. The
Amphitheater is also being recognized as a venue to
be used in conjunction with the large music festivals
that are held in the Coachella Valley each year. This
venue will provide a place for performances and
events within a space that is easily accessible to
public transportation, walking and bicycling given its
nearby connection to the Coachella Valley’s CV Link
Project.

The amphitheater provides a community space that
was highly needed to encourage healthy outdoor
lifestyles and participation in enriching cultural,
educational and performing arts activities.

Statement of Qualifications to provide
CITY OF INDIO On-Call Landscape Architectural Services
Jefferson Street Parkway, La Quinta, California
DEA landscape
architects prepared
preliminary
alternatives for
the west and east
parkways along
Jefferson Street at
Westward Ho. Each
concept included a
meandering concrete walkway, decorative cobble,
shade trees, flowering desert accent plantings,
boulders, and two colors of decomposed granite. The
westerly parkway includes a perimeter wall adjacent
to the golf course with split face block, a decorative
cap and stone columns. Intermittent sections of
wrought iron fencing within the wall allow visibility
into the golf course. The easterly parkway also
includes a meandering walkway, desert plantings,
and a perimeter wrought iron fence.

Gene Autry Trail Gateway, Palm Springs,
California
DEA provided
landscape
architectural and
civil engineering
design services for
the parkways and
median on Gene Autry
Trail north of Vista
Chino Drive and the
design of a new 1.7-acre passive park that serves
as a new and vibrant gateway to the City. The City
and the design team had several critical project
goals. These included creating a passive park that
serves the neighborhood and provides a dynamic
and recognized landmark; developing a unique and
creative Palm Springs entry gateway; engaging in
seamless communication and coordination with
City staff, Caltrans, SCE, DWA and local, state
and federal agencies (TEA funding); and providing
timeless design solutions that evoke identity and
contribute to place making. The completed park
achieved the goals: improving the quality of life for
nearby residents and demonstrating stewardship
of the natural environment, while creating an iconic
landmark for visitors to Palm Springs and the
Coachella Valley. The revitalization of this once
vacant parcel of land into a unique oasis proved
successful in both function and form. It improved
drainage, increased property values, and increased
safety, while discouraging negative activities such
as vandalism, illegal dumping, and loitering. Most
importantly, it provides residents with a place to
enjoy the outdoor environment.

Ocotillo Park, Cathedral City, California
DEA landscape
architects provided
master planning,
Proposition 84
grant coordination,
and construction
documents for awardwinning Ocotillo
Park, a 5-acre
park in Cathedral City. Working closely with the
city appointed grant writer, DEA developed a plan
for active recreation facilities while considering
the incorporation of sustainable features such as
recycled materials, the use of decorative rock and
decomposed granite, ‘Smart Irrigation’ techniques,
and drought tolerant plant material. The park features
playground and picnic areas, walking paths, a ball
field with soccer field overlay, skatepark, parking,
plaza space and picnic shelters, in addition to fitness stations, a restroom, lighting and signage.

Mission Springs Park, Desert Hot Springs,
California
DEA landscape
architects and civil
engineers provided
preliminary and final
design plans for a 17-
acre park renovation
project in Desert Hot
Springs. The park
includes four soccer
fields, a concession / restroom building, children’s
play areas, a basketball court, entry plaza, fitness
walking trail, parking areas and passive open space.

Phase II of the project includes additional play fields and parking within the adjacent 5-acre parcel. DEA
worked with the city to prepare plans on a fast track
basis – allowing the project to be formally bid within
four weeks of a notice to proceed.

Freedom Park, Palm Desert, California
DEA provided conceptual, final design and
construction administration services for a new 23-
acre park in the City of Palm Desert. This award
winning park includes three lighted ball fields, one
soccer field, two lighted sand volleyball courts, two
lighted tennis courts, a skateboard area, a plaza

located around the park memorialize the rights of
American citizens. Open space landscaping includes
desert plant species appropriate for the low desert.

A bronze sculpture adorns the park’s main entrance
amidst colored accent paving and custom star
shaped lights.

Vista Chino Low Water Crossing Bridge, Palm
Springs, California
DEA was selected as part of a collaborative team
to prepare conceptual designs to highlight bridge
aesthetics for the Vista Chino Low Water Crossing
Bridge in Palm Springs. The project consists of the
design and construction of a new four-lane bridge
over the Whitewater Channel, approximately 2,300
feet long. DEA’s team began developing four distinct
concepts for the bridge. Each portrayed a theme that
allowed for a unique yet appropriate representation
of forms, textures, colors, and materials used
throughout the City. During this time, similar concepts were being developed for the Ramon Road Bridge
in Cathedral City. Because the Vista Chino Bridge
is located on the border of Cathedral City, the need
and desire for collaboration and input was key to
both agencies to convey a consistent theme. Upon
completion of the four concepts, the DEA design
team presented to the Palm Springs and Cathedral
City Arts Commission such that each team could
consider the design elements, colors, themes, and
materials.

I-10 / Date Palm Drive Interchange - Aesthetic
Design Improvements, Cathedral City, California
DEA provided landscape architecture and master
planning services to the city of Cathedral City to
develop aesthetic designs for bridge enhancements
and interchange
improvements at the
intersection of I-10
and Date Palm Drive.

Working closely with
City staff and the City
Arts Commission,
DEA developed a
design to create a
readily identifiable gateway and introduction to the
city.

I-10 Corridor Master Plan, San Bernardino and
Riverside Counties, California
The DEA team
prepared the I-10
Corridor Master Plan
which addressed
both the functional
and aesthetic aspects
of the route. The
team developed
design guidelines
for the corridor
landscaping and soundwall treatments, bridge
fencing and abutment walls, and column and median
improvements, and studied using signage and
transportation art along the route. DEA landscape
architects also helped District 8 prepare “How to
Create a Corridor Master Plan” booklet to be used by
all of Caltrans’ landscape architecture departments
that highlights efforts regarding structure aesthetics
and highway landscaping.

The Madison Club, La Quinta, California
DEA was responsible
for the design
and coordination
of development
landscape and
median landscape
construction
documents at The
Madison Club, a
private golf course
community in the city of La Quinta. DEA’s project
manager successfully managed the team in meeting
critical progress and submittal deadlines on this
multi-million-dollar project. In meeting tight design
and construction deadlines, DEA exhibited our ability
to do “whatever it takes” to deliver a quality product
to professional partners and clients alike.

Statement of Qualifications to provide
CITY OF INDIO On-Call Landscape Architectural Services
We believe the development of any park or recreational facility requires a collaborative process that involves the community / stakeholders, business and residential neighbors, park staff, and user groups. We further believe that an interdisciplinary approach is the best way to maximize the benefits to the parks while maintaining stewardship of a site’s natural features. Because the team is comprised of landscape architects, engineers, and surveyors, we are able to deliver comprehensive planning and design services to our clients.

This collaborative approach utilizes the knowledge and expertise of numerous backgrounds to fully respond to our client’s goals.

Streetscape Design
DEA landscape architects have been involved in
several streetscape and corridor improvement projects
throughout Southern California. These projects involve
careful collaboration with the community in enhancing
the design theme and creating gateways, landscape
and hardscape improvements, and selecting site
furnishings that will provide identity and style to an
otherwise ordinary roadway. We understand the
planning and transportation engineering aspects of
any given project are equally important and we will
therefore work closely with team members such that
the blending of form and function is seamless.

A significant and important goal of streetscape development centers on creating a pedestrian friendly and inviting corridor with appropriately scaled elements such as ornamental lighting, street trees, signage, site furnishings and decorative hardscape. The selection of items should strive to ensure classic, simple selections which will stand the test of time and do not become dated by their color or appearance. It is of primary importance to create a positive relationship between pedestrian, bicycle, and vehicular traffic. The new streetscape environment can be further enhanced by the implementation of landscaped medians and enhanced parkways. These elements allow for softening the street scene, framing views and providing opportunities for gateways and outdoor ‘spaces’.

Trail Design
DEA has a strong firm-wide, award winning resume
for trail master planning and design. We have been
involved in master plans for bicycle, pedestrian, and
equestrian trails, to citywide bicycle master plans,
to detailed design and planning for all types of trails including Class I, II, and III bike routes, nature trails, river trails, recreational trails, primitive trails, staging areas, trailheads, interpretive signage and wayfinding.

Our involvement often begins at the community
facilitation stage and then continues with preliminary
trail design; development standards; right-of-way
acquisition, and final design and implementation.

Scenic Corridors and Landscape Beautification
The DEA team has been involved in numerous streetscape enhancement projects, downtown revitalization efforts, transportation corridor master plans, scenic bikeways, visual impact assessments, median and parkway improvements, traffic calming and roundabout projects. When preparing corridor master plans, we consider the following elements:
■ Project goals such as establishing a sense of arrival, corridor beautification/roadway character, view orientation, distinctive landscapes, implementation, and public/private partnerships.

■ Design elements, including planting, irrigation
systems, lighting, fencing, art in public places,
gateways, and signage.
■ Our team is involved in community workshops
and consensus building, development of
illustrative conceptual plans, design development
and construction document preparation,
assistance with bidding, construction
management, and project close out.

Our highway interchange experience encompasses
renovation of landscaped areas, bridge aesthetics,
and preparing corridor master plans for interchange and roadway enhancement projects. DEA has worked in an on-call capacity with Caltrans District 8 for the past 15 years, and with Caltrans Districts 7, 11 and 12 on a variety of projects. DEA is ideally suited to assist on projects within Caltrans jurisdiction.

Interpretive Signage / Gateways
DEA landscape architects, artists, and graphic
designers have prepared over 20 different
interpretive signs for Safety Roadside Rest Areas for
Caltrans. These signs often depict local flora and
fauna, history of the area, geology, and nearby sites
of interest (to name a few). Our team has also been
instrumental in collaborating with Caltrans landscape
architects in developing five different California
gateways which are being installed at key locations
along the highways of California. Each depicts the
California Grizzly Bear (and often the cubs) along
with the California Poppy.

SECTION 7. CONSULTANT’S BOOKS AND RECORDS.
(a) Consultant shall maintain any and all documents and records demonstrating or relating to Consultant’s performance of the Services. Consultant shall maintain any and all ledgers, books of account, invoices, vouchers, canceled checks, or other documents or records evidencing or relating to work, services, expenditures and disbursements charged to City pursuant to this Agreement. records shall be provided directly to the City for inspection, audit and copying when it is practical to do so; otherwise, unless an alternative is mutually agreed upon, such documents and records shall be made available at Consultant’s address indicated for receipt of notices, “Section 24,” of this Agreement.
(c) Where City has reason to believe that any of the documents or records required to be maintained pursuant to this section may be lost or discarded due to dissolution or termination of Consultant’s business, City may, by written request, require that custody of such documents or records be given to the City. Access to such documents and records shall be granted to City, as well as to its successors in interest and authorized representatives.

SECTION 8. INDEPENDENT CONTRACTOR.
(a) Consultant is and shall at all times remain a wholly independent contractor and not an officer, employee or agent of City. Consultant shall have no authority to bind City in any manner, nor to incur any obligation, debt or liability of any kind on behalf of or against City, whether by contract or otherwise, unless such authority is expressly conferred under this Agreement or is otherwise expressly conferred in writing by City. (b) The personnel performing the Services under this Agreement on behalf of Consultant shall at all times be under Consultant’s exclusive direction and control. Neither City, nor any elected or appointed boards, officers, officials, employees or agents of City, shall have control over the conduct of Consultant or any of Consultant’s officers, employees, subconsultants or agents except as set forth in this Agreement. SECTION 9. STANDARD OF PERFORMANCE.

Consultant represents and warrants that it has the qualifications, experience and facilities necessary to properly perform the Services required under this Agreement in a thorough, competent and professional manner. Consultant shall at all times faithfully, competently and to the best of its ability, experience and talent, perform all Services. In meeting its obligations under this Agreement, Consultant shall employ, at a minimum, generally accepted standards and practices utilized by persons engaged in providing services similar to the Services required of Consultant under this Agreement, and shall use such skill, prudence, and diligence as other members of Consultant’s profession commonly possess and exercise. In addition to the general standards of performance set forth this section, additional specific standards of performance and performance criteria may be set forth in Exhibit “A” “Scope of Services” that shall also be applicable to Consultant’s work under this Agreement. Where there is a conflict between a general

SECTION 10. COMPLIANCE WITH APPLICABLE LAWS; PERMITS AND LICENSES.

Consultant shall keep itself informed of and comply with all applicable federal, state and local laws, statutes, codes, ordinances, regulations and rules in effect during the term of this Agreement. Consultant shall at all times observe and comply with all such laws, ordinances and regulations, and shall be solely responsible for any failure to comply with all applicable laws, ordinances and regulations. Consultant represents and warrants that Consultant has obtained or shall promptly obtain all necessary licenses to perform the Services set forth in this Agreement and that such licenses are in good standing. Consultant further represents and warrants that the services provided herein shall conform to all ordinances, policies and practices of the City. Neither City, nor any elected or appointed boards, officers, officials, employees or agents of City, shall be liable, at law or in equity, as a result of any failure of Consultant to comply with this section.

SECTION 11. PREVAILING WAGE LAWS.
(a) Consultant is aware of the requirements of California Labor Code Section 1720, et seq., and 1770, et seq., as well as California Code of Regulations, Title 8, Section 16000, et seq., (“Prevailing Wage Laws”), which require the payment of prevailing wage rates and the performance of other requirements on certain “public works” and “maintenance” projects.

To the extent applicable, Consultant shall defend, indemnify, and hold the City, its elected officials, officers, employees, and agents free and harmless form any claim or liability arising out of any failure or alleged failure of Consultant to comply with the Prevailing Wage Laws.
(b) It is the understanding of City and Consultant that Prevailing Wage Laws do not apply to this Agreement because the Agreement does not involve any of the following services subject to prevailing wage rates pursuant to the California Labor Code or regulations promulgated thereunder: Construction, alteration, demolition, installation, or repair work performed on public buildings, facilities, streets or sewers done under contract and paid for in whole or in part out of public funds. In this context, “construction" includes work performed during the design and preconstruction phases of construction including, but not limited to, inspection and land surveying work.

SECTION 14. CONFLICTS OF INTEREST.
(a) Consultant covenants that neither it, nor any officer or principal of its firm, has or shall acquire any interest, directly or indirectly, which would conflict in any manner with the interests of City or which would in any way hinder Consultant’s performance of the Services. Consultant further covenants that in the performance of this Agreement, no person having any such interest shall be employed by it as an officer, employee, agent or subcontractor without the express written consent of the City Manager. Consultant agrees to at all times avoid conflicts of interest or the appearance of any conflicts of interest with the interests of City in the performance of this Agreement. (b) City understands and acknowledges that Consultant is, as of the date of execution of this Agreement, independently involved in the performance of non-related services for other governmental agencies and private parties. Consultant is unaware of any stated position of City relative to such projects. Any future position of City on such projects shall not be considered a conflict of interest for purposes of this section. (c) City understands and acknowledges that Consultant will, perform non-related services for other governmental agencies and private parties following the completion of the Services under this Agreement. Any such future service shall not be considered a conflict of interest for purposes of this section.

SECTION 15. CONFIDENTIAL INFORMATION; RELEASE OF INFORMATION. (a) All information gained or work product produced by Consultant in performance of this Agreement shall be considered confidential, unless such information is in the public domain or already known to Consultant. (c) If Consultant, or any officer, employee, agent or subconsultant of Consultant, provides any information or work product in violation of this Agreement, then City shall have the right to reimbursement and indemnity from Consultant for any damages, costs and fees, including attorney’s fees, caused by or incurred as a result of Consultant’s conduct. (d) Consultant shall promptly notify City should Consultant, its officers, employees, agents or subconsultants be served with any summons, complaint, subpoena, notice of deposition, request for documents, interrogatories, request for admissions or other discovery request, court order or subpoena from any party regarding this Agreement and the work performed thereunder. City retains the right, but has no obligation, to represent Consultant or be present at any deposition, hearing or similar proceeding. Consultant agrees to cooperate fully with City and to provide City with the opportunity to review any response to discovery requests provided by Consultant. However, this right to review any such response does not imply or mean the right by City to control, direct, or rewrite said response.

SECTION 16. INDEMNIFICATION.
(a) INDEMNIFICATION BY CONSULTANT. To the fullest extent permitted by law, Consultant shall indemnify, protect, defend (with legal counsel reasonably acceptable to City) and hold harmless City and any and all of its elected and appointed officials, officers, employees, representatives and agents (“Indemnified Parties”) from and against any and all claims, actions and proceedings (whether at law or equity, administrative or judicial), demands, orders, judgments, losses, injuries (including, without limitation, injury to or death of an employee of Consultant or subconsultants), liabilities of every kind (including, without limitation, incidental and consequential damages, court costs, and litigation expenses, and fees of expert consultants or expert witnesses incurred in connection therewith and cost of investigation), damages, costs and expenses, including attorney’s fees and costs, (collectively "Claims") that arise out of, pertain to, or relate to, directly or indirectly, in whole or in part, any goods provided or performance of Services by Consultant, its officers, agents, employees, representatives, subconsultants, anyone directly or indirectly employed by any of them, or anyone that they control. Consultant’s duty to indemnify, protect, defend and hold harmless Indemnified Parties, shall not include any Claims arising from the sole negligence or willful misconduct of the Indemnified Parties. (b) INDEMNIFICATION FROM SUB-CONSULTANTS. Consultant agrees to obtain executed indemnity agreements with provisions identical to those set forth here in this section from each and every subconsultant, subcontractor or any other person or entity involved by, for, with or on behalf of Consultant in the performance of this Agreement naming the Indemnified Parties as additional indemnitees. In the event Consultant fails to obtain such indemnity obligations from others as required here, Consultant agrees to be fully responsible according to the terms of this section. Failure of City to monitor compliance with these requirements imposes no additional obligations on City and will in no way act as a waiver of any rights hereunder. This obligation to indemnify and defend City as set

Page 50 of 148 ends

These requirements are subject to amendment or waiver if so approved in writing by the City Manager. Consultant agrees to provide City with copies of required policies upon request.

SECTION 18. ASSIGNMENT.

The expertise and experience of Consultant are material considerations for this Agreement.

City has an interest in the qualifications and capability of the persons and entities who will fulfill the duties and obligations imposed upon Consultant under this Agreement. In recognition of that interest, Consultant shall not assign or transfer this Agreement or any portion of this Agreement or the performance of any of Consultant’s duties or obligations under this Agreement without the prior written consent of the City, which may be given in the sole and absolute discretion of the City Manager. Any attempted assignment shall be ineffective, null and void, and shall constitute a material breach of this Agreement entitling City to any and all remedies at law or in equity, including termination of this Agreement pursuant to Section 20 “Termination of Agreement.” City acknowledges, however, that Consultant, in the performance of its duties pursuant to this Agreement, may utilize subconsultants.

If in the performance of its duties Consultant utilizes subconsultants or subcontractors, Consultant covenants that subcontracts, if any, shall contain a provision making subconsultants or subcontractors subject to all provisions stipulated in this Agreement, including without limitation, the insurance obligations set forth in Section 17 “Insurance.” The Consultant acknowledges and agrees that the City is an intended beneficiary of any work performedby any subconsultant or subcontractor for purposes of establishing a duty of care between any subconsultant or subcontractor and the City.

SECTION 19. CONTINUITY OF PERSONNEL.

Consultant shall make every reasonable effort to maintain the stability and continuity of Consultant’s staff and subcontractors / subconsultants, if any, assigned to perform the Services.

(c) If either Consultant or City fail to perform any material obligation under this Agreement, then, in addition to any other remedies, either Consultant, or City may terminate this Agreement immediately upon written notice.
(d) Upon termination of this Agreement by either Consultant or City, all property belonging exclusively to City which is in Consultant’s possession shall be returned to City. Consultant shall furnish to City a final invoice for work performed and expenses incurred by Consultant, prepared as set forth in Section 4 “Compensation and Method of Payment” of this Agreement. This final invoice shall be reviewed and paid in the same manner as set forth in Section 4 “Compensation and Method of Payment” of this Agreement. (e) Upon written notice, City may suspend all or any portion of Consultant’s performance under this Agreement at its sole option and for its convenience for a reasonable period of time not to exceed six (6) months. City will pay to Consultant a sum equivalent to the reasonable value of the services satisfactorily provided up to the date of suspension. City may rescind the suspension prior to or at six (6) months by providing Consultant with written notice of the rescission, at which time Consultant would be required to resume performance in compliance with the terms and provisions of this Agreement. Consultant will be entitled to an extension of time to complete performance under this Agreement equal to the length of the suspension unless otherwise agreed to in writing by the Parties.

SECTION 21. DEFAULT.

In the event that Consultant is in default under the terms of this Agreement, the City shall not have any obligation or duty to continue compensating Consultant for any work performed after the date of default. Instead, the City may give notice to Consultant of the default and the reasons for the default. The notice shall include the timeframe in which Consultant may cure the default.

This timeframe is presumptively thirty (30) days, but may be extended or reduced, if circumstances warrant. During the period of time that Consultant is in default, the City shall hold all invoices and shall, when the default is cured, proceed with payment on the invoices. In the alternative, the City may, in its sole discretion, elect to pay some or all of the outstanding invoices during the period of default. If Consultant does not cure the default, the City may take necessary steps to terminate this Agreement under Section 20 “Termination of Agreement.” Any failure on the part of the City to give notice of the Consultant’s default shall not be deemed to result in a waiver of the City’s legal rights or any rights arising out of any provision of this Agreement.

SECTION 22. EXCUSABLE DELAYS.

Consultant shall not be liable for damages, including liquidated damages, if any, caused by delay in performance or failure to perform due to causes beyond the control of Consultant. Such causes include, but are not limited to, acts of God, acts of the public enemy, acts of federal, state or local governments, acts of City, court orders, fires, floods, epidemics, strikes, embargoes, and unusually severe weather. The term and price of this Agreement shall be equitably adjusted for any delays due to such causes.

ON-CALL LANDSCAPE ARCHITECTURAL SERVICES, CITY OF INDIO DVD 5 PROJECT EXPERIENCE & REFERENCE
Reflections Park, located in the city of Desert Hot Springs had not been renovated since the mid-nineties. The Park had featured an under utilized plaza and two large fountain areas paying homage to the immediately adjacent natural hot springs and San Andreas Fault.

This original design no longer served the needs of the community and needed a re-imagining. As a part of this effort, the David Volz Design team worked with the city to develop and refine a program for the park’s phased development. The new program includes ADA upgrades, benches, boulders and cobble, new native landscape and irrigation, a reflective monument sign, and a grid of California Fan Palms. The Park will utilize energy efficient night lighting and no turf grass. All plant material will be adapted to a desert native, low and very low water desert landscape designed as an outdoor showcase.

The design criteria emphasized sustainable practices, long term erosion prevention measures, and ease of maintenance. Aesthetic enhancements include a design that is complementary to the City’s Downtown core and improvements, Palm Drive Improvements, and the adjacent Desert Hot Springs Resort. As a part of the design scope the DVD team developed three concepts featuring three distinctive design styles including Contemporary Instagramable, Desert Modernism, and Desert Biomimicry. Each concept was supported with a narrative with local architectural relevance, supporting design criteria, and character imagery to support the design.

RE: Recommendation in Support of David Volz Design Landscape Architects To Whom It May Concern:

The City of Cypress has collaborated with David Volz Design on several important park development and landscape projects. The recently completed city-wide Median Restoration Project, an APWA award-winning project, restored the landscaped medians and parkways throughout the City with new drought-tolerant landscaping and dripirrigation systems, providing for a cohesive design aesthetic throughout the city, while also conserving water in light of the recent droughts. DVD and their team provided exceptional service throughout the project and prepared high quality construction documents.

I would highly recommend to any agency the firm of David Volz Design. My contact information is listed below. Please contact me for further comments in support of this firm.

RE: Recommendation in Support of David Volz Design Landscape Architects, Inc.

To Whom It May Concern:

David Volz Design has provided high quality design and consulting services to the City of Garden Grove for many years. They have provided park planning, provided leadership at public outreach meetings, provided creative park design, developed construction documents and provided construction period services on several park projects.

One notable project is the Woodbury Park Revitalization Project, which includes a high level of design and a team of sub-consultants under David Volz Designs’ contract. This project is a Prop 68 grant award that will allow a complete renovation, of an under used park, to be brought back to life for an underserved community. DVD has done an outstanding job of meshing the needs of the community with the design request of the Parks and Rec Commission and staff.

DVD has always provided the City of Garden Grove with high quality professional service for these projects and many others. I highly recommend David Volz Design to your agency.

ON-CALL LANDSCAPE ARCHITECTURAL SERVICES, CITY OF INDIO DVD 6 Wolfson Park, located in the City of Rancho Mirage was originally built in the 1980’s and features an interactive audio recording hosted by Frank Sinatra. Having successfully delivered the Rancho Mirage City Hall turf removal and landscape renovation project, The David Volz Design team was selected for the Wolfson Park Expansion project, working hand-in-hand with the city to deliver a design that meets the communities’ expectations. The overall design needed to fit within the parks’ existing Victorian style while accommodating new program features. Key goals and upgrades include the addition of a CV Link trail head and parking lot as well as the removal or turf and addition of new desert friendly waterefficient landscape. Proposed planting areas expand of the parks existing program to showcase desert appropriate landscape and include identification signage. Upgrades also include ADA upgrades, new picnic areas and seating, new dark sky friendly lighting, a new park monument sign, and an art pedestal which will feature sculpture created by a local artist. The DVD team also worked with the Braille Institute to develop and refine the parks Braille signage program. The project is an ongoing multi-phase transformation with a goal to reduce the parks overall water usage, maintenance, and environmental impact.

ON-CALL LANDSCAPE ARCHITECTURAL SERVICES, CITY OF INDIO DVD 8 PROJECT EXPERIENCE & REFERENCE
The design draws inspiration from the “celebrate the desert” landscape that is prevalent in the city’s newer public landscapes. Strong symmetrical forms of the ocotillo, golden barrel cactus, and agaves were selected for their interesting sculptural forms. The cool greens and blues of the succulents are complemented by the reds and yellows from the firecracker penstemons, red bird of paradise and lantana.

These plants are thoughtfully set in and around meandering drifts of rock cobble, decorative gravel, and decomposed granite running the length of Miles Avenue medians. The waves of cobble and rocks are accented by selected boulders that are carefully set into the landscape to enhance this planting scheme. Lastly, the deep wine, charcoal and silver colors of the rocks were selected as the color palette to create an existing and striking design.

ON-CALL LANDSCAPE ARCHITECTURAL SERVICES, CITY OF INDIO DVD 9 PROJECT EXPERIENCE & REFERENCE
A complete renovation of the Palm Springs Dog Park on the City Hall Campus was a high priority project for the city. Many years ago, the facility was state of the art for its time. An artist designed fence enclosure surrounds two paddocks, one for large dogs, one for small. These spaces were popular with the dog loving community in the downtown area for two decades. The drought restrictions and deteriorating infrastructure led to a loss of turf ground cover and the facility became a dust bowl. A committee of community leaders, stakeholders and the Mayor worked with the public works department and the design team to plan a complete makeover of the facility. New ADA access and seating areas were added. New shade trees in rock and boulder protective islands were designed and new turf sod was placed over the newly upgraded irrigation system. Innovative and creative application of the water reduction mandates allowed for a large turf grass allotment within the dog park enclosure. By lowering water use on other areas of the city hall campus net water use was calculated to be reduced even with a sufficient supply for the new high-use turf. With approval of the water district, the project was able to move ahead. The park with new dog bone benches, doggie cooling stations, new paved walks and lots of shade is once again a destination for the Palm Springs dog loving community.

David Volz Design will represent the City ensuring the city’s interests are met. We will be a faithful member of the city staff and provide informed and thoughtful analysis whenever it is requested. Our team would relish the opportunity to participate in regular meetings with city staff and to provide on-site personnel for any relevant meetings or events. Public agencies are DVD’s only clients and our invoicing process will be adapted to meet your requirements. Our accounting staff is friendly and accessible, and can prepare special invoicing and reports at the city’s request.

IN-HOUSE RESOURCES
AutoCAD is our primary design tool for drafting and producing construction documents. The version we use is the latest; AutoCAD 2018. We also use LandFX , a landscape architectural overlay program to aid in our design work and Sketchup for 3D modeling. Microsoft office (Word, Excel, Powerpoint) is for word processing, spreadsheets, and presentations. We also use Prezi to create presentations and slide shows. To prepare graphics and marketing content, DVD uses Adobe suite, InDesign, and Photoshop, Illustrator.

ON-CALL LANDSCAPE ARCHITECTURAL SERVICES, CITY OF INDIO DVD 13 David Volz Design creates fantastic, wonder-filled, memorable play lots. Our firm has been widely recognized for delivering outstanding public park play environments that have garnered praise and accolades from local communities.
• Our whale fossil interpretive play space in Laguna Hills has been featured online blogs, local and regional newspapers and national magazines.
• The wagon train and pioneer play environment in Pioneer Park, Tustin, won several regional and state-wide awards, and was selected for a recognition by the National Recreation and Park Association.
• Our Stanton Train Park, Central Park, is featured in the CPRS District Ten Hall of Fame.
• Admiral Kidd Park, an award-winning play space, features kid size replicas of the four boats named for the Admiral. This Long Beach park was a featured stop on the state park operations annual tour of premiere park facilities.

Our play space design philosophy is built on the perspective of a kids-eye-view. Adventure, surprise, familiar and challenging settings, and themes, memorable spaces. Kids may not know the proper name of the park, but they know that there is a special play lot at airplane park, rocketship park, baseball coach park, train park, and tree house park. The goal is to create an immersive environment that will engage guests and create lasting memories.

We recognized the importance of providing for multi-generational intermingling, on the play lot, as caregivers overseeing the play space and for adults a calm, shaded comfortable surveillance spot to enjoy the space at the park. Our play area design reputation has lead to collaborations with all-access advocates and organizations.

We have designed several park play environments as the lead landscape architect for Shane’s Inspiration.

This work and design workshops with emotionally and physically challenged stakeholder advocates has informed our design perspective on inclusive, accessible, and caregiver insights that influences our play lot design. One of DVD’s most recent Shane’s Inspiration play lots is located in El Cariso Park, an LA County Park.

At this park the interactive multi-story “equipment” is the center piece of an elaborate all access play environment. Access for all is provided within the terraced natural slope of the existing park terrain. There is plenty of seating for caregivers, play pieces that encourage multi-generational, multi-fun seeker collaborative play opportunities. This is a special park, well worth a trip to this Sylmar Community Park.

ON-CALL LANDSCAPE ARCHITECTURAL SERVICES, CITY OF INDIO DVD 14 WORK PLAN
David Volz Design is committed to delivering public landscapes that are sustainable and beautiful. We embrace the principles of design that encourage stewardship of our resources, respect for the environment and creative sustainable practices. Through our affiliation with LEED’s, we identify and quantify the sustainability of our designs. Our team has extensive experience with Public Works Agencies delivering storm water management practices that mimic natural hydrological cycles. We implement integrated management practices into every project.

Low Impact Design development (LID) is an alternative site design strategy that uses natural and engineered infiltration and storage to control storm water where it is generated. Projects under LIDs design are uniquely site specific in their effort to reduce runoff and volume, reduce pollutants and fertilizers, and maintain pre-development surface temperatures. All of which are problematic for conventional storm water management. Key goals include reducing downstream flooding, erosion, and scour from natural waterways. Benefits of LID practices include cost saving over expensive infrastructure.

Utilizing bio-swales and sunken lawns allow for the discernment and infiltration of runoff. Bio-swales offer opportunities for biodiversity utilizing native plant material that can remedy the degradation of native habitats. Additionally, LID aesthetics can enhance and beautify the built environment and landscapes by use of pervious pavers and alternative natural paving materials.

A beautiful and sustainable landscape starts with a clear understanding of the client’s requirements, the site and environs and a creative approach to the design process. Water efficiencies, energy use reductions, waste reduction, recycled content and localized material’s sourcing can all be quantified and are an integral part of our design. Resource conservation through the use and specification of recycled and reused materials and identification of locally sourced goods are important sustainability issues. Water resources are conserved through our thoughtful low water use planting schemes, precise irrigation layout and control systems, as well as, stormwater capture, cleaning and reuse. For pollution prevention, stormwater recycling plans are embraced and integral to our designs. On-site water detention, bio filtration, permeable pavement, and many other measures are creatively incorporated into the landscapes we design.

David Volz Design is dedicated to the opportunity and challenge of creating unique spaces and special places that draw inspiration from the environs and the community. David Volz Design believes the very definition of sustainability speaks of environments that are well used and enjoyed, and maintainable over time. We at DVD believe that the ultimate measure of sustainability of any public space has to be high use and enjoyment over the long term.

ON-CALL LANDSCAPE ARCHITECTURAL SERVICES, CITY OF INDIO DVD 15 WORK PLAN
For any community inspired design program, DVD envisions a robust community engagement process. Our initial community meeting will be a participatory community brainstorming session focused on gathering ideas for developing a park master plan. Our preparation for this input will include site reviews and analysis of the plans and documents related to this park site. We will gather “seed” ideas from city staff and from our own site reviews. Our team will assist in the preparation of notices and graphics to get the word out - to invite the community to help design their park.

We will begin the initial workshop with an on site tour of the park to clearly identify the setting. To foster the “brainstorming” session, our team will introduce “seed” ideas that will encourage thoughtful responses and open the discussion for brainstorming and continued idea generation. We will look to the community for ideas about possible improvements, including ideas for enhancement, family recreation and complimentary opportunities to develop the design of an outstanding park plan.

The DVD team will take the ideas and inspirations received from the community at the initial design charrette meeting and refine the ideas and proposed elements into initial concept plans.

These conceptual layouts will be presented to city staff in an idea consolidation meeting. The best ideas and themes will then be refined into conceptual plans for the community to consider. The second community workshop will be a bit more formal. The refined initial concept plans will be presented, and the ideas reviewed.

We will look for agreement from the participants on the elements which will become a part of the draft master plan. Comments and input will be received to refine the park’s vision and program and to obtain consensus for the improvement elements for the park.

Following, a draft master plan and draft design report will be prepared. This plan will then be presented to the public and the Commission or Council for review and comment. Upon the city leader’s direction a final master plan will be prepared.

The Master Plan, which will be the focus of our planning efforts, will be the culmination of the community’s ideas being honed into a final graphic representation of the best development strategy for this park. A report will also be prepared outlining the input process and describing the program and development elements. Also, a preliminary construction budget will be a part of this project report.

The community workshops that we facilitate are the best medium for finding out what the citizenry desires. Allowing the community to stand in a place of ownership aids in a smooth planning process.

In the long term, this ownership translates into projects that are sustained by the community.
