3. SCOPE OF WORK
WORK OBJECTIVES
MATERIALS TESTING & INSPECTION SERVICES
Geocon’s inspectors are seasoned, highly qualified and maintain certifications including, but not limited to, Caltrans, International Code Council (ICC), American Concrete Institute (ACI), American Welding Society (AWS-CWI), Division of the State Architect (DSA), and American Society for Nondestructive Testing (ASNT), County of Los Angeles, and City of Los Angeles. The proposed inspectors for this contract have the necessary certifications to perform the inspection and testing services outlined in the Scope of Work of the RFP. Our inspection staff will be 100% available throughout the contract duration. Our standard testing and inspection procedures are as follows:
• When Geocon receives an inspection request from the Construction Manager (Project Manager, Superintendent, Owner’s Authorized Representative, Project Inspector (IOR)), we will document the request in writing on an inspection request form, filling in the date and time of the inspection, type of inspection requested, person requesting the inspection, and the contact’s phone number. • We will verify that the person requesting the inspection is the Construction Manager or has been authorized by the Construction Manager to request the inspection. Once the information has been verified, our dispatch will schedule the inspection with an appropriate inspector.
• On the day the inspection request is scheduled, Geocon’s Inspector will meet the Construction Manager on-site to verify the type and location of inspection needed.
• Inspections will be performed in accordance with project specifications and City requirements. • The inspector will provide daily written reports of inspection indicating compliance or non-compliance, which are to be signed by the Construction Manager before the inspector leaves the project site each day. The reports will include information about the inspector’s arrival and departure time and very specific details about activities being performed each day.
• The inspector will obtain samples, as required, and transport them to our in-house laboratory for testing and analysis. Material strength verification reports will be presented to the Construction Manager via email or fax the same day strength verification breaks are performed.
Geocon will only acknowledge inspection requests from the Construction Manager or designated representative.
When called for inspection, Geocon inspectors will first check in with the Construction Manager upon arrival at the jobsite. Project activities will be documented daily on field reports indicating whether or not the construction work and materials testing was performed was in accordance with project requirements. Any problems will be reported immediately to the Construction Manager. Copies of material delivery tickets will also be collected and maintained.
The daily field reports prepared by Geocon will be signed by the Construction Manager prior to Geocon leaving the jobsite. One copy of each field report will remain at the jobsite. All material samples will be properly labeled with the project name, date the sample was collected, and sampling location. Samples will either be temporarily stored on-site in an approved location or immediately be transported to our soils and materials testing laboratory for testing and analysis.
Inspection and testing services will be performed by soils technicians, deputy inspectors, and special inspectors as required. To be as cost-effective as possible, it is our intent to provide simultaneous inspections and testing services for different disciplines (geotechnical/deputy/special inspections) with a single, highly qualified inspector, eliminating the need for a second inspector whenever possible. The selected inspector will be equipped with a vehicle and sufficient field testing equipment (including a nuclear density gauge) to collect samples and provide inplace density test results in the field. A Deputy or Special Inspector will be provided for oversight and inspection as required. Field reports will be prepared and submitted on a daily basis and will be reviewed by Ms. Battiato, CEG.
Copies of all daily inspection reports and other required documents will be submitted with each invoice and copies of all documents will be maintained in electronic format (pdf) for emailing at any time.

To the fullest extent permitted by law, Consultant shall indemnify, protect, defend (with legal counsel reasonably acceptable to City) and hold harmless City and any and all of its elected and appointed officials, officers, employees, representatives and agents (“Indemnified Parties”) from and against any and all claims, actions and proceedings (whether at law or equity, administrative or judicial), demands, orders, judgments, losses, injuries (including, without limitation, injury to or death of an employee of Consultant or subconsultants), liabilities of every kind (including, without limitation, incidental and consequential damages, court costs, and litigation expenses, and fees of expert consultants or expert witnesses incurred in connection therewith and cost of investigation), damages, costs and expenses, including attorney’s fees and costs, (collectively "Claims") that arise out of, pertain to, or relate to, directly or indirectly, in whole or in part, any goods provided or performance of Services by Consultant, its officers, agents, employees, representatives, subconsultants, anyone directly or indirectly employed by any of them, or anyone that they control. Consultant’s duty to indemnify, protect, defend and hold harmless Indemnified Parties, shall not include any Claims arising from the sole negligence or willful misconduct of the Indemnified Parties. (b) INDEMNIFICATION FROM SUB-CONSULTANTS. Consultant agrees to obtain executed indemnity agreements with provisions identical to those set forth here in this section from each and every subconsultant, subcontractor or any other person or entity involved by, for, with or on behalf of Consultant in the performance of this Agreement naming the Indemnified Parties as additional indemnitees. In the event Consultant fails to obtain such indemnity obligations from others as required here, Consultant agrees to be fully responsible according to the terms of this section. Failure of City to monitor compliance with these requirements imposes no additional obligations on City and will in no way act as a waiver of any rights hereunder. This obligation to indemnify and defend City as set

forth herein is binding on the successors, assigns or heirs of Consultant and shall survive the termination of this Agreement and this section.
SECTION 17. INSURANCE.
Consultant agrees to obtain and maintain in full force and effect during the Term of this Agreement the insurance policies set forth in Addendum “1” “Insurance” and made a part of this Agreement. All insurance policies shall be subject to approval by City as to form and content.
These requirements are subject to amendment or waiver if so approved in writing by the City Manager. Consultant agrees to provide City with copies of required policies upon request.
SECTION 18. ASSIGNMENT.
The expertise and experience of Consultant are material considerations for this Agreement.
City has an interest in the qualifications and capability of the persons and entities who will fulfill the duties and obligations imposed upon Consultant under this Agreement. In recognition of that interest, Consultant shall not assign or transfer this Agreement or any portion of this Agreement or the performance of any of Consultant’s duties or obligations under this Agreement without the prior written consent of the City, which may be given in the sole and absolute discretion of the City Manager. Any attempted assignment shall be ineffective, null and void, and shall constitute a material breach of this Agreement entitling City to any and all remedies at law or in equity, including termination of this Agreement pursuant to Section 20 “Termination of Agreement.” City acknowledges, however, that Consultant, in the performance of its duties pursuant to this Agreement, may utilize subconsultants.
If in the performance of its duties Consultant utilizes subconsultants or subcontractors, Consultant covenants that subcontracts, if any, shall contain a provision making subconsultants or subcontractors subject to all provisions stipulated in this Agreement, including without limitation, the insurance obligations set forth in Section 17 “Insurance.” The Consultant acknowledges and agrees that the City is an intended beneficiary of any work performedby any subconsultant or subcontractor for purposes of establishing a duty of care between any subconsultant or subcontractor and the City.
SECTION 19. CONTINUITY OF PERSONNEL.
Consultant shall make every reasonable effort to maintain the stability and continuity of Consultant’s staff and subcontractors / subconsultants, if any, assigned to perform the Services.
Consultant shall notify City of any changes in Consultant’s staff and subcontractors / subconsultants, if any, assigned to perform the Services prior to and during any such performance.
SECTION 20. TERMINATION OF AGREEMENT.
(a) City may terminate this Agreement, with or without cause, at any time by giving written notice of termination to Consultant. In the event such notice is given, Consultant shall cease immediately all work in progress.
(b) Consultant may terminate this Agreement for cause at any time upon thirty (30) days written notice of termination to City.

(c) If either Consultant or City fail to perform any material obligation under this Agreement, then, in addition to any other remedies, either Consultant, or City may terminate this Agreement immediately upon written notice.
(d) Upon termination of this Agreement by either Consultant or City, all property belonging exclusively to City which is in Consultant’s possession shall be returned to City. Consultant shall furnish to City a final invoice for work performed and expenses incurred by Consultant, prepared as set forth in Section 4 “Compensation and Method of Payment” of this Agreement. This final invoice shall be reviewed and paid in the same manner as set forth in Section 4 “Compensation and Method of Payment” of this Agreement. (e) Upon written notice, City may suspend all or any portion of Consultant’s performance under this Agreement at its sole option and for its convenience for a reasonable period of time not to exceed six (6) months. City will pay to Consultant a sum equivalent to the reasonable value of the services satisfactorily provided up to the date of suspension. City may rescind the suspension prior to or at six (6) months by providing Consultant with written notice of the rescission, at which time Consultant would be required to resume performance in compliance with the terms and provisions of this Agreement. Consultant will be entitled to an extension of time to complete performance under this Agreement equal to the length of the suspension unless otherwise agreed to in writing by the Parties.
SECTION 21. DEFAULT.
In the event that Consultant is in default under the terms of this Agreement, the City shall not have any obligation or duty to continue compensating Consultant for any work performed after the date of default. Instead, the City may give notice to Consultant of the default and the reasons for the default. The notice shall include the timeframe in which Consultant may cure the default.
This timeframe is presumptively thirty (30) days, but may be extended or reduced, if circumstances warrant. During the period of time that Consultant is in default, the City shall hold all invoices and shall, when the default is cured, proceed with payment on the invoices. In the alternative, the City may, in its sole discretion, elect to pay some or all of the outstanding invoices during the period of default. If Consultant does not cure the default, the City may take necessary steps to terminate this Agreement under Section 20 “Termination of Agreement.” Any failure on the part of the City to give notice of the Consultant’s default shall not be deemed to result in a waiver of the City’s legal rights or any rights arising out of any provision of this Agreement.
SECTION 22. EXCUSABLE DELAYS.
Consultant shall not be liable for damages, including liquidated damages, if any, caused by delay in performance or failure to perform due to causes beyond the control of Consultant. Such causes include, but are not limited to, acts of God, acts of the public enemy, acts of federal, state or local governments, acts of City, court orders, fires, floods, epidemics, strikes, embargoes, and unusually severe weather. The term and price of this Agreement shall be equitably adjusted for any delays due to such causes.

All other amendments shall be approved by the City Council. The Parties agree that the requirement for written modifications cannot be waived and that any attempted waiver shall be void.
SECTION 29. WAIVER.
Waiver by any Party to this Agreement of any term, condition, or covenant of this Agreement shall not constitute a waiver of any other term, condition, or covenant. Waiver by any Party of any breach of the provisions of this Agreement shall not constitute a waiver of any other provision nor a waiver of any subsequent breach or violation of any provision of this Agreement.
Acceptance by City of any work or services by Consultant shall not constitute a waiver of any of the provisions of this Agreement.
SECTION 30. LAW TO GOVERN; VENUE.

SECTION 32. ENTIRE AGREEMENT.
This Agreement, including the attached Exhibits and Addendums, along with any amendments thereto, is the entire, complete, final and exclusive expression of the Parties with respect to the matters addressed therein and supersedes all other agreements or understandings, whether oral or written, or entered into between Consultant and City prior to the execution of this Agreement. No statements, representations or other agreements, whether oral or written, made by any Party which are not embodied herein shall be valid and binding.
SECTION 33. SEVERABILITY.
If any term, condition or covenant of this Agreement is declared or determined by any court of competent jurisdiction to be invalid, void or unenforceable, the remaining provisions of this Agreement shall not be affected thereby and the Agreement shall be read and construed without the invalid, void or unenforceable provision(s).

Leighton is an excellent choice to provide geotechnical and materials testing services to the City of Indio for the following reasons.
• Local Familiarity: With more than two decades of presence in the greater Coachella Valley Area, Leighton has worked with most local municipal agencies, including the cities of Indio, Rancho Mirage, Cathedral City, Palm Desert, Palm Springs, Desert Hot Springs, and La Quinta, as well as various Coachella Valley school and water districts. For these public agencies, we have provided a full spectrum of material testing and inspection services. • Experienced Team: Our field personnel have many years of materials testing work experience and follow all relevant industry standards of practice for the safe execution of quality public works construction projects. Our selected field personnel are able to understand and interpret project construction plans and specifications and applicable standards for Public Works Construction (Greenbook, Caltrans Standard Plans and Specifications; and Cal/OSHA Construction Safety Orders). Our field technicians have repeatedly demonstrated their ability to interact professionally with contractors, engineers, inspectors, and the public at large. They typically coordinate with other City personnel and contractors; promote quality customer service and a professional image of the City; and respond promptly and courteously to

requests. All of our technicians/inspectors work under the responsible charge of a person registered by the California State Board of Registration as professional civil engineer and/or geotechnical engineer.
• In-House Laboratories: Leighton’s services are supported by our in-house laboratories. All Leighton laboratories participate bi-yearly in Cement and Concrete Reference Laboratory (CCRL) Sample Proficiency Testing and consistently achieve the highest possible ratings. We hold certification from Caltrans, AASHTO, and others. Our laboratory participates in the Cement and Concrete Reference Laboratory (CCRL) Sample Proficiency Testing, AASHTO Materials Reference Laboratory (AMRL) Proficiency Sample Program, and Caltrans Reference Sample Program (RSP).
We appreciate this opportunity to submit our qualifications to the City of Indio. We have reviewed the City’s Standard Agreement for Professional Services and do not have exceptions to propose. If you have any questions or need additional information regarding how we can be of service, please do not hesitate to contact us.
Respectfully submitted,

3 | Scope of Work
Description of Work Objectives
Tasks and subtasks will be identified and integrated into the schedule, with any areas of overlap identified to increase project efficiency and reduce costs. Mr. Saiid will track work progress and costs with respect to completion schedules and communicate the status of the work and related schedule to City personnel weekly, or more often, if needed. Coordination and scheduling between City personnel and field personnel will be performed by Mr. Saiid to allow for proper planning of activities.
Leighton understands that the Scope of Work will include, but is not limited to, the following:
▪ Review project plans, specifications, and geotechnical report to gain thorough understanding of materials to be used on the specific project,
▪ Recommend street structural sections and street rehabilitation alternatives, ▪ Coordinate materials testing activities and source inspections through Resident Engineer (RE), ▪ Conduct all required tests for steel, concrete, soil, subgrade, backfill, hot mix asphalt, aggregate base, and other materials used on individual projects,
▪ Observe methods used by contractor to place materials and notify RE of practices that may cause non-conforming tests,
▪ Maintain summary log of material tests performed throughout the duration of each project.
Approach and Project Schedule
Critical for a successful project is a complete understanding of project needs and clear definitions of each party’s roles. Our role will be to inspect and test implementation of approved project plans and specifications, working in conjunction with the City’s project manager or the assigned representative.
We understand our role to perform material testing and geotechnical services in accordance with Caltrans and/or City (Greenbook) standards for public improvement projects. Leighton may also be requested to evaluate existing infrastructure and prepare a formal report presenting options and recommendations to mediate or address various problems. Leighton may also be asked to provide core sampling services on existing pavements to determine pavement thickness, base material, and subgrade soil conditions/strength. A final report will be prepared with all relevant data on an as-needed basis. If needed, traffic control will be provided in accordance with the WATCH or MUTCD Manual and comply with all Dig Alert requirements. All core holes will be backfilled and patched with PCC concrete (560-C3250) flush with existing surfaces. We will mobilize services for this project, from our nearby Palm Desert
office, located less than 10 miles from Indio City Hall.
The accurate and timely compilation of data, along
with the communication and management of that
data is very important in preventing delays in a
project schedule. Our engineering technicians in the
field will be equipped with the necessary tools to
provide immediate test results as they are performed.
All geotechnical and materials
laboratory testing will be performed
by our local certified laboratory
facilities. This will help to expedite
the turnaround of laboratory tests
that must be taken to the lab. All
testing results will be compiled and
reported daily in hard copy or, if
desired, electronically in PDF format.

Our engineering technicians will use a calibrated nuclear gauge to accurately take readings. We will prepare a Daily Field Report of all tests and work with field personnel to document each section tested and move quickly through the project.
Leighton uses MetaField® as a networked and integrated Field Information Management System (FIMS) and Laboratory Information Management System (LIMS). This completely eliminates the need for paper in the field, laboratory and/or office; although we can print out anything you need or want, at any time for you. Our field staff is equipped with company-provided cell phones, networked laptops, tablets and Bluetooth® printers (for those regulators and clients who still require paper). This system allows us to e-mail data typically as a PDF, or post data on a web page for your independent and secure access, real time.
Field staff will be mobilized from our close by Palm Desert office, with support from our other southern California offices, if need be. Field staff are dispatched using MetaField®, which e-mails their assignments to their phone and/or tablet, so they can see the site location, site-specific contact persons and prior data acquired for that site. All data acquisition is electronic through a secure cellular network and The Cloud. Field staff either accept or decline assignments based on their current work backlog, and scheduling is viewed on a MetaField® calendar for project managers to see.
We have outlined an approach that we think will meet the general needs of your projects. We understand that not every project is the same, and project needs change from week to week on a construction site. We will provide you with the flexibility you need to ensure success, providing field personnel to assist the City as described below.
Construction Meeting | Our Project Manager, Bashir Saiid, will attend one preconstruction meeting to establish points of contact and distribution of results. We will also attend weekly meetings as determined to be prudent by the City. We will rely on your field representative to contact our office to schedule all field work, for which we request at least one full working day advance notice. Site safety is the responsibility of your contractor; therefore, we will notify the contractor’s site representative whenever we are on site.
Geologic Observation | We will provide either a Professional Geologist (PG) or Certified Engineering Geologist (CEG) as necessary to evaluate soil conditions. Brent Adam, the Senior Project Geologist assigned to this contract, holds both professional registrations.
Dispatch and Management | Technician scheduling, coordination, and administrative services will be provided. Supervision, quality control, and project management will be provided by our Field Operations Manager, Project and Principal Geotechnical Engineers, Civil Engineer of Record, and Laboratory/Special Inspection Manager, as needed.
Geotechnical Laboratory Testing | We will perform geotechnical laboratory testing of representative imported and site soils to determine the ASTM D 1557 laboratory maximum dry density and optimum moisture content, and corresponding grain size distribution to match the soils with the appropriate “compaction curve.” 10

Backfill Observation and Testing | Senior Engineering Technicians will provide either full- or part-time observation and testing of backfill placement, as fill thickness and the earthwork contractor’s schedule requires. Deeper, rapid fill placement will require fulltime observation and testing. It is customary and standard practice to perform field density tests at least at every 2-foot vertical lift in newly placed properly compacted fill.
Field personnel will have the sand cone apparatus and nuclear density gauges to perform field density tests. Daily Field Reports will be distributed to the Engineer or representative for review/signature.
Concrete Field Sampling and Testing | Deputy Inspectors will sample fresh concrete, measure temperature, and perform slump tests (ASTM C 143) and air content tests (ASTM C 173 or C 231) when requested by your designated field representative. The air content test will only be performed if specifically requested (not expected to be required with this contract). We will mold four compression test cylinders for each 50 cubic yards of concrete, or at least one set of four each day concrete is placed. We can also mold a set of three additional field-cured cylinders when requested.
Batch Plant Inspection | We will provide an American Concrete Institute (ACI) certified inspector to perform batch plant inspection.
Material Laboratory Testing | We will transport hardened samples from the site to our material testing laboratory. Material laboratory curing and compressive strength testing of field-molded concrete test cylinders will be performed in accordance with ASTM C 31 and C 39.
Reporting | We will provide a report summarizing the earthwork-related activities and the results of our field and laboratory tests during construction. Verbal and/or email reports will be provided for 7-day breaks. A final one-page report will be provided summarizing compressive strength tests results for a given set of (four) cylinders after the 28-day breaks are completed.
Geotechnical Investigation Reporting | Leighton has performed 100’s of subsurface investigations within the Coachella Valley area, some within the City of Indio, utilizing various methods including trenching, small and large diameter borings, seismic refraction, and Cone Penetrometer Tests (CPTs). We understand the nature of drilling in sensitive habitat and the public right-of-way. We have also worked closely with several regulatory agencies with jurisdiction within the City of Temecula including Caltrans and local water agencies. We have will work directly with the City of Indio along with Caltrans/County for drilling within street rights-of-way and understand the complexities of subsurface investigation in an urban environment.
Based on the above, our technical approach to the subsurface investigation will be detailed in a comprehensive proposal submitted to the City for review and approval. Such proposal will outline the number of borings, test pits, cores, etc., based on the specific project requirements and will provide laboratory testing program performed in accordance with applicable Caltrans and ASTM standards.

Adherence to Scope, Schedule, and Budget
Leighton is well-staffed with many locally located offices and can handle large fluctuations in workload.
Our team can work longer hours or weekends/holidays or add staff to get more of our work done in a shorter period of time to meet internal deadlines. In addition, if your project needs extend beyond our scheduled resources, we can seamlessly access staff and specialty skills from other Leighton office locations. Leighton’s project management software is an interactive, real-time tool that provides desktop dashboard resource planning and allocation for project forecasting. We can see what personnel resources are available (and for how long) and designate them for a project task—now or in the future.
Staffing Assignments and Project Scheduling
Leighton has been awarded and successfully completed over 7,000 projects in our 63-year history. Our Project Managers/Task Managers are accustomed to responding to rigorous demands in the field and office and know how to anticipate and accommodate fluctuations in staffing needs. We know our staff and their different strengths and personalities. Our objective is to provide you with the right staff members who can best execute your project, and who fit well with your project-specific team. Our staff strives to develop a scope of work that fully addresses project requirements without extraneous effort or needless expenditures. To achieve project budgets and increase the value provided, we will not “top load” projects with higher-paid staff when more cost-effective staff can meet the needs of the project.
The bottom line is that we will assemble a project team that can perform the scope of work most efficiently and cost effectively. As part of this management, we will be communicating with the City, so we understand what project schedules to anticipate. This allows us to ensure staff continuity through project deliverables and allows us to solve conflicts before they arise. We understand the value of personnel continuity for a specific project. We will fully leverage our office locations to your advantage.
Our professional staff has ground rules established for company-wide support and procedures for successfully delivering geotechnical engineering services.
Budget/Cost Control Tools
Every project manager at Leighton has access to in-house proprietary project management and financial software, which allows for near real time monitoring of project budget, helping our Project Managers keep timely and accurate cost control of their projects. We will communicate with the City as needed, monthly at a minimum, to discuss project status, agency requirements, schedule, and any anticipated scope changes. This provides your staff with the tools to manage actual project costs. In addition, to help control project costs, we will internally review our project staffing on a regular basis for optimal staff.

and is multiplied at 1.5 to 2 times their hourly billing rate for overtime and double-time, respectively.
z Expert Witness Time: Expert witness deposition and

beyond these standard testing unit rates for handling,
testing and/or disposing of soil and/or rock containing hazardous materials. Hazardous materials will be
returned to the site or the site owner’s designated
representative at additional cost not included in
listed unit rates. Standard turn-around time for
geotechnical-laboratory test results is 10 working

Consultant further covenants that in the performance of this Agreement, no person having any such interest shall be employed by it as an officer, employee, agent or subcontractor without the express written consent of the City Manager. Consultant agrees to at all times avoid conflicts of interest or the appearance of any conflicts of interest with the interests of City in the performance of this Agreement. (b) City understands and acknowledges that Consultant is, as of the date of execution of this Agreement, independently involved in the performance of non-related services for other governmental agencies and private parties. (c) City understands and acknowledges that Consultant will, perform non-related services for other governmental agencies and private parties following the completion of the Services under this Agreement. Any such future service shall not be considered a conflict of interest for purposes of this section.
SECTION 15. CONFIDENTIAL INFORMATION; RELEASE OF INFORMATION. (a) All information gained or work product produced by Consultant in performance of this Agreement shall be considered confidential, unless such information is in the public domain or already known to Consultant. (c) If Consultant, or any officer, employee, agent or subconsultant of Consultant, provides any information or work product in violation of this Agreement, then City shall have the right to reimbursement and indemnity from Consultant for any damages, costs and fees, including attorney’s fees, caused by or incurred as a result of Consultant’s conduct. (d) Consultant shall promptly notify City should Consultant, its officers, employees, agents or subconsultants be served with any summons, complaint, subpoena, notice of deposition, request for documents, interrogatories, request for admissions or other discovery request, court order or subpoena from any party regarding this Agreement and the work performed thereunder. City retains the right, but has no obligation, to represent Consultant or be present at any deposition, hearing or similar proceeding. Consultant agrees to cooperate fully with City and to provide City with the opportunity to review any response to discovery requests provided by Consultant. However, this right to review any such response does not imply or mean the right by City to control, direct, or rewrite said response.
SECTION 16. INDEMNIFICATION.
(a) INDEMNIFICATION BY CONSULTANT.
